Sprite Slam Dunk Showdown Official Rules No Purchase Necessary To Enter or Win. Void Where Prohibited By Law. PROMOTION OVERVIEW AND DATES: Sprite Slam Dunk Showdown (“Promotion”) will consist of two (2) components: a Contest (“Contest”) and a Sweepstakes (“Sweepstakes”). The Contest start on 5/25/13 and ends on 7/14/13 in accordance with the event schedule outlined below. The Voting/Sweepstakes Entry Period starts at 12:00:01 AM ET on 8/1/13 and ends at 11:59:59PM ET on 9/30/13 (“Voting Period”). Eligibility: The Contest is open to legal residents of the 50 United States, the District of Columbia, and Canada (excluding Quebec) who are: (1) 18 years of age or older (or age of majority in their state/providence); and (2) Not current members of any college or university basketball team or professional basketball team within or outside the United States. Note: All participants are personally responsible for understanding and following high school or intercollegiate athletic eligibility guidelines as it pertains to your participation in this Promotion (guidelines available at: http://eligibilitycenter.org/ECWR2/NCAA_EMS/NCAA.html). The Sweepstakes is open to legal residents of the fifty (50) United States, the District of Columbia, and Canada (excluding Quebec), eighteen (18) years of age or older (or age of majority in their state/providence) as of the date of vote/entry. Employees, officers, directors, representatives and agents of the National Basketball Association (“NBA”) and its member teams, NBA Properties, Inc. (“Sponsor”) (collectively, “The NBA Entities”); The Coca-Cola Company, or any of their respective parent companies, subsidiaries, affiliates, governors, owners, distributors, retailers, bottlers, agents, assignees, advertising/promotion agencies, and Project Support Team, Inc. (“P/S/T”) (together, collectively, the “Released Parties”) and the immediate family members (parents, spouses, siblings, children and their respective spouses, regardless of where they reside) and/or those living in the same household of any such individual, whether or not related, are not eligible to enter or win. This Promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook. You are providing your information to the Sponsor and not to Facebook. The information you provide will only be used for Sweepstakes purposes. This Promotion is subject to all applicable federal, state, provincial and local laws and regulations. CONTEST IMPORTANT NOTE: By entering the Contest, each participant represents that he is in good physical condition and that he has the physical capacity to participate in the Promotion and understands and accepts all risks associated with participation in the Contest. Each participant also expressly acknowledges his understanding that the Contest can be dangerous and can involve the risk of serious physical injury. Potential Contestants will be required to try-out prior to being invited to participate in the event. Try-Outs are held in two ways: 1) Onsite: Prior to the Event, and at the Event location in the manner and according to the rules, procedures and conditions specified by Sponsor in 1

Participation will work as follows: Eligible contestants will be able to register for the Event on a first-come, first-served basis. Sponsor does not guarantee that every eligible individual who wishes to participate in the Event will be able to do so. Each contestant will participate in the Event, in the manner and according to the rules, procedures and conditions specified by Sponsor in its sole discretion. All details regarding the mechanics and other rules, procedures and conditions for participation in the Event will be determined by Sponsor (in its sole discretion) and provided immediately prior to the start of the applicable Event. Any disputes will be resolved by the Sponsor (or the supervising staff designated by Sponsor for the Promotion), whose decisions shall be final, conclusive and binding. All contestants must complete the Event in the sequence presented by Sponsor. Only basketball(s) in the designated area that are provided by Sponsor will be used for the Event. Only up to Thirty (30) contestants will be permitted to participate in Round One of the Event. Sponsor reserves the right to have fewer than Thirty (30) contestants in the first round if, in its sole discretion, it does not receive a sufficient number of eligible and qualified contestants. 2

On-Site Event Judging For Round One, Round Two, and Round Three: Round One and Round Two will be judged by a panel of judges designated by Sponsor. During Round One and Round Two, contestants will be required to perform two (2) dunks each. During Rounds One and Two each dunk will need to be completed within thirty (30) seconds. Contestants will alternate dunks with the other contestants participating in each of the rounds listed above. Each contestant will be directed to participate in each round in the manner and according to the rules, procedures and conditions specified by Sponsor in its sole discretion. Only basketball(s) in the designated area that are provided by Sponsor will be used for the Event. The dunks of each contestant will be recorded and may be used as the video for the Fan Voting Round of this Promotion (as described below). Scoring for Round One and Round Two: The scoring for Round One and Round Two is as follows: Each dunk attempted by a contestant during a round will be rated on a score of 6 through 10 based equally on the following judging criteria: (1) skill and (2) ability (“Judging Criteria”). The two scores received for each contestant in each round will be added to yield an overall score for each contestant the applicable round. Scores earned for one round will not be included in subsequent rounds. Determination of Contestants Advancing to each Consecutive Round For Round One and Round Two: The eight (8) contestants with the highest total score in Round One, as determined by Sponsor in its sole discretion, will move on to the Round Two. The three (3) contestants with the highest total score in the Round Two, as determined by Sponsor in its sole discretion, will move on to the Round Three. Sponsor reserves the right to advance fewer contestants to each consecutive round if, in its sole discretion, it does not receive a sufficient number of eligible and qualified contestants. In the event of a tie in any round, a dunk-off (consisting of one dunk) will take place to determine the contestant(s) that will move on to Round Three based on the Judging Criteria. Any dunk-off will be repeated as necessary until the tie is broken. The dunk-off will be judged by the panel of judges designated by Sponsor. Time limit rules will also apply for any dunk-off. Round Three and Voting: During Round Three, contestants will be required to perform two (2) dunks. Each dunk will need to be completed within one (1) minute. Contestants will alternate dunks with the other contestants participating in the Round Three. Each contestant will be directed to participate in each round in the manner and according to the rules, procedures and conditions specified by Sponsor in its sole discretion. Only basketball(s) in the designated area that are provided by Sponsor will be used for the Event. Each Event Round Three will be judged 50% by a panel of judges designated by Sponsor and 50% by an on-site fan text message vote. For text message voting the letter “A” will be assigned to the contestant who goes first, “B” for the second contestant and “C” for the final contestant. Fans will be directed to send a text message with their vote (either the letter “A”,“B”, or “C”) to the number designated by Sponsor. Voting will commence once the Round Three begins and will be closed five (5) minutes after the final dunk has been completed (the “Voting Period”). Subject to verification of eligibility and compliance with these Official Rules, the contestant with the highest number of valid votes for Round Three will be crowned the 1st Place Prize Winner for such Event. In the event of a tie in Round Three, a one-dunk dunk-off will take place to determine the 1st Place Prize Winner for such Event. Any dunk-off will be repeated as necessary until the tie is broken. 3

The dunk-off will be judged using the Judging Criteria by the panel of tie-breaking judges designated by Sponsor. Time limit rules will also apply for any dunk-off. Voting Details and Important Notice: Standard text messaging fees apply for text messages sent and received. Your wireless service provider may charge you for each text message you send and receive. Please consult your wireless service provider regarding your pricing plan. You must be a wireless service subscriber with text messaging service, using a participating service provider in order to vote via this method. Not all cellular phone providers carry the necessary service to participate. Check your phone capabilities for specific text messaging capabilities and instructions. All votes must be received by the posted deadline to be eligible. Votes will be totaled by a panel of qualified independent judges selected by Sponsor, whose decisions will be final and binding in all matters relating to this Promotion. Contestants are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. Number of votes per user is unlimited. Votes generated by script, macro or other automated means or with the intent to affect the integrity of the peer voting process will be void. On-site Winner Verification: Immediately following the close of each Event Round Three, the potential 1st Place Prize Winner will be required to execute (where permitted by law) Affidavit of Eligibility and a Release of Liability, (where legal) a Publicity Release, and W-9 form on-site and in the time period specified by Sponsor. Failure to comply with these Official Rules or to execute the above stated documents may result in disqualification and, at Sponsor’s sole discretion, the applicable prize may be awarded to the next runner-up from the Round Three of the applicable Event. On-site Prizes: 1st Place Prize (8) (one (1) per Event): $2,500 awarded in the form of a check. In addition, each 1st Place Prize Winner will be deemed a “Finalist” and automatically advance to the Sprite Slam Dunk Showdown (as described below). Total Approximate Retail Value (“ARV”): $2,500 US each. Sprite Slam Dunk Showdown Notification/Documentation Requirement: The eight (8) potential Finalists will be required to execute and return a notarized Affidavit of Eligibility and a Release of Liability and (where legal) a Publicity Release within ten (10) days of date of issuance of notification. Finalists must be able to travel to the designated Sprite Slam Dunk event location on dates specified by Sponsor or Finalist status and prize will be forfeited and may be awarded to a runner-up. Each Finalist may bring one traveling companion. The traveling companion must be of legal age of majority in his/her jurisdiction of residence (and at least (18) unless child or legal ward of Finalist) and guest (or if guest is a minor, Finalist) will be required to sign and return a notarized Liability Release and (where legal) Publicity Release within ten (10) days of date of issuance of notification. Released Parties are not responsible for lost, late, stolen, undelivered, delayed, damaged, postage-due or misdirected mail. Noncompliance with the foregoing, with these Official Rules, the inability to contact a potential Finalist within a reasonable time period or any notification being returned as nondeliverable may result in disqualification and, at Sponsor’s discretion, a runner-up Finalist may be notified (at the sole discretion of the Sponsor). General Prize Conditions: Prize awards are subject to verification of eligibility and compliance with these Official Rules. Winners are responsible for all federal, state, and local taxes (including income 4

and withholding taxes) and any other costs and expenses associated with prize acceptance and use not specified herein as being provided. No substitution, cash redemption (if non-cash prize) or transfer of prizes is permitted, except by Sponsor, which reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value. All prize details are at Sponsor’s sole discretion. Sponsor reserves the right not to award all on-site prizes or not to advance any contestant to the Peer Voting Bracket Determination Round, in its sole discretion, if it does not receive a sufficient number of eligible and qualified entries for any round of the Promotion. Ownership of Videos and Footage: Contestants who participate in an Event may be videotaped during their participation (collectively, “Footage”) and by participating, agree to such videotaping. All Footage and videos submitted by contestants will be owned by the NBA Entities, which will have the right, along with its designees, to use, edit, adapt, post, stream, copy and exploit such videos and Footage, and all elements embodied therein, including any names, voices, likenesses and performance embodied therein, in any and all media, now or hereafter devised, without further payment or consideration, notification or permission, worldwide and in perpetuity, except where prohibited by law. Without limiting the foregoing, by entering the Promotion and without limiting any other rights granted hereunder, each participant hereby grants permission for the Footage of him/her and/or his/her video (as applicable) to be posted on nba.com/dunk, Sprite.com or other websites and social media channels. PEER VOTE BRACKET DETERMINATION/SWEEPSTAKES ENTRY: To automatically receive one (1) entry into the Sweepstakes, vote for the Finalists’ highlight videos from each NBA Event (eight (8) total) that you believe demonstrates the best basketball “dunking” abilities. To vote/enter, visit nba.com/dunk during the Voting Period (the “Peer Voting Bracket Determination Round”), click the finalist you think has the best basketball “dunking” abilities, click the vote button and then follow the prompts to either allow the Facebook application or enter your email address. Bracket Seeding Round will be judged 50% by a panel of judges designated by Sponsor and 50% by Peer Vote. This judging will determine the Bracket Seeding for the Sprite Slam Dunk Showdown Championship Round. By allowing the Facebook application, you are permitting the application to access your Facebook profile information which will only be used for the purposes of this Promotion only. All votes/entries must be received by 11:59:59 PM ET on 9/30/13 to be eligible. Votes generated by script, macro or other automated means or with the intent to affect the integrity of or subvert the peer voting process will be void. Participants are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. Subject to verification of eligibility and compliance with these Official Rules, the Finalists will be seeded in the Bracket based on the number of votes received. The Finalist with the highest number of votes will be seeded in the first position against the Finalist with the least number of votes, for example 1 vs 8, 2 vs 7, 3 vs 6, 4 vs 5. In the event of a tie, such tied Finalist will be judged by a “tie-breaking” judge based on originality/creativity to determine their respective spot in the Bracket. Finalist status is subject to verification of eligibility and compliance with these Official Rules. Sweepstakes Winner Determination: One (1) potential Sweepstakes winner will be selected in a random drawing conducted on or about 10/7/13 from among all eligible entries received during the 5

Voting Period. Drawing will be conducted by P/S/T, an independent judging organization whose decisions are final and binding on all matters relating to the Promotion. Potential Sweepstakes winner will be contacted by telephone, U.S. mail and/or overnight express mail on or about 10/14/13. Odds of winning the Sweepstakes Prize will depend on the total number of eligible entries received. Potential Sweepstakes Prize winner will be required to execute and return an Affidavit of Eligibility Liability Release and (where legal) Publicity Release within five (5) days of date of receipt of documents. Sweepstakes Prize winner’s guest must be of legal age of majority in his/her jurisdiction of residence unless child or legal ward of winner and such guest (if child or legal ward of winner, winner) will be required to execute and return a Liability Release and (where legal) Publicity Release prior to prize award. Non-compliance with any of the foregoing, Sponsor’s inability to contact the potential winner within a reasonable time period, return of a notification as undeliverable or non-compliance with these Official Rules may result in disqualification and awarding of prize to an alternate winner, at Sponsor’s sole discretion. Entry Limits and Other Restrictions: There is a limit of five (5) votes/entries per person and per email address per day. Additional votes/entries received in excess of the stated amount from any person or e-mail address will be void and could render all votes/entities from such person or email address void. Noncompliance with the foregoing or with these Official Rules may result in disqualification and all associated entries will be void. Each participant agrees that Released Parties are not responsible for any unauthorized use of videos and/or Footage by third parties. Released Parties do not guarantee the posting of any video and/or Footage. Released Parties reserve the right to edit the videos and/or Footage for posting on nba.com/dunk as they deem necessary in their sole discretion and participants acknowledge and agree that Released Parties shall not be responsible for any alleged consequences of such editing. The use of script, macro or any other device to automate or subvert the entry process is prohibited and any such entries will be void. Other than for prize notification or for promotional emails, neither Sponsor, nor anyone acting on its behalf, will enter into any communications with any participant regarding this Promotion or acknowledge any entry not meeting all entry requirements stated herein and all such entries will be void. Entries that are deemed by the judges and/or Sponsor in their sole discretion to be immoral, obscene, profane or not in keeping with Sponsor’s image or in violation of these Official Rules will be void. Released Parties are not responsible for incomplete, lost, late, inaccurate, delayed, undelivered, garbled, stolen, damaged or misdirected entries, registrations, votes or text messages (or any component thereof), inaccurate Promotion-related information provided by Sponsor or for interrupted or unavailable network, server, cable, satellite, Internet Service Provider (ISP), wireless or other connections, miscommunications, computer or software malfunctions or telephone line, cellular tower, or transmission problems or technical failures, garbled transmissions, damage to a user's computer equipment (software or hardware) or other errors or malfunctions of any kind whether caused by equipment, programming used in this Promotion, mechanical, electronic, network, technical or human error or otherwise relating to or in connection with the Promotion, including, without limitation, errors which may occur in connection with the administration of the Promotion, the processing or judging of entries, the uploading of videos, the cancellation or postponement of any Event, the tabulation of votes and/or text messages, the taping of onsite entries, the announcement of the prizes or in any Promotion-related materials. Released Parties reserve the right, in their sole discretion, to void suspect entries or to modify, cancel, terminate or suspend the Promotion (or portion thereof) should virus, bugs, non-authorized human intervention or other causes corrupt or 6

impair the administration, security, fairness or proper play of the Promotion and, in the event of such cancellation or termination, at its discretion, determine the winner(s) and/or Finalist(s) for the applicable portion(s) of the Promotion from all eligible non-suspect entries received prior to event requiring cancellation or termination using the judging procedure stated herein. By participating, participants agree to abide by these Official Rules and the decisions of the Sponsor and judges, which shall be final and binding. SPRITE SLAM DUNK SHOWDOWN CHAMPIONSHIP ROUND: Round One: The Eight (8) Finalists will be flown to the location designated by Sponsor (as described further in the Prizes section below) where they will have the opportunity to compete in the Sprite Slam Dunk Showdown Championship Round. For Rounds One and Two, the Finalists will be required to perform two (2) dunks. Each dunk must be completed within one (1) minute. Each Finalist will be directed to participate in each round in the manner and according to the rules, procedures and conditions specified by Sponsor in its sole discretion. Finalists will alternate dunks with the other Finalists participating in respective Round. Each dunk will be rated on a score of 6 through 10 based equally on the following judging criteria: (1) skill and (2) ability (collectively, the “Showdown Judging Criteria”). The two scores received by each Finalist will be added to yield an overall score for Round One. For each match-up the Finalist (four (4) total) with the highest score in the Round One, as determined by Sponsor in its sole discretion, will advance to Round Two, subject to verification of eligibility and compliance with these Official Rules. For each match-up the Finalist (two (2) total) with the highest score in the Round Two, as determined by Sponsor in its sole discretion, will advance to Championship Round, subject to verification of eligibility and compliance with the Official Rules. In the event of a tie in Round One or Round Two, a one-dunk dunk-off (consisting of one dunk) will take place to determine which Finalist(s) will advance to the respective Round based on the Showdown Judging Criteria. Any dunk-off will be repeated as necessary until the tie is broken. The dunk-off will be judged by the panel of judges designated by Sponsor. Time limit rules will also apply for any dunk-off. Scores from Round One and Round Two will not carry over or be considered in any subsequent Round. Championship Round and Voting: For the Championship Round, the two (2) remaining Finalists (based on Bracket) will be required to perform two (2) total dunks. Each dunk must be completed within Ninety (90) seconds. Each Finalist will alternate dunks with the other Finalist participating in the Championship Round. Each Finalist will be directed to participate in each round in the manner and according to the rules, procedures and conditions specified by Sponsor in its sole discretion. The Championship Round will be judged 50% by a panel of judges designated by Sponsor and 50% by an on-site fan vote at the Championship Round via text message only. For text message voting the letter “A” will be assigned to the contestant who goes first, and “B” for the other contestant. Fans will be directed to send a text message with their vote (either the letter “A” or “B”) to the number designated by Sponsor. Voting will commence once the Championship Round begins and will be closed five (5) minutes after the final dunk has been completed. Subject to verification of eligibility and compliance with the Official Rules, the Finalist with the highest number of valid votes in the Championship Round will be deemed the Sprite Slam Dunk Showdown Grand Prize Winner. In the event of a tie in the Championship Round, a one-dunk dunk-off will take place to determine the Grand Prize Winner. Any dunk-off will be repeated as necessary until the tie is 7

broken. The dunk-off will be judged by the panel of judges designated by Sponsor. Time limit rules will apply for any dunk-off. Sponsor reserves the right to cancel the Championship Round if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Finalists. The Grand Prize Winner agrees not to compete, engage in any business, and accept employment or rendering professional services to any other nonalcoholic beverage corporation for a period of six months after being name the Grand Prize Winner in the Sprite Slam Dunk competition. Prizes: (1) Sweepstakes Prize: A 4-day/3-night trip for two to the Sprite Slam Dunk Showdown in New Orleans, LA between 2/15/14 and 2/18/14 consisting of round-trip coach air transportation from major airport nearest to winner’s residence in the U.S., standard double-occupancy hotel accommodations, two tickets to Sprite Slam Dunk Showdown, and ground transportation to/from the airport and the applicable hotel (Approximate Retail Value ("ARV") of Grand Prize package=$4,000US). Actual prize value will vary depending on winner's city of departure. Sponsor, in its sole discretion, reserves the right to provide ground transportation in place of air transportation if Sweepstakes winner lives within a reasonable driving distance of the event location as determined by Sponsor, and to award no additional compensation or substitution for the difference in prize value. Travel and hotel arrangements determined by Sponsor in its sole discretion and must be made through Sponsor’s agent, on a carrier of Sponsor’s choice. Trip must be taken on dates and times designated by Sponsor or prize will be forfeited in its entirety and may be awarded to an alternate winner. The sweepstakes and his/her guest must travel together on the same itinerary. Guest must be of legal age of majority in his/her jurisdiction of residence (and at least 18) unless child or legal ward of the Sweepstakes Winner. The Sweepstakes Winner and his/her guest are responsible for obtaining all necessary travel documents prior to travel. If events are canceled or postponed for any reason, travel prize will be awarded less applicable prize-related activity(s) and Sponsor will substitute that activity(s) with an item(s)/activity(s) of comparable or greater value as determined solely by Sponsor. Tickets are subject to certain terms and conditions specified thereon. The Sweepstakes Winner and his/her guest must comply with each event venue’s rules and regulations. Failure to do so may result in forfeiture of applicable prize element(s). Exact seat locations at 8

event(s) to be determined by Sponsor in its sole discretion. Certain travel restrictions may apply. (8) Finalist Prizes: A 4-day/3-night trip for two to NBA All-Star 2014 in New Orleans, LA between 2/15/14 and 2/18/14 consisting of round-trip coach air transportation from major airport nearest to winner’s residence in the U.S., standard double-occupancy hotel accommodations, two tickets to select All-Star events, ground transportation to/from the airport and the applicable hotel, and the opportunity to participate in the Sprite Slam Dunk Showdown (ARV=$4,000US). In addition to the above mentioned The Finalist that received the highest number of peer votes will receive the opportunity to participate in an on-site coaching session with a current of former player, Actual prize value will vary depending on winner's city of departure. Sponsor, in its sole discretion, reserves the right to provide ground transportation in place of air transportation if Finalist lives within a reasonable driving distance of the event location as determined by Sponsor, and to award no additional compensation or substitution for the difference in prize value. Travel and hotel arrangements determined by Sponsor in its sole discretion and must be made through Sponsor’s agent, on a carrier of Sponsor’s choice. Trip must be taken on dates and times designated by Sponsor or prize will be forfeited in its entirety and may be awarded to a runner-up Finalist. Each Finalist and his/her guest must travel together on the same itinerary. Guest must be of legal age of majority in his/her jurisdiction of residence (and at least 18) unless child or legal ward of Finalist. Each Finalist and his/her guest are responsible for obtaining all necessary travel documents prior to travel. If events are canceled or postponed for any reason, travel prize will be awarded less applicable prize-related activity(s) and Sponsor will substitute that activity(s) with an item(s)/activity(s) of comparable or greater value as determined solely by Sponsor. Tickets are subject to certain terms and conditions specified thereon. Each Finalist and his/her guest must comply with each event venue’s rules and regulations. Failure to do so may result in forfeiture of applicable prize element(s). Exact seat locations at event(s) to be determined by Sponsor in its sole discretion. Certain travel restrictions may apply. Miscellaneous: Finalists and winners are responsible for all federal, state, provincial and local taxes, including but not limited to any applicable income or withholding taxes, customs duties or like fees and all other costs and expenses associated with prize acceptance and use not specified herein as being provided including, if selected as a Finalist, luggage fees, additional ground transportation, meals, gratuities and souvenirs. (and all components thereof) will become property of the Sponsor and will not be returned; (2) Released Parties and their designees shall have the right and permission to use (unless prohibited by law) each participants’ name, voice, city and state of residence, photograph and/or likeness for advertising and/or trade and/or any other purpose in any media now or hereafter known without further compensation, permission, authorization or notification to participant, and (3) the Released Parties shall have no liability for, and such participant will release and hold harmless the Released Parties from, and indemnify the Released Parties against, any claim, liability, loss, injury or damage, including but not limited, to personal injury, death or damage to any participant or any other person or entity, personal or real property, due in whole or in part, directly or indirectly, by reason of such participant’s participation in this Promotion, the use of any entry for the Promotion by the Released Parties or such participant’s acceptance and/or use or misuse of any prize (including any travel or activity related thereto) or any of the rights granted herein.
