Casual Leasing Licence Agreement Morgan & Griffin Pty Ltd owns and manages the below neighbourhood Shopping Centres. We welcome all businesses and charities to apply for a casual lease booking within one of our shopping centres. V ICTORIA: 

Balnarring Village Shopping Centre is located at 3050 Frankston-Flinders Road, Balnarring and is home to Ritchie’s Supa IGA, Ritchie’s Liquor, several cafes and restaurants, pharmacy, Australia Post and other specialty retailers. Balnarring Village is an open air centre, with a central breezeway connecting all retailers and allowing for strong visibility for our casual licensees.



Dromana Hub Shopping Centre is located directly opposite the beach at 217-251 Point Nepean Road, Dromana and is home to Ritchie’s Supa IGA and Liquor, The Reject Shop, Bakers Delight, Australia Post and Chemmart Chemist. Dromana Hub also houses cafés, hairdressers, fresh fruit shop, homewares shops and a NAB Bank. The Hub is mainly an indoor centre, but flows across the carpark to The Reject Shop and onto Point Nepean Road from the NAB Bank to Loft Homewares. Dromana Hub Shopping Centre is very busy from October - March and it is recommended that bookings are made well in advance for these months.



Paynesville Shopping Village is located in the coastal town of Paynesville at 3 – 5 Wellington Street, Paynesville offering convenient customer service with a Ritchies Supa IGA and Liquor and an Australia Post outlet.

QUEENSLAND: 

Paddington Central Shopping Centre is located at 107 Latrobe Terrace in Paddington, 3km North West of the Brisbane CBD. Paddington is a multilevel neighbourhood shopping centre comprising of a Woolworths Supermarket, several coffee shops, restaurants and fashion outlets. These lifestyle stores support the strong convenience based retailers such as Bakers Delight, an organic butcher, beauty services, bottle-shop, Australia Post and Bank of Queensland. Paddington Central also houses a medical centre, accountant, solicitor and a dentist.



Urangan Central Shopping Centre is located on the corner of Boat Harbour Drive and Elizabeth Street, Urangan, housing a Woolworths Supermarket, a cafe, Brumby’s Bakery and Australia Post, along with many other retailers including a Butcher, discount variety store, liquor outlet and a pizza shop.



Sherwood Central Shopping Centre can be found at 672 – 686 Sherwood Road, Sherwood, approximately 10km’s from Brisbanes CBD. Sherwood Central is a neighbourhood convenience Centre with one major anchor, being Woolworths Supermarket. Sherwood Central’s specialties consist of a bottle shop, Coffee Club cafe, Brumby’s Bakery, chemist, jeweller, travel agent and newsagent.

Community Groups Each of the Centres recognise how important community groups are and the benefit they provide to the local community. Sites are available for not for profit organisations to sell raffle tickets, display information and/or to advertise upcoming events, however in our Queensland Centres there is a limit of one charitable booking per month.

Who Can Casual Lease? Any registered business, charity or community organisation who can provide details of Public Liability Insurance.

What Can I Sell or Promote? Please provide specific details regarding your product or promotion so that we may consider your application with all relevant details. Sales must not conflict with our permanent retailers.

When Can I Casual Lease? Any time of the year. Applications must be received a minimum of two (2) weeks prior to the proposed booking dates to allow time for processing. If you would like to make a booking request during peak periods such as Christmas, Easter and school holidays please take into consideration that there is limited space available and that the Centres are also very busy. Bookings made well in advance are appreciated.

Registered Charities Our Centres proudly support registered charities. Booking requests can be made for registered charities to sell raffle tickets, seek donations, display information or gain new members. We ask that all registered charities please be considerate of Centre visitors and note there is a strict rule with regard to badgering and harassing of customers and retailers.

Bookings All requests are to be made in writing together with any relevant information regarding your booking. This may include photographs, diagrams or the like that will help provide us with information as to what you are wanting to display and market while at our Centres. A Casual Leasing Licence Agreement must be completed, signed and submitted at least two (2) weeks prior to your requested commencement date.

Upon approval and the return of all necessary documentation, the Licensee must hold a signed copy of this Casual Leasing Licence Agreement on site during the term of the booking. This is to avoid any confusion with regard to your booking while at the Centres. Morgan & Griffin Pty Ltd reserves the right to reject Applications, Licences and Agreements.

Booking Fees Current Casual Leasing charges are as follows: All Victorian Centres, including Dromana Hub Shopping Centre, Balnarring Village Shopping Centre and Paynesville Shopping Village are charged at a rate of $121.00 per day (inclusive of GST). All Queensland Centres, including Paddington Central Shopping Centre, Sherwood Central Shopping Centre, Urangan Central Shopping Centre and Urban Quarter Shopping Village are charged at a rate $165.00 per day (inclusive of GST). Registered charities and community sites are free of charge. All booking fees agreed to by both parties are to be paid in full prior to the commencement of any booking. Bookings are not approved until the full payment has been received. If payment is not received prior to the booking date, Centre Management reserves the right to cancel your booking and remove equipment from site.

Setting Up and Dismantling of Displays All displays, tables and chairs must not obstruct walkways, doors, windows, emergency services facilities or the like and must allow space for customers and permanent retailers to move freely. If any part of the display is obstructive you will be asked to move it immediately. The Centre will not supply set-up materials for bookings. Display material including vehicles for raffles must be installed and removed outside of the core trading hours of the Centres. Trestles should be covered at all times during your booking. The Licensee shall make good any damage caused by the operation of the Licence and pay any charges incurred for such damage. All rubbish is to be removed and the Licensed Area left in a clean state. Fixtures should in no way cause permanent damage or disfigurement to the Centres. The Licensee will pay all costs incurred from such damage. All requests and instructions imposed by Centre Management are to be strictly adhered to and Centre Management reserves the right to terminate the Casual Licence Agreement at any time.

Electrical Should the Licensee require electricity during their booking please speak with Centre Management before any booking is made to ensure we can provide this service to you. Where available, there is an electrical fee charged for the use of Centres electricity. All electrical equipment and leads used in conjunction with the Licence must be tested and tagged by a licenced electrician in accordance with Australian Standards and Landlord’s Risk Management Policy.

Appearance The appearance of the display and personnel must be of a professional manner. Hand written signs are not permitted. Boxes of stock must not be visible and rubbish removed immediately. No voice amplification, flashing lights, music, jingles or the like are permitted unless previously agreed to by Centre Management. Soliciting sales will not be tolerated.

Size of Display Displays must be within the following sizes: Height: 1.4 metres

Width: 2 metres

Length: 4 metres

Sale of Goods The sale of all other items is subject to approval by Centre Management.

Display Vehicles Vehicles must be installed and removed outside of the core Centre trading hours and must have Centre Management approval for placement location and vehicle size. Please ensure approval and arrangements are made before any vehicle enters the Centre for the purpose of casual leasing.

Public Liability The Licensee is required to provide Public Liability Insurance over the Centre, employees and public risk. The minimum cover required is $20 million for a single occurrence and must be valid for the entirety of the booking with an expiry date not less than two (2) months after the booking occurs. A copy of this insurance or certificate must be provided to Centre Management prior to commencement. Bookings will not be confirmed until a copy is received.

Goods and Services Tax The Goods and Services Tax (“GST”) commenced on 1 July 2000. As a result of the introduction of the GST legislation, the following applies to services and supplies provided under this Agreement. (a) (b)

Where required we will provide you with a tax invoice, which may enable you to claim a credit or refund in accordance with the GST legislation. Subject to any legislative requirements, we reserve the right to determine the way GST inclusive charges are included in our bills, either in aggregate or on an itemised basis.

Assignment The Licensee may not assign or sub-let any bookings made at any of the Centres.

Termination and Cancellation Should the Licensee breach any of the terms of the Casual Leasing Licence Agreement, Centre Management on behalf of the Landlord may terminate the Licence immediately. Should the Licensee wish to terminate their booking, written notice to Centre Management must be provided at least ten (10) days before the booking. If the Licensee provides a cancellation notice after the ten (10) day minimum required, the Licensee will forfeit the booking fee.

Default If the Licensee does not comply with this Agreement, Centre Management on behalf of the Landlord is entitled to terminate the Agreement because of the Licensee’s default under the Agreement.

Risk The Licensee accepts that it occupies the Casual Leasing site at its own risk and the Landlord and Centre Management shall not in any circumstances be liable to the Licensee for any damages suffered by it or to its property. Neither the Landlord nor Centre Management will accept responsibility for the security of any display, item/s or stock left in the Casual Leasing whilst unattended by the Licensee. Neither the Landlord nor Centre Management will store stock or other items on behalf of the Licensee. The Licensee must make its own arrangements in this regard.

CASUAL LEASING LICENSE AND AGREEMENT Licensees are required to submit this Agreement Form at least fourteen (14) days prior to the proposed Licence Date. Use of the Centres is only authorised upon receipt of the completed and signed Agreement together with the booking fee which is to be paid in full together with a copy of Public Liability Insurance valid for the duration of a booking. Confirmation of the booking and date availability will be provided once all documentation has been received. Each agreement is assessed on an individual basis and the Landlord and Centre Management reserves the right to refuse agreements and retains the right to charge, discount or waive fees at their discretion. We ask that the Licensee read all Casual Leasing rules and regulations before completing this Agreement.

Acknowledgement
