INSTRUCTIONS TO BIDDERS [ITB] 1.0
ARTICLE - 1: COST OF BIDDING The Bidder shall bear all costs associated with the preparation and submission of the Bid, and GAIL, will in no case, be responsible or liable for these costs, regardless of the conduct or outcome of the Bidding Process.

ARTICLE - 2: BID DOCUMENTS The Bidder is expected to examine all instructions, forms, terms and specifications specified in this Bid Document. The "Request For Quotation [RFQ]", together with all its attachments / enclosures thereto, shall be considered to be read, understood and accepted by the Bidders. Failure to furnish all information required as per the Bidding Documents or submission of a Bid not substantially responsive to the Bidding Documents in every respect will be at Bidder's risk and may result in the rejection of the Bid. Bidder must return the 'Format-F9', duly filled in, alongwith the original Bid Document issued by GAIL. The services required, Bidding Procedure and Contract terms are prescribed in this Bid Document.

ARTICLE - 3: CLARIFICATION OF BID DOCUMENTS A prospective Bidder, requiring any clarification of the Bidding Documents, may notify GAIL in writing or by fax / email at GAIL's mailing address indicated in the "RFQ". GAIL will respond in writing to any request for clarification of the Bidding Documents which it receives not later than 'ten [10] days' prior to the deadline for the submission of Bids prescribed by GAIL. Written copies of GAIL's response [including an explanation of the query but without identifying the source of the query] will be sent to all prospective Bidders who have received the Bidding Documents and shall also be uploaded on GAIL's web site [http://www.gailonline.com] against the Tender.

ARTICLE - 4: AMENDMENT OF BID DOCUMENTS At any time prior to the 'Bid Due Date', GAIL may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective Bidder, modify the Bidding Documents. The Amendment / Corrigendum will be notified in writing or by fax / email to all prospective Bidders who have received the Bidding Documents [and, uploaded on GAIL web site at http://www.gailonline.com] and will be binding on them. In order to afford prospective Bidders, reasonable time in which to take the Amendment / Corrigendum into account in preparing their Bids, GAIL may, at its discretion, extend the 'Bid Due Date'.

ARTICLE - 5: LANGUAGE OF BID The Bid prepared by the Bidder and all correspondence / drawings and documents relating to the Bid exchanged by Bidder and GAIL shall be written in English language, provided that any printed literature furnished by the Bidder may be written in another language so long as accompanied by an English translation, in which case, for the purpose of interpretation of the Bid, the English translation shall govern. 'Metric Measurement System' shall be applicable.

ARTICLE - 6: DOCUMENTS COMPRISING THE BIDS The 'Un-priced' part of the Bid prepared by the Bidder shall comprise the following components: (a) A 'Bid Form' & 'Schedule of Rates' [with prices blanked out], completed in accordance with Articles-7, 8 & 9 (b) 'Agreement', to be submitted alongwith 'Un-priced' part of the Bid, in accordance with Article-26 (c) 'Terms and Conditions', duly filled in 'Form-F9' (d) ‘Details of Experience of Works of Similar Nature' during the previous 'three [03] years', as per 'Format-F11' (e) 'Power of Attorney' in favor of the signatory to the Bid (f) Any other information / details required, as per Bid Document

ARTICLE - 7: BID FORM The Bidder shall complete the 'Bid Form' & the appropriate "Schedule of Rates [SOR]" furnished in the Bid Document, indicating the scope of work, a brief description of the services.

ARTICLE - 8: BID PRICE The Bidder shall quote the prices in the "Schedule of Rates [SOR]" at "Section-V" of this Bid Document. Prices shall be quoted, in the prescribed "SOR" by the Bidder separately for each item of scope and in strict compliance to the format of the "SOR". Prices quoted should be inclusive of fees towards complete scope of work, all taxes and duties [except 'Service Tax' and Cess thereon, if applicable] levies, license fees, and also payment towards 3rd Party charges towards surveys, etc. However, applicable rate of statuary taxes and duties must be indicated separately. Inspection / Certification of all works / services at all stages shall be done by GAIL wherever GAIL so desires or by any 3rd Agency for which no extra charges shall be payable to the Consultant since all personal and incidental expenses of GAIL's Inspectors shall be borne by GAIL.

Conditional discount, if offered, shall not be considered for evaluation. Bidder's separation of the price components as aforesaid will be solely for the purpose of facilitating the comparison of Bids by GAIL and will not in any way limit GAIL's right to Contract on any of the price basis / terms-offered basis. The cost of any other item / service, which are considered necessary for completion of the job, is deemed to have been included in the quoted prices. Service Tax Quoted prices should be inclusive of all taxes and duties [except Service Tax, and Cess thereon]. The responsibility of payment of Service Tax lies with the Service Provider only. The Bidder shall also furnish copy of 'Service Tax Registration Certificate' alongwith the Bid, wherever Service Tax is applicable. Alternatively, Bidder shall furnish the same within one [01] month from the date of issue of "Letter of Acceptance [LOA]" or alongwith the 1st Invoice. In case Service Tax is applicable for the Tendered Job/Work, Consultant shall claim the Service Tax indicating rate of abatement / deduction allowed as per 'Service Tax Act' in the 1st Invoice itself. Consultant providing taxable service shall issue an invoice, a bill or as the case may be a challan which is signed, serially numbered and shall contain the following: (a) Name, Address and Registration No. of such Person / Consultant (b) Name and Address of the Person / Firm receiving Taxable Service (c) Description, Classification and Value of Taxable Service provided (d) Service Tax Amount Payment to Service Provider for claiming Service Tax amount, will be made provided above formalities are fulfilled. In case of any statutory variation in Service Tax during the currency of the Contract, the Consultant shall submit a copy of the 'Government Notification' to evidence the rate as applicable on the date of submission of Bid and on the date of revision. Claim for payment of Service Tax / statutory variation in Service Tax, should be raised within two [02] months from the date of issue of 'Government Notification' for payment of differential Service Tax, otherwise claim in respect of above shall not be entertained for payment of arrears. Fixed Price Prices quoted by the Bidder shall be firm and fixed during the entire duration of the Contract. A Bid submitted with an adjustable price quotation will be treated as non-responsive and rejected. Statutory variations in taxes [C.S.T., L.S.T., W.C.T., duties, if any, Withholding Tax, Service Tax (and, Cess thereon), etc.] within the 'Contractual Completion Period' shall be borne by GAIL. No variation in taxes, duties or levies other than statutory taxes and duties shall be payable. Prices shall be written both in 'words' and 'figures'. In the event of difference, the price in 'words' shall prevail and will be valid / final and binding. Bidder shall be solely responsible for ascertaining all types of taxes and duties applicable for providing the services as mentioned in the "Scope of Work". GAIL shall deduct 'Income Tax' as applicable from the payments due to the Consultant under the Contract, for which GAIL shall issue 'TDS Certificate'.

ARTICLE - 9: BID CURRENCY: The Bid should be submitted in "Indian Rupees" only.

ARTICLE - 10: PERIOD OF VALIDITY OF BIDS Bids shall be kept valid for a period of 'four [04] months' from the final 'Bid Due Date'. A Bid valid for a shorter period shall be rejected by GAIL as non-responsive. The Bidder shall not be entitled to revoke or cancel its Bid or to vary the Bid given or any term thereof, during the said period of 'four [04] months'. Notwithstanding Clause-10.1 above, GAIL may solicit the Bidder's consent to an extension of the 'Period of Bid Validity'. ARTICLE - 11: FORMAT AND SIGNING OF BIDS The Bidder shall prepare required numbers of copies of the Bid, clearly marking each 'original' and 'copy' of Bid, as appropriate. In the event of any discrepancy between them, the 'original' shall govern. The 'original' and all 'copy(s)' of the Bid shall be typed or written in indelible ink and shall be signed by the Bidder or a person duly authorized to bind the Bidder to the Contract. The name and position held by each person signing, must be typed or printed below the signature. All pages of the Bid, except for unamended printed literature, shall be initialed by the person or persons signing the Bid. The complete Bid shall be without alterations, interlineations or erasures, except necessary to correct errors made by the Bidder, in which case such corrections shall be initialed by the person or persons signing the Bid. Part-I shall contain 'original' of "UN-PRICED BID", complete with all technical and commercial details other than prices [with prices blanked out]. All the "Un-priced Bids" shall be enclosed in a separately-sealed envelope duly pasted with the corresponding cut-out slip [enclosed]. In the event of any discrepancy between them, the 'original' shall govern. The envelope shall also indicate the name of the Bidder. Part 'II' – "PRICE BID" shall be submitted in 'original' with duly filled-in "Schedule of Rates [SOR]" sealed in a separate envelope duly pasted with the corresponding cut-out slip [enclosed]. The 'two [02] envelopes' containing PART-I & PART-II should be enclosed in a bigger envelope, duly sealed, marked and pasted with the corresponding cut-out slip [enclosed], and must bear the name & address of the Bidder. If the outer envelope is not sealed and pasted with the corresponding cut-out slip, GAIL will assume no responsibility for the Bid's misplacement or premature opening. Part-A: Techno-Commercial / Un-priced Bid 'Un-priced Bid' shall contain 'one [01] original' of all necessary technical and commercial details with the 'Bid Form' and "SOR", with prices blanked out. All the "Un-priced Bids" shall be enclosed in a separately-sealed envelope duly superscribed with the Bid Document No., Item Details, Bid Due Date and Time, etc. and "UN-PRICED BID – DO NOT OPEN". The envelope shall also indicate the name and address of the Bidder. This is the "Techno-Commercial / Unpriced Bid". All the technical details of the job / work shall be given in this part of the Offer/Bid. The details submitted, shall include, but not be limited to the following: (a) Bidder's Profile (b) Power of Attorney for the authorized signatories (c) Work scheduling & staffing with phasing of activities, timelines and milestones with detailed bar charts including details of measurable milestones (d) Commercial terms and conditions (e) Details of Bidder's infrastructure in India as well as internationally (f) Summary of Experience, as per 'Format-F11' (g) Profile of Consulting resources, with which the Consultant plans to associate with GAIL's job/work, shall be made available to GAIL (h) Stamped and signed copy of GAIL's Bid Document. (i) Declaration that Bidder has not been put on 'Holiday' by GAIL or 'Blacklisted' by any Government Department / Public Sector Enterprise (j) Bidder's testimonials (k) Documents, as may be required to substantiate the "Bidder's Eligibility Criteria [BEC]" Part-B: Price Bid Price Bid shall contain 'original' of "Schedule of Rates [SOR]" duly filled in, in a separately sealed envelope, duly signed and stamped on each page, superscribing on the sealed envelope - "PRICE BID – NOT TO OPEN WITH TECHNO-COMMERCIAL / UN-PRICED BID". In case of any correction, the Bidder shall put their full signature and stamp / seal. The envelope shall also indicate the name and address of the Bidder. Price Bid should not have any commercial and/or technical stipulation in addition to, what is already given in the "Un-priced Bid".
ARTICLE - 13: BID DUE DATE Bids must be received at the address specified in the "Request For Quotation [RFQ]" not later than the date and time specified in the Bid Document. GAIL may, at its discretion, on giving reasonable notice by fax, e-mail, telex / cable or any written communication to all prospective Bidders who have been issued the Bid Documents, extend the 'Bid Due Date', in which case all rights and obligations of GAIL and the Bidders, previously subject to the 'Bid Due Date', shall thereafter be subject to the new 'Bid Due Date' as extended.

ARTICLE - 14: LATE BIDS Any Bid received by GAIL after the 'Bid Due Date and Time' prescribed in the "RFQ" shall be rejected. Telegraphic/fax/e-mail Offers/Bids, whether sent directly or submitted by any local agent in India, will not be considered and shall be rejected.

ARTICLE - 15: MODIFICATION AND WITHDRAWAL OF BIDS The Bidder may modify or withdraw his Bid after the Bid submission, provided that the modification / withdrawal notice is received by the GAIL prior to the final 'Bid Due Date and Time'. The Bidder's modification or withdrawal notice shall be prepared, sealed, marked and dispatched in accordance with the provisions of Clause-12.6. A withdrawal notice may also be sent by e-mail or tele-fax but must be followed by a signed confirmation copy dated not later than the final deadline for submission of Bids. No Bid shall be modified subsequent to the final 'Bid Due Date'. No Bid shall be allowed to be withdrawn in the interval between the final deadline for submission of Bids and the expiry of the 'Period of Bid Validity' specified by the Bidder on the 'Bid Form'.

ARTICLE - 16: OPENING OF BIDS BY GAIL The Bids will be opened at "Administrative Building, GAIL (India) Limited, P.O. GAIL Complex, Vijaipur, Distt. Guna, MP - 473 112", in the presence of Bidders' representative(s) [duly authorized by a competent person and having the 'Letter of Authority' as per 'Format F-5'] who choose to attend on date, time and venue, as mentioned in the "RFQ". The Bidders' representative(s), who are present, shall sign a register evidencing their attendance. The Bidder(s) names, modifications, Bid withdrawals and such other details as GAIL, at its discretion, may consider appropriate will be announced at the opening and recorded at the time of opening of 'Un-priced Bid'. The Bidder's names, prices of Bids, all discounts offered, modifications and Bid withdrawals and such other details as GAIL, at its discretion, may consider appropriate, will be read out at the time of opening of 'Price Bids' of 'TechnoCommercially Acceptable Bidders'. ARTICLE - 17: EVALUATION OF BIDS GAIL will examine the Bids to determine whether they are complete, whether any computational errors have been made, whether the documents have been properly signed and whether the Bids are generally in order. Once quoted, Bidder shall not make any subsequent price changes, whether resulting or arising out of any technical / commercial clarifications sought regarding the Bid within the scope of work, even if any deviation or exclusion may be specifically stated in the Bid. Such price changes shall render the Bid liable for outright rejection. All responses to request for clarifications shall be in writing. Unsolicited clarification to the Bid and/or change in price during its validity period would render the Bid liable for outright rejection. Techno-Commercial Evaluation of Bids Bids will be evaluated in accordance with the "Bidder's Eligibility Criteria [BEC]", given alongwith the Tender. The 'Price Bids' of only those Bidders, who meet the "BEC" and their Bids are found responsive, shall be opened. Bids will be evaluated as received and no query will be raised on the Bidders. To assist in the examination, evaluation and comparison of Bids, if it becomes absolutely necessary, GAIL may, at its discretion, ask the Bidder for a clarification of its Bid. The request for such clarification and the response shall be in writing and no change in the price or substance of Bids shall be sought, offered or permitted. Zero Deviation and Rejection Criteria Zero Deviation: Deviation to terms and conditions of "RFQ" may lead to rejection of bid. Please note this "RFQ" is on "Zero Deviation" basis. GAIL will accept bids based on terms & conditions of "RFQ" only. Bidder may note GAIL will determine the substantial responsiveness of each bid to the Bidding Documents. For purpose of this, a substantially responsive bid is one which conforms to all terms and conditions of the Bidding Documents without deviations or reservations. GAIL's determination of a bid's responsiveness is based on the content of the bid itself without recourse to extrinsic evidence. Technical and/or commercial query(s), if required, may be raised on the bidder(s) – the decision for which will be solely based on circumspection by GAIL (India) limited. However, issuance of request for such clarifications shall not be resorted to more than once. The response(s) to the same shall be in writing, and no change in the price(s) or substance of the bids shall be sought, offered or permitted. The substance of the bid includes but not limited to prices, completion, scope, specifications, etc. Bidders are requested to not to take any deviation / exception to the terms and conditions laid down in this "RFQ / Tender Document", and submit all requisite documents as mentioned in this "RFQ / Tender Document", failing which your offer will be liable for rejection. ARTICLE - 19: COMPARISON OF BIDS GAIL will evaluate and compare the Bids previously determined to be substantially responsive pursuant to Article-17 for the items of "SOR". Arithmetical errors will be rectified on the following basis: (a) Where there is a discrepancy between the 'amount in words' and the 'amount in figures', the 'amount in words' will govern. (b) If there is a discrepancy between the 'unit price' and the 'total price' that is obtained by multiplying the 'unit price' and the 'quantity', the 'unit price' shall prevail and the 'total price' will be corrected. (c) If there is a discrepancy between the 'total amount' and the 'sum of total prices', the 'sum of total prices' shall prevail and the total 'Bid amount' will be corrected. The evaluated price of the Bidders shall include the total quoted price, inclusive of all taxes [except Service Tax, and Cess thereon], duties, levies, etc. as applicable under this Contract. Purchase Preference – Not Applicable Pursuant to the Article-17, the total quoted price in "SOR", i.e. cumulative of the prices quoted for Item Nos. 1, 2 & 3 [excluding any applicable Service Tax] of all the techno-commercially acceptable Bidders shall be evaluated to arrive at the lowest Offer/Bid on overall basis. Bidders have to quote for all the "SOR" items. However, GAIL reserves the right to award the job/work to one or more than one Consultant. ARTICLE - 20: CONTACTING GAIL Subject to 'Article-17' above, no Bidder shall contact GAIL on any matter relating to his Bid, from the time of Bid opening to the time the Contract is awarded. Any efforts by a Bidder to influence GAIL in GAIL's 'Bid Evaluation', 'Bid Comparison' or 'Contract Award' decisions may result in the rejection of the Bidder's Bid.

ARTICLE - 21: AWARD CRITERIA Pursuant to 'Article-19' above, GAIL will award the Contract to the successful Bidder(s) whose Bid has been determined to be the 'evaluated lowest responsive Bid', provided further that the Bidder is determined to be qualified to satisfactorily perform the Contract.

ARTICLE - 22: GAIL'S RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS GAIL reserves the right to accept or reject any Bid, and to annul the Bidding Process and reject all Bids, at any time prior to award of Contract, without thereby incurring any liability to the affected Bidder or Bidders or; any obligations to inform the affected Bidder or Bidders of the ground for the GAIL's action. In awarding the Contract for the services, GAIL reserves the right to make the Award based on evaluation criteria to one or more Bidders.

ARTICLE - 23: NOTIFICATION OF AWARD Prior to the expiry of the 'Bid Validity Period', GAIL will notify the successful Bidder in writing or by fax, e-mail or telex to be confirmed in writing, that his Bid has been accepted. The 'Notification of Award' will constitute the formation of the Contract with the issuance of "Letter of Intent [LOI]". Completion Period shall be counted from the date of "LOI", or as may be mentioned therein. The "Notification of Award" will constitute the formation of a Contract, until the Contract has been affected pursuant to 'Article-24'. ARTICLE - 24: ACCEPTANCE OF ORDER After the successful Bidder has been notified that his Bid has been accepted, GAIL will send to such Bidder a "Letter of Acceptance [LOA]" incorporating the terms and conditions agreed between the parties. GAIL will send the "LOA" to the successful Bidder, who, within 'seven [07] days' of receipt of the same, shall sign and return it to GAIL, in token of acceptance of the Contract.

ARTICLE - 25: INCOME TAX LIABILITY The successful Bidder will have to bear all Income Tax liabilities, both Corporate as well as for their personnel, pursuant to award of Contract against this Tender.

ARTICLE - 26: AGREEMENT TO BE FILLED, DULY SIGNED & SUBMITTED ALONGWITH 'UN-PRICED' PART OF BID It is expressly understood and agreed by and between __________________ [the Bidder] and GAIL (India) Limited [Indian Public Sector Undertaking], that GAIL (India) Limited is entering into this Agreement solely on its own behalf and not on behalf of any other person or entity. In particular, it is expressly understood and agreed that the Government of India is not a party to this Agreement and has no liabilities, obligations or rights hereunder. It is expressly understood & agreed that GAIL (India) Limited is an independent legal entity with power and authority to enter into Contracts solely on its own behalf under the applicable Laws of India and general principles of Contract Law. Further, the Bidder should give the details of his 'Bank Account' in any one of the above Banks to facilitate payment through 'ebanking' in case of award of Work on him.

GENERAL CONDITIONS OF CONTRACT [GCC] 1.
ARTICLE - 1: DEFINITIONS & INTERPRETATIONS In this Document, as hereunder defined, the following terms and expressions shall have the meaning hereby assigned to them except where the context otherwise requires: (1) "AGREEMENT" means the 'Agreement' concluded on 'non-judicial stamp paper' of 'Madhya Pradesh State', between 'GAIL' and the 'Consultant' for services as per this Bid Document. (2) "GAIL" / "OWNER" shall mean 'GAIL (India) Limited'. "GAIL'S REPRESENTATIVE" means the person appointed or authorized from time to time by GAIL for execution of the Contract. (3) "CONSULTANT'S REPRESENTATIVE" means the person appointed from time to time by CONSULTANT for execution of the Contract. (4) "ENGINEER-IN-CHARGE"/"EXECUTIVE-IN-CHARGE" shall mean the person designated from time to time by GAIL and shall include those who are expressly authorized by him to act for and on his behalf for operation of the Contract. (5) "SIGN-OFF" means a recorded statement for completion of a milestone / major activity by Consultant as envisaged in this document and accepted by GAIL. (6) "CONTRACT" shall mean the "Letter of Acceptance [LOA]" and all attached exhibits and documents referred to therein and all terms and conditions thereof, together with any subsequent modifications thereto. (7) "SERVICES" mean the duties to be performed and the services to be rendered by the Consultant according to the terms and conditions of the Contract. (8) "HEADINGS" the headings appearing herein are for convenience only and shall not be taken in consideration in the interpretation or construction of the Contract. (9) "SINGULAR & PLURAL WORDS" importing the 'singular' only also include the 'plural' and vice-versa, wherever the context so requires.

ARTICLE - 2: PERFORMANCE OF DUTIES & SERVICES BY CONSULTANT Consultant shall perform its services in full accordance with the terms and conditions of the Contract and any applicable local laws and regulations, and shall exercise all reasonable professional skills, care and diligence in discharge of said work. Consultant shall in all professional matters act as a faithful advisor to GAIL, and will provide all the expert commercial / technical advice and skills which are normally required for the class of services for which it is engaged. Consultant, its staffs, employees shall carry out all its responsibilities in accordance with the best professional standards. Consultant shall prepare and submit the documents / reports, etc. in due time and in accordance with the Tender conditions. Consultant will maintain for the performance of the Contract, personnel as determined to be responsible for carrying out this job and such persons shall not be replaced or substituted without written approval of GAIL.

ARTICLE - 3: GAIL'S REPRESENTATIVE GAIL shall nominate its representative(s) who shall be entitled to act on behalf of GAIL with respect to any decision it is empowered to make. The bill / invoice of Consultant will be certified for payment by such representatives.

ARTICLE - 4: CONSULTANT'S REPRESENTATIVE Consultant shall nominate a qualified and experienced person as its representative who will be the contact person between GAIL and Consultant for the performance of the Contract. This nomination shall be done within 'ten [10] days' after the coming into force of the Contract. Consultant shall notify GAIL in writing prior to the appointment of a new representative. Consultant's representative may be replaced only with GAIL's consent after getting approved his CV's from GAIL. GAIL shall be at liberty to object to any nomination and to require the Consultant to remove any Consultant's representative for good causes. Consultant shall replace immediately such person by a competent substitute at no extra cost to GAIL. Consultant's representative shall be entitled to act on behalf of the Consultant with respect to any decisions to be made under the Contract.

ARTICLE - 5: PAYMENT TERMS GAIL shall pay for the services rendered as per stipulation in the Tender through 'e-banking' only [to "ICICI Bank" / "HDFC Bank" / "State Bank of India"]. All bank-charges of the Consultant's Bankers shall be to Consultant's account. Consultant will invoice GAIL according to the terms and conditions provided in the Tender. Payment terms shall be as detailed in "Scope of Work and Terms & Conditions". In case of disputes concerning Invoice(s), GAIL shall return said invoice(s) to the Consultant within 'fifteen [15] days' from its / their receipt specifying, in writing, the reasons for its / their rejection. GAIL shall pay the undisputed amount of the invoice(s) according to Article-5.3 hereof. The disputed amount, if any, shall be paid after mutual settlement between GAIL and Consultant.

ARTICLE - 6: PERFORMANCE GUARANTEE Consultant shall submit to GAIL an unconditional, irrevocable and on first demand guarantee from any Indian scheduled bank or a branch of an International bank situated in India and registered with the 'Reserve Bank of India' as scheduled foreign bank. However, other than the Nationalized Indian banks, the banks whose Bank Guarantees are furnished must be commercial banks having a net worth in excess of Rs. 100 Crores [Rupees One Hundred Crores] and a declaration to this effect should be made by such commercial bank either in the Bank Guarantee itself or separately on their letterhead. The value of the Performance Guarantee shall be 5% [five per-cent] of the Contract value for the due performance of the Contract. The 'Performance Guarantee' shall be valid for a period of 'three [03] months' beyond the guarantee / warranty period of the Contract. The format of 'Performance Guarantee' is annexed hereto [Format: F8]. All expenses incurred in obtaining of such guarantee shall be borne by Consultant. In case of extension of the 'Completion Period', Consultant shall be required to extend the 'Performance Guarantee' for an appropriate period of time as per contractual requirements. ARTICLE - 7: CONFIDENTIALITY Consultant / GAIL shall treat all matters in connection with the Contract as strictly confidential and undertakes not to disclose, in any way, information, documents, technical data, experience and know-how given to him by GAIL / Consultant without the prior written consent of the latter. Consultant further undertakes to limit the access to confidential information to those of its employees, implementationpartners who reasonably require the same for the proper performance of the Contract provided however that Consultant shall ensure that each of them has been informed of the confidential nature of the confidentiality and nondisclosure provided for hereof. ARTICLE - 8: TAXES & DUTIES Consultant shall pay any and all taxes, duties, levies, etc. which are payable in relation to the performance of the Contract. The quoted price shall be inclusive of all such taxes and duties [except Service Tax, and Cess thereon]. Service Tax shall be reimbursed by GAIL as per actual. Statutory variation in taxes [C.S.T., L.S.T., W.C.T., Withholding Tax, Service Tax, etc.] and duties, if any, within the contractual 'Completion Period' shall be borne by GAIL. No variation in taxes, duties or levies, other than statutory taxes and duties, shall be payable. GAIL shall deduct 'Income Tax' at source at applicable rates. ARTICLE - 9: RESOLUTION OF DISPUTES/ARBITRATION GAIL and Consultant shall make every effort to resolve amicably by direct informal negotiations any disagreement or dispute arising between them under or in connection with the Contract. All disputes, controversies, or claims between the parties [except in matters where the decision of the "Executive / Engineer-in-Charge [EIC]" is deemed to be final and binding] which cannot be mutually resolved within a reasonable time shall be referred to Arbitration by Sole Arbitrator. GAIL shall suggest a panel of three independent and distinguished persons to the other party [Consultant] to select any one among them to act as the Sole Arbitrator. In the event of failure of the other party to select the Sole Arbitrator within 'thirty [30] days' from the receipt of the communication suggesting the panel of Arbitrators, the right of selection of Sole Arbitrator by the other party shall stand forfeited and GAIL shall have discretion to proceed with the appointment of the Sole Arbitrator. The decision of GAIL on the appointment of Sole Arbitrator shall be final and binding on the parties. The award of the Sole Arbitrator shall be final and binding on the parties and unless directed / awarded otherwise by the Sole Arbitrator, the cost of Arbitration proceedings shall be shared equally by the parties. The Arbitration proceedings shall be in English language and the venue shall be at 'New Delhi, India'. Subject to the above, the provisions of '(Indian) Arbitration & Conciliation Act, 1996' and the rules framed thereunder shall be applicable. All matters relating to this Contract are subject to the exclusive jurisdiction of the Courts situated in the 'State of Delhi [India]'. Consultant may please note that the 'Arbitration & Conciliation Act 1996' was enacted by the 'Indian Parliament' and is based on United Nations Commission on International Trade Law [UNCITRAL Model Law], which were prepared after extensive consultation with Arbitral Institutions & centers of International Commercial Arbitration. The 'United Nations General Assembly' vide 'Resolution 31/98' adopted the 'UNCITRAL Arbitration Rules' on the '15th of December 1976'.

ARTICLE - 10: LEGAL CONSTRUCTION Subject to the provisions of this Article, the Contract shall be, in all respects, constructed and operated as an Indian Contract and in accordance with Indian Laws as in force for the time being and is subject to and referred to the Court of Law situated at New Delhi, India.

ARTICLE - 11: SUSPENSION OF THE PERFORMANCE OF DUTIES AND SERVICES GAIL may suspend, in whole or in part, the performance of services of Consultant any time upon giving not less than a fifteen [15] days' notice.

Upon notice of suspension, Consultant shall suspend immediately the services and reduce expenditure to a minimum to be agreed upon by both the parties. Upon suspension of the performance of services, Consultant shall be entitled to reimbursement of the costs which shall have been actually incurred prior to the date of such suspension. However, the total reimbursement shall be restricted to the Contract Price. By fifteen [15] days' prior notice, GAIL may request Consultant to resume the performance of the services, without any additional cost to GAIL. If the suspension of the duties and services exceeds 'six [06] months', either party shall be entitled to terminate Contract according to Article-16, hereafter.
ARTICLE - 12: PRICE REDUCTION SCHEDULE [PRS] In case, the Consultant fails to complete the services within the stipulated period, then unless such failure is due to force Majeure, as defined in Article-19 hereinafter, or due to GAIL's default, there will be a reduction in the Contract Price @1/2% for each week of delay or part thereof, subject to a maximum of 5% of the Contract Price. GAIL may, without prejudice to any methods of recovery, deduct the amount of such 'PRS' from any money due or which may at any time become due to Consultant from its obligations and liabilities under the Contract or by recovery against the 'Performance Guarantee'. Both Consultant and GAIL agree that the above percentage of price reduction are genuine pre-estimates of the loss / damage which GAIL would have suffered on account of delay / breach on the part of Consultant and the said amount will be payable on demand without there being any proof of the actual loss or damage caused by such breach / delay. A decision of GAIL in the matter of applicability of price reduction shall be final and binding.

ARTICLE - 13: ASSIGNMENT Consultant shall not have the right to assign or transfer the benefit and obligations of the Contract or any part thereof to a third party without the prior expressed approval in writing of GAIL, which it shall do at its discretion. However, in event of that, all legal / contractual obligations shall be binding on Consultant only.

ARTICLE - 14: INDUSTRIAL & INTELLECTUAL PROPERTY In order to perform the services, Consultant must obtain at its sole account, the necessary assignments, permits and authorizations from the titleholder of the corresponding patents, models, trademarks, names or other protected rights and shall keep GAIL harmless and indemnified from and against claims, proceedings, damages, costs and expenses [including but not limited to legal costs] for and/or on account of infringements of said patents, models, trademarks, names or other protected rights. All documents, report, information, data, etc. collected and prepared by Consultant in connection with the scope of work submitted to GAIL, will be the property of GAIL. Consultant shall not be entitled either directly or indirectly to make use of the documents, reports given by GAIL for carrying out of any services with any third party. Consultant shall not, without the prior written consent of GAIL, be entitled to publish studies or descriptive article with or without illustrations or data in respect of or in connection with the performance of services.

ARTICLE - 15: LIABILITIES Without prejudice to any express provision in the Contract, Consultant shall be solely responsible for any delay, lack of performance, breach of agreement and/or any default under this Contract. Consultant shall remain liable for any damages due to its gross negligence within the next 'twelve [12] months' after the issuance of the provisional acceptance certificate of the Contract. The amount of liability will be limited to 10% of the Contract value. ARTICLE - 16: TERMINATION OF CONTRACT Termination for Default: GAIL reserves its right to terminate / short close the Contract, without prejudice to any other remedy for breach of Contract, by giving one [01] month's notice if Consultant fails to perform any obligation(s) under the Contract, and if Consultant, does not cure his failure within a period of 'thirty [30] days' [or such longer period as GAIL may authorise in writing] after receipt of the default notice from GAIL. Termination for Insolvency: GAIL may at any time terminate the Contract by giving written notice without compensation to Consultant, if Consultant becomes bankrupt or otherwise insolvent, provided that such termination will not prejudice or affect any right of action or remedy which has accrued or will accrue thereafter to GAIL. Termination for Convenience: GAIL may by written notice sent to Consultant, terminate the Contract, in whole or part, at any time for its convenience. However, the payment shall be released to the extent to which performance of work executed as determined by GAIL till the date upon which such termination becomes effective.

ARTICLE - 17: MODIFICATION Any modification of or addition to the Contract shall not be binding unless made in writing and agreed by both the parties.

ARTICLE - 18: CONTRACT AGREEMENT The notification of award alongwith 'Agreement' on non-judicial stamp paper [of Madhya Pradesh State, only] of appropriate value as per proforma, 'Format-F4' within 'fifteen [15] days' from the date of receipt of "LOA", the cost of stamp-paper is to be borne by Consultant, and its enclosures shall constitute the Contract between the parties and supersedes all other prior agreements, arrangements and communications, whether oral or written, between the parties relating to the subject matter hereof.

ARTICLE - 19: FORCE MAJEURE Shall mean and be limited to the following: (a) War / hostilities (b) Riots or Civil commotion (c) Earthquake, flood, tempest, lightening or other natural physical disasters (d) Restrictions imposed by the Government or other statutory bodies, which prevents or delays the execution of the Contract by Consultant Consultant shall advise GAIL by a registered letter, duly certified by the local Chamber of Commerce or statutory authorities, the beginning and end of the above causes of delay within 'seven [07] days' of the occurrence and cessation of such Force Majeure conditions. In the event of delay lasting over 'one [01] month', if arising out of causes of Force Majeure, GAIL reserves the right to cancel the Contract and the provisions governing termination stated under Article-16 shall apply. For delays arising out of Force Majeure, Consultant shall not claim extension in completion date for a period exceeding the period of delay attributable to the causes of Force Majeure and neither GAIL nor Consultant shall be liable to pay extra costs provided it is mutually established that Force Majeure conditions did actually exist. Consultant shall categorically specify the extent of Force Majeure conditions prevalent in their works at the time of submitting their Bid and whether the same have been taken into consideration or not in their quotations. In the event of any force majeure cause, Consultant or the GAIL shall not be liable for delays in performing their obligations under this order and the completion dates will be extended to Consultant without being subject to price reduction for delayed completion, as stated elsewhere.

ARTICLE - 20: RECTIFICATION PERIOD All services shall be rendered strictly in accordance with the terms and conditions stated in the Contract. No deviation from such conditions shall be made without GAIL's agreement in writing which must be obtained before any work against the order is commenced. All services rendered by Consultant pursuant to the Contract [irrespective of whether engineering, design data or other information has been furnished, reviewed or approved by GAIL] are guaranteed to be of the best quality of their respective kinds. Consultant shall rectify at his own cost any mistake in assumption of any data in the study or use of wrong data or faulty study observed within 'twelve [12] months' of the acceptance of his report and will submit the rectified report incorporating the changes wherever applicable within 'thirty [30] days' of observance of mistake.

ARTICLE - 21: SUB-CONTRACT Any sub-Contract to be made by the Consultant relating to the services shall be made only to such extent and with such duly qualified specialists and entities as shall be approved in writing in advance by GAIL. Upon the request of GAIL, the consultant shall submit for GAIL's prior approval, the terms of reference or any amendment thereof for such sub-Contractor's services. Notwithstanding such approval, the Consultant shall remain fully responsible for the performance of services under the Contract.

ARTICLE - 22: NOTICES Any notice given by one party to the other pursuant to the Contract shall be sent in writing or by telegram or fax, email, telex / cable confirmed in writing. A notice shall be effective when delivered or on the notice's effective date, whichever is later.

ARTICLE - 23: ACQUISITION OF DATA If required, Consultant shall be responsible for carrying out any surveys and acquisition of all data from necessary sources. GAIL, if requested in writing by Consultant, may assist the consultant in the said acquisition by way of issue of recommendatory letters only. All requisite clearances, coordination, fees, charges, etc. & compliance to the local laws required for completion of the job shall be the responsibility of the Consultant. ==================== X ====================

Vijaipur complex is the O&M Head Quarter of HVJ Natural Gas Transmission Pipeline [includes 6 compressor stations at different Locations, MCR station for monitoring pipeline health & hydraulics of natural gas], 2 gas processing units for Liquid Hydrocarbon production. The Capacity of Gas Processing complex at Vijaipur is 15 MMSCMD [Million Metric Standard Cubic Meter Per Day] of natural gas with two trains of 7.5 MMSCMD each. The total plant-capacity is 6 Lakh MT of Liquid Hydrocarbons [LHC]. The township of GAIL-Vijaipur is spread over an area of 150 acres with 171 A-type, 243 B-type, 83 C-type, 68 D-type residential quarters, 48-bedded guesthouse, 2 hostels of 45 & 24 beds each, hospital, club-building, swimming pool, administrative building & 2 shopping complexes. The power requirement of this complex is catered through our own CPP of 2x2.7 MW [GTG's] and power import from utility grid [MPMKVV Co. Ltd.] having contract demand of 3.5 MVA. Our main power distribution is through 6.6 KV systems and utility grid is hooked up at 132 KV. Major loads include motors up to 665 KW, lighting system & heaters. For emergency power back up there is a diesel generating set of 1.35 MW, 415 V and 4 nos. UPS of ratings from 50-75 KVA a no. of small size UPS of 5-10 KVA. For control supply of turbines, emergency lube oil system and electrical distribution system DC-voltages from 24 V to 220 V DC is used, wherein both lead-acid & alkaline [Ni-Cd] batteries are used.

SCOPE OF WORK 1.0
Scope of work covered under this Contract includes carrying out an integrated energy-audit study of different areas / equipments installed at GAIL (India) Limited, Vijaipur comprising of Compressor Station, Gas Processing Unit & Residential Quarters in Township with the following objectives: (a) To carry out a detailed energy performance evaluation of various equipments [as defined under scope of work] and systems [including the present lighting system in the township] with a view to identify thrust areas for energy conservation. (b) To study the load curves, cyclic patterns and harmonics in the systems to improve the overall performance and optimize the energy utilization. (c) To quantify the extent of energy savings that can be achieved based on analysis of the measurements to be carried out / data to be collected. (d) To work out various energy saving proposals and discuss to find the economic viability. Wastage of energy at all levels will be evaluated for its techno-commercial exploitation. (e) To recommend various technically sound and economically viable measures to improve the end-use energy efficiency. To prioritize the potential energy saving areas depending upon envisaged savings, investment cost, time for execution, and payback period, etc.

Electricity Consumption & Electricity Billing: (a) Summary for the past year's monthly electricity consumption and production data. Calculation of specific energy consumption, KWH/TON of material produced, etc. and comments on the same. (b) Evaluation of the best tariff applicability and suggest measures to exploit the provisions available in the tariff to reduce the power cost per unit; Exploring possibility of reducing the time of use charges. (c) Calculation of load factor and suggest methods to optimize maximum Demand. (d) Analysis of the power factor trend and suggest methods to improve the same. Electrical Power Generation: Review of performance including major auxiliaries and suggestions for optimization. Distribution and Harmonics in Electrical System: Measurements of all major electrical parameters viz., voltage, current, power factor, KW, frequency etc., of important equipment [motors, heaters, lighting, etc.], having significant energy consumption. Loads susceptible to generation of harmonics shall be checked for present harmonic levels. System unbalance with respect to voltage and current shall be checked. Distribution Losses: Review of existing energy metering for adequate monitoring requirements. Transformers: Performance evaluation through simultaneous measurements of major electrical parameters on HT & LT side and rationalization of transformers loading. Electric Motors [>20 HP]: Possibility of using variable frequency drives, optimal size of motor, running in star mode, etc to be checked. Power-Factor and Capacitors: Measurement of power-factor at various points viz., PCC, MCC, load-centres, etc., and analysis of the same for optimizing the network-losses and improving the power-factor. Boiler, Steam-Pipings and Traps: Operational efficiency of the system, adequacy of insulation, condition of auxiliaries, etc. to be studied. Pumps, Fans/Blowers: Measurement of head / pressure / vacuum, flow, power and determination of pump / blower efficiencies based on measured compare with characteristic curves, parameters and observations and general comments on the state of piping / ducting / valves / dampers pressure losses, system layout etc. Air/Gas-Compressors: Determination of compressor capacities, specific power consumption, KW / 100 CFM, leakage detection and quantification, pressure losses in auxiliary equipment / piping, identify point using unnecessary high pressure and identify application with wasteful usage of compressed air. Suggest measures to reduce SPC and conserve energy. Refrigeration and Air-Conditioning Systems: Determination of refrigeration system cooling capacity through measured operating parameters, viz., flow, inlet / outlet temperatures of cooling media, specific power consumption, KW / TR, review temperatures maintained, explore possibilities of thermal storage to take advantage of time of use tariff, general comments on the state of coils, filters, AHU, ducts, etc. Reviewing refrigeration usage and operating practices. Cooling Towers: Evaluations of cooling tower performance by measurements of cooling water flow, inlet / outlet temperatures and ambient air DBT / WBT, air-flow, fan-power, etc. correlation of cooling tower performance with due consideration of cooling water system as a whole. Lighting Systems: Measurements of light intensity and all major electrical parameters viz., voltage, current, PF and KW. Study of type of lamps and chokes used; day and night time lighting and suggest the best combinations etc.

FINAL REPORT: (a) The report shall provide existing energy profile of the unit with percentage share of major equipment/ processes, utilities, etc., so that it becomes a basic document for future monitoring. (b) Detail of measures to be taken to improve energy efficiency and to reduce losses for all the above areas. Estimation of energy, monitoring savings, investment requirements and simple payback periods. The measures shall also be categorized into operational changes, minor modifications and retrofits [negligible and moderate investment] and use of more efficient equipment / processes [major investment]. The investment proposals shall be backed up with quotations received from vendors or vendor's addresses. (c) Consultant may also consider the substitution of electricity use by other techno-commercially viable alternative form of energy.

The prices will remain firm and fixed till completion of job. Detailed audit plan will be prepared in consultation with GAIL to take care of normal operation of all activities. Necessary skilled manpower and resources for monitoring and compilation of data will be arranged by the Consultant. However, computers and printers if required at Vijaipur can be provided by GAIL [if required at Vijaipur]. All necessary tools, tackles, software packages, etc. for carrying out the audit will be provided by the Consultant. All instruments and analysers required for the audit will be provided by the Consultant free of cost. No hiring / transportation charges will be paid by GAIL on this account. During the audit if any measuring instrument is required to be put in service on line, then the same will be provided by the Consultant without any extra cost. It will be installed under the supervision of the Consultant. However, necessary technical manpower support for fixing the same will be provided by GAIL. In case of any damage to the instrument, it will not be on GAIL's account. The Consultant has to evaluate all possible energy conservation options / opportunities at GAIL, Vijaipur and suggest for implementation of same with all payback calculations. All necessary technical supports for implementation of the ENCON projects shall be provided by the Consultant. Being a hazardous industry, proper safety has to be ensured by the Consultant during execution of audit. In case of any accident GAIL will not be responsible for the same. All persons deployed at site must be insured by the Consultant. While inside the premises, the Consultant has to abide by the rules & regulations of GAIL, Vijaipur. Prier intimation has to be given to "EIC" for arrangement of necessary gate passes. Lodging & boarding will be arranged at GAIL-guesthouse subject to availability. However, travelling expenses [limited to rail fare max. 2-AC], incidental expenses local conveyance charges will be reimbursed extra at actual.
PAYMENT TERMS: Payment shall be made within 'fifteen [15] days' by GAIL on completion of each stage of work after necessary verification and certification by the concerned "EIC" as per following: Data collection, analysis and submission of draft 'Report': 75% Submission of final 'Report': 25% GAIL has initiated payments to Suppliers, Contractors and Consultants electronically and to facilitate the payments electronically, the Consultant should have an account with "HDFC Bank" or "ICICI Bank" or "State Bank of India" so that payments can be made to the Consultant through 'e-banking', in case of award. Further, the Consultant should give the details of his bank account in any one of the above Banks to facilitate payments through 'e-banking'. All invoices will be submitted to "In-charge [F&A]" for the above assignment at GAIL, Vijaipur. Necessary deductions from the Consultant's bill / invoice shall be carried out as per the applicable rules, regulations and notifications of the Government.

The duration of the study will be six [06] months which includes field visit for data collection, data analysis, report preparation, etc. Follow up visit of will be made to discuss implementation related issues faced by GAIL, Vijaipur as per the following tentative schedule. Implementation of energy audit recommendation will be the prime responsibility of GAIL, Vijaipur. However the consultant will assist GAIL in providing vendor information etc.
TAXES AND LIABILITIES: Service Tax [and Cess thereon] shall be reimbursed by GAIL (India) Limited at actual as per the regulations of the Government of India.

HEALTH, SAFETY AND ENVIRONMENT [HSE] SPECIFICATIONS 1.0
SCOPE These specifications establish the 'Health, Safety and Environment [HSE] Management' requirement to be complied with by the Contractors during executing their Job. Requirements stipulated in these specifications shall supplement the requirements of 'HSE Management' given in relevant act(s) / legislation(s).

REQUIREMENTS OF 'HEALTH, SAFETY AND ENVIRONMENT [HSE] MANAGEMENT SYSTEM' TO BE COMPLIED BY BIDDERS Preferably, the Contract should have a documented 'HSE Policy' to cover commitment of their organization to ensure health, safety and environment aspects in their line of operations. The Contractor shall ensure that the GAIL's 'Health, Safety and Environment [HSE]' requirements are clearly understood and faithfully implemented at all level, at sites. Contractor shall promote & develop consciousness for health, safety & environment among all personnel working for the Contractor. Regular work-site meetings shall be arranged on 'HSE' activities to cover hazards involved in various operations during executing their jobs, location of First Aid Box, trained personnel to give First Aid, Assembly Points, standby Ambulance or vehicle and fire protection measures such as fire hydrant, water and fire extinguishers, etc. Non-conformance of 'HSE' by Contractor [including his sub-Contractors] as brought out during review/audit by GAIL / external agency authorized by GAIL, shall be complied by Contractor and its report to be submitted to GAIL. Contractor shall adhere consistently to all provisions of 'HSE' requirements. In case of non-compliance of continuous failure in implementation of any of the 'HSE' provisions, GAIL may impose stoppage of work and a suitable penalty for non-compliance. The decision of imposing work-stoppage, its extent & monetary penalty shall rest with GAIL. All fatal accidents and other personnel accidents shall be investigated for root cause by GAIL and Contractor shall extend all necessary help and cooperation in this regard. Recommend corrective and preventive actions of findings will be communicated to Contractor for taking suitable actions should be taken by the Contractors to avoid recurrence of such incidences. Contractor shall ensure that all their staffs and workers, including their sub-Contractor(s), shall wear 'Personal Protective Equipments [PPEs]' such as safety helmets, safety shoes, safety belts, protective goggles, gloves, etc., as per job requirements. All these gadgets shall conform to relevant IS specifications or equivalent. Contractor shall assign competent & qualified personnel for carrying out various tasks/jobs as per requirement. All equipments should be tested and certified for its capacity before use. Contractor shall ensure storage and utilization methodology of materials that are not detrimental to the environment. Where required, Contractor shall ensure that only the environment-friendly materials are used. All persons deployed at site shall be knowledgeable of and comply with the environmental laws, rules and regulations relating to the hazardous material substances and waste. Contractor shall not dump release or otherwise discharge of dispose off any such materials without the express authorization of GAIL. Contractor should obtain all work permits before start of activities [as applicable] like hot work, confined space, work at heights, storage of chemicals/explosive materials and its use & implement all precautions mentioned therein. Contractor should display at site office and work locations caution boards, provide posters, banners for safe working to promote safety consciousness, etc. Contractor should carryout audits/inspections/supervisions at the sub-Contractor's works and submit the reports for review by GAIL.
