INTRODUCTION College Overview Background Southwest Wisconsin Technical College (Southwest Tech) is a municipal corporation of the State of Wisconsin primarily engaged in post-secondary and adult education. Southwest Tech is located in southwest Wisconsin that encompasses a geographical region of 3,800 square miles (80 miles east to west and 100 miles north to south). The district includes most of Crawford, Grant, Iowa, Lafayette, and Richland counties and part of Dane, Green, Sauk, and Vernon counties. Thirty public K-12 school districts comprise the Southwest Tech district. In 2016, the College served 8,599 students which computes to 1,433.42 fulltime equivalents (FTEs). Overview of RFP Purpose A Request for Proposal (RFP) is being sought by Southwest Wisconsin Technical College for a Feasibility Study and related business plan development, if needed. Multi-vendor joint proposals are permitted.

Scope Southwest Tech is seeking to improve delivery of our mission/vision to improve lives through excellence in learning and achieve key strategic priorities. Southwest Tech was recently independently ranked the #1 best 2-year college in Wisconsin and the #11 best 2-year college in the nation. The scoring metrics for these rankings factored in student success, value, and job placement as key considerations. With this project, we will strive to enhance our current strengths as a high-quality teaching and learning institution. This particular project must strengthen applied learning opportunities for students that lead to new or expanded employment opportunities. This initiative includes a feasibility study, business plan, and commitment to implement agreed upon components of a potential project. The primary purpose of the project will be focused on enhanced learning opportunities for existing and future students through a robust student applied learning program built into the operation structure of the new venture. The projects we are currently considering include a hybrid student housing/hotel venture. All funding/ownership structure options including public/private partnerships should be considered. We are also interested in expanding applied learning and student life venues that create a regional draw to our area. The brainstorm ideas include unique and competitive multi-purpose venue for students and the community, including exploration of trap shooting, golf, softball/baseball, round-ball sports, etc. This initiative must ultimately enhance local workforce and economic development, serve as a profit center for the college, boost enrollments in our existing academic programs, and, most importantly, strengthen instructional quality through applied learning.

Project Objectives Phase One Feasibility: 1. Develop a general description of the scope of the projects to include student housing/hotel and multipurpose student life enhancements that provide an extension for applied learning in existing academic programs. Determine the market in our college service district as well as the surrounding regions. Provide population demographics and potential base market data. Analyze existing college programming, both academic and direct services to students, identifying potential internal partnerships and opportunities. Provide a review of potential academic programs that should be considered. Provide a summary of similar facilities in the region or beyond for benchmarking. 2. Hybrid Student Housing/Hotel Consideration – consider several operational models and identify the best approach for success. Analyze the following programmatic models through original research of all available market data. Conduct interviews with hotel developers that are familiar with the area or have experience with similar projects. The outcome of the study is intended to be used to gauge the interest of the College and our public or private partners for moving forward with a formal business plan for a housing/hotel project and the level of interest of potential funders for becoming involved in the project. a. Outcomes i. Recommendation for housing/hotel site location, product type, size, branding recommendations, product features, and amenities ii. Concept graphic with dynamic building renderings and site plan iii. Preliminary capital costs iv. Preliminary sources/uses for capital investments v. Preliminary operational projections for occupancy, average daily room rates, and sales revenue for rooms and food/beverage 6

3. Multi-Purpose Student Life Enhancement – work with Southwest Tech to determine areas of programmatic focus and additional uses. Traditional indoor space to consider, but not be limited to, basketball, volleyball, soccer, indoor track, etc. An indoor/outdoor hybrid facility to explore features including, but not limited to, trapshooting, skeet, and 5 stand, in additional to ancillary uses such as golf driving range, batting cages for baseball/softball, or similar activities. a. Key Considerations i. Determine preliminary timing, uses, square feet per use, recommended building materials, facility character, parking counts, and site dimensions ii. Conduct location analysis, including available sites owned by the College, the City of Fennimore, and private landowners iii. Consider innovative site elements to add an exciting visitor experience and to raise the profile of a one-of-a-kind destination iv. Coordinate an attractive visual character at the site entry v. Develop original, color-rendered graphics including: 1. Master Plan and graphics with summary information on parking counts, building square footage, and use 2. Bird’s-eye view of the site vi. Preliminary cost estimates and potential sources of revenue vii. Preliminary review of potential benefits to students in terms of increased retention, additional student employment, and applied learning opportunities b. Outcomes: Conduct feasibility study of each option i. Initial community description and market conditions overview 1. General description of regional service area, including a drive-time map showing the market attraction area 2. Overview of similar facilities in the broader region for benchmarking 3. Basic community demographics and general base market data ii. Multi-purpose Program Description and Evaluation 1. Preliminary building site options and design 2. Operations structure including a determination on self/private/partnership owned and operated 3. Ownership structure including assessment of Real Estate Foundation interests 4. Additional facility features including concessions, restrooms, parking, and site features 5. Exploration of potential existing college services and academic program offerings that could be expanded or enhanced 6. Preliminary definition of customer base, including regional visitors, guests of the College, and local interests 7. Determine local and regional partnerships that can provide resources (time, staff, funding, etc.) 8. Develop costs and revenue projections 9. Conduct research for facility needs, particularly related to zoning and environmental regulations for the unique trapshooting facility option iii. Outcomes 7

Preliminary recommendations for the sports facility site location, product type and size, product feature and amenities, and, most importantly, an analysis of the opportunities to enhance student success indicators (recruitment of new students, success in applied teaching and learning environments, retention, graduation, and employment) 2. Response Requirements and Timeline Due Date and Public Opening The Feasibility Study RFP responses are due by 11:00 a.m. CST on October 13, 2016. A public opening of the proposals will be held at 11:00 a.m. CST in conference room 493 on the Fennimore campus. Late proposals will not be accepted.

Response Questions Questions regarding the RFP #1617-01 should be directed, via e-mail, to [email protected] by 4:00 PM CST on Thursday, October 6, 2016. Responses to all questions received will be returned to all vendors. Vendor names, where mentioned, will be omitted. During the time period from the date of release of this RFP, and until the College has notified all Proposers of its decision, all contact with any other employees of the College concerning this RFP is prohibited, except as authorized by the individuals named herein, above. Failure to adhere to this provision may be cause for disqualification of a Proposer’s submission. General Addenda issued during the time of bidding shall become a part of the RFP documents. Respondents shall acknowledge receipt of such addendum in the appropriate space provided on the Proposal Submission Form. Failure to examine any and all documents will in no way relieve the successful Respondent from the necessity of performing any work that may be required to complete the work in accordance with this RFP. If the Respondent cannot provide all the services as outlined in the RFP, or has an exception to anything specified in this RFP, it must be noted on the Proposal Submission Form. Southwest Tech reserves the right to determine if any noted deviation or qualifying statements indicated in a proposal are in the best interest of the College, and reserves the option to reject any proposal, all proposals, or a portion of the proposal, on that basis. Southwest Tech shall not incur any liability for any costs incurred by the Respondent in submitting a proposal in response to this RFP. Evaluation Criteria and Scoring Evaluation Criteria/Scoring The following criteria will be utilized when evaluating your response to the Feasibility Study RFP. Proposals will be evaluated by a team that includes members from the College, and possibly people representing potential partner organizations. The following criteria and weighting will be used by the team to evaluate the vendor responses, demonstrations, and pricing. These criteria will be used by each member of the evaluation team after reading the RFP to determine the short list of vendors to be considered for interviews. Acceptance/Rejection Southwest Tech reserves the right to accept or reject any or all proposals, to waive any technicality or informality in any proposal submitted, and to accept any part of the proposal deemed to best serve the interests and needs of Southwest Tech and said determination shall be final. Southwest Tech reserves the right to reject all proposals received and reissue the RFP if it feels an adequate level of competition was not obtained, or if specifications/terms did not allow for a sufficient level of competing bids to be received, or if desired specifications, features, or standards were not, in the opinion of Southwest Tech, acceptable. Southwest Tech reserves the right to reject the proposal if the evidence submitted by, or investigation of, the Respondent fails to satisfy Southwest Tech that the Respondent is responsible and qualified to carry out the obligations of the contract or to complete the work contemplated therein.

Withdrawal of Proposals Proposals may be withdrawn by written request received from the Respondent or an authorized representative thereof prior to the time fixed for opening of proposals, without prejudice to the right of the Respondent to file a new proposal. Withdrawn proposals will be returned unopened. Negligence on the part of the Respondent in preparing their proposal confers no right for withdrawal of the proposal after it has been opened. Proposals may be held by Southwest Tech for a period not to exceed one hundred twenty (120) days from the date of the opening of proposals for the purpose of reviewing the bids and investigating the qualifications of the Respondents, prior to the awarding of the contract.

Subject to Board Approval An award by Southwest Tech under this RFP is subject to the approval of the Southwest Tech Board of Trustees (Board). Based on the evaluation of proposals, the Evaluation Committee will recommend a Respondent to the Board. A preliminary award notification will be sent after the proposal evaluation and final selection process, but the final award notification will not take place until after Board approval. Approval of the recommended Respondent cannot take place until the November 14, 2016 Board meeting. A final award letter and/or Purchase Order will be issued after this date.

Deviations and Exceptions Deviations and exceptions from terms, conditions, or statement of work shall be described fully on the Proposal Submission Form.

Public Inspections of Proposals In order to maintain the integrity of the competitive Proposal process, if a request is made under open records laws to view Proposals received for this RFP, Proposals received will not be made available to competing Respondents or to individuals or companies outside of the Evaluation Committee until an official award decision by Southwest Tech has been made. Any restriction on the use of information contained within a Proposal must be clearly stated in the Proposal itself. Proprietary information submitted will be handled in accordance with appropriate procurement regulations and Wisconsin Public Records law. Note: The Wisconsin Public Records law classifies most correspondence with a governmental entity such as Southwest Tech, as open and available for public inspection. Proprietary restrictions normally are not accepted; however, when accepted it is the Respondent’s responsibility to defend the determination in the event of an appeal or litigation. Pricing information can never be held confidential.

Debarment & Suspension Certification The Respondent certifies by signing the Proposal Submission Form that neither it nor its principals are presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from participation in this transaction by any federal or state department or Respondent.

Best and Final Offer The Best and Final Offer (BAFO) presents an optional step in the Request for Proposal (RFP) selection process and is not part of the contract negotiation process. A. The BAFO process may be used when 1) No single response addresses all the specifications 2) The cost submitted by all proposers is too high 3) The scores of two or more proposers are very close after the evaluation process. 4) All proposers submitted responses that are unclear or deficient in one or more areas. B. Procedures for the use of the BAFO process shall be detailed in the Administrative Regulations and shall be compliant with WTCS regulations.

Qualifications of Respondents Southwest Tech reserves the right to reject the bid if the evidence submitted by, or investigation of, the Respondent fails to satisfy SOUTHWEST TECH that the Respondent is responsible and qualified to carry out the obligations of the Contract and to complete the work contemplated therein. Before the award of a Contract can be approved Southwest Tech shall be satisfied that the Respondent involved meets the following requirements. a) Has completed one or more projects of at least 50% of the size or value of the description of work being proposed herein and that the type of work completed is similar to that being proposed. b) Has the financial and organizational capacity and technical competence necessary to do the work properly and expeditiously. c) Has a record of satisfactorily completing past projects. Criteria which will be considered in determining satisfactory completion of projects by Respondent will include: a. Completed contracts in accordance with specifications. b. Diligently pursued execution of the work and completed contracts according to the established time schedule unless extensions were granted. c. Fulfilled guarantee requirements of the contract documents. d) Is licensed to do business in the State of Wisconsin. e) Is not presently on an ineligible list maintained by the Department of Administration, or by any other State or the Federal Government, for noncompliance with Equal Employment Opportunities and Affirmative Action requirements. f) Is not presently on a debarment list maintained by the Department of Workforce Development for noncompliance with wage rate requirements.

Contractual Terms and Conditions 1. Contractual Relationship – The proposer agrees that it is an independent contractor with respect to the services provided pursuant to this agreement. Nothing in this agreement shall be considered to create the relationship of employer and employee between parties. 2. Auditor Access – All parties contracting with Southwest Tech’s shall, upon request, provide access to and furnish SOUTHWEST TECH’s auditors with requested information, records and reports, regarding any services provided to Southwest Tech and the status thereof. 3. Acceptance of Terms and Conditions – Submission of a proposal shall constitute acknowledgement and acceptance of all terms and conditions contained in this RFP. Any Agreement or Contract resulting from the acceptance of a proposal shall incorporate the needs expressed in this proposal and be on forms either supplied by or approved by Southwest Tech. Southwest Tech reserves the right to reject or modify any Agreement that does not conform to the RFP and any Southwest Tech requirements for Agreements and Contracts. Any changes in an RFP response will be considered a counteroffer and may be cause for rejection of the entire RFP response. 4. Right to Negotiate Contract Terms Southwest Tech reserves the right to negotiate the terms of the Contract, including the award amount and scope of work with any of the Respondents prior to entering into a Contract. This choice is solely at the discretion of the College. Respondents are to include with their proposals an advance copy of a proposed Contract or Agreement they would expect Southwest Tech to consider should a decision be made to contract with their Company. 5. Cancellation Clause Southwest Tech may, without cause, terminate the Contract by giving thirty days written notice of such termination to the awarded Respondent. In the event of such termination, Southwest Tech shall reimburse the services performed and reasonable expenses actually incurred by the Respondent in 13

relation to the work prior to the Respondent’s receipt of such notice of termination. The awarded Respondent shall provide Southwest Tech at least thirty days prior written notice of termination. 6. Taxes Southwest Tech is a governmental entity exempt from sales taxes pursuant to Wisconsin Statutes, Section 77.54(9a). 7. Pricing Proposal pricing must be on the Proposal Submission Form. All prices shall remain firm through the term of the Contract. 8. Confidentiality No reports, information, or data given to or prepared by the proposer under the Contract shall be made available to any individual or organization by the proposer without the prior written approval of SOUTHWEST TECH. All data, drafts, analyses, and related documentation accumulated during the course of the service provided shall become the property of SOUTHWEST TECH unless otherwise stated in writing between the parties. 9. Insurance An insurance certificate, which meets SOUTHWEST TECH requirements, shall be provided to SOUTHWEST TECH at the time the selected proposer enters into contract with SOUTHWEST TECH. SOUTHWEST TECH shall be named as additional insured with respect to general liability coverage. Should any insurance policy be canceled before the expiration date of the contract, the issuing company must provide ten days written notice to SOUTHWEST TECH. A company licensed to do business in the state of Wisconsin or signed by an agent licensed by the state of Wisconsin must issue the insurance certificate. Failure to submit an insurance certificate can make the contract voidable at SOUTHWEST TECH’s discretion. The following minimum insurance coverages need to be in effect:  General and professional liability General liability as well as liability coverage for damages arising out of negligent acts, errors or omissions of the proposer in the conduct of their performance. Limit of liability not less than $1,000,000 each occurrence/claim and $3,000,000 aggregate. 10. Indemnification and Defense of Suits The successful proposer agrees to indemnify, hold harmless, and defend SOUTHWEST TECH, its officers, agents, and employees from any and all liability, including claims, demands, damages, actions, or causes of action, together with any and all losses, costs, or expense, including attorney fees, where such liability is founded upon or grows out of the acts, errors, or omissions of the successful proposer, its employees, agents, or subcontractors. 11. Payment Terms Net 45 days after delivery, after receipt of invoice for delivered items. No advance payments will be made and no payments will be made without invoices.

6. Signatures The submission of a proposal shall be considered as a representation that the Respondent has carefully investigated all conditions, has full knowledge of the scope and nature of work required, and is familiar with all applicable state, federal, and local regulations that affect, or may at some future date affect the performance of the contract. Cooperative Purchasing Form Wisconsin statutes establish authority to allow Wisconsin municipalities to participate in cooperative purchasing when the co ntractors agree to extend their terms to them. Participating in the service gives vendors opportunities for additional sales without additional bidding. Please be aware that your participation is voluntary. Municipalities use the service to expedite purchases. A "municipality" is defined as any county, city, village, town, school district, board of school directors, sewer district, drainage district, vocational, technical and adult education district, or any other public body having the authority to award public contracts (s. 16.70(8), Wis. Stats.). Interested municipalities will contact the contractor directly to place orders and are responsible for receipt, acceptance and inspection of goods directly from the contractor, and making payment directly to the contractor. Southwest Wisconsin Technical College is s erving as the lead agency initiating this cooperative purchasing program on behalf of other Municipalities, is not party to any disputes arising f rom purchases made by other municipalities, and is not liable for delivery or payment purchases made by other municipalities. A v endor’s election to extend prices to a cooperative purchasing agreement may be used as a factor in the award decision of this project.
