Purely Alaskan Gift Shop Subtenant Lease Subtenants of Purely Alaskan Gift Shop hereby agree to the conditions set forth in this lease agreement (hereinafter referred to as the “agreement”) made and entered into this date _____________________. 1. Subtenants are bound to sublease for the time period as set forth in their individual agreements with Purely Alaskan Gift Shop for a nine month period beginning on this date ___________________ and ending on this date ______________________. 2. A subtenant that does not intend to renew their agreement after their initial first nine-‐month period must remove their product from the premises immediately upon agreement end date. Product not removed by end date will incur a daily pro-‐rated rental fee. The sub-‐tenant, upon the agreement ending, must remove product. If you have assigned someone other than the subtenant to remove your product, a written notice, email or phone call must be provided to the business owner before product can be removed from the premises. 3. If the subtenant, for any reason, breaks their nine-‐month agreement period and chooses to vacate before the end date on the agreement, subtenant’s deposit will be forfeited, and subtenant’s product and display items will be removed immediately from premises. Subtenant will be held responsible for a daily storage fee of $25.00 per day, and this must be paid before items can be picked up once they are moved to storage. 4. Agreements will run on a nine-‐month period. Subtenant is responsible for notifying Purely Alaskan Gift Shop two weeks in advance prior to the current agreement ending whether subtenant intends to continue as a tenant for the next nine-‐month period or will be ending their agreement at Purely Alaskan Gift Shop. If owner fails to receive notice to vacate, Purely Alaskan Gift Shop will therefore assume that subtenant will be extending lease to include the next nine-‐ month period. The deposit will then work off the next six-‐month period. 5. Any and all product and display items must be pre-‐approved by owner before placement. 6. We will not accept imported items. Our goal is to provide made-‐in-‐Alaska products only. 7. Management (Hilton Hotel) shall not be liable to Purely Alaska Gift Shop or any subtenants for any damage or theft to shopkeeper’s person or property or to shopkeeper’s agents, other than for management negligence; and shopkeeper and subtenant(s) agrees to indemnify and to save management harmless from all claims of any nature. 8. Vendors must inventory all personal display items in use, and provide a copy to Purely Alaskan Gift Shop. This will ensure proper return of personal display items upon vacating. Purely Alaskan Gift Shop will not be responsible for keeping track of your uninventoried display items. 9. Merchandising of product, placement and displays will be at the discretion of the business owner. 10. An inventory list with product quantity, description, and price can be provided and kept in office binder. Purely Alaskan Gift Shop will not be responsible for the subtenants inventory control.
11. Title to all goods remains with the vendor during the entire time of this agreement. Purely Alaskan Gift Shop is not responsible for the inventory and thus is not responsible for theft or damage. Purely Alaskan Gift Shop does not carry insurance on subtenants merchandise, thus subtenant should carry insurance on their merchandise if they want this kind or other coverage. 12. Purely Alaskan Gift Shop does not have any storage for subtenants. 13. Inventory sold will be documented at time of sale if item number is provided on price tag, and subtenant has requested the documenting of this number. If no number is provided and this request has not been made, product will be documented by description only. 14. All items for sale must be tagged with vendor’s assigned number. Numbers are assigned by owner after agreement has been signed and all rent and fees have been met. All product placed in shop must be tagged with price and your vendor-‐assigned number. 15. All subtenants will pay a non-‐refundable sign-‐up (application) fee of ONE HUNDRED DOLLARS ($100.00) to cover the cost of operational supplies and insurance. A security deposit of ONE HUNDRED FORTY FIVE DOLLARS ($145.00) is refundable as long as the premises are left in good condition, all fees are current and agreement has been fulfilled to its end date. 16. Each subtenant may choose one of the following: a. ___________; Rent of ONE HUNDRED DOLLARS ($100.00 PER MONTH) must be paid in full on or before the first day each month. Subtenant commits to one six-‐hour shift per month working in the store. Subtenant agrees that 20% of the sales price of each item will be deducted and applied toward the upkeep of the shop fees and expenses. b. __________; Rent of ONE HUNDRED FORTY FIVE DOLLARS ($145.00 PER MONTH) must be paid in full on or before the first day each month. Subtenant commits to one six-‐ hour shift per month working in the store. Subtenant agrees that 10% of the sales price of each item will be deducted and applied toward the upkeep of the shop fees and expenses. c. __________; Rent of TWO HUNDRED DOLLARS ($200.00 PER MONTH) must be paid in full on or before the first day each month. Subtenant has no commitment to work a shift in the store. Subtenant will keep 100% of the proceeds for items sold under this option. 17. Each subtenant will be responsible for the following fees and charges (all fees will be deducted from monthly settlements): a. Rents or other fees paid by credit card will incur a 4% fee. b. Any NSF checks will be assessed a fee of ($37.00). c. Checks are payable to the Purely Alaskan Gift Shop. d. Rent must be received by the first day of the month. Past due rents will be assessed a late fee of $25.00 per day. e. Sales proceeds will not be disbursed if rent and fees are not current. f. All credit card purchases will be subject to a 4% processing fee.
g. All check purchases will be subject to a 2% processing fee to guarantee the check and digitally deposit it. 18. Purely Alaskan Gift Shop has the right to refuse service to the subtenant and void agreement upon non-‐payment of rent, fees, and neglect of the DUTIES AND RESPONSIBILITIES set forth in this agreement between subtenant and Purely Alaskan Gift Shop. Any debt incurred to Purely Alaskan Gift Shop by subtenant will be deducted from your monthly proceeds. 19. Deposits will be paid out two weeks after agreement has been met as long as subtenant is in good standing. 20. Proceeds from the sales will be paid out and mailed to address on file once a month. 21. Subtenant will also pay a $10.00 monthly fee for having to transfer monthly rent payments from proceeds revenue account to the operational account. 22. Vendors must fill out and sign a W-‐9 IRS tax form before placement of product or no payment. Scheduling an appointment with shop owner to set-‐up and or remove subtenant’s product. (an appointment will be scheduled at a time that is both convenient to shop manager and subtenant). Product placement and removal will only take place before or after store hours as not to disrupt daily operations and/or create a liability issue. Restocking, inventory control, and cleaning their display area on a bi-‐weekly schedule. Assisting in advertising and promoting product and store via emails, websites, flyers, and in-‐ house demonstrations. Providing volunteer service when available to offset the cost of wages. Providing an artist bio and business cards. Pricing product with a professional removable pricing sticker. (Pricing guns and taggers available for use at no charge). Insurance on personal property. It is the responsibility of the subtenant to provide this coverage. (Purely Alaskan Gift Shop will not be held liable for theft or damages due to an act of God.) Maintaining a 100% made-‐in-‐Alaska product. If vendor purchases product to place in shop, vendor must provide product information (who made it and place of origin). Product not pre-‐approved will not be accepted. Vendors are responsible for providing a two-‐week advance notice when vacating and scheduling an appointment that is both convenient to the shop owner and vendor.
Purely Alaskan Gift Shop will offer subtenant a professional retail site with permanent placement earning the subtenant 100% return on any retail product sold, monthly advertisement and professional sales and service. OPTIONAL SHOW WAIVER
Purely Alaskan Gift Shop Subtenants Show Waiver I ________________________________________, vendor # _______, herby request that Purely Alaska Gift Shop include my merchandise in any show(s) they deem appropriate. All of the terms in the subtenant agreement are hereby incorporated into this show agreement. I understand and agree that if/when I am included in a show, the following additional terms and conditions will apply: 1. Purely Alaska Gift Shop has sole discretion if/when I am included in a show. 2. I am not guaranteed participation at any show. 3. Purely Alaska Gift Shop has sole discretion what merchandise will be included in a show. 4. I am not guaranteed any particular merchandise will be at any show. 5. Purely Alaska Gift Shop will be responsible for all show fees and expenses. 6. I will pay Purely Alaska Gift Shop a 30% commission of the ticketed sale price for each sale made at a show. 7. Sales from a show will be settled at the end of the month with the store sales but with a separate settlement sheet.
