CHAPTER 13: LEASING 13.1 GENERAL The concept of aircraft leasing is straight forward and the level of detail required is extremely complex and involved. Almost every department within the Compagnie Africaine d'Aviation (CAA) will be affected to a greater or lesser degree. This procedure is purposely restricted to those considerations that need to be taken into account by the Flight Operations Department whenever airplane leasing is considered. It is however intended that adherence to its content should help to ensure a regulated and coordinated progression towards a satisfactory lease agreement. It will be found that each lease contemplated will have its own particular requirements and conditions and these may well produce the requirement to undertake research and action in areas other than discussed here. The Compagnie Africaine d'Aviation (CAA) airplane lease operations are subject to the prior approval of the Authority and any conditions, which may be part of that approval, must be included in the lease agreement. Note: All airplane lease operations must comply with RACD 9.2.3 requirements.

13.2 DEFINITIONS 13.2.1 Wet Lease Is when the airplane is operated under the AOC of the lessor. 13.2.2 Dry Lease Is when the airplane is operated under the AOC of the lessee. 13.2.3 Lessee Is the operator leasing in an airplane from another operator. 13.2.4 Lessor Is the operator leasing out an airplane to another operator.

13.3 LEASING REQUIREMENTS 13.3.1 Wet Lease-out 13.3.1.1 Requirements Compagnie Africaine d'Aviation (CAA), when providing an airplane, complete with flight to another entity shall remain the operator of the airplane At the outset of negotiations the following information will be required:  Lessee name and operations contact name, position, address, SITA, facsimile and telephone numbers.  Airplane registration, configuration, delivery date and destination route structure, destination / alternates and schedule  Copy of the Lessee’s Operations Specifications, Operations Manual, FTLs and duration of lease 13.3.1.2 Operations Requirement. The operation will be in accordance with the RACD 9.2.3, in addition to the lessee’s civil aviation procedures. The Compagnie Africaine d'Aviation (CAA) Operations Manual remains the binding document for the operation of the aircraft. In the event of discrepancy to the lessee´s RACD (CAA) the more restrictive shall apply. Compagnie Africaine d'Aviation (CAA) will assess and develop the differences between lessee and Compagnie Africaine d'Aviation (CAA) operational and emergency procedures, provide a hand-out to all crews, and arrange a one day briefing on the above. Lessee has to provide FMS Database, OM Part C, company frequency and contact list for all destinations/ alternates to be placed on board to support the operation. Crews have to enter and leave country of lessee’s main operations in uniform and on general declaration. Recording of Duty/ Flight hours will be in accordance with Compagnie Africaine d'Aviation (CAA) flight policy and rules. Lessee will retain flight returns, however, additionally pilots will complete the Compagnie Africaine d'Aviation (CAA) Flight Operations return sheet, which will be handed to a nominated lessee official (Ops/ Movements) and returned to Compagnie Africaine d'Aviation (CAA) by the most expeditious means available. Flight Crew will prepare the manuals of Compagnie Africaine d'Aviation (CAA) load/ trim sheets for each flight based on load distribution documents provided by lessee. Aerodrome briefs are to be submitted by lessee if outside Compagnie Africaine d'Aviation (CAA) network. Destination/ Alternate aerodromes may require airfield survey/ inspection by Compagnie Africaine d'Aviation (CAA) / Authority personnel at lessee expense. Operations Department will issue a copy of Compagnie Africaine d'Aviation (CAA) Operations Specifications for Authority approval 15 days prior to lease commencement date.

13.3.1.3 Flight Dispatch Lessee to provide NOTAMS, met. Briefings, OFP and full flight dispatch, including flight watch/ monitoring and keep Compagnie Africaine d'Aviation (CAA) Dispatch office informed of all aircraft movements whilst under their control. flight Operations to initiate separate tracking system for leased airplanes. 13.3.1.4 Manuals Compagnie Africaine d'Aviation (CAA) will provide all manuals including revisions update. Lessee to advise Compagnie Africaine d'Aviation (CAA) 15 days prior of any route / destination changes not specified in the contract and will be debited for any additional charts purchased. Lessee will be solely responsible for all operations manual / chart amendments. 13.3.1.5 Crew Rostering Requirements Compagnie Africaine d'Aviation (CAA) Crew Rostering will address flight crew rostering requirements.

13.3.2 Wet Lease-in 13.3.2.1 Requirements

Compagnie Africaine d'Aviation (CAA) will wet lease-in an airplane from any entity unless approved by the DRC CAA (refer RACD 9.2.3). A comprehensive detailed review of the Lessor’s terms and conditions is very necessary in order to minimize conditions within the contract which may prove contrary to the best interests of Compagnie Africaine d'Aviation (CAA). Decisions regarding composition of cabin crew on the leased airplane will be required, as it will be necessary to arrange differences training for cabin crew operating on the leased airplane(s). 13.3.2.2 Operational Requirements Compagnie Africaine d'Aviation (CAA) is to ensure that with regard to airplane(s) leased-in:  The safety standards of the lessor with respect to the maintenance and operation are equivalent to the DRC CAA standards approved for Compagnie Africaine d'Aviation (CAA).  The lessor is an operator holding an AOC issued by a state which is a signatory to the Chicago Convention.  The airplane has a standard Certificate of Airworthiness issued in accordance with ICAO Annex 8.  Standard Certificate of Airworthiness issued by an ICAO state other than the state responsible for issuing the AOC, will be accepted when issued in accordance with DRC CAA requirement made applicable to Compagnie Africaine d'Aviation (CAA) is complied with.  Compagnie Africaine d'Aviation (CAA) to provide FMS database to lessor.  Compagnie Africaine d'Aviation (CAA) to supply lessor with a directory of operations contact numbers for distribution among the lessor’s crews and onboard their airplane(s).  The lessor to provide approach plates and charts to cover Compagnie Africaine d'Aviation (CAA) destinations and alternate aerodromes.  Airplane take-off performance data, if different to that of Compagnie Africaine d'Aviation (CAA) airplanes, must be provided at the lessor’s expense.

13.3.3 Dry Lease-Out 13.3.3.1 Requirements Compagnie Africaine d'Aviation (CAA) may dry lease-out an airplane for the purposes of commercial air transport to any operator of a state, which is a signatory to the Chicago Convention, provided that the following conditions are met:  The DRC CAA has approved the dry lease-out and, after the foreign authority has accepted responsibility in writing for surveillance of the maintenance and operation of the airplane; and  The airplane is maintained in accordance with an approved maintenance program. 13.3.4 Dry Lease-In 13.3.4.1 Requirements Compagnie Africaine d'Aviation (CAA) will lease-in an airplane from another operator, with the DRC CAA approval. Any conditions which are part of this approval must be included in the lease agreement. 13.3.4.2 Operational Requirements At the outset it is important that a comprehensive and detailed examination of potential airplane is carried out. Important areas for consideration include:    

Flight and navigation instrumentation and equipment; Radio equipment; Engines; Safety & emergency equipment.

Wherever differences in equipment are found and assessed as safety related, consideration shall be given to producing a safe and satisfactory resolution of the issues. This may take the form of differences training or possibly the retrofitting of company compatible equipment
