GREEK ORTHODOX PARISH OF GREATER HARRISBURG HOLY TRINITY GREEK ORTHODOX CATHEDRAL 1000 Yverdon Drive Camp Hill, PA 17011 PARISH BY-LAWS Preamble The following by-laws are adopted in accordance with Part Three of the Archdiocesan Uniform Parish Regulations. Their intent is to implement and supplement these regulations at the community level. These by-laws, together with the Uniform Parish Regulations, establish the procedural guidelines for the operation of the Greek Orthodox Parish of Greater Harrisburg. While these by-laws and regulations outline the means by which the Parish Council shall administer the Parish, every effort should be made to encourage the involvement of all parishioners in the conduct of Parish affairs. The primary concern of every parishioner, together with his or her religious convictions, should be “the good of the Parish.” Article I Parish Council Section 1. OFFICERS – The Parish Council Officers shall consist of a President, 1st Vice-President, 2nd Vice-President, Treasurer, Financial Secretary, and Secretary, who shall be elected for a one-year term at the first meeting following elections. The President and Treasurer may not serve more than six (6) consecutive years in the office.

Section 2. MEMBERSHIP – The Parish Council shall consist of fifteen (15) members. Each member shall be elected for a three-year period, with five (5) members being elected each year. Section 3. MEETINGS – The Parish Council shall meet at least monthly throughout the calendar year. These meetings shall be deemed to be “scheduled meetings” and will occur on a day determined by the action of the Parish Council. Absence from two (2) consecutive scheduled Parish Council meetings without justifiable cause shall be deemed to be an act of resignation by the Parish Council member. Article II Standing Committees Section 1. STANDING COMMITTEES – The Parish Council shall have the following standing committees: (a) Stewardship Fulfillment Committee – This committee shall be comprised of at least two (2) members from the Parish Council and three (3) laymen. (b) Church Committee – This committee shall be comprised of at least two (2) Parish Council members and three (3) laymen. (c) Finance Committee – The membership of this committee shall include the Treasurer, Financial Secretary, and Secretary of the Parish Council and at least three (3) laymen. (d) Fund Raising and Special Events Committee – The membership of this committee shall be established by the President, with the approval of the Parish Council. (e) Building and Grounds Committee – The membership of this committee shall be established by the President, with the approval of the Parish Council. (f) Liaison Committee – The President of the Parish Council shall head this committee.

(g) Program Committee – The membership of this committee shall be established by the President, with the approval of the Parish Council.

Article III

Functions of Committees Section 1. STEWARDSHIP FULFILLMENT COMMITTEE – This committee shall be responsible for: (a) The continuing development and promotion of the Stewardship Program; (b) Consultation with individuals concerning their personal financial, ministerial, and spiritual Stewardship manner; (c) Planning for and coordinating the year-round Stewardship effort; (d) Reporting pertinent statistical information to the Parish Assembly and the parish as a whole. Section 2. CHURCH COMMITTEE – The Church Committee shall be responsible for the operation of the services within the church itself and shall be responsible for all supplies in the Narthex, Nave, and Altar areas. This committee shall be responsible for the selection of ushers each Sunday who will serve in that capacity for a period to be determined by the chairman. The chairman of this committee is also responsible to note visitors entering the church and give a list thereof to the Parish Priest so that the Parish Priest may formally welcome such visitors to the church. Reports will be submitted to the Parish Council monthly. Section 3. FINANCE COMMITTEE – The Finance Committee will prepare and submit a written report at the scheduled monthly meetings, setting forth the total receipts and expenditures for the preceding and succeeding months. Also, this committee will prepare a budget for the forthcoming fiscal year to be presented to the Parish Council. Section 4. FUND RAISING AND SPECIAL EVENTS COMMITTEE – The Fund Raising and Special Events Committee will plan and supervise community sponsored fund raising activities, such as bazaars and dances, based on projection of income from these functions. This committee will assist the Finance Committee in preparing an annual budget for presentation to the Parish Assembly.

Section 5. BUILDING AND GROUNDS COMMITTEE – The Building and Grounds Committee will be primarily concerned with the maintenance of the church buildings and grounds. The committee will submit a report to the Parish Council at its scheduled monthly meetings. Section 6. LIAISON COMMITTEE – This committee shall prepare a calendar of events for the church year and shall be responsible for correlating organizational activities within the church. The President of the Parish Council shall head this committee. Membership will include the leaders of all interested church, fraternal, and social groups. Section 7. PROGRAM COMMITTEE – The Program Committee shall oversee the activities of the Choir, Sunday School, Greek School, Camp, and other educational and recreational programs of the community. This committee will make monthly reports at the Parish Council meetings concerning the Sunday School and Greek School, including attendance, curriculum, and any other information necessary for maintaining successful programs. Article IV

Duties of Officers Section 1. PRESIDENT – The President shall preside at all meetings of the Parish Council and shall head the Liaison Committee. The President shall also preside at Executive Committee meetings. Section 2. 1ST AND 2ND VICE-PRESIDENTS – The 1st and 2nd VicePresident shall preside at all meetings of the Parish Council in the absence of the President. Also, the 1st or 2nd Vice-President shall assume other duties as may be necessary at the direction of the President. Section 3. TREASURER – The Treasurer shall be responsible for the deposit and disbursement of church funds, shall serve as co-chairman of the Finance Committee together with the Financial Secretary, and shall be responsible for the preparation of a budget for presentation to the Parish Assembly.

Section 4. FINANCIAL SECRETARY – The Financial Secretary shall record the payment of dues and Stewardship commitments and the delinquencies thereof monthly. Further, he or she will assist the Treasurer in overseeing the financial affairs of the Parish and serve as co-chairman of the Finance Committee. The Financial Secretary will also serve as a member of the Membership Committee. Section 5. SECRETARY – The Secretary shall prepare the minutes of Parish Council meetings and maintain the records and reports of the Parish Council and its committees. Section 6. EXECUTIVE COMMITTEE – The Executive Committee will be comprised of the President, the 1st Vice-President, the 2nd Vice-President, the Treasurer, the Financial Secretary, and the Secretary. The Executive Committee shall act in a advisory capacity to the Parish Council, shall comprise the Grievance Committee, shall make committee assignments, including the appointment of committee chairman, establish an agenda for meetings, and ensure that monthly reports are submitted by the standing committees. In addition, the Executive Committee may, from time to time, be given additional authorization by majority action of the Parish Council. Article V

Duties of the Parish Council Section 1. – The Parish Council shall be authorized to conduct the normal affairs of the Parish, including the appointment and termination of employees. The Council shall also be authorized to set salaries of all employees and to increase or decrease such salaries. Section 2. EXPENDITURES – The Parish Council shall be authorized to disburse funds for budgeted items in accordance with the budget submitted to and approved by the Parish Assembly. In addition, the Parish Council shall be empowered to make normal and reasonable expenditures on nonbudgeted items deemed necessary. Any expenditures on non-budgeted items other than as stated in this section must receive approval by the Parish Assembly.

Section 3. ACTION BY THE PARISH COUNCIL – Unless otherwise indicated, the Parish Council is authorized to transact the business at hand by the majority vote of those present at a given Parish Council meeting, provided, however, that at least two-thirds of the Parish Council members are present when the vote is taken. Section 4. PARISH COUNCIL MEETINGS – Regular monthly meetings, which are normally held the first Tuesday of each month, shall be open to members of the Parish. Any parishioner may attend such meetings if he or she wishes to express an opinion or bring to the attention of the Parish Council a matter of concern to the parishioner or to the whole community, after notifying the Council in advance to be added to the meeting’s agenda. Article VI Election Rules Section 1. ELECTION OF PARISH COUNCIL MEMBERS - For purposes of voting in the annual election of Parish Council members, a parishioner in good standing is defined as any member of the Parish who submits a completed stewardship pledge card on or before the end of the Ecclesiastical Year, August 31, prior to the elections on the third Sunday in November of each calendar year. Section 2. CANDIDATES – Any parishioner in good standing may submit his or her candidacy for membership on the Parish Council. Section 3. BOARD OF ELECTIONS – The Board of Elections, which shall be comprised of four (4) parishioners elected by the Parish Assembly to serve a one-year term, shall prepare the ballot in alphabetical order. The Board shall open the polls after the Divine Liturgy and shall close the polls at 2:00 p.m. on the day of elections. The Board will be responsible for the counting of the ballots and shall announce the five (5) candidates with the greatest number of votes. Section 4. BOARD OF AUDITORS – The Board of Auditors shall consist of three (3) parishioners elected by the Parish Assembly to serve a one-year term. The Board shall audit regularly the accounting records of the Parish

and prepare a report of such audit presentation to the Parish Assembly, with copies to be transmitted to the Metropolis and the Archdiocese. Section 5. VOTING - A voter may vote for any number of candidates in a Parish Council election up to the number of vacancies. Section 6 ABSENTEE VOTING – (a) Absentee ballots shall be made available to parishioners who for physical or health reasons are unable to personally cast a ballot on the day of elections and who are otherwise able, competent, and eligible to vote. (b) The Board of Elections shall establish procedures for obtaining and submitting absentee ballots, decide questions of individual eligibility for voting by absentee ballot under the provisions of this section, and otherwise oversee the conduct of the absentee voting process. Article VII Miscellaneous Section 1. RULES OF PROCEDURE – The Uniform Parish Regulations of the Archdiocese and Robert’s Rules of Order shall serve as the official rules of procedure for the Parish. Section 2. COMMITTEES – The committees created by these by-laws are standing committees and shall not be abolished except by act of the Parish Assembly. Additional committees may be established by the Parish Council for special assignments on a temporary basis. Section 3. PARISH ASSEMBLIES – The Parish Council will call at least two (2) Parish Assemblies each calendar year, one of which shall be held the second Sunday of December. Section 4. AMENDMENTS – These by-laws may be altered or repealed by the affirmative vote of a majority of the parishioners present at a Parish Assembly meeting, provided, however, that such parishioners receive 14 days’ notice of such meeting, that the notice includes the proposed amendments, alterations, or deletions, and provided that a quorum is present at the Parish Assembly as provided in these by-laws.

Section 5. QUORUM – The Chairman of the Parish Assembly shall first determine that proper notice of the meeting was provided in accordance with Section 4. The presence of at least 50 members of the Parish in good standing will constitute a quorum for the transaction of business by the Parish Assembly. When at least 50 members are not present, the Chairman, at his or her discretion, may call for a vote among those members present as to whether to proceed with the Parish Assembly. Section 6. EFFECTIVE DATE – The effective date of these by-laws is April 9, 2006.
