Premicon AG

8

Premicon AG, with headquarters in Munich, was founded in 1998 as a service provider for investors. In order to provide the investors with good prospects the company focused from the beginning on designing profit-oriented closed funds based on the growing market in high sea and river cruises. After more than 10 years in business Premicon AG is more than a service provider. It offers everything from one source and has consequently expanded its services in the cruise and tourism industry. This includes the actual running of ships as well as the planning and construction supervision to form a complete service package for the tour operators who charter ships and market cruises. There has been an even stronger focus on this branch of the business since the beginning of 2013. Currently with 21 river cruise ships, Premicon has one of the largest fleet in the cruise area of the Rhine, Main, Mosel and Danube; there is also the ocean-going cruise ship MS /ASTOR which was completely modernised at the beginning of 2010. You can see Premicon AG’s entire fleet in the table on pages 6 and 7 with all the ships and territories. Premicon AG is also the majority shareholder in Köln Düsseldorfer Deutsche Rheinschifffahrt AG, the oldest German ocean carrier public limited company with 180 years of tradition in river cruises. At the end of 2009 TransOcean, a river cruise tour operator, has joined the Premicon group. TransOcean has three Premicon ships on offer on the river: MS/BELVEDERE, MS/BELLEJOUR and MS/BELLEFLEUR. This tour operator also promotes the ASTOR.

9

Premicon’s other 18 river cruise ships are leased to various national and international tour operators including the German market leaders TUI and DERTOUR. In 2011 TUI designed its own product line – TUI FlussGenuss – consisting exclusively of Premicon ships. 2014 there will be 4 ships, including 3 twin cruisers.

Köln Düsseldorfer Deutsche Rheinschiffahrt AG is the oldest continuous publically traded company in Europe and Europe‘s most experienced inland waterway shipping company. Founded in 1826, today it is the market leader and operates 13 excursion boats on the Rhine, Main and Mosel. Approximately 270 employees work on these ships as crew members and service personnel. The excursion boats bring an annual turnover of approximately 19 million euros. In 2000 Premicon became a majority shareholder in the company. The Köln Düsseldorfer Deutsche Rheinschiffahrt AG restricts their marketing exclusively to their core business of day trip navigation. KD offers an extensive service package for the operation of river cruise ships via their subsidiary KD Cruise Services Ltd. This subsidiary is located in Cyprus, a country with a long history in shipping. A further reason for deciding the place of location in Cyprus was also the crew on board the ships, so that we could offer them uniform and safeguarded social and tax conditions. With the private health and retirement insurance plan from Allianz, our employees enjoy exceptional coverage that you won’t find just anywhere.

G&P Cruise Hotel Management GmbH

12

Together with G&P Sea Cruise Hotel Management (Cyprus-Limassol) Ltd, the Swiss company G&P Cruise Hotel Management GmbH is responsible for hospitality on river cruise ships. As an established company, which as «Gsell & Partner» was at that time primarily concerned with hotel management and hotel consulting onshore, we were able to take on the catering of two river cruise ships in 2003. With that, the company G&P Cruise Hotel Management GmbH was born, as was our boundless enthusiasm for ships. With each year we were able to grow further and today we are very proud to be in charge of catering for 27 modern river cruise ships. As part of the G&P Group Lucerne, we employ around 1,200 staff of whom around 50 are at the headquarters in Lucerne. From the beginning size was not the most important aspect for us but rather our focus was on quality and the customer. We consider ourselves as service providers whose most important task is to provide an excellent service to guests on board and to cooperate with our partner companies as a TEAM. Our common goal is an extremely satisfied customer. In order to achieve this goal, we require a positive and happy crew who are prepared to play their part. Fortunately, a large team of permanent staff has formed who have been in action for G&P for a number of seasons. Those who are new to the company are invited to profit from the wealth of experience and from the G&P philosophy lived by the existing crew. During the season on board our crew undergo training sessions in all departments with the goal of professional as well as personal development. The G&P Campus was established specifically for this purpose. Customized training and advanced training courses are conceived and organized at the head office in Lucerne. Actively participate in these exciting, entertaining and effective advanced training courses – our motto being «Don’t stop learning as you journey through life!»

Communication on board

On board the ships, the captain, the cruise director and the hotel manager, are representatives of the partner companies, and are jointly and directly responsible for the guests‘ wellbeing. Clear communication among the three is therefore essential. Questions and difficulties that occur must be solved directly and collectively, always for the good of a smoth ship operation and for satisfied guests. Any personal animosities among the management staff of the ship would be detrimental to the partner companies, they have no place on board and are prohibited by the head offices. Where navigation, security, the protection of guests and staff are concerned, the captain is the final authority on board. The captain‘s decisions may also affect the travel programme and the hotel operation, e. g. in the event of high or low tides, extreme weather conditions, delayed departures or arrivals, illness or death on board etc. Smooth cooperation is vitally important, particularly in these exceptional situations.

When possible, we will introduce your ideas into daily business. You will in any case receive a response from us concerning your input. 26 R Relationships on Board The members of the management on board the ships are aware of the G&P policy regarding asymmetrical relationships. Any such relationship is always regarded as an abuse of a supervisor position and will lead to an immediate dismissal – the only exception to this is when G&P is immediately and officially informed about this relationship beforehand. Also explicitly not welcomed are relationships with representatives of our partner companies. Relationships with our guests The team members are encouraged to entertain a personalized service. Safety Principles Safety is among the most important principles on all of our ships. Each and every staff member is to help ensure the utmost in safety on board. All legal regulations and guidelines are to be complied with in full. You will find these in the booklet called «Safety Instructions» of Premicon AG. Sleeping Hours On the ship «sleeping hours» generally begin at midnight. Of course this does not apply to those members of the crew who are on duty or stand-by duty. Smuggling The illegal transport of drugs, weapons, cigarettes, antiques etc., across any border is strictly prohibited. Failure to obey this rule will result in immediate dismissal.

We are happy to see your contributions but please be aware that it is not permitted to do this during working hours. It is also not permitted to post any internal information, obscene or inappropriate pictures or similar. Always be aware of your appearance on the net. Whatever you reveal / write / publish will be perceived as your identity and your personality. We expect the same respectful behaviour towards your colleagues online as face-to-face. Non-compliance can lead to sanctions. It is not permitted to establish any new Facebook pages under the name G&P. Sustainability The conservation of the environment as well as sustainability in daily life is an important concern for the G&P Group. We ensure responsible use of resources and assume social responsibility.

28 T Tattoos Noticeable tattoos must be covered up during working hours. Please consult your head of department / hotel manager or address the subject when picking up your uniform. Telephone All crew cabins are equipped with a telephone. As only a small number of telephone lines are available, the telephones are only activated in urgent cases. We therefore ask you to use your own mobile phone (see section «Mobile Phones»). Tolerance Living together on a ship for several months requires a high degree of TOLERANCE and mutual RESPECT. Please bear this fact in mind. TV The ship is equipped with a satellite system so that you can receive several channels without problems. Short-term disrup tions of reception may occur when the ship passes under bridges or through locks. Always keep your TV set at a moderate volume level.

U Uniform Please read the relevant sections in your employment contract and the information leaflet carefully. As concerns wearing your uniform, read the sections «Hygiene,» «Clothing / Under wear,» and «Name Badge / Tie Pin».

V Valuables Please read the section «Cabin».

W Waste G&P adheres to a precise concept of waste separation. For the crew, this means that waste is to be sorted into glass, left-over food, residual waste etc. and taken to the waste disposal facility.

29

Work Schedule Your work schedule will be duly announced to you by your head of department.

For the sake of simplicity and readability, we have used the male form in this text. It is self-evident that our female employees are also meant.
