Super Smash Bros Wii U Singles Tournament OFFICIAL RULES 1. Tournament Period The Super Smash Bros Wii USingles Tournament (the “Tournament”) begins at 12:00:00 p.m. Eastern Time (“ET”) on April 29, 2016 and ends at 11:59:59 p.m. ET on May 1, 2016 (the “Tournament Period”). By participating in the Tournament, each entrant agrees to abide by and be bound by these Official Rules. Entrants further agree to abide by and be bound by all decisions of Enthusiast Gaming Live Inc., 21 Kodiak Crescent, Toronto (the “Sponsor”), which shall be final and binding, without right of appeal, in all matters relating to this Tournament and the awarding of the prizes, including without limitation eligibility and/or disqualification of entrants. 2. Eligibility The Tournament is open to entrants who are 13 years of age or older as of the date of entry. Entrants who are below the age of majority in their jurisdiction of residence must have the permission of their parent or legal guardian in order to enter the Tournament, and must provide proof of such permission upon request by Sponsor at the time of registration at the EGLX Show (as defined below), as set out in the competitor registration form. Excluded from eligibility are the officers, directors, employees, agents and representatives of Sponsor, any Tournament judges, and each of their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies (collectively, the "Tournament Entities"), and members of the immediate families (defined as parents, siblings, children and spouses, regardless of where they live) or households (whether or not related) of such officers, directors, employees, agents and representatives. ALL APPLICABLE FEDERAL, STATE, PROVINCIAL, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED BY LAW. 3. How to Enter NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR ODDS OF WINNING. To obtain one (1) entry, either: (A) Purchase a competitor pass to the EGLX show taking place at the International Centre (6900 Airport Road, Mississauga, ON) on April 29 – May 1, 2016 (the “EGLX Show”) prior to April 15, 2016 (the “Registration Deadline”) by visiting http://eglx.ca and following the directions applicable to the EGLX Show, and provide all information required, including indicating the name of the Tournament(s) you wish to enter (subject to the limitations below). Then, follow the instructions provided by Sponsor to you via email to pick up your competitor pass at the registration table at the EGLX Show, including the requirement to present government-issued photo identification and a copy of the email notification from Sponsor or its representative; OR (B) To obtain a limited pass to enter the Tournament without making a purchase, type or clearly handwrite on a blank piece of paper an original essay describing your top three (3) favourite video games and how the characters in those games contributed to the overall storyline, to a minimum of 250 words (the “Essay”). Please note that your limited pass will only allow you to participate in the Tournament; it does not include access to other areas of the EGLX Show. Mail the Essay together with your first name, last name, phone number, age, province/state, email address and the name of the Tournament(s) you wish to enter (subject to the limitations below) to: 44 Frid Street, Hamilton, Ontario, L8N 3G3. If you are below the age of majority in

your jurisdiction of residence, your mail-in entry must include confirmation of permission from your parent or legal guardian to participate in the Tournament. Mail-in entry must be postmarked by April 15, 2016 and received by Sponsor no later than April21, 2016. Then, follow the instructions provided by Sponsor to you via email to pick up your limited competitor pass at the registration table at the EGLX Show, including the requirement to present government-issued photo identification and a copy of the email notification from Sponsor or its representative. Proof of mailing is not proof of receipt; Sponsor shall not be responsible for lost, stolen, late, incomplete or illegible entries. Then, during the Tournament Period, compete in game play at the EGLX Show in accordance with the rules set out in Schedule A. Entrants must follow the directions of Sponsor and its authorized agents and representatives during game play, and comply with the Code of Conduct made available by Sponsor and any other terms associated with admittance to the EGLX Show, including without limitation with respect to sportsmanlike conduct. Limit: one (1) Tournament entry per person during the EGLX Show, except as otherwise provided in Schedule A.

4. Prizes There are either six or eight prizes available to be won, depending on the number of entrants who participate in the game. Prizes are based on a specified percentage of the total Available Prize Pool (see below for details). The total available Prize Pool (the “Available Prize Pool”) consists of the aggregate or total of two components: (i) a pot bonus of $4,000 CAD (the “Pot Bonus”) plus (ii) a variable pool prize (the “Variable Pool Prize”). The size of the Variable Pool Prize is dependent on the number of entrants who participate in the game and is calculated as follows. The Variable Pool Prize starts at $10CAD and, for each additional entrant who participates in the game, the amount of the Variable Pool Prize is increased by $10 CAD.

The following prizes are available to be won: • First place prize 55% of the Available Pool Prize (the “First Place Prize”). • Second place prize 25% of the Available Prize Pool (the “Second Place Prize”). • Third place prize 10% of the Available Prize Pool (the “Third Place Prize”). • Fourth place prize 5% of the Available Prize Pool (the “Fourth Place Prize”). • Fifth place prize 2.5% of the Available Prize Pool p (if there are 100 or fewer entrants who participate in the game) OR 3% of the Available Prize Pool (if there are more than 100 entrants who participate in the game) (the “Fifth Place Prize”). • Sixth place prize 2.5% of the Available Prize Pool (if there are 100 or fewer entrants who participate in the game) OR 3% of the Available Prize Pool (if there are more than 100 entrants who participate in the game) (the “Sixth Place Prize”). • Seventh place prize 2% of the Available Prize Pool (only if there are more than 100 entrants who participate in the game) (the “Seventh Place Prize”). • Eighth place prize 2% of the Available Prize Pool (only if there are more than 100 entrants who participate in the game) (the “Eighth Place Prize”). Prizes must be accepted as awarded and may not be substituted except at Sponsor’s sole discretion. Sponsor reserves the right, at its sole discretion, to substitute a prize of greater or equivalent monetary value if a prize cannot be awarded as described for any reason. The prizes

will be sent via mail or courier only to verified winners who have complied with the requirements in paragraph 6, within fifteen (15) days of winner confirmation in the form of a cheque. Sponsor will not replace any lost or stolen prizes and is not responsible for postal delays, strikes or errors.. Any other costs or expenses associated with the prizes not specified herein will be the responsibility of the winners. Taxes, if any, are the sole responsibility of the winners. In the event that a winner has not reached the age of majority in his or her jurisdiction of residence, the prize shall be made payable to the winner but delivered to his or her parent or legal guardian. 5. Winner Selection On May 1st 2016 at 6900 Airport Road, Mississauga, ON at 10:00 p.m. ET: (a) the entrant who wins the game in accordance with Schedule A as of the end of the Tournament Period will be announced as the potential winner of the First Place Prize; (b) the entrant who places second in the game in accordance with Schedule A as of the end of the Tournament Period will be announced as the potential winner of the Second Place Prize; (c) the entrant who places third in the game in accordance with Schedule A as of the end of the Tournament Period will be announced as the potential winner of the Third Place Prize; (d) the entrant who places fourth in the game will be announced as the potential winner of the Fourth Place Prize; (e) the entrant who places fifth in the game will be announced as the potential winner of the Fifth Place Prize; (f) the entrant who places sixth in the game will be announced as the potential winner of the Sixth Place Prize; (g) if there are more than 100 entrants who participate in the game, the entrant who places seventh in the game will be announced as the potential winner of the Seventh Place Prize; and if there are more than 100 entrants who participate in the game, the entrant who places eighth in the game will be announced as the potential winner of the Eighth Place Prize. In the event that more than one (1) person comprises the First Place Prize, Second Place Prize, Third Place Prize, Fourth Place Prize, Fifth Place Prize, Sixth Place Prize, Seventh Place Prize (if applicable) or Eighth Place Prize (if applicable) winner in accordance with Schedule A, the applicable prize shall be divided equally among the players that comprise that winning team, subject to compliance with these Official Rules. Chances of winning depend on the number of entrants and skill in playing the game. Potential winners who are present for the announcement will be informed of the prizes won in person; formal notification to all winners will follow via e-mail to the e-mail address provided at the time of registration or in the mail-in entry. 6. Selected Entrant Verification and Prize Claim Conditions In order to be declared a winner, selected entrants must: (a) sign and return to Sponsor, immediately after it is provided by Sponsor, a signed declaration and release form, confirming compliance with these Official Rules, releasing the Tournament Entities from any liability in connection with this Tournament or the use, misuse, awarding or possession of any prize, and consenting to use of his or her image in publicity (the “Release”); and, (b) otherwise comply with these Official Rules. In the event that a potential winner is below the age of majority in his or her jurisdiction of residence, Sponsor shall require the potential winner’s parent or legal guardian to ratify the potential winner’s Release, and his or her prize shall be awarded to his or her parent or legal guardian. Failure to provide proof of eligibility (if requested), Release documents, or other required documentation in a timely manner or other non-compliance with these Official Rules may result in disqualification, forfeiture of the prize and, at Sponsor’s sole discretion, selection of an alternate eligible entrant for the forfeited prize in accordance with these Official Rules, who will be subject to

disqualification in the same manner. 7. Right to Void / Terminate / Suspend / Modify Sponsor reserves the right, to terminate, suspend or modify this Tournament or these Official Rules, in whole or in part, at any time and without notice or obligation. Without limiting the generality of the foregoing, if the Tournament, or any part thereof, is not capable of running as planned for any reason, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, programming errors, or technical issues or failures, which, in the sole discretion of Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Tournament, Sponsor may, in its sole discretion, void any suspect entries and: (a) terminate the Tournament, or any portion thereof; (b) modify or suspend the Tournament, or any portion thereof, to address the impairment and then resume the Tournament, or relevant portion, in a manner that best conforms to the spirit of these Official Rules; and/or (c) award the prizes from among the eligible, non-suspect entries received up to the time of the impairment in accordance with the winner selection criteria discussed above. Sponsor reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process, the operation of the Tournament, violates the Official Rules or the Code of Conduct, or acts in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person.

8. Limitation of Liability and Releases BY PARTICIPATING IN THIS TOURNAMENT, EACH ENTRANT AGREES THAT SPONSOR, THE TOURNAMENT JUDGES AND THE TOURNAMENT ENTITIES HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANT AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND (INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES) TO PERSONS OR PROPERTY (INCLUDING WITHOUT LIMITATION BODILY INJURY, DEATH, OR ANY HARM ARISING OUT OF OR RELATING TO A TOURNAMENT ENTITY’S NEGLIGENCE) ARISING OUT OF OR RELATED TO THE TOURNAMENT, INCLUDING WITHOUT LIMITATION: (A) THE ACCEPTANCE, POSSESSION, MISUSE OR USE OF THE PRIZE, OR THE PROPERTY, GOODS OR SERVICES FOR WHICH IT IS REDEEMED; (B) ENTRY, PARTICIPATION IN, OR ATTENDANCE AT THE TOURNAMENT OR THE EGLX SHOW; (C) ANY CLAIMS BASED ON PERSONALITY OR PRIVACY RIGHTS, OR DEFAMATION; (D) AN ENTRANT’S VIOLATION OF THESE OFFICIAL RULES; OR (E) AN ENTRANT’S VIOLATION OF ANY THIRD PARTY RIGHT. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, therefore such exclusions may not apply to you. Without limiting the foregoing, Sponsor, Tournament judges and the Tournament Entities, and any of Sponsor's other suppliers or contractors, shall not be responsible for: (a) any incomplete or inaccurate information that is caused by any of the equipment or programming associated with or utilized in the Tournament, or by any technical or human error which may occur in the processing of submissions or entries in the Tournament; (b) lost, interrupted, or unavailable network, server, service provider, on-line systems, telephone networks or telephone lines, or any other connections; (c) the theft, destruction, loss or unauthorized access to, or alteration of, entries; (d) any problems with, or malfunctions or failures of, gaming equipment, telephone networks or lines, computers or computer on-line systems, servers or providers, computer equipment, software, viruses or bugs; (e) garbled transmissions or miscommunications; (f) failure of any mailed entry or e-mail to be received by or from the Tournament judges or Sponsor for any reason, including but

not limited to traffic congestion on the Internet or at any website or combination thereof or technical incompatibility, or postal delays, strikes or errors; (g) damage to a user's computer or gaming equipment (software or hardware) occasioned by participation in or downloading of materials related to the Tournament; (h) printing, distribution, programming or production errors, and any other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise; or (i) technical, pictorial, typographical or editorial errors or omissions contained herein. 9. Disputes EACH ENTRANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THIS TOURNAMENT, OR ANY PRIZES AWARDED, SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORTING TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS TOURNAMENT, BUT IN NO EVENT ATTORNEYS' FEES. Any dispute or other legal action concerning the Tournament shall be conducted in Toronto, Ontario and Tournament participants irrevocably attorn to the exclusive jurisdiction and venue of the courts of the Province of Ontario. 10. Protection Of Personal Information and Publicity Release Sponsor and its authorized agents will collect, use, and disclose the personal information you provide when you enter the Tournament for the purposes of administering the Tournament and prize fulfillment. You may be offered the opportunity to receive additional communications from Sponsor or its partners about its products, and upcoming tournaments, contests and promotions. By entering the Tournament, each entrant agrees to Sponsor's use of his/her name, city/province/state of residence, picture, biographical information, statements, voice, likeness and recorded video in any advertising and publicity Sponsor, the Tournament Entities and any of their respective successors, assigns and licensees may conduct relating to the Tournament in any media or format, whether now known or hereafter developed, including but not limited to the World Wide Web, at any time or times in perpetuity, without further compensation, approval, review or notice, and hereby releases Sponsor and the Tournament Entities from any liability with respect thereto. For further information about Sponsor's privacy practices, please see Sponsor's Privacy Policy at: http://eglx.ca/privacy-policy/. 11. Law These are the Official Rules. The Official Rules are subject to change without notice in order to comply with any applicable federal, provincial, state and municipal laws or the policy of any other entity having jurisdiction over the Sponsor. All issues and questions concerning the construction, validity, interpretation and enforceability of the Official Rules or the rights and obligations as between the entrant and the Sponsor in connection with the Tournament shall be governed by and construed in accordance with the laws of the province of Ontario including procedural provisions without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. By entering the Tournament, each entrant: (a) represents, warrants and confirms that he/she is permitted to enter under, and that the Tournament and these Official Rules comply with, the laws of his/her country, state/province and city of residence; and (b) recognizes that the Tournament, his/her entry and any prize will be void where prohibited by law. 12. Language Discrepancy

In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules and disclosures or other statements contained in any Tournament-related materials, including but not limited to the Tournament entry form, or point of sale, television, print or online advertising, the terms and conditions of the Official Rules shall prevail, govern and control. In the event of any discrepancy or inconsistency between the English language version and the French language version of the Official Rules, the English version shall prevail, govern and control. 13. General Conditions Sponsor will not acknowledge or return any entries and no correspondence will be made with or entered into except with selected entrant(s). Winning a prize is contingent on fulfilling all the requirements set forth herein. All entries and prize claims are subject to verification. Entrants agree to abide by these Official Rules. Decisions of Sponsor and/or any independent Tournament judging organization will be final and binding on all matters pertaining to this Tournament.. Sponsor reserves the right to correct any typographical, printing, computer programming or operator errors. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable, then the Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. Should a winner make any false statement(s) in any entry, submission or document referenced above, the winner may be required to promptly return to Sponsor his/her prize, or the cash value thereof. WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE, COMPUTER, HARDWARE, SOFTWARE OR GAME ASSOCIATED WITH THIS TOURNAMENT OR UNDERMINE THE LEGITIMATE OPERATION OF THE TOURNAMENT IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.

Schedule A Super Smash Bros Wii U Singles • Game Settings: 2 Stocks, 6 Minute Time Limit, Best of 3 Games. Finals are best of 5. • Items are disabled. • Starter Stages: Final Destination, Battlefield, Smashville, Dreamland, Town and City • Counter-Pick Stages: Duck Hunt, Kongo 64, Halberd, Delfino plaza, Castle Siege, Lylat Cruise. • Custom fighters are set to off • Mii Fighters are legal. Each setup will have 1-1-1-1 Mii Brawlers/Swordsmen/Gunners available for use (Using Default A Mii). No other specials for Mii Fighters will be allowed. Players are not allowed to transfer existing Miis to a setup.

• All released characters as of July 1st (Roy, Ryu, Mewtwo, and Lucas) are legal. Any DLC characters released after this date are will not be legal. • You may not choose any stage you have won on during a set, unless agreed by both players. • If a match ends with the successful use of a character's self-destruct move, the player that initiated the self-destruct move wins the match regardless of what the results screen states. Self-destruct moves include only Ganondorf's Side-B, King Dedede's Neutral-B, Wario's Neutral-B, and Kirby's Neutral-B. • If time runs outs, the tie is determined by most stocks, and then if still tied, by percentage. If percentage is tied, a 1 stock, 3 minute match is played. Player's Choice Clause: You may play by a rule outside of this rule set if your opponent agrees to it as long as it does not under any circumstance delay the tournament process. In the event of a disagreement, house rules stand. ● Double Blind Character Picks: Players may elect to double blind pick their characters for the first match in case of any disputes. ● Neutral Spawn Points: Players may elect to use neutral spawn points to decide controller ports for the first match in case of any disputes. ● Round Robin Ties: Ties during round robin pools will be settled by Win/Loss ratio first, then Head to Head. ● Glitches: Any action that can prevent the game from continuing (freezing, disappearing characters, game reset, etc.) will result in forfeiture of the match for the player that initiated the action. You are responsible for knowing your own character and must be wary about accidentally triggering one of these effects.

Matches proceed as follows: 1. Players select their characters. Any player may choose to Blind Pick. In this case, each player secretly tells a third player their character before picking with the third player verifying their selections. 2. Players play Rock-Paper-Scissors. Winner chooses between selecting controller port or first Stage Strike. 3. Players take turns removing stages from the starter stages list above based upon the results of the previous rule. The first player to strike removes one stage from the list, the second player removes two, and the first player then chooses from the remaining two stages. 4. The players play the first match of the set. 5. Winning player of the preceding match bans one stage from the full list of stages. 6. The losing player of the preceding match picks a stage for the next match. Cannot choose the stage banned in the previous step, nor a stage they've already won on during this set, unless agreed. 7. The winning player of the preceding match may choose to change characters.

8. The losing player of the preceding match may choose to change characters. 9. The losing player of the preceding match may change their controller port. 10. The next match is played. Repeat Steps 5 through 10 for all
