STREET FIGHTER 25TH ANNIVERSARY TOURNAMENT OFFICIAL TERMS AND CONDITIONS These are the Official Terms and Conditions (“Official Rules”) governing the STREET FIGHTER 25th ANNIVERSARY TOURNAMENT SERIES tournaments operated in North and South America, sponsored by Capcom U.S.A., Inc. (“Capcom”). 1. Tournament Description: The Street Fighter 25th Anniversary Tournament Series is a global series of competitive gaming featuring the following hit games from the Street Fighter series: Street Fighter X Tekken, Super Street Fighter IV Arcade Edition, Street Fighter III: 3rd Strike Online Edition and Super Street Fighter II HD Remix. Spanning seven qualifying rounds on four continents, the Series culminates in a Grand Final tournament in San Francisco, California. A total of $500,000 in cash, prizes and travel will be awarded throughout the tournament series. The tournaments will begin on July 28th 2012 and conclude with the Grand Finals on December 8th 2012 in San Francisco, California. 2.

Tournament Definitions: Tournament: Collectively, the Qualifying Tournaments and Grand Final Tournaments taking place in North and South America. Qualifier: One of three regional qualifying tournaments taking place in North America (currently scheduled for Austin, New York Metro, and Los Angeles) and comprised of Qualifying Tournaments for each of the Tournament Games. International Qualifying Tournament: An individual qualifying tournament for a Tournament Game taking place outside of North America (currently scheduled for Hong Kong/Taipei, London and Paris; tentative for Sao Paolo). International Qualifying Tournaments are not sponsored by Capcom and are not subject to these Official Rules. Qualifying Tournament: An individual tournament for a Tournament Game taking place at each Qualifier. Tournament Game: Any one of the following: Street Fighter X Tekken, Super Street Fighter IV Arcade Edition, Street Fighter III: 3rd Strike Online Edition and Super Street Fighter II HD Remix. Grand Finals: A tournament to be held December 8, 2012 in San Francisco, California comprised of Grand Final Tournaments. Grand Final Tournament: An individual tournament for a Tournament Game at the Grand Finals. Players in a Grand Final Tournament shall be comprised of the Winners of each Qualifying Tournament, as well as one winner of each International Qualifying Tournament, and any other international tournament competitor that Capcom in its sole discretion may choose to invite. Event: Includes (i) a Qualifier, (ii) a Qualifying Tournament, (iii) the Grand Finals, (iv) a Grand Final Tournament, or (iii) any press, publicity, promotional or other event related to the Tournament.

Winner: The winner of a Qualifying Tournament or of a Grand Final Tournament. All references to Winner, if the Winner is a Minor (as defined in Section 4 below), shall include the Winner’s parent or legal guardian. 3. Tournament Rules: Each Qualifying Tournament and the Grand Final Tournaments will be conducted according to the EVO TOURNAMENT RULES (“Competition Rules”), available at http://evo.shoryuken.com/evo-player-guide/evo-tournament-rules/. In addition, each Qualifying Tournament and the Grand Final Tournaments shall also be governed by rules specific to this Tournament (“Tournament Rules”) available at http://shop.capcom.com/sf25tournament. Both the Competition Rules and the Tournament Rules are incorporated into and made a part of these Official Rules. To the extent that any statement in these Official Rules conflict with or are inconsistent with the Competition Rules, these Official Rules shall govern. Each International Qualifying Tournament shall be governed by separate rules as provided by the sponsor of each such qualifying tournament. Capcom is not the sponsor of any International Qualifying Tournament. 5. Eligibility: This Tournament is open to all individuals 13 years old and older as of June 1, 2012 (“Players”). All Players at least 13 years old, but under the age of majority in the jurisdiction in which they live (a “Minor”) (i) must have the permission of a parent or legal guardian to register for and participate in the Tournament, and (ii) must be accompanied by a parent or legal guardian at each Event in which he or she participates. Hereafter, all references to “Player” shall include the Player’s parent or legal guardian if the Player is a Minor. Employees, directors and officers, and their immediate families (spouses and siblings, parents and children and their spouses) of Capcom, its parent, subsidiaries, affiliates, distributors, agents and any entity involved in the implementation, execution, prizing and prize fulfillment of the Tournament (collectively, “Tournament Entities”), are not eligible to participate in the Tournament.

How To Enter: Each Player must register by one of the methods below: (i) On-line Registration: Visit http://shop.capcom.com/sf25tournament and follow the instructions there to make a reservation for one or more Qualifying Tournaments. Players will be required to enter valid credit card information to reservation a spot in any Qualifying Tournament. There will be no charge to the credit card if Player checks in for the reserved Qualifying Tournament spot on the date and time specified in the reservation. Players that do not check in for his or her reserved Qualifying Tournament spot will have his or her credit card charged $20.00 on the date Player was scheduled to play. On-line registration for all Qualifying Tournaments will be available at least fourteen (14) days prior to the applicable Qualifier. On-line registration will close twentyfour (24) hours prior to the commencement of each Qualifier. Information collected from Players via the on-line registration system is subject to Capcom’s Privacy Policy which can be found at www.capcom.com/capcom/legal_privacy/privacy.html. ON-LINE REGISTRATION WILL NOT BE AVAILABLE FOR RESIDENTS OF ARIZONA, IOWA, LOUISIANA, NORTH DAKOTA, TENNESSEE or VERMONT. (ii) In-person Registration: A limited number of spaces for each Qualifying Tournament shall be reserved for same-day registration at the Qualifier location.

A limited number of stand-by spots may also be available at each Qualifying Tournament, subject to availability and prior on-line and in-person registration. Whether any individual Qualifying Tournament shall maintain a stand-by list shall be determined at Capcom’s sole discretion. Presence on a stand-by list does not guarantee participation in any Qualifying Tournament. All registration (on-line, in-person and standy-by, if available) shall be on a first-come, firstserved basis. Capcom reserves its right to grant priority in-person registration to residents of Arizona, Iowa, Louisiana, North Dakota, Tennessee or Vermont. By participating in the Tournament, Player hereby grants to Capcom permission to record, videotape and photograph the Player (“Player Images”). All Player Images will be owned by Capcom. Player grants to Capcom and each of its designees, the right to use, edit, adapt, post, stream, copy, display, transmit, broadcast, and otherwise exploit Player Images, including any names, likenesses, voice, conversation and any other attributes of Player’s personality and appearance, individually or with others, in whole or in part, alone or in conjunction with other material, in any and all media now known or hereafter devised, in perpetuity throughout the world, for the purpose of trade, advertising, promotion or any other lawful purpose whatsoever, without additional compensation, consideration, notification or permission, except where prohibited by law. 7. Agreement to the Official Rules: By participating in the Tournament, Player fully and unconditionally agrees to and accepts these Official Rules, the Tournament Rules and the Competition Rules, and the decisions of Capcom, which are final and binding in all matters related to the Tournament. Receipt of any prize is contingent upon Player’s compliance with all of these Official Rules. VOID WHERE PROHIBITED. 8. Code of Conduct: All Players are expected to maintain respect for one another and for all Tournament staff and spectators. Any Player behaving inappropriately, or not competing in compliance with these Official Rules, may be immediately disqualified from the Tournament,

including from any Qualifying Tournament or a Grand Final Tournament. Inappropriate behavior includes, but is not limited to, the following: •

Swearing, screaming or threats



Harassment



Cheating of any sort through any means



Intentionally delaying or slowing gameplay



Intentionally disconnecting network cables



Intentionally interrupting network connectivity



Any other known or unknown manner of tampering with gameplay



Any other type of conduct deemed inappropriate at Capcom’s sole discretion

Players agree to be bound by the decisions of Capcom and anyone acting on Capcom’s behalf, which shall be final and binding in all respects. Capcom reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the type, process, or operation of the Tournament, or to be acting in violation of these Official Rules. CAUTION: ANY DELIBERATE ATTEMPT TO DAMAGE ANY WEBSITE OR EQUIPMENT, TAMPER WITH THE ENTRY PROCESS, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE TOURNAMENT MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, CAPCOM RESERVES THE RIGHT TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES AVAILABLE TO IT TO THE FULLEST EXTENT PERMITTED BY LAW. 9.

Prizes:

(a) Players: All Players actually competing in a Qualifying Tournament shall receive a Street Fighter 25th Anniversary Tournament Series T-shirt (only one T-shirt per Player per Qualifier). (b)

In addition, the top one or two Winners (depending on the Qualifying Tournament, as set forth in the schedule above) for each Qualifying Tournament shall also receive a Trip to the Grand Finals in San Francisco. A “Trip” shall include : (i) one round trip coach class air transportation for the Winner, originating from an airport of Capcom’s choice near Winner’s primary residence, to San Francisco, California to participate in the Grand Finals on December 8, 2012 (approximate retail value (“ARV”) ranging from $300 to $2000; average ARV $890); (ii) three (3) nights hotel accommodations in San Francisco for Winner, consisting of one (1) room, based on double occupancy (meals, telephone calls, tips, gratuities, and other incidentals and costs are not included) (ARV of $600); and (iii) round trip transportation between the airport and hotel (ARV of $100). The First Place Winner of the Street Fighter x Tekken Grand Final Tournament shall also win a 2013 Scion FR-S car, specially outfitted by Capcom (ARV $35,000). Each winner of an International Qualifying Tournament shall also be provided, at Capcom’s cost, one Trip to the Grand Finals (ARV for all winners of International Qualifying Tournaments $49,800).

Each cash prize, Trip and/or other prizes awarded to a Winner (including winners of International Qualifying Tournaments), shall be collectively referred to as a “Prize” or “Prizes”. The total ARV of all Prizes is $427,000. The ARV of any Prize is subject to change based on current market conditions at time of Prize fulfillment, the time of travel, and the distance between departure location and San Francisco. Any difference between the ARVs and the actual values, if any, will not be awarded. Winner must possess valid travel documents to travel. Capcom reserves the right to substitute ground transportation in lieu of air transportation if the Winner resides within 100 miles of San Francisco, and no substitution will be provided for any difference in ARV. Additional prizes may be added at Capcom’s sole discretion. Additional prizing is not guaranteed. For updates on additional prizing, please see https://www.streetfighter25.com/tournament. 10. General Prize Restrictions: Players may win only one Qualifying Tournament for any Tournament Game. Players may win multiple Qualifying Tournaments provided that each Qualifying Tournament won is for a different Tournament Game. Winners must be able to travel to San Francisco, California on or about December 7-9, 2012. Dates for travel are subject to change in Capcom’s sole discretion. If the Winner is a Minor, he or she must be accompanied by his or her parent or legal guardian under the same terms and conditions as Winner. If a Winner is not available, able or willing to travel on the dates specified by Capcom, Winner privileges will be terminated, the Trip will be forfeited and the next highest placed Player from the relevant Qualifying Tournament shall be invited to participate in the appropriate Grand Final Tournament. All costs and expenses not specifically listed in Section 8 above as part of the Prizes, including, without limitation meals, snacks, beverages, mini-bar, entertainment, tips, gratuities, souvenirs, personal expenses, incidentals, damages to hotel rooms, baggage fees, travel insurance, departure taxes and fees, any equipment to be used in connection with the Prizes, and the like, are solely Winner’s responsibility. The Prizes are provided “as is”. Capcom will determine the airline and hotel in its sole discretion. Winners under the age of majority must travel on the same itinerary as his or her parent or legal guardian. All travel dates are subject to change in Capcom’s sole discretion. Travel restrictions, conditions and limitations may apply. Travel arrangements are subject to availability and must be roundtrip. Tournament Entities shall not be responsible for any damage to baggage or any cancellations, delays, diversions or substitutions or any acts or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of the services and accommodations necessitated by same. Winners shall be required to execute an Affidavit of Eligibility and Liability/Publicity Release (“Winner Forms”) within five (5) business days of Winner determination. Within ten (10) business days of receiving an executed copy of the Winner Forms, Capcom shall deliver and/or ship to Winner the applicable Prize(s). Failure to take delivery of any Prize may result in forfeiture, and such prize awarded to an alternate Winner. Prizes may not be transferred or assigned until after a Winner has complied with all his or her obligations under these Official Rules. No cash or other substitutions may be made, except by Capcom, who reserves the right to substitute a prize in whole or in part with another prize of comparable or greater value if the intended prize is not available for any reason as determined by Capcom in its sole discretion.

Capcom will be responsible for the costs of delivering the prize to winner’s residence; except that if the Winner of the Vehicle resides outside of the U.S., Capcom shall only be responsible for delivering the Vehicle to a U.S. port of call closest to that Winner’s residence, as determined in Capcom’s sole discretion. Costs of transport of the Vehicle outside of the U.S. shall be the sole responsibility of the Winner of the Vehicle. By participating in the Tournament, Winners acknowledge that Tournament Entities have not and will not obtain or provide insurance of any kind relating to the Prizes and that each Winner will be responsible for obtaining and paying for any life, travel, car, accident, property or other form of insurance relating to the Prizes won by him or her. Winners will be responsible for all taxes (including but not limited to federal, state, local and/or income) on any Prizes won and will be required to provide his/her Social Security number for tax reporting purposes if the retail value of the prize being awarded is $600.00 or greater (as determined in Capcom’s sole discretion). Capcom will file an IRS Form 1099 with the Internal Revenue Service for the prize if the retail value of such prize if $600.00 or greater. Refusal of a Winner to provide a Social Security number for issuance of an IRS Form 1099 will result in the Winner forfeiting the Prize(s) and an alternate Winner being selected in accordance with these Official Rules. Capcom shall comply with all IRS withholding requirements applicable to Prizes awarded to non-U.S. residents at the time the Prizes are awarded. 11. Limitations of Liability: CAPCOM HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH REGARD TO THE GAME SOFTWARE, EQUIPMENT, OPERATION OF THE TOURNAMENT, OR PRIZING, INCLUDING, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, AND THEIR EQUIVALENTS, UNDER THE LAWS OF ANY JURISDICTION. Tournament Entities shall not be responsible for any of the following: (i)

incorrect or inaccurate information whether caused by users or by any of the equipment or programming associated with or utilized in the Tournament or by any technical or human error which may occur in the processing of a Player’s registration or gameplay;

(ii)

any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, or unauthorized access which may result in alteration of gameplay or game results;

(iii)

any problems or technical malfunction of any network or lines, servers or providers, equipment, or software, including any injury or damage to Player resulting from participation in the Tournament;

(iv)

injuries or losses to Player’s person or property arising or resulting from participation in the Tournament;

(v)

any acts or omissions by Tournament Entities or their employees, whether negligent or willful, in the conduct of the Tournament;

(vi)

any equipment or software malfunction; or

(vii)

the inability to complete a game due to any technical malfunction.

7 Ver. 7.6.12(F)

Capcom, at its sole discretion, may require the replaying of any game, match, Qualifying Tournament or Grand Final Tournament, or declare any of the foregoing null and void by reason of any technical or other system error. If for any reason the Tournament or any portion thereof is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, or any other causes beyond the control of Capcom which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Tournament or any portion thereof, Capcom reserves the right, at its sole discretion, to cancel, terminate, modify, or suspend the Tournament or any portion thereof. Without limiting the generality of the foregoing, in the event that Capcom determines, at its sole discretion, that any individual game, match, Qualifying Tournament or Grand Final Tournament, has been tampered with or that the validity of any game, match, Qualifying Tournament or Grand Final Tournament has been compromised for any reason, it may eliminate that game, match, Qualifying Tournament or Grand Final Tournament from the Tournament and conduct the Tournament on the basis of the remaining game, match, Qualifying Tournament or Grand Final Tournament. In the event that any individual is adversely affected in a game, match, Qualifying Tournament or Grand Final Tournament by any technical or equipment malfunction, Capcom reserves the right to schedule special game, match, Qualifying Tournament or Grand Final Tournament among any such competitors so adversely affected. In the event of any cancellation, termination, modification or suspension of the Tournament or any portion thereof, Capcom will post a notice at https://www.streetfighter25.com/tournament. BY ENTERING, PLAYERS AGREE TO INDEMNIFY, DEFEND, RELEASE AND HOLD HARMLESS CAPCOM, ALL TOURNAMENT ENTITIES, AND THEIR RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, EXPENSES, COSTS (INCLUDING REASONABLE ATTORNEYS’ FEES) AND LIABILITIES (INCLUDING SETTLEMENTS) FOR ANY INJURIES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY OR DEATH, OR LOSS OR DAMAGE OF ANY KIND, ARISING FROM OR IN CONNECTION WITH THE TOURNAMENT, ATTENDANCE AT ANY EVENT, OR ANY PRIZE. 12. Disputes: By participating in the Tournament, Players agree that (i) any and all disputes, claims and causes of action arising out of, or connected with any Event or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in San Mateo County, California; (ii) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering and participating in this Tournament, and in no event shall any Player be entitled to recover attorneys’ fees; and (iii) under no circumstances will any Player be permitted to and each Player hereby waive all rights to claim or recover punitive, incidental, consequential and/or special damages or any other damages (other than out-of-pocket expenses) and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Players’ rights and obligations, or Capcom’s rights and obligations in connection with the Tournament, shall be governed by, and construed in accordance with California law without regard to choice of law or conflict of law rules. 13. These are the official Tournament Rules (“Tournament Rules”) governing all Qualifying Tournaments and Grand Final Tournaments operated in North America. Capitalized terms used in these Tournament Rules shall have the same meaning as set forth in the Official Rules. Tournament Rules: Each Qualifying Tournament and the Grand Final Tournaments will be conducted according to the EVO TOURNAMENT RULES (“Competition Rules”), available at http://evo.shoryuken.com/evo-player-guide/evo-tournament-rules/. In addition, each Qualifying Tournament and Grand Final Tournaments shall also be governed by these Tournament Rules. Both the Competition Rules and these Tournament Rules are incorporated into and made a part of the Official Rules. A full set of the Official Rules is available at http://shop.capcom.com/sf25tournament. To the extent that any statement in these Tournament Rules conflict with or are inconsistent with the Competition Rules or the Official Rules, these Tournament Rules shall govern. A.

General Tournament Rules: 1.

Players may enter multiple Qualifying Tournaments in any single Qualifier.

2.

Players may enter a Qualifying Tournament for any single Tournament Game in multiple Qualifiers (e.g., a Player may enter the Qualifying Tournament for Street Fighter 3rd Strike in each of the Austin, New York Metro and Los Angeles Qualifiers). However, upon advancing to the Grand Final Tournament for that Tournament Game, the advancing Player shall be prohibited from competing in subsequent Qualifying Tournaments for that Tournament Game. For example, if Qualifiers are held in Austin, New York Metro and Los Angeles in July, August and October, respectively, a Player may enter the Street Fighter x Tekken Qualifying Tournament at each of those Qualifiers. If the Player does not advance at the Austin Qualifier, but does win and advance to the Grand Final Tournament for Street Fighter x Tekken in the New York Metro Qualifying Tournament, that Player will not be allowed to participate in the Los Angeles Street Fighter x Tekken Qualifying Tournament.

If a Player is prohibited from competing in any Qualifying Tournament for which he or she has registered on-line based on having previously advanced to the Grand Final Tournament for that Tournament Game, he or she will not be considered a “no-show” and will not be charged the $20 reservation fee paid to reserve a spot in the Qualifying Tournaments for which he/she has been prohibited.
