My Sammy Rewards Official Terms and Conditions 1.

ELIGIBILITY: NOT OPEN TO THE GENERAL PUBLIC. VOID WHERE PROHIBITED. The My Sammy Rewards Program (the “Program”) brought to you by Samsung Telecommunications America ("Sponsor"), as administered by Corporate Rewards.com (“Administrator”) will be governed by the following terms and conditions (“Official Terms and Conditions”) and is applicable and open only to those participants who meet the following criteria: A. You work as a Sales Associate for an approved Master Dealer that is located in the United States (approval being contractually provided by Samsung); B. You sell Samsung mobile handsets directly to consumers through your retail storefront and not via online or business-to-business group sales. C. You are registered to participate in the Program (one account only per person); D. You have provided complete and correct information during registration including but not limited to Social Security Number, to be used solely for taxation purposes, as and when applicable; E. You are a legal resident of the United States; F. You are aged 18 years or older; G. You are employed as a Sales Associate on or after the Program start date and at the time of award distribution. For the purposes of these Official Terms and Conditions, start date shall refer to the designed promotion start date and end date (both of which are as noted on the Welcome Page of www.mysammyrewards.com) while this Program is made available to a user’s retailer as defined above in Section 1.A. and as displayed on the Welcome page of the Website in the Your Contests section. H. You are not an employee and/or director of Sponsor and/or any of the Sponsor’s parent, subsidiary, affiliated companies, licensees, advertising, promotion, or production agencies and their respective dependents (meaning any person or entity claimed as a dependent on a company’s tax return, immediate family members and individuals residing in their same household). I.

You agree to participate according to the Official Terms and Conditions.

If you satisfy criteria A to I set out above, you are eligible to participate in the Program. Any disputes regarding eligibility shall be determined at the sole discretion of the Sponsor. Sponsor reserves the right, at any time, to verify eligibility requirements and Sales Associates may be required to provide proof of their eligibility in writing. Sponsor may amend these Official Terms and Conditions at any time by posting the amended Official Terms and Conditions on the official Program Web Site (the “Site”). New Terms and Conditions are effective immediately upon posting.

Sponsor shall not have access to any Sales Associate’s sensitive personal information, including Social Security Numbers, which shall be encrypted and maintained by the Program Administrator.

No personal information shall be used in any way other than that specified under these Official Terms and Conditions or as otherwise provided for on the Program Website.

RESTRICTIONS: Sales Associate will be personally responsible for any and all federal, state and/or local taxes resulting from acceptance of Program rewards. No information contained in this document constitutes tax advice and each participating Sales Associate is encouraged to consult his/her own tax advisor regarding the tax consequences of earning or receiving redeemed rewards. In no event shall Sponsor or Sponsor’s subsidiaries, affiliates, licensees or agencies have any liability or responsibility whatsoever for any tax. No assignment or transfer of rewards to another person or business entity is permitted. No cash or reward substitution is allowed except at the sole discretion of Sponsor. If a reward cannot be awarded due to circumstances beyond the control of Sponsor, a substitute reward of equal retail value will be awarded. Once potential reward payouts are approved by Sponsor, Sponsor or Administrator shall issue rewards electronically. Sales Associates can then visit the Program website (www.mysammyrewards.com) to spend their reward.

INCENTIVE PERIOD: The Program begins on the start date as defined in Section 1.G (the “Incentive Period”). Reward certificates issued under the Program shall not expire unless prohibited by law. Upon termination of the Program and for a period of 12 months subsequent to termination, rewards may be redeemed at the Program Website. After this period, rewards may be redeemed at www.GiveAnything.com.

Sponsor reserves the right to change or cancel the Program at any time. Any Program end date will be posted by notice on the Program Website thirty (30) days in advance of the Program end date. No additional rewards shall be issued after the Program end date.

DISQUALIFICATION / INELIGIBILITY: Persons who tamper with or abuse any aspect of this Program, as solely determined by the Sponsor, will be disqualified. Any participant or any individual who enters or attempts to participate in the Program in a manner that is contrary to these Official Terms and Conditions will be disqualified from the Program and from receiving further rewards. Any use of robotic, automatic, macro, programmed or like methods will void all such submissions by such methods, and disqualify any participant using such methods.

TO PARTICIPATE: Visit http://www.mysammyrewards.com (the “Site”) during the Incentive Period, and provide the required enrollment information in full. Upon submitting the enrollment information, an email shall be sent to the email address provided during enrollment with a hyperlink that leads to the Program Website, whereby the account shall be Activated and ready

for use. You will be asked to agree to the Official Terms and Conditions before completing your enrollment. To access your account any time after activating your registration, simply visit the Program Website and enter your User Email Address and Password. Online registration must be completed, recorded and received by the Sponsor during the Incentive Period. Sponsor reserves the right to validate and verify all information submitted for registrations and sales, including but not limited to verification of participant’s Social Security Number with the IRS. No responsibility is accepted for late, lost, delayed, corrupted, illegible or incomplete registrations, which shall be disqualified at the discretion of the Sponsor. If any reported sale is determined to be fraudulent, that sale may be deemed void and the participant claiming the sale may be disqualified from the Program at the Sponsor’s sole discretion. Fraudulent or deceptive practices by a member of the Program will be discussed between Sponsor and an approved Master Dealer (as defined above) to determine program termination of the participant. Points cannot be redeemed for cash and have no cash equivalent value. All decisions of Sponsor with respect to any aspect of the Program, including the eligibility or disqualification of participants, are final, without right of appeal. Should a participant elect to receive SMS text message alerts under the Program, participant hereby agrees that any charges incurred in receiving said SMS messages is the sole responsibility of the participant. 6.

REWARDS: Participating Sales Associates can redeem earned rewards online at the Program Website, http://www.mysammyrewards.com. Upon log-in, Sales Associates can spend their reward certificate like a credit card in the shopping carts of nearly 200 participating retailer websites, redeem rewards for a selection of individual retail and restaurant gift cards, or choose to redeem for the CorporateRewards Preferences Card (powered by American Express). Orders placed with online merchants shall be shipped according to that merchant’s usual shipping policy. Individual gift cards are generally shipped the next business day after the order is placed, and the CorporateRewards Preferences Cards are shipped within 5-7 business days. DISCLAIMER: Sponsor, Sponsor’s subsidiaries, affiliates, licensees or agencies (collectively, ”Sponsor Entities”) are not responsible for dropped or delayed computer transmissions or network connections that are human or technical in nature, any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any website, non-authorized human intervention, any combination thereof, or otherwise, including any injury or damage to any entrant's or any other person's computer or handset related to or resulting from participation in the Program. Internet access and compatible cell phone required. Standard text messaging and internet rates apply;

refer to your service agreement for details on your plan. Any fairness ruling is the sole responsibility of the Sponsors in conjunction with Program administrators, whose decisions are final.

8.

LIMITATION OF LIABILITY: Sponsor reserves the right to change or cancel the contest at any time. All federal, state, and local laws and regulations apply. Other restrictions may apply. By entering, entrants and winner agree to release, discharge, indemnify and hold harmless Sponsor Entities from any liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons (including death) and/or property which may be sustained in connection with the receipt, use or misuse of any rewards issued, or while preparing for, participating in, and/or traveling to any reward-related activity, including applicable traveling companions. Except where prohibited by law, participants’ entrance and acceptance of reward constitutes permission to the Sponsor, Internet and service providers and their respective parent companies, trustees, subsidiaries, franchisees, affiliates, licensees, directors, officers, employees, agents, independent contractors, and advertising and promotion agencies to use recipient's and his/her travel companion's (if any) name, likeness, statements, biographical information, voice, voice likeness, city and state address on a worldwide basis, and in all forms of media, in perpetuity without further compensation. Reward recipients agree to a full release of all images and videos captured during contest prize redemption period without further compensation. Images and video will become the property of Sponsors. Sponsor retains the right to settle disputes. All decisions made by contest sponsor(s) will be deemed final.

THIRD PARTY INFORMATION: Any reward that contains or is comprised of: third party software, hardware, products, and/or services (collectively, the "Third Party Information") shall be governed by and subject to your agreement with the third party, including without limitation, your agreement to the terms of separate Third Party Information licenses, if any. Any Third Party Information that is provided with or without Sponsor’s products and/or services is provided "as is". Sponsor makes no representation, warranty or guarantee whatsoever in relation to the Third Party Information and Sponsor assumes no liability whatsoever in relation to the Third Party Information even if Sponsor

has been advised of the possibility of such damages or can anticipate such damages. Sponsor does not control and is not responsible for any Third Party Information, including without limitation, the content, accuracy, intellectual property issues, compatibility, performance, trustworthiness, legality, decency, links, or any other aspect of the Third Party Information.
