CONSENTS TO REAL ESTATE TRANSACTIONS November 20, 2016 Church of the Advocate, Chapel Hill – easement for sewer line RESOLVED, upon resolution of the Vestry of the Church of the Advocate, Chapel Hill, a mission in union with the Convention of the Episcopal Diocese of North Carolina, which authorized the Deed of Easement granting a sewer line easement to Orange County for a consideration of $671.03 over real property located at 8410 Merin Road, Chapel Hill, NC, the Standing Committee does hereby give its consent and advises the Bishop Diocesan Pro Tem as the Ecclesiastical Authority of the Diocese to give her written consent for the Trustees of the Episcopal Diocese of North Carolina to grant a sewer line easement to Orange County over the property located at 8410 Merin Road, Chapel Hill, NC, pursuant to the terms and conditions of the Deed of Easement to be approved by the Trustees. St.Timothy’s, Wilson – loan for repairs to sanctuary RESOLVED, upon written resolution of the Vestry of St. Timothy’s Episcopal Church, Wilson, a parish in union with the Convention of the Diocese, the Standing Committee does hereby give its consent and advises the Bishop Diocesan Pro Tem as the Ecclesiastical Authority of the Diocese to give her written consent for the Vestry of said parish to borrow $700,000 from Branch Banking and Trust Company (the Lender) which borrowing is supported by the Parish’s Agreement Not To Transfer, Encumber, Assign Or Pledge Real Estate Assets, including the Parish’s real property located at 202 Goldsboro Street East, Wilson NC, upon the following terms and conditions: St. Ambrose, Raleigh – Sale of property RESOLVED, upon resolution of the Vestry of Saint Ambrose Episcopal Church, Raleigh, a parish in union with the Convention of the Diocese of North Carolina, which authorized the sale of the house and lot located at 1925 Waters Drive, Raleigh NC, for a price of $63,500, less usual costs of sale and a 5% real estate sales commission, an Offer to Purchase and Contract, LeadBased Paint Addendum, Addendum and Signature Page with Trade Bridge Properties, LLC and an appraisal of the property, the Standing Committee does hereby give its consent and advises the Bishop Diocesan Pro Tem as the Ecclesiastical Authority of the Diocese to give her written consent for the Vestry of Saint Ambrose Episcopal Church to sell the house and lot located at 1925 Waters Drive, Raleigh NC for a price of $63,500, less usual costs of sale and a 5% real estate sales commission on the terms and conditions of the Offer to Purchase and Contract, LeadBased Paint Addendum, Addendum and Signature Page with Trade Bridge Properties, LLC and the Deborah J. Vaughan appraisal, with net sales proceeds to be allocated as Vestry of the Parish determines, and with Deed execution as provided in Canon 23, Section 2.

February 20, 2017 Former Epiphany Rocky Mount RESOLVED, upon resolutions of the Diocesan Council of the Episcopal Diocese of North Carolina, which authorized the lease of real property (the land, parking and building formerly used as an Episcopal church known as Epiphany Episcopal Church) located at 500 Fairview Road, Rocky Mount NC for a term of 1 year at $12,000 per year pursuant to the Lease with Love Life Prophetic Ministries, the Standing Committee does hereby give its consent and advises the Bishop Diocesan Pro Tem as the Ecclesiastical Authority of the Diocese to give her written consent for the Trustees of the Diocese to lease real property (the land, parking and building formerly used as an Episcopal church known as Epiphany Episcopal Church) located at 500 Fairview Road, Rocky Mount NC for a term of 1 year at $12,000 per year to Love Life Prophetic Ministries pursuant to the Lease with Love Life Prophetic Ministries with Lease execution to be in accordance with Canon 10, Section 2, subject to approval of the Lease by the Trustees of the Diocese. August 21, 2017 Diocesan House On September 19, 2017, Mr. Ferrell informed the Committee by email that it had been brought to his attention that the current lease of the first and second floors of Diocesan House expires September 30, 2017. The Diocesan Council recommends extension of the lease and the Trustees have given their approval, subject to action by the Standing Committee as required by canon. Mr. Smith has reviewed the documentation and has found it to be in order. In view of the time exigency, Mr. Ferrell called for an electronic vote approving the proposed lease pursuant to Paragraph V of the By-Laws of the Standing Committee. On September 21, 2017, Mr. Ferrell reported that the Standing Commit has voted unanimously to approve the following resolution for lease of space in Diocesan House. The following resolution was approved by an electronic vote with an effective date of September 21, 2017: RESOLVED, upon resolutions of the Diocesan Council of the Episcopal Diocese of North Carolina, which authorized the lease of real property (the office space designated as Suites 100 and 200, parking and common spaces) in Diocesan House located at 200 W. Morgan Street, Raleigh NC for the extended term of 1 year at $222,584.07 per year beginning October 1, 2017 pursuant to the Lease dated October 2, 2014 and the Extension Letter dated August 17, 2017 with The John Locke Foundation, Inc., the Standing Committee does hereby give its consent and advises the Bishop Diocesan as the Ecclesiastical Authority of the Diocese to give his written consent for the Trustees of the Diocese to lease real property (the office space designated as Suites 100 and 200, parking and common spaces) in Diocesan House located at 200 W. Morgan Street, Raleigh NC for the extended term of 1 year at $222,584.07 per year beginning October 1, 2017 to The John Locke Foundation, Inc. pursuant to the Lease dated October 2, 2014 and the Extension Letter

dated August 17, 2017 with The John Locke Foundation, Inc. with the Extension Letter execution to be in accordance with Canon 10, Section 2 with a waiver of the required finding by the Diocesan Council that the real property is not needed during the extended lease term for the ongoing operations of the Diocese. OTHER ACTIONS November 20, 2016 The Rt. Rev. Anne Hodges-Copple, Bishop Diocesan Pro Tempore, and the Rev. Janie Wilson, President of the Standing Committee, called a Special Convention for the election of a new bishop diocesan, using the following language: “Whereas the Most Reverend Michael Bruce Curry, XI Bishop of North Carolina, resigned his jurisdiction on October 31, 2015, upon installation as Presiding Bishop of The Episcopal Church, we hereby call a Special Convention of the Diocese for the purpose of electing a Bishop Diocesan, to be held on March 4, 2017, or should inclement weather intervene, on March 11, 2017.” February 20, 2017 The Standing Committee changed its bylaws to eliminate the prohibition on voting via electronic means for items under consideration. The Standing Committee approved the text of a proposed Special Rule of Order for the Election of the XII Bishop, to be recommended for adoption by the Special Convention of the Diocese of North Carolina. March 20, 2017 The Standing Committee approved a proposed Letter of Agreement with The Rev. Samuel Rodman. May 15, 2017 The Standing Committee approved a Records Retention Policy for the Bishop Search and Nomination Process August 21, 2017 The Standing Committee agreed to submit a resolution for consideration by the 202nd Annual Convention amending Article III, Section 3, of the Constitution of the Diocese of North Carolina with respect to membership in the Convention by clergy of a church in full communion with The Episcopal Church who are regularly serving a parish, mission, or other ministry of this diocese.
