he Cleveland Clinic is a not-for-profit multispecialty academic medical center that integrates clinical and hospital care with research and education. Since its founding in 1921, Cleveland Clinic has been a leading medical innovator. Its discoveries have saved millions of patients’ lives, and many are standard practice in medicine today.

The successful pursuit of the mission of Cleveland Clinic depends upon effective leadership. The information presented here is intended to explain its governance practices, and in particular, the composition, structure, and responsibilities of the Cleveland Clinic governing boards. The Board of Directors is the primary governing body of Cleveland Clinic. The Board of Trustees serves in an advisory role to the Board of Directors. In addition, the Board of Governors, composed primarily of physicians, oversees the medical and surgical activity of Cleveland Clinic. Its policies, modeled on good governance principles for non-profit corporations, are consistent with legal requirements and help ensure that it fulfills its mission for the benefit of the community.

Furthering Patient Care Biotechnology companies require physician investigators and patient participants in clinical trials to gain government approval of new products. Even before a product is ready for a clinical trial, development of breakthrough medicines and new medical procedures requires participation and input from practicing physicians and experienced scientific researchers. Cleveland Clinic believes that medical innovation significantly benefits patient care. At the same time, it recognizes that innovation must be managed with extraordinary sensitivity and transparency. Cleveland Clinic is fully committed to a process that ensures integrity in innovation and places the interests of its patients first.

Commitment of Physicians Cleveland Clinic maintains comprehensive conflict of interest policies and procedures for staff physicians and other employees that are designed to ensure that all potential conflicts are clearly visible, promptly considered, and properly addressed by Cleveland Clinic officials. Its policies require staff physicians to regularly disclose and update interests that may pose a conflict. These interests are then formally reviewed by one or more authorities within Cleveland Clinic, such as the IRB, the Institutional Animal Care and Use Committee, the Professional Staff Conflict of Interest Committee, and the Trustee Conflict of Interest Committee. Cleveland Clinic policies and procedures also govern disclosure of interests to research subjects and the scientific community, as well as consulting, advisory, and other financial relationships between staff physicians and healthcare companies. As part of Cleveland Clinic’s annual disclosure process, all staff physicians pledge compliance with its conflict of interest policies.

Business Ethics Cleveland Clinic is consistently recognized by U.S. News and World Report to be among the top five hospitals in the nation. In partnership with the Department of Physical Medicine and Rehabilitation, an integrated academic practice model, Cleveland Clinic is linked with its main campus, eight acute care hospitals, over 50 outpatient therapy venues, and skilled nursing facilities. Cleveland Clinic’s Center for Connected Care also offers continued rehabilitation options in Home Care. Patients benefit from innovative rehabilitation strategies provided by a unified academic faculty, with access to the full range of specialty consultants, sophisticated laboratory and imaging resources, and Cleveland Clinic treatment protocols and care paths. The Board of Directors is the primary governing body of Cleveland Clinic. The Directors are responsible for Cleveland Clinic’s operations and affairs. The Board of Directors is also responsible for ensuring that Cleveland Clinic is organized, and at all times operated consistent with its charitable mission and its status as an Ohio non-profit corporation and tax-exempt charitable organization.

Currently, there are 21 members of the Board of Directors. The Board is comprised of dedicated community leaders who are selected on the basis of their expertise and experience in a variety of areas beneficial to the Cleveland Clinic Health System. Board members serve as volunteers and are not compensated for their services. The Board also includes three physicians who are members of Cleveland Clinic’s Professional Staff.

Executive Biographies Delos M. Cosgrove, MD President and Chief Executive Officer Dr. Delos M. Cosgrove first joined Cleveland Clinic in 1975. As CEO, Dr. Cosgrove presides over an $8 billion healthcare system comprised of the Cleveland Clinic, nine regional hospitals, 21 family health and ambulatory surgery centers, Cleveland Clinic Florida, the Lou Ruvo Center for Brain Health in Las Vegas, Cleveland Clinic Toronto, and Cleveland Clinic Abu Dhabi. Under his leadership, Cleveland Clinic has consistently been named among America’s top five hospitals (U.S. News & World Report) and is one of only two hospitals named among “America’s 99 Most Ethical Companies” (Ethisphere Institute). Dr. Cosgrove received his medical degree from the University of Virginia School of Medicine in Charlottesville and completed his clinical training at Massachusetts General Hospital, Boston Children’s Hospital, and Brook General Hospital in London. His undergraduate work was at Williams College in Williamstown, Massachusetts. He was a surgeon in the U.S. Air Force and served in Da Nang, Republic of Vietnam as the Chief of U.S. Air Force Casualty Staging Flight. He was awarded the Bronze Star and the Republic of Vietnam Commendation Medal. Joining Cleveland Clinic in 1975, Dr. Cosgrove was named chairman of the Department of Thoracic and Cardiovascular surgery in 1989. Under his leadership, Cleveland Clinic’s heart program was ranked No. 1 in America for 10 years in a row (U.S. News & World Report). He has published nearly 450 journal articles, book chapters, one book, and 17 training and continuing medical education films. He performed more than 22,000 operations and earned an international reputation for expertise in all areas of cardiac surgery, especially valve repair. As an innovator, Dr. Cosgrove has 30 patents filed for developing medical and clinical products used in surgical environments. Dr. Cosgrove is a sought-after speaker worldwide. He has addressed the Senate Health, Education, Labor, and Pensions Committee in Washington, D.C. He is regularly quoted and featured in national magazines and newspapers, including a cover story in Time, and major articles in Newsweek, the New York Times, and the Washington Post. He has appeared on CNN, Fox, MSNBC, NBC, CBS, “The Charlie Rose Show” on PBS, and other national media outlets. The recipient of Cleveland Clinic’s Master Clinician Award, Innovator of the Year Award, and Lerner Humanitarian Award, Dr. Cosgrove is also a member of Cleveland Medical Hall of Fame and Cleveland Business Hall of Fame. In 2007, he was named Cleveland Business Executive of the Year by the Sales and Marketing Executives of Cleveland, and Castle Connolly’s National Physician of the Year. He also received the Woodrow Wilson Center Award for Public Service as well as Harvard Business School’s Award from HBS Alumni, Cleveland, and the Humanitarian Award of the Diversity Center of Northeast Ohio. Steven C. Glass Chief Financial Officer and Treasurer Mr. Steven C. Glass is the Chief Financial Officer of the Cleveland Clinic. He joined the Cleveland Clinic in 2002 as the Controller and Chief Accounting Officer and served in that role until 2005, when he assumed his current role. Mr. Glass is responsible for all financial operations of the Cleveland Clinic Health System, which includes 11 owned hospitals and 2 managed hospitals, and over 3,000 employed physicians in the Cleveland Clinic Medical Group. The Clinic has operations in Ohio, Florida, Nevada, Canada, and the United Arab Emirates. Prior to joining the Cleveland Clinic, Mr. Glass was the Vice President of Finance for MedStar Health, where he spent 14 years serving in various roles during its growth through mergers and acquisitions during the mid-1990s. Mr. Glass received a Bachelor of Science degree in Accounting from Towson University and is a Certified Public Accountant. He is a member of the American Institute of Certified Accountants, Ohio Society of Certified Public Accountants, Healthcare Financial Management Association, Health Management Academy, and a Board Member of the Ohio Hospital Association.

Kevin B. Sears Executive Director, Market Network Services Mr. Kevin B. Sears currently serves as the Executive Director of Market Network Services for the Cleveland Clinic. In this role, Mr. Sears oversees all relationships with payers and employers both domestically and overseas. Prior to joining the Cleveland Clinic, Mr. Sears has held several senior positions in both the public and private sectors. Some of these positions include Senior Vice President of Payer Strategy and Product Development at Trinity Health, Senior Advisor to the Director of CMS’s Innovation Center, and Vice President of Network Management for Coventry Healthcare. Mr. Sears has a Bachelor’s Degree in Philosophy from Brigham Young University and a Master’s Degree in Healthcare Administration from the Ohio State University. Mr. Sears currently resides in Atlanta, Georgia, with his wife, Gail, and they have five children.

Karen Mihalik Senior Director, Market and Network Services Ms. Karen Mihalik is Senior Director, Market and Network Services at the Cleveland Clinic. Ms. Mihalik has been with the Cleveland Clinic for 22 years serving in progressive roles in Revenue Cycle Management and has recently transitioned to Market and Network Services to focus on payer operations and strategic implementations. Ms. Mihalik started her career at Ernst & Young and is a Certified Public Accountant.

She earned a Master’s of Business Administration with a graduate specialization in Health Care Administration and a Bachelor’s of Business Administration, both from Cleveland State University. Ms. Mihalik has served in various leadership and committee roles for the Northeast Ohio Chapter of the Healthcare Financial Management Association, including chapter president in 2007/2008. She earned her certification (CFHP) in 2008. In the community, Ms. Mihalik is on the board of the Northern Ohio Chapter of the Leukemia & Lymphoma Society, and has also served as treasurer of her church.

Position Description

T

he Senior Director of Product Development will be a strategic product development leader who will help drive organic growth throughout the organization, developing products that are compelling and have a value proposition across their targeted market.

Reporting Relationship The Senior Director, Product Development will report to the Executive Director, Market Network Services and will build a team of industry professionals in support of the function.

Principal Accountabilities 

Conduct market strategy research and competitive intelligence.



Identify emerging market trends, product innovations, and competitive product actions within and outside of organization’s markets.



Understand product performance and implications/opportunities of the product portfolio.



Work with key stakeholders to understand product portfolio needs.



Understand regulatory opportunities and challenges as they relate to the product portfolio.



Design the product portfolio across all Cleveland Clinic markets.



Create product portfolio across segments and product category, ensuring they meet organization’s performance targets and are in support of the organization’s strategy.



Value the opportunity through product portfolio design.



Work with internal stakeholders to design and refine the product portfolio, including timing, operational, clinical, regulatory, and other issues that must be addressed.



Define standard processes to manage and launch products.

Provide recommendations for employers, including which employers to target with products and what types of products should be offered.



Identify and analyze strategic opportunities outside of standard payer contracts on an asneeded basis.

Experience and Qualifications 

Bachelor’s degree required with strong preference given to an advanced degree.



A minimum of 10 years of experience in any of the following is required: o Product development o Product management o Provider network development o Sales and marketing



A minimum of five years in an entrepreneurial or new product development capacity.

The Rock and Roll Hall of Fame and Museum The Rock and Roll Hall of Fame and Museum, Inc. opened its doors in 1995 in downtown Cleveland, Ohio. This not-for-profit organization exists to engage, teach, and inspire through the power of rock and roll. It carries out this mission through its operation that collects, preserves, exhibits, and interprets this art form and through its library, archives, and educational programs.

The Warehouse District The downtown Warehouse District attracts young professionals and modern families looking for excellent dining options, vibrant nightlife, and great shopping. Many of the area’s historic buildings have been gutted and turned into luxurious living spaces while maintaining the character of the neighborhood that overlooks Lake Erie.

The Playhouse Square Theatre The Playhouse Square Theatre is an exciting and entertaining destination.
