Manchester City Women’s Football Club Corporate Hospitality Terms and Conditions

The following terms and conditions (the “Terms”) apply to all Corporate Hospitality Events held at the Stadium during the course of the Season. In these terms and conditions: “Business Day” means any day other than a Saturday, Sunday or a public holiday in England; “Club” means Manchester City Women’s Football Club Limited; “Corporate Hospitality Event” means a corporate hospitality experience that will be held at each of the Club’s forthcoming Home Matches for the remainder of the Season; "Force Majeure Event" means any circumstances outside the reasonable control of the Club including, without limitation, acts or threatened acts of terrorism, strikes, lockouts, industrial disputes or other restraints or stoppages of labour, acts of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order rule or direction, rules or instructions of any regulatory body (including, without limitation, FIFA, UEFA, The FA and the Women’s Super League), inability to obtain supplies, inclement weather, accident, breakdown of equipment, plant or machinery, fire, flood or storm; “Home Matches” means any football match involving the Club that will be played at the Stadium (for avoidance of doubt, this covers the Club’s participation in all competitions including, but not limited to, The FA Women’s Super League, The FA Women’s Cup and the Continental Cup); “Rules” means the Club rules, the ground regulations issued from time to time by the Women’s Super League and any further rules and regulations as may be issued by the Club, FIFA, UEFA, The FA and The FA Women’s Super League as applicable; “Season” means the 2015 English women’s football season; “Seasoncard” means the entry materials issued to a Seasoncard Holder that are valid during the Season and which admit the Seasoncard Holder into the Stadium for all Club matches that the Seasoncard Holder is entitled to attend; “Seasoncard Holder” means a holder of a Seasoncard; “Stadium” means City Football Academy Stadium, 400 Ashton New Road – North Gate, Manchester M11 4TQ; and “Ticket” means any ticket, voucher, card or other such entry materials entitling the Seasoncard Holder and/or any guest to attend the specified Corporate Hospitality Event. 1.

Conditions 1.1

The opportunity to attend a Corporate Hospitality Event is valid for Seasoncard Holders only.

1.2

Seasoncard Holders can apply to attend multiple Corporate Hospitality Events but shall only be permitted to attend one Corporate Hospitality Event as selected by the Club (and communicated to the Seasoncard Holder) acting in its sole discretion.

1.3

Places are limited, so applications to attend a Corporate Hospitality Event are considered on a first come, first served basis.

1.4

Seasoncard Holders applying to attend a Corporate Hospitality Event are required to be accompanied by one guest who has not previously attended a match involving the Club. If the Seasoncard Holder is selected to attend a Corporate Hospitality Event, the selected Seasoncard Holder and his/her chosen guest shall be provided with a freeof-charge Tickets to the respective Home Match.

1.5

A maximum of 30 (thirty) Seasoncard Holders, along with their guests, are permitted to attend each Corporate Hospitality Event.

1.6

Seasoncard holders wishing to attend a Corporate Hospitality Event must respond to the Club’s invitation via email to [email protected] by no later than 12:00pm two Business Days before a Home Match stating the following information: a) b) c) d) e)

which Corporate Hospitality Event(s) they are able to attend; their full name and address; their supporter number; the name, address and contact details (telephone and email) of their chosen guest; and the details of any special dietary requirements the Seasoncard Holder and/or his/her guest may have,

by way of example, if a Home Match is scheduled to take place on a Saturday then the Seasoncard Holder will need to apply to attend the Corporate Hospitality Event by 12:00pm on the Thursday prior to this Saturday. 1.7

Successful Seasoncard Holders shall be informed by email confirming the Corporate Hospitality Event the Seasoncard Holder and guest have been selected to attend along with a detailed itinerary for the Corporate Hospitality Event.

1.8

If the Seasoncard Holder’s preferred Corporate Hospitality Event is unavailable for whatever reason, the Club reserves the right to offer the Seasoncard Holder an opportunity to attend a different Corporate Hospitality Event.

1.9

Admission to the hospitality facility will be available 1 hour prior to kick off and up to 1 hour after the Home Match has finished.

It is the responsibility of the Seasoncard Holder to check: a) b)

that the Club holds the correct details for them and their guest and that the correct details appear on the Tickets; and the dates and times of fixtures, which may be subject to alteration.

1.11

The Club shall be permitted to change the seats, rooms, facilities or services provided as part of the Corporate Hospitality Event.

1.12

The Tickets remain the property of the Club at all times. The Club reserves the right to withdraw or require the immediate return of the Tickets at any time.

1.13

The use of the Tickets is subject to the relevant Ticket terms and conditions which can be found at https://www.mcfc.co.uk/Tickets/General-Information.

1.14

The Club does not grant the Seasoncard Holder or his/her guest any rights whatever to transfer the Tickets or sublet the facilities or otherwise to any other person without the written consent of the Club.

1.15

The Club is not responsible for any Ticket which is lost, stolen, forgotten, damaged, defaced or destroyed. The Club should be notified in the event that the Tickets are lost or stolen. The Club may, in its absolute discretion, provide duplicate Tickets and there may be a fee charged to the Seasoncard Holder for providing such replacements.

1.16

For the purposes of condition 1.14 above, whether a Ticket is damaged, defaced or destroyed shall be determined by the Club acting reasonably in its sole discretion.

1.17

The Seasoncard Holder and his/her guest are forbidden to use hospitality places for promotional or advertising purpose unless expressly authorised in writing by the Club. Any Ticket obtained in breach of this clause shall be void and the Club will have the right to confiscate and deny access or eject anyone who has used that ticket to gain access.

Cancellation and/or withdrawal 2.1

The Corporate Hospitality Event shall only be held if the respective Home Match to which the Corporate Hospitality Event relates takes place.

2.2

The Club may cancel the Corporate Hospitality Events, or withdraw the invitation to attend the Corporate Hospitality Events, in whole or in part, in writing at any time without liability.

2.3

The Club reserves the right to vary or change the dates of fixtures and/or kick-off times of the Home Match and consequently the Corporate Hospitality Event. In the event of a change in date or time of fixtures, the Club will not be liable for any additional costs incurred by Seasoncard Holder and/or his/her guest such as travel or accommodation costs.

If the Home Match is cancelled as a result of an event of Force Majeure, or for any other reason whatsoever that is beyond the Club’s control, the Club will not be liable for any additional costs incurred by Seasoncard Holder and/or his/her guest such as travel or accommodation costs.

Standards of behaviour and dress code 3.1

The Seasoncard Holder shall, and shall ensure that his/her guest, act in an orderly, proper and lawful manner, abide by the Rules and agree to conduct themselves at all times in a manner befitting a representative of the Club and agree not to do anything or procure anything to be done that will or is likely to bring the name or reputation of the Club into disrepute.

The Seasoncard Holder and his/her guest shall not: a) b) c)

cause any damage to the Stadium (including the facilities where the Corporate Hospitality Event takes place); treat the Club staff in a threatening or abusive manner; engage in any abusive, dangerous or other unacceptable behaviour (including, for the avoidance of any doubt, any homophobic, sexual, sectarian, racial or discriminatory behaviour in any form, whether physical, verbal or other) in or around the Stadium or at any other sporting venue anywhere in the world; bring into the Stadium any food, alcohol or dangerous or illegal substances; or smoke in any areas apart from the parts of the Stadium designated for such purpose.

is, in the Club’s sole discretion, in breach of any part of condition 3.2 above; or is prohibited (by law or otherwise) from attending the Stadium or any other sporting venue anywhere in the world.

3.4

The Seasoncard Holder shall be responsible for the conduct of his/her guest and shall ensure that they adhere with clauses 3.1, 3.2 and 3.3.

3.5

The Seasoncard Holder and/or his/her guest may be ejected from the Stadium for a failure to comply with clause 3.1 and/or clause 3.2.

3.6

The Seasoncard Holder shall be liable to pay any costs of cleaning, repair or replacement of any of the facilities or property at the Stadium where damage is caused as a result of the acts or omissions of the Seasoncard Holder and/or his/her guest.

3.7

The Stadium and the Etihad Campus facility, including roadways, car parks and concourses, are smoke free. The Club has a zero tolerance policy in regards to this matter. As with other leisure venues, there will not be an opportunity to leave and re-enter the Stadium, there is a strict policy of no re-admission to the venue.

3.8

Children under the age of 18 are permitted within hospitality areas; however, they must be accompanied by a responsible adult at all times.

3.9

The Seasoncard Holder and his/her guest shall be expected to wear smart/casual attire when attending the Corporate Hospitality Event. It shall be at the Club’s sole discretion to decide if a Seasoncard Holder and/or his/her guest are compliant with this dress code and entry may be refused for failure to abide by this specified dress code. For the avoidance of doubt, away colours are strictly prohibited

Rearranged or abandoned fixtures 4.1

If a Corporate Hospitality Event is postponed more than 4 hours prior to scheduled kick-off, the Seasoncard Holder and his/her guest shall be able to transfer their Tickets to the rearranged fixture.

4.2

If a Corporate Hospitality Event is abandoned within 4 hours prior to schooled kick-off, the Seasoncard Holder and his/her guest shall be able to transfer their Tickets to the rearranged fixture.

4.3

Fixture Changes (Outside of the Clubs control – i.e. TV coverage and Cup Competition progression): The Club shall inform the Seasoncard Holder in writing within seven days of any changes (or such shorter notice if changed on less than 7 days), if the Seasoncard Holder wishes to cancel their Tickets, they must inform the Club in writing within seven days from the dated correspondence.

5.1

The Club shall make available to the successful Seasoncard Holder one car parking place. A car parking pass (a “Pass”) will be provided, without production of which no car shall be admitted.

5.2

The Club is not responsible for any Pass which is lost, stolen, forgotten, damaged, defaced or destroyed. The Club should be notified in the event that a Pass is lost or stolen. The Club may, in its absolute discretion, provide a duplicate Pass and there may be a fee charged to the Seasoncard Holder for providing such replacements.

5.3

For the purposes of condition 6.2 above, whether a Pass is damaged, defaced or destroyed shall be determined by the Club acting reasonably in its sole discretion.

5.4

The Club shall not be responsible for any damage or theft of any motor vehicle parked at the Stadium.

Liability 6.1

The Club will not be liable for any failure to provide or delay in providing facilities, services, food or beverages as a result of events or matters outside its control, including for the avoidance of any doubt a Force Majeure Event (as defined below), the alteration of the dates and time of any Corporate Hospitality Event, and the postponement, abandonment or cancellation of any Corporate Hospitality Event.

6.2

The Club shall not have any liability to the Seasoncard Holder and/or his/her guest for any non-delivery or late delivery of Tickets, passes, documents or other materials dispatched by the Club to the Seasoncard Holder resulting from the actions, omissions, malfunctions or interruptions of any postal services or incomplete or inaccurate personal details or address provided to the Club by the Seasoncard Holder. The Club’s responsibility for any Tickets, passes, documents or other materials ends from the moment they are posted.

6.3

The Club shall take all reasonable precautions for the security of the property of the Seasoncard Holder and his/her guest, but all property is left unattended at the owner’s risk.

6.4

To the fullest extent permitted by law, the Club, its officers or employees shall not be liable for, whether in tort, contract or otherwise and howsoever caused: a) b)

any loss, damage or injury to the Seasoncard Holder and/or his/her guest’s property; and any loss of profit, loss of use, loss of opportunity or any indirect, economic or consequential losses whatsoever.

Nothing in these Terms shall limit either party’s liability for death or personal injury caused by its negligence, or for fraudulent misrepresentation.

Use of Personal Data The Seasoncard Holder and his/her guest acknowledge that when applying to attend a Corporate Hospitality Event certain personal information including, without limitation, their names, addresses, telephone numbers and/or email addresses will have been made available to the Club (the “Personal Data”). All Personal Data will be held and used by the Club in accordance with the Club’s privacy policy (which can be found at http://www.mcfc.co.uk/Common/Privacy) and the Data Protection Act 1998.

8.

Force majeure The Club shall not be deemed to be in breach of these terms and conditions or otherwise liable to the Seasoncard Holder as a result of any delay or failure in the performance of its obligations under these Terms if and to the extent that such a delay or failure is caused by a Force Majeure Event.

9.

Indemnity The Seasoncard Holder shall indemnify the Club against any and all costs, expenses and/or losses of whatever nature and howsoever caused or incurred, whether suffered directly or indirectly by the Club as a result of (without limitation): a) any breach by the Seasoncard Holder and/or his/her guest of these Terms; and/or b) any damage caused by the Seasoncard Holder and/or his/her guest to the Stadium or any property or equipment at the Stadium.

10. General 10.1

By accepting the written confirmation the Seasoncard Holder acknowledges that he has carefully read, understood and agrees to adhere to and be bound by these Terms.

10.2

The Club reserves the right to change any of these Terms at any time and will publicise such changes on the Club’s website at http://www.mcfc.co.uk/Hospitality, and hard copies will be available from the Club upon request. Page 4 of 5

10.3

The invalidity or unenforceability of any term of, or any right arising pursuant to, these Terms shall not in any way affect the remaining terms or rights which shall be construed as if such invalid or unenforceable term or right did not exist.

10.4

These Terms shall be governed by and interpreted in accordance with English law and the parties shall be subject to the exclusive jurisdiction of the courts of England and Wales.
