Four Seasons Hotel Toronto “#FSCelebrate” Photo Contest Official Rules NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. THE PROMOTION IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, FACEBOOK, INSTAGRAM OR TWITTER. This Promotion is open to legal residents of Canada the United States and the United Kingdom. Participants must be over the age of 18 at the time of entry. The #FSCelebrate Photo Contest begins at 9:00 a.m. EST on Tuesday, October 1, 2013 and ends at 3:00 p.m. EST on Friday, November 8, 2013 such period referred to herein as the “Promotion Period.” The Promotion is sponsored by Four Seasons Hotel Toronto, Four Seasons Hotel New York, Café Boulud New York, 889 Yoga, The Canadian Opera Company, and Porter Airlines. The Promotion Sponsor’s computer is the official clock for the Promotion. The Promotion is in no way sponsored, endorsed or administered by, or associated with Facebook. You are providing your information to the Promotion Sponsor, and not to Facebook. 1. How to enter the Promotion: (a) Generally. Entrants must submit their Photo(s) (as defined below) via Instagram, Twitter or Facebook and must “like” or “follow,” as applicable based on the platform, Four Seasons Hotel Toronto, in order to enter the Contest. In addition, Entrants must set their Instagram and Twitter account privacy settings to allow Sponsor’s Facebook Contest application to access Entries (as defined below) in order to submit valid Entries; for example, accounts must not be set to “protected mode.” There is a limit of one (1) Entry per day, per Entrant during the Entry Period. Each Entrant may only submit Entries from a single Instagram, Twitter and/or Facebook account (i.e. one account per platform) and multiple Entrants may not submit via a single account. (b) Entrants may use filters or other digital editing or manipulation programs (e.g. Adobe Photoshop® or similar programs) to produce Photo(s). (i) Step 1: If you are not already an Instagram and /or Twitter account holder, visit www.instagram.com, and/or www.twitter.com respectively and follow the instructions to create and/or register for an account. Account registration on these platforms is free. Please note that if you choose to submit Photos via Instagram, you will be required to download and install its smart-phone app as part of your registration for Instagram; (ii) Step 2: Once your Instagram or Twitter account is open, follow @FSToronto; (iii) Step 3: Submit an original photo on Instagram or Twitter, taken in any part of the world, which must depict a celebration (“Photo”). For instance, Entrants may submit a Photo of a celebration taken at the CN Tower, the Air Canada Centre, or in their own home. (iv) Step 4: Publish the photo during the Entry Period with all three of the

following a) a brief description of the Photo contents; b) the hashtag #FSCelebrate and c) the handle @FSToronto. Entries must be posted to Twitter using an image link from one of the following services: pic.twitter.com, twitter.com, pinterest.com,instagram.com, imgur.com, twitpic.com, yfrog.com or twitter.yfrog.com. (d) Submission via Facebook. If you are submitting a Photo via Facebook: (i) Step 1: Like the Four Seasons Hotel Toronto’s Facebook page, and access the Contest application from that page; (ii) Step 2: Submit your first and last name, telephone number and email address via the Contest application; (iii) Step 3: During the Entry Period, publish the Photo, as explained in the Contest application, with both of the following a) a brief description of the Photo contents; and b) the hashtag #FSCelebrate (e)

Additional Terms for All Submissions.

(i) The Photo and all required additional information, regardless of platform of submission will be referred to as an “Entry.” (ii) Submitted Entries will not be acknowledged. Proof of submission of an Entry does not constitute proof of receipt by the Sponsor. It is the sole decision of the Sponsor as to whether an Entry was received during the Entry Period and whether an Entry is eligible for a prize to be awarded for such Entry (“Prize”). (iii) If an Entrant attempts to submit more than one (1) entry per day, including by using multiple Instagram, Twitter or Facebook accounts, identities, registrations, or logins, or through any other method, the Sponsor may disqualify that Entrant from participating in the Contest, including disqualifying any Entries from consideration by the Judges for a Prize. Entrants may not use the hashtag #FSCelebrate for purposes other than participation in the Contest. All Entries must comply with the Terms of Service and/or Rules of the applicable platform. 2. Content Guidelines: In addition to complying with all other requirements of these Official Rules, including containing all content described in Section 1, each Photo must comply with the following requirements (“Content Requirements”). Any Entrant submitting Entries containing Photos that the Sponsor, in its sole discretion, determines are in violation of any Content Requirement will be disqualified from the Contest: (a) Photos must be an original work created and solely owned by the Entrant; (b) Photos must not: (i) Violate any applicable Laws and/or third party rights, including, but not limited to, copyrights, trademark rights, or rights of privacy and publicity. Entrants who choose to include people in their photo are responsible for obtaining the necessary releases and permissions from the individual(s) depicted, and must be able to provide copies of them to the Sponsor upon request; (ii) Contain any information capable of identifying any individual depicted including, without limitation, first and last name, or physical address;

(iii) Prominently feature any trademarks or logos; (iv) Contain any watermarks, signatures, URLs, names or any other text additions; (v) Depict any risky, unlawful or offensive behavior or contain images that are obscene, defamatory, profane, offensive, lewd, pornographic, false, misleading, deceptive, orotherwise inconsistent with Twitter’s, Facbeook or Instagram’s editorial standards; and Four Seasons Hotel Toronto reserves the right to make final judgment on image. (vi) Have been entered in any other contest or have been previously published or distributed for commercial use by any means and in any form or media (c) In addition to the foregoing, the Photo file must not: (i) Contain executable programming of any kind, including without limitation, viruses, worms, Trojan horses, spyware, malware, time bombs, Easter eggs, cancel bots or any kind of malicious or benign computer programming whatsoever; (ii) Contain encrypted content of any kind, including without limitation, encoded messages (d) Please note that if a file and/or Photo cannot be opened, viewed and/or accessed by the Sponsor for any reason whatsoever, that file and/or Photo (together with the associated Entry, as applicable) shall be disqualified without any fault or liability of the Released Parties (as defined below).

3. Eligibility: The Promotion is open to legal residents of Canada, the 50 United States, the District of Columbia, and the United Kingdom, who are at least 18 years old at the time of entry. [The prize shall only be delivered to addresses in those areas.] 1 Each participant must have a unique, valid email address, a valid account on Facebook, and Like and allow Access to the Promotion application on Facebook. Participants are not required to maintain their Like status of the Promotion Sponsor Facebook page, and may Unlike the Promotion Sponsor Facebook Page at any time after entry. Entries are limited to individuals only; commercial enterprises and business entities are not eligible. By participating in the Promotion, each entrant accepts the terms and conditions stated in these Official Rules, agrees to adhere to Facebook’s Statement of Rights and Responsibilities, agrees to be bound by the decisions of the Promotion Sponsor and warrants that s/he is eligible to participate in the Promotion. Failure to comply with either the terms and conditions in these Official Rules, or the Facebook Statement of Rights and Responsibilities shall result in disqualification, and will allow the Promotion Sponsor to select an alternate winner. Employees, independent contractors, officers, and directors of (i) the Promotion Sponsor, its affiliates and subsidiaries, (ii) Four Seasons and its affiliates and subsidiaries, and (iii) Promotion Sponsor’s or Four Seasons’ advertising, promotion, and fulfillment agencies, and their immediate family members and persons living in the same household, are not eligible to participate in the Promotion. PROMOTION IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW and is subject to applicable federal, state, provincial/territorial and local laws and regulations.

4. Use of Content: By submitting content, you understand and accept that the personal data supplied by you will be used by the Promotion Sponsor or its nominee to process the competition, to inform the winning participant of its winning entry, to distribute the prize, to comply with Section 8 below, and otherwise as may be required by law. You hereby consent to such use.” 5. Selection of Winners: On Friday, November 8, 2013 (the “Selection Date”), the Promotion Sponsor will select the winner. The choice of winner is final and binding and not subject to review or appeal. The winner will be notified by e-mail using the information provided on the official entry form within thirty (30) days of the Selection Date. a. Finalists. After the Entry Period (October 1-31, 2013), the Judges will review all Entries that comply with these Official Rules during the Finalist Selection Period and select the top ten (10) submitted Photos based on the following criteria: Creativity, 50%; Positive representation of celebrating Composition and style, 25%. Each Entrant of the Photos selected during this period will be designated a “Finalist.” During the Winner Selection Period, the Finalists’ Photos will be displayed on a #FSCelebrate Facebook album on Friday, November 1, 2013 on the Sponsor’s Facebook page for any Facebook account holders to view and, if they choose, to “Like” a photo. Voting, 25% Entrants and Non Entrants will have the chance to vote for their photo of choice. b. Winners. Ten (10) Winners (as defined below) will be selected from all of the Finalists. Finalist photos will be posted on the Sponsor’s Facebook page for any Facebook account holders to view and if they choose, “Like” and Comment on their photo of choice. Winning Entries will be selected in accordance with the following criteria: Facebook likes/votes, 100%. For example, the entry with the most likes and positive comments will win the grand prize. c. Generally. Entrants further understand and agree that Photos are posted on Facebook to select the winners and implies that each photo posted on the Sponsor’s Facebook page in the #FSCelebrate album, is a winner. 6.

Notification of Finalists and Winners; Acceptance of Prizes:

(a) During the Winner Selection Period, if the Entry was submitted via Twitter or Instagram, the Sponsor will send a direct message via Twitter (“Direct Message”) from @FSToronto to all Finalists’ Twitter accounts used to enter the Contest informing them of their selection as Finalists. If the Entry was submitted via Facebook, the Sponsor will contact the Finalist through email or phone. In order to receive a Direct Message from the Sponsor, potential Winners must (i) be following @FSToronto and (ii) have their account settings set to “unprotected” and/or “public.” Finalists must acknowledge receipt of Sponsor’s communication by email, Direct Message or telephone within three (5) days after Sponsor issues it. If a Direct Message cannot be sent due to non-compliance the foregoing, or if the Entrant does not acknowledge his or her selection as a Finalist, the Entrant will forfeit his or her Finalist status and the Sponsor will select an alternate Entrant via the method described above.

(b) After the Winner Selection Period, Sponsor will notify Entrants selected to win a Prize (“Winners”) via the means set forth in Section 8(a) for notification of Finalists. Winners may waive their rights to receive a Prize or otherwise refuse it, in which case the Winner will be disqualified and a replacement Entry will be selected via the method described above. Except where prohibited, Winners may be required to complete and return Additional Documents. Failure to sign and return the Additional Documents within ten (10) business days after notification by Sponsor that an Entrant is a Winner, or to otherwise comply with any term or condition of these Official Rules, may result in disqualification as a Winner, the forfeiture of his or her interest in the Prize, and the award of the Prize to an alternate, via the method described above. (c) Finally, Winners must keep the results confidential until Sponsor publicizes the 10 Winners and their Photos on November 8 at 3p.m. EST (“Publication Date”). If a Winner discloses his or her selection as a Winner before the Publication Date, Sponsor may disqualify that Winner and select an alternate Winner via the method described above. 7.

Prizes and Use of Winner Information:

(a) Limitations. Limit one (1) Prize per Entrant per household. There will be 10 Prizes awarded. (b) Right to Use Winner Information. In addition, by receipt of any Prize, Winners grant Sponsor and the Contest Entities an irrevocable, royalty-free, worldwide right and license to use, including display publicly, their names and state, province, county or region by the Sponsor for Sponsor’s own promotional purposes or as required by Laws in any medium whatsoever without additional permission or compensation. (c) Prizes. Please see below for the list of prizes 1) Grand Prize. Two (2) nights at Four Seasons Hotel Toronto. Dinner for 2 (two) at Café Boulud Toronto. Round trip airfare for two (2) (Toronto-Newark) on Porter Airlines. Two (2) nights at Four Seasons Hotel New York. Dinner for two (2) at Café Boulud New York. 2) A Canadian Opera Company performance in the General Director’s Box and a private backstage tour after the show (depending on availability). 3) One (1) night in the Royal Suite for two (2), including breakfast 4) Private dinner for 10 with Executive Chef, Thomas Bellec inside the hotel 5) Four Seasons signature bed 6) Set of 6 Artimal prints by Art2 7) Cultural Mosaic of Canada, Spa Retreat at our Spa 8) Yoga Series from 889 Yoga 9) A Set of Products from our Spa

10) Fornasetti Candle from our Boutique (e) Additional Prize Terms. The Approximate Retail Value (“ARV”) of all the Prizes is $22,500 CAD. There is no substitution, cash equivalent or transfer of Prizes not allowed. Sponsor reserves the right to substitute prizes of equal or greater value. (f) Reservations for Stay. The specific dates of stay for the Grand Prize and Royal Suite will be agreed upon by the Sponsor and applicable Winners, but must occur between November 8, 2013 and October 5, 2014. Without limiting the foregoing, such dates of stay will be subject to availability, Sponsor’s standard rate and room restrictions and policies, and some blackout dates may apply. (g) Winner Responsible for Additional Costs. All Winners of all Prizes will be solely responsible for their own transportation to prize locations unless otherwise specified, as well as any other costs and expenses related to the redemption of their Prizes. (h) Odds of Winning. An individual Entrant’s odds of winning depend on (i) the number of eligible Entries received by Sponsor and (ii) the skills of each Entrant. (i) Taxes and Gratuities. All taxes, gratuities, and unspecified expenses associated with or incurred as a result of receipt and/or redemption of Prizes are the sole responsibility of the Winners and Sponsor may issue a U.S. IRS Tax Form 1099 to that effect. Winners will be solely responsible for remitting any and all taxes specified on that form. (j) Number of Prizes. No more than the stated number of Prizes will be awarded. 8. Conditions: The Promotion Sponsor, Four Seasons and Facebook, and their respective agents, directors, officers, shareholders, employees, insurers, servants, parents, subsidiaries, divisions, affiliates, predecessors, successors, representatives, advertising, promotion, and fulfillment agencies, and legal advisors (the “Released Entities”), are not responsible for, shall not be liable for, and hereby disclaim (to the fullest extent permitted by law), all liability arising from or relating to: (i) late, lost, stolen, delayed, damaged, misdirected, misaddressed, incomplete, unintelligible or postage-due entries; (ii) telephone, electronic, hardware or software program, network, Internet, computer or other malfunctions, failures, or difficulties of any kind, whether human or technical; (iii) failed, incomplete, garbled, or delayed computer or e-mail transmissions; (iv) any condition caused by events beyond the control of the Promotion Sponsor; (v) any injuries, losses, or damages of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Promotion; or (vi) any printing or typographical errors in any materials associated with the Promotion. The Promotion Sponsor reserves the right, in its sole discretion, to suspend, modify or cancel the Promotion should any unauthorized human intervention or other causes beyond the Promotion Sponsor’s control corrupt or affect the administration, security, fairness or proper conduct of the Promotion. In the event that proper administration of the Promotion is prevented by such causes as contemplated above, the Promotion Sponsor will select the winners from all eligible, non-suspect entries received prior to such occurrence. In the event of a dispute as to the identity of a winner based on an email address, the winning entry will be deemed to be made by the authorized account holder of the email address at time of entry. “Authorized account holder” is the natural person who is assigned an email address by an internet service provider or other organization responsible for assigning email addresses for the domain associated with the email address in question. By participating in the Promotion, participants and winners agree to release, discharge and hold harmless the Released Entities, and all others associated with the development and execution of the Promotion, from any and all losses, damages, rights, claims and actions of any kind

arising out of or relating to the Promotion, participation in the Promotion, the prize, and/or acceptance, possession, use or misuse of the prize, including but not limited to statutory and common law claims for misappropriation or participant’s right of publicity. 9.
