1. NO PURCHASE, LOAN APPLICATION, PRODUCT ACTIVATION, TRANSACTION OR OBLIGATION IS NECESSARY TO ENTER OR WIN. A PURCHASE, LOAN APPLICATION, PRODUCT ACTIVATION OR TRANSACTION WILL NOT INCREASE YOUR CHANCES OF WINNING. ALL ENTRIES HAVE AN EQUAL CHANCE OF WINNING.

2. ELIGIBILITY: BBVA Compass 2016 #BBVAHOOPSSWEEPSTAKES Mobile App Sweepstakes (the “Sweepstakes”) is open to legal residents of the 48 contiguous United States and District of Columbia, who are 18 years of age and older as of Feb 27, 2016 (“Eligible Participant”). Void in Puerto Rico and where prohibited or otherwise restricted by law. Employees and agents of BBVA Compass (“Sponsor”), the National Basketball Association (the “NBA”), any of the NBA’s Member Teams, NBA Properties, Inc. (collectively the “NBA Entities”) and each of the foregoing entities’ parents and affiliates, subsidiaries, divisions, successors, trustees, client financial institutions, advertising and promotion agencies, and each of their respective agents, distributors, wholesalers and retailers, representatives, officers, directors, shareholders, and employees (collectively, the “Releasees”), and each of their immediate family members (spouse, parents, children, siblings, and their respective spouses, regardless of where they live) and individuals living in the same households of each of these individuals, whether related or not, of the above are not eligible to enter or win. Sweepstakes is subject to all applicable federal, state and local laws. U.S. law governs this Sweepstakes. The Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Twitter. By entering, you understand that you are providing your information to the Sponsor and not to Twitter. The information you provide will only be used for administration of the Sweepstakes.

3. SWEEPSTAKES TIMING/DESCRIPTION: The Sweepstakes begins at 12:00:00 AM Central Time (“CT”) on February 27, 2016 and ends at 11:59:59 PM CT on April 15, 2016 (“Promotion Period”). One (1) Grand Prize will be awarded in a random drawing (“Grand Prize Random Drawing”) from among all eligible entries received and combined during the Promotion Period. 4. HOW TO ENTER: There are two (2) ways to enter the Sweepstakes during the Promotion Period: 1) Play the Mobile App; and 2) U.S. Mail. 1) Mobile App: Download the BBVA Hoops by BBVA Compass Mobile App from the applicable App Store. (Requires iOS 7 or newer or Android 4.4 or newer). Once the game has been downloaded onto your mobile phone, you must play the game and post your score to Twitter from the mobile game app including the hashtag #BBVAHOOPSSWEEPSTAKES. After you post your score from the mobile game app to Twitter using the hashtag #BBVAHOOPSSWEEPSTAKES, you will receive a message from BBVA Compass asking you to enter the sweepstakes by clicking on a link in the message and completing an online entry form. You must complete this form in order to be entered into the Sweepstakes.

Entries must be received by 11:59:59 PM CT on April 15, 2016 in order to be eligible. Limit one entry per person/email address per day. Subsequent entries submitted by the same person/email address on the same day will be void. Entries submitted will not be acknowledged. If a dispute results as to the identity of an online entrant, it will be determined that the online entry was submitted by the authorized account holder of the email address from which the entry was made. For these purposes, the authorized account holder is the natural person assigned to an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning email addresses or the domain associated with the submitted email address. Entries that have been generated by a script, macro, bot or any other automated means will be deemed void. Box 830873, Birmingham, AL 35283 ATTN: AL BI-CH DIG. Each mail-in entry will count as one (1) entry into the Sweepstakes. Mail-in entries must be postmarked by April 15, 2016 and received by April 22, 2016 in order to be eligible for the Grand Prize drawing. Limit one entry per person/email address per day. Subsequent entries submitted by the same person on the same day will be void. Entries that are mechanically reproduced, copied, illegible, incomplete, postage-due, late or inaccurate are void. Entries become the property of the Sponsor and will not be acknowledged or returned. Incomplete entries or entries not complying with these Official Rules are subject to disqualification, at the Sponsor’s sole discretion. Proof of mailing does not constitute proof of delivery. Sponsor’s decisions are final on all matters relating to this Sweepstakes. Participation in this Sweepstakes by wireless mobile device means that Eligible Participant understands that message and data rates and other charges may apply; check your wireless plan for details. 5. DETERMINATION OF WINNERS: One (1) Grand Prize winner will be selected in the Grand Prize Random Drawing from among all eligible entries received throughout the Promotion Period on or about April 22, 2016. The Grand Prize drawing will be conducted by BBVA Compass. Judges’/Sponsor’s decisions are final on matters relating to this Sweepstakes. Potential Grand Prize winner will be notified on or about April 22, 2016. Winners will be notified by email and be asked to confirm mailing address within forty-eight (48) hours of the initial notification. Non-compliance by the potential winner within this time frame or with the Official Rules, will result in the entrant being disqualified, and the prize will be awarded to a potential alternate winner. Potential Grand Prize winner will be required to sign an affidavit of eligibility and release, a publicity release where legal, and Federal and State tax release, and return these documents, properly executed, via fax or email, within 48 hours of notification, and the original documents within 7 days of date of notification via regular U.S. mail. Non-compliance within this time frame and/or with these Official Rules; Sponsor’s inability to contact potential winner within a reasonable time period; or prize’s or prize notification’s return as

undeliverable will result in such potential winner’s disqualification and, at Sponsor’s discretion, the prize may be awarded to a potential alternate winner.

6. ODDS: Odds of winning a Grand Prize depend upon the total number of eligible entries received during the Promotion Period. 7. PRIZE: One (1) Grand Prize: A 2-day, 1-night trip to an NBA finals game during the 2016 season. Location and game to be determined, in the sole discretion of Sponsor. Winner and guest must be able to travel between June 1, 2016 and June 30, 2016. The trip (“Trip”) includes two (2) tickets to the NBA game selected by Sponsor, coach class air transportation for two (2) people from a major U.S. gateway airport nearest the Winner’s home, hotel accommodations (one (1) standard room, double occupancy), ground transportation to and from airport, and $500 cash (awarded in the form of a gift card). Total ARV: $4,000.00 Actual value of trip prize depends upon the city of departure, time of travel, any airfare fluctuations and on current market conditions at time of prize fulfillment, and any difference between the stated ARV and the actual value if any, will not be awarded. See “Travel Restrictions” section below for further information. No substitutions, cash equivalents, or transfer of prize permitted except at the sole discretion of the Sponsor, who reserves the right to substitute the prize (or portion thereof) with one of equal or greater value, except as otherwise provided herein. All taxes and any and all other costs and expenses associated with prize acceptance and use not specifically stated within these Official Rules as being provided, are the sole responsibility of the Winner, including, without limitation, all federal, state, and local taxes, ground transportation to and from home, gratuities, incidentals, upgrades, insurance, service charges, airport surcharges, airline baggage fees, departure taxes, hotel, resort or property fees, food & beverage and personal expenses such as telephone/Internet charges, and gift shop purchases. Winner is solely responsible for reporting and paying any and all applicable taxes. Winner must provide the Sponsor with valid identification and a signed IRS Form W-9 before any prize will be awarded. United States residents that win $600 or more in prizes will have income reported to them on IRS Form 1099, as required under IRS rules and a copy of said form will be sent to the IRS. Prize may not be transferred or substituted except at the Sponsor’s sole discretion. Travel Restrictions A Winner must be able to travel on dates specified by Sponsor or prize will be forfeited and Sponsor may select an alternate winner, in its sole discretion. Sponsor reserves the right to change dates for the Grand Prize. Grand Prize is subject to air/hotel availability and other conditions and restrictions. Winner and Winner’s guest may be required to present a credit card at hotel check in. Winner and Winner’s Guest must have valid photo ID and any documentation required to travel prior to departure. Game tickets will be available at Will Call for the Winner and Winner’s Guest to pick up the afternoon of the game they attend. Airfare and lodging selection will be determined by Sponsor in its sole discretion. Winner and Winner’s guest must be 18 years of age or older as of the date of departure (or be accompanied by his or her parent or legal guardian as the Winner) and Winner and Winner’s guest must travel on same itinerary and at the same time. Guests will be required to sign a release before going on the Trip. If Winner lives within 150 miles of the location of the NBA Game, ground transportation may be provided instead of air transportation. Airline/flight times to be selected by Sponsor at its sole discretion; one or more stopovers

may be required. Once trip dates have been booked, no change, extension or substitution of trip dates is permitted. Sponsor will not replace any lost or stolen tickets, travel vouchers or similar items once they are in a Winner’s possession or in the possession of a guest. Releases shall not be responsible for any cancellations, delays, diversions, substitutions, or any acts or omissions whatsoever by the air carriers, hotels, or other transportation companies or any other persons providing any of these services and accommodations to passengers, including any results thereof, such as changes in services or accommodations necessitated by same. Prize conditions may be added or modified by companies providing those portions of the prize. The prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which may be stated in the affidavit and release and/or prize travel documents. A Winner and guest are responsible for obtaining travel documents, as well as travel insurance (and all other forms of insurance), that they may wish to obtain for the trip (at their own expense) and hereby acknowledge that the Releasees have not and will not obtain or provide travel insurance or any other form of insurance for the trip. A Winner and Winner’s guest must arrive at the designated U.S. gateway airport in time for the flight for the trip. Tickets are subject to certain terms and conditions as specified by the NBA and issuer thereon. A Winner and guest must comply with all venue, stadium, and event rules and regulations. Failure to do so may result in forfeiture of such portion(s) of prize. Sponsor reserves the right to remove or deny entry to a Winner and guest who engage in a nonsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person at the game. If any portion of prize or any other event or activity is unable to take place as planned for any reason, including but not limited to, cancellation, scheduling conflicts, lockout, labor dispute, strike, inclement weather, or an event of force majeure, the remaining components of the prize will be awarded and Sponsor’s obligation to the winner will be fulfilled, and no other additional compensation or substitution will be provided for trip. All prize details are at Sponsor’s sole discretion. 8. LIMITATION OF LIABILITY: By entering the Sweepstakes and accepting a prize, Eligible Participants and Winners agree to: a.) these Official Rules including all eligibility requirements and the decisions of the Sponsor shall be final, non-appealable, and binding in all respects; and b.) release, discharge, and hold harmless Releasees, and Twitter from any liability, claims, actions, injury, loss, or damage of any kind, including but not limited to, personal injury or death, arising, in whole or in part, directly or indirectly, out of their participation in the Sweepstakes or the acceptance possession, or use or misuse of the prize (including any travel/activity related thereto). This limitation of liability is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect, or consequential damages; loss of data, income or profit; loss of damage to property; and claims of third parties. Eligible Participants and Winners agree that Releasees have not made nor are in any manner responsible or liable for any warranty, representation, or guarantee, statutory, express or implied (including but not limited to, the implied warranties of merchantability, title, and fitness for a particular purpose), in fact or in law, relative to the Sweepstakes. By accepting a prize, Winner agrees to, where legal, Sponsor, the NBA Entities and their designees’ use of his/her name, city and state of residence, image, voice, biographical material, the fact that he/she is a customer of BBVA Compass, and/or likeness for advertising, publicity and promotional purposes in any and all media now or hereafter known throughout the world in perpetuity without additional compensation, permission or notification and, upon request, will provide consent to such use in writing. As a condition of entering the Sweepstakes, participant agrees that: a.) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; b.) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded,

shall be resolved individually, without resort to any form of class action; and c.) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, and in no event shall a participant be entitled to receive attorneys’ fees or other legal costs. Sponsor reserves the right to modify prize award procedures at its discretion. 9. GENERAL: Sponsor will collect information from the Eligible Participants and Winners solely for the purpose of the prize drawing and to notify a winner. Sponsor will not share this information with any third party, except as necessary for the administration of the Sweepstakes or winner notification as applicable, nor attempt to contact entrant, unless entrant has agreed to receive further information on Sponsor’s products and promotions or for winner notification (if applicable). Releasees are not responsible for lost, late, illegible, misdirected, inaccurate, incomplete, undelivered, damaged, delayed, garbled, or stolen mail, entries, transactions; for transactions that are lost, misdirected, or fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly; or for any other errors or problems of any kind, whether typographical, printing, mechanical, human, electronic, or otherwise, relating to or in connection with the Sweepstakes, including, without limitation, any error or problem that may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prize, or in any Sweepstakes-related materials. Sponsor reserves the right to conduct a background check of any and all records of a potential winner, including, without limitation, civil and criminal court records and police reports, and entry in the Sweepstakes constitutes entrant’s permission for Sponsor to conduct such background check, provided that, to the extent additional authorization is necessary under law, potential winner shall authorize such check. Sponsor reserves the right (at its sole discretion) to disqualify a potential winner based on the results of the background check or failure to properly authorize such check. Entry materials that have been tampered with or altered are void. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness, integrity or proper play, or submission of entries, or should the Sweepstakes be unable to run as planned for any other reason, Sponsor reserves the right at its sole discretion to terminate the Sweepstakes and, if terminated, at its discretion, select the potential winners in a random drawing from among all eligible, nonsuspect entries received prior to action taken. Sponsor reserves the right, in its sole discretion, to cancel or suspend part or all of this Sweepstakes at any time without notice, if in the judges’ opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness, or integrity and proper play of the Sweepstakes. In the event of cancellation, Sponsor may void any entries it suspects are at issue and, at its discretion, if terminated, award prize in a random drawing from among all non-suspect, eligible entries received up to the date of cancellation. Caution: Any attempt by an entrant or any other individual to damage the web site or undermine the legitimate operation of the Sweepstakes may be in violation of criminal and civil laws and, should such an attempt be made, the Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law, including criminal prosecution. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Sponsor reserves the right to disqualify Eligible Participants who violate these Official Rules or interfere with this Sweepstakes in any manner. If an entrant is disqualified, Sponsor reserves the right to terminate that entrant’s eligibility to participate in the Sweepstakes. 10. DISPUTES: Except where prohibited, all issues/questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the

laws of the State of Alabama, without giving effect to any choice of law or conflict of law rules (whether of the State of Alabama or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Alabama. By entering, Eligible Participants consent to the jurisdiction and venue of the federal, state and local courts located in Birmingham, Alabama. 11. CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Eligible Participants and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the State of Alabama. 12.
