1 GENER AL
4 DELIVERY
1 .1: These standard trading terms apply to all purchases of G oods by you from us. They are supplemented by any additional trading terms published by us and applicable at the time of purchase. We expressly rejec t any terms you propose that var y or add to our trading terms. 1 . 2: These standard trading terms can be varied only in accordance with either changes or additions published by us from time to time about these standard trading terms or by writ ten agreement bet ween us and you expressly stating that the agreement varies these standard trading terms. 1 . 3: These trading terms apply not withstanding any forbearance or failure by us to enforce any of the terms, any course of conduc t by the par ties and despite any industr y prac tice to the contrar y.
4 .1: We will arrange deliver y of the G oods to you. 4 . 2: Subjec t to clause 3 .5, unless provided for other wise in the order confirmation , G oods ordered by you will be delivered to you CP T (as interpreted in accordance with Incoterms (20 0 0 Edition) to the place nominated by you and acceptable to us from time to time, or other agreed basis. 4 . 3: We make all statement s or forecast s of deliver y times in good faith but these are estimates only. In par ticular, G oods delivered in the intended month of deliver y are not considered late. 4 .4: You must notif y us within 7 days af ter deliver y of any shor tages in the quantit y of G oods delivered compared with the quantit y ordered. We will investigate your claim within reasonable time. If we are satis- fied that there was a shor tage then we will make it up (and this is the maximum ex tent of our potential liabilit y). 4 .5: We are not liable to you for any loss or damage arising direc tly or indirec tly from any delay in deliver y of, or failure to deliver, the G oods. If we are not able to deliver the G oods to you we will notif y you. 4 . 6: We reser ve the right to dispatch your order in one deliver y or by installment s. W here we deliver in installment s we will invoice you for each installment s delivered. If we fail to deliver any installment this does not entitle you to repudiate any remaining installment s.
2 ORDERS 2 .1: You can place an order for G oods in writing or in any other way acceptable to us. 2 . 2: We can accept orders in our discretion . We will confirm orders we accept by sending you an order confirmation , in which we will specif y the intended deliver y date. Acceptance is subjec t to you complying with clause 3 . 8 (if applicable). 2 . 3: Subjec t to clauses 2 .4 and 2 .5, upon sending to you the order con - firmation , you are obliged to purchase the G oods set out in the order confirmation . 2 .4: Not withstanding clause 2 . 3 , at your request we may, in our discre - tion , allow you to return any G oods. You must not return any G oods to us until we have issued you an authorized return number for those G oods. You must deliver to us at your cost G oods returned for credit unsoiled, undamaged and accompanied by notice set ting out the return authorization number, the original invoice number, the date of purchase and the reason for return . 2 .5: You can only cancel an order by notice in writing given to us at least 6 0 days before the intended deliver y date and we agree to that cancel- lation .
3 PRICE 3 .1: Prices are subjec t to change without notice. 3 . 2: The price for the G oods is the price applicable at the time the G oods are delivered to you. 3 . 3: At the time of deliver y we will invoice you for the G oods and send a statement at the end of the invoiced month . 3 .4: You must pay for the G oods within 3 0 days of the date of the invoice. Your payment must be made without any set- of f, discount or by way of exchange of your goods or ser vices. 3 .5: You must pay us in the currenc y indicated in the invoice. 3 . 6: If we request that you provide us securit y for payment (or replace - ment securit y from time to time) then you must provide us the securit y we requested before we are required to deliver any Goods to you. 3 .7: If your account is overdue then we can , without notice to you, cease to supply you or cease to supply you on credit . 3 . 8: You must inform us in writing of any discrepancies in our invoices with 7 days of the invoice date. 3 .9: The price for the G oods in exclusive of GS T. You must pay all GS T arising from the supply of the G oods to you.

5 TITLE & RISK 5.1: Until you have paid to us the price for the Goods supplied under each invoice: (a) We are and remain the legal and equitable owner of the G oods; (b) You hold the G oods as a fiduciar y bailee for us and you must store the G oods safely; and (c) You grant to us, our employees and authorized representatives an irrevocable licence to enter your premises (or any other premises either under your control or where the G oods are stored on behalf of you) at any time to inspec t the G oods and, if you default in paying for those G oods, to use reasonable force to take possession of the G oods without liabilit y for trespass, negligence, payment of any compensation to you, another person or other wise. A ny exercise of this right is with - out prejudice to any other right s we may have against you, including the right at all times to make a claim against you for the invoiced price of the G oods, when due and payable. 5. 2: Clause 5.1 also applies until you have paid all monies owing to us on any account what soever, including any cost s incurred by us because of your failure to pay or late payment of any such monies and the cost s incurred by us in recovering the G oods from you. 5. 3: W hen we receive payment s from you, we are entitled to allocate them to out standing invoices as we see fit . 5.4: Not withstanding clause 5.1 , you may, subjec t to clause 5.5, re -sell and deliver the G oods in the ordinar y course of it s business but if you: (a) are paid for that sale, you hold all of the proceeds of sale on trust for us and you must promptly pay those proceeds to us (keeping them separate and identifiable from your other funds until you have done so); (b) Intermingle those proceeds of sale with your other funds, you acknowledges that we have a beneficial interest in those intermingled funds to the ex tent of the monies owing by you to us; and (c) are not paid for that sale, you must assign to us, if we so elec t by notice in writing , your claims against the person who bought the G oods from you. For this purpose you irrevocably appoint s us as your at torney. 5.5: Your right to re -sell the G oods pursuant to clause 5.4 ceases if we exercises
our right to return the G oods pursuant to this clause. You also acknowledge that any pur por ted exercise of your right s under clause 5.4 once we elec t to exercise our right s for the return of the G oods (either by notice in writing to you or by physical recover y of the G oods pursuant to clause 5.1 (c) would be out side the ordinar y course of your business. 5. 6: If you pay for G oods by cheque then payment only occurs when all cheques have been presented and cleared in full. 5.7: Not withstanding the operation of this clause, risk in the G oods (including responsibilit y for insurance) passes to you upon deliver y of the G oods to you.
6 WARR ANT Y 6 .1: We warrant that the G oods are of merchantable qualit y and are fit for the purposes those G oods are ordinarily used. 6 . 2: The warrant y in clause 6 .1 operates for the period (if any) specified for any par ticular Good in the swing tags or other written materials that accompany them. 6 . 3: If any par ticular G ood does not conform to the warrant y in clause 6 .1 then: (a) At our request , you must send that G ood to us (at your cost) and; (b) If we agree that the G oods do not conform to our warrant y, we will (at our option) repair or replace that G ood and return it to you (at our cost). 6 .4: To the maximum ex tent permit ted by law : (a) Us repairing or replacing the G oods pursuant to clause 6 . 3 (b) is the limit of our liabilit y to you; and (b) we are not liable to you or any other person , whether in contrac t , tor t or other wise, for more than the price paid by you for the G oods. 6 .5: O ur warrant y is invalidated if you or another person undertakes any unauthorized repairs or alterations to the Goods. 6 . 6: This warrant y does not cover damage to the G oods from misuse, accident or neglec t by you or your customer or you or they do not fol- low any applicable care instruc tions. 6 .7: To the maximum ex tent permit ted by law, we are not liable in any circumstances for. (a) any injur y, damage or loss, including consequential damage or loss (including without limitation loss of market , loss of profit or loss of contrac t s) whether arising direc tly or indirec tly, whether arising in con - trac t , tor t , in equit y or on some other basis, to people or proper t y aris- ing out of us supplying the G oods to you (or you supplying the G oods to another person including a consumer who uses them) including because of any latent or other defec t s therein; or (b) any loss of or damage to the G oods or caused by the G oods whilst in transit .
7 DISTRIBUTION CHANNEL 7.1: You acknowledge that our marketing polic y limit s the distribution of our G oods to sur f shops and other approved outlet s in the region , State, countr y or other territor y approved by us. 7. 2: You may only sell G oods to consumers for end use and through designated outlet s approved by us. 7. 3: If you wish to open a new site or move an existing site you must give us notice in writing . We will determine if we will supply our G oods to that new site and you acknowledge that we are not obliged to do so 7.4: You must not sell or diver t our G oods at any place other than the outlet s approved by us or through or to any other entit y or person for resale, or to any entit y or person who you know or should know has the intention of reselling the G oods. 7.5: You must not sell, or of fer for sale, the G oods by any means other than the physical display of the G oods at an approved outlet , including by mail order or through the internet or by any other elec tronic means. You may adver tise.
7. 6: You acknowledge that damages will not be an adequate remedy for a breach of this clause and that we may immediately cease trading with you and obtain injunc tive or other equitable relief.
8 TERMINATION 8 .1: In addition to clause 8 . 2 , either par t y may close the trading account at any time upon giving 9 0 days notice in writing to the other, which you acknowledge and agree is a reasonable notice period. 8 . 2: Not withstanding clause 8 .1 we may close the trading account at any time with immediate ef fec t upon giving notice in writing to you if either you have breached these trading terms or we have grounds for suspec ting that you are or may be, or may be about to become, unable to pay your debt s as and when they become due. 8 . 3: You must indemnif y us for all cost s (including legal cost s on a solicitor own client basis) we incur arising either during the term this A greement from you breaching these standard trading terms, pursu- ant to clause 5.1(c) in enforcing these standard trading terms or upon termination . 8 .4: Termination of the agreement pursuant to this clause is without prejudice to rights accruing to either party up to the date of termination.
9 INTELLECTUAL PROPERT Y 9.1: You acknowledge that all intellec tual proper t y in the G oods, their associated trade marks and marketing and adver tising material are our sole proper t y. 9. 2: You must not adver tise or use our name, trade marks or other intel- lec tual proper t y in any manner without our prior writ ten consent and must immediately cease using them at our request .
10 MISCELL ANEOUS 10 .1: The laws of Queensland, without reference to choice of law prin - ciples, govern these standard terms of trade. You and we submit to the exclusive jurisdic tion of the cour t s of that place. 10 . 2: O ther than clauses 2 . 6 and 3 .4 , time is not of the essence under these standard trading terms. 10 . 3: A reference to “ includes”, “ including”, for “ for example”, “ in par- ticular” or “such as” are to be read as if followed by the words “without limitation”. 10 .4: All right s and powers enjoyed by us and any discretion , consent or decision to be made by us pursuant to these standard trading terms may be exercised by us in our absolute discretion and may be given or withheld subjec t to conditions. 10 .5: If any provision or par t of any provision of these terms is unen - forceable does not af fec t any other par t of such provision or any other provision of these terms. 10 . 6: In These standard terms of supply, the following terms apply: • G oods mean any produc t delivered by us to you pursuant to these standard terms of supply; and • GS T means any consumption tax imposed by any government or government agenc y, whether at the point of sale or at some other oc- currence, by whatever name, which operates during the time we supply you with Goods and includes a goods and ser vices tax , an indirec t tax and value added tax .
