Xi’an Jiaotong University Master of Laws in Chinese and International Business Law 2 Year English-Medium Master’s Program 1. Educational Objectives The program is designed to help students gain sound knowledge in Chinese and international law focusing on business and economic laws and deep insights in Chinese society and culture, whilst cultivating the abilities and skills to professionally handle relevant practical legal problems. 2. Program Overview Master of Laws in Chinese and International Business Law (LLM-CIBL) program is the flagship international graduate program of the XJTU Law School. The program offers foreign law students and legal professionals a unique opportunity to study Chinese and international business and economic laws and legal processes at Xi'an, the heart of China. The program lasts for twelve months and contains taught courses and independent research and thesis writing. All courses are taught in English and the lecturers include our select faculty members and leading experts from public and private practice. An academic advisor will be assigned to each student to supervise his/her research and LL.M. thesis writing.

Students are encouraged to write publishable dissertations. 3. Curriculum The courses are divided into three main categories, namely university fundamentals, required courses, elective courses. 5. Thesis The LL.M. Program requires a minimum of 24 credits of course studies and an LL.M. thesis. To qualify for the LL.M. degree, students must: 1. Successfully complete at least 24 coursework credits; 2. Successfully complete an independent research and write an LL.M. thesis under the supervision of a Law faculty member. 6. Kernel Courses Chinese Contract Law This is a comparative introductory course of the principles, practices and methodologies of Chinese contract law from a common law perspective. It seeks to acquire a genuine understanding of how contract principles are applied by the Chinese courts to resolve disputes and makes a particular attempt to discover how like cases might be decided by their Anglo-Australian counterparts. The whole course consists of seminar-style teaching, class discussions, reading of original literature, and writing of essays.

Chinese Civil Law This course will makes a systematic exploration of the basic theories, systems and knowledge of civil law. It is based upon present laws and regulations of China, such as General Principles of the Civil Law, Contracts Law, tort law, property law, etc, combining closely with the judicial interpretations of the Supreme People’s Court and absorbing the achievements of the research at home and abroad in the science of civil law. It aims at developing the abilities of students to solve practical problems and do independent research. Chinese Civil Procedure The course introduces key points and main characteristics of the Civil Procedure Law of China, relevant judicial interpretations, and cases. And the objectives of this course include having students discuss the problems and developments of Chinese civil procedure.. The course trains students' ability to extract law from statutes, judicial interpretations and cases, through reading course materials and participating in class discussions. Chinese Corporate and Securities Law This course covers the major aspects of company law and securities regulation in China, including the formation of companies, corporate finance, corporate governance, shareholders' rights, issuing of stocks and "going public", corporate mergers and acquisitions, as well as the regulation of the capital markets in China. The primary focus will be on providing

students with a basic legal understanding of establishing business organizations in China and accessing China's capital markets for finance. Significant issues relating to corporate law and securities regulation will be discussed in the context of China's legal, business and policy environments in the reform period. International Economic Law This course will make a probe of all aspects of international economic law, including international commercial law, regulation on trade, international investment law, international financial regulation, international monetary regulation, international transfer of technology, and international taxation treaties. All these issues will be discussed from both public international law perspective and private law perspective. As an emerging body of law, some edge-cutting issues such as state sovereignty, economic integration, financial crises, and regulation on state owned enterprises will also be addressed.
