This document details the Services offered by WealthEngine, Inc. (“WealthEngine”) and is current as of the date set forth above. Certain capitalized words and terms used in this document and not otherwise defined in this document will have the meaning given to them in the Terms and Conditions to which clients of these Services have agreed either in an executed agreement or the Terms & Conditions set forth elsewhere on this website and agreed to by clients.

WealthEngine Data Sources WealthEngine uses a wide variety of data sources (the “WealthEngine Data”) in the provision of its Services. These sources include WealthEngine Data that is owned by WealthEngine and WealthEngine Data that is licensed to WealthEngine by third parties (“Data Owners”). WealthEngine may add, substitute or delete WealthEngine Data at any time. Data Owners who have consented to the disclosure of their agreements to license Client Data to WealthEngine include the following information sources: WealthEngine Data (U.S.): Acxiom Household Profiles, Department of Labor Form 5500 Pension Plan Reports, DMA Do Not Mail, Dun and Bradstreet US Marketable File, Dun and Bradstreet State Business Registrations, Federal Aviation Administration Airplane Registrations and Pilot Licenses, Federal Election Commission Campaign donations, GuideStar USA Non Profits Leaders and Foundations, Hoovers Business Information, LexisNexis Real Estate, Marquis Who’s Who, Physician’s Profiles, POW&R Wealthy and Influential Individuals, Reuters Market Guide Public Company Executive and Director Profiles, Six Telekurs (USA) Inc., Social Security Master Death Index, Standard & Poor's, TMT State Boat Registrations, U.S. Coast Guard Merchant Vessels, U.S. Securities & Exchange Commission, and WealthID Securities. WealthEngine Data that is only included and accessible through the FindWealth Online U.S. Service only: DataQuick and Dialog NewsRoom. WealthEngine Data (U.K.): Charity Commission, Civil Aviation Authority, Constellations - Philanthropist Profile, Electoral Commission, Experian Real Estate Limited, FAME, Hemscott Public Company Directors, Marquis Who’s Who, Matrix Investor Data, and ZoomInfo.

WealthEngine Services The Services offered by WealthEngine are categorized into the following seven categories (the “Services”): 1. 2. 3. 4. 5. 6. 7.

The right to access and/or use the Services is governed by the Terms and Conditions and/or in each ordering document (an “Order”). Each Services may be subject to limits of usage relating to period of access and use, the number of users, the number of records to be accessed or screened (for Online Search Services, Data Screening, Wealth Analytics and Data Append Services), or the number of hours (for Consulting, Training and other professional Services).

Online Search Services FindWealth Online™ Subscription Service (U.S.) FindWealth Online (U.S.) is an individual look up web-based research tool to help you qualify individuals using wealth and affinity indicators. It will be active for the number of users and time period set forth on an Order. Each subscription provides access to WealthEngine’s web-based online research tool that includes the following: • • • • • •

Online searching using the Simple, Advanced, Foundation and Organization search capabilities. Unlimited number of online searches during the time period set forth on an Order; however, programmatic scripting of online searches is prohibited. Access to the History Section for viewing saved Results and querying the data stored there. Ability to export Advanced Search Results from the History Section in Microsoft Excel and CSV formats. Access to identify Major Donors, Circle of Friends and Inner Circle of Friends. Access to additional WealthEngine Data including DataQuick and Dialog NewsRoom.

FindWealth Online™ Subscription Service (U.K.) FindWealth Online (U.K.) is an individual look up web-based research tool to help you qualify individuals using wealth and affinity indicators. It will be active for the number of users and time period set forth on an Order. Each subscription provides access to WealthEngine’s web-based online research tool that includes the following: • • • • •

Online searching using the Simple and Advanced search capabilities across UK WealthEngine Data. Unlimited number of online searches during the time period set forth on an Order; however, programmatic scripting of online searches is prohibited. Access to the History Section for viewing saved Results and querying the WealthEngine Data stored there. Ability to export Advanced Search Results from the History Section in Microsoft Excel and CSV formats. Access to identify Major Donors, Circle of Friends and Inner Circle of Friends.

Pinpoint™ Pinpoint is an add-on capability to the FindWealth Online (U.S. version only). Pinpoint provides access to WealthEngine’s web-based research that includes the following: • • • •

Online searching using Pinpoint Insider Search and Pinpoint Company Search for Security and Exchange Commission (SEC) Stock Insiders or the companies they are affiliated with. Searching is performed against the WealthID Securities Data with coverage for companies listed on a U.S.-based stock exchange. Unlimited searches during the time period set forth on an Order. Alert function with automatic notification of stock portfolio changes and news alerts.

WebConnect for CRM WebConnect for a Customer Relationship Management system (CRM) is an add-on to FindWealth Online and provides the ability to: • Access WealthEngine’s web-based research from within a CRM system. • Access is provided by the WebConnect Application Programming Interface (API). The API passes name and address information from the CRM system to WealthEngine’s FindWealth Online for analysis and the Results are returned in a separate browser window with all the same functions and features of FindWealth Online.

WebConnect for DMS WebConnect for a Donor Management System (DMS) is an add-on to FindWealth Online and provides the ability to: • Access WealthEngine’s web-based research from within a DMS system. • Access is provided by the WebConnect Application Programming Interface (API). The API passes name and address information from the DMS system to WealthEngine’s FindWealth Online for analysis and the Results are returned in a separate browser window with all the same functions and features of FindWealth Online.

WealthConnect for DMS WealthConnect for a Donor Management System (DMS) is an add-on to FindWealth Online and provides the ability to: • Access WealthEngine’s web-based research Services from within a customer’s DMS system. Contact WealthEngine at [email protected] for a list of DMS available vendor connections. • WealthConnect for DMS allows you to store selected WealthEngine generated wealth ratings within the donor/prospect record in the DMS. • WealthConnect for DMS consists of two application programming interfaces (API’s): WebConnect and ProspectLink. o WebConnect provides the ability to launch a FindWealth Online session from within a DMS system. o ProspectLink is a web-service API that passes name and address information from the DMS to WealthEngine for analysis. WealthEngine returns selected information that is stored within the contact record in the DMS system. The selected information includes scores, ratings and the names of the WealthEngine Data and Client Data that were used in the calculations. • ProspectLink and WebConnect provide analysis of one person at a time. • The processing of multiple prospect or donor records at one time in a batch or in a simulated batch method through WealthConnect for DMS is prohibited. Processing or screening of multiple prospect or donor records must be done via a Data Screening Service (such as WealthEngine’s FindWealth Review). • The output Results of the FindWealth Review may be batch imported into a DMS system via a mapping file from WealthEngine and the DMS vendors supplied data import utility. WealthConnect for DMS includes a license for the number of users set forth on an Order to use the WebConnect and ProspectLink functions. Additional DMS users may be licensed separately.

WealthEngine for Salesforce (Nonprofit) WealthEngine for Salesforce (Salesforce® is a registered trademark of salesforce.com, inc.) is an add-on to FindWealth Online (U.S.) and provides the ability to: • Access WealthEngine’s web-based research Services from within a customer’s Salesforce CRM system. • WealthEngine for Salesforce Nonprofit packages allow you to store WealthEngine generated wealth ratings within a Salesforce CRM contact record. • WealthEngine for Salesforce consists of a Salesforce AppExchange Managed Package. The Managed Package includes WealthEngine’s WebConnect and ProspectLink APIs. o WebConnect provides the ability to perform FindWealth Online functionality from within the Salesforce CRM. o ProspectLink is a web-service API that passes name and address information from the Salesforce CRM contact record to WealthEngine for analysis. Once the analysis is completed, the wealth ratings and scores are returned and written into the Salesforce CRM contact record for storage and viewing. • ProspectLink and WebConnect provide analysis of one person at a time. • Processing of multiple Salesforce CRM contact records at one time in a batch or in a simulated batch method through WealthEngine for Salesforce is prohibited.

Processing or screening of multiple Salesforce contacts must be done via a separate FindWealth Review. The output Results of the FindWealth Review can be batch imported into Salesforce CRM via the Salesforce supplied data import utility.

The base price for WealthEngine for Salesforce includes a license for up to the number of Salesforce CRM users specified on the Order to use the WealthEngine for Salesforce functions. Additional Salesforce users may be licensed separately.

Data Screening Services FindWealth Review™ FindWealth Review provides wealth identification analysis and screening in an offline batch mode for up to the number of records defined on an Order. The FindWealth Review service includes the following: • • •

• •





Records can be submitted in up to two (2) separate file(s) in any electronic format including CSV, flat file, Excel, or major DBMS formats. Files are transmitted using secure file transfer protocol. In addition to name and address information, clients have the option to submit up to fifteen (15) additional fields of information for each prospect or client. These fields are referred to as “client attributes” and can include information such as Constituent ID and giving information. WealthEngine will review and format the input file(s) for processing against the applicable WealthEngine Data. For jobs not requiring any Custom Services or programming, WealthEngine will process and return the WealthEngine Data and Client Data within fifteen (15) business days of the acceptance of the input the files. Jobs requiring Custom Services or programming may require additional time to complete. WealthEngine’s acceptance of the input file occurs at the conclusion of our internal review and formatting of the submitted file(s). Additional charges may be added for Custom Services or priority handling. Output Results from the FindWealth Review service are delivered in a Microsoft Access database that is compatible with version 2002 or greater. The Results returned in the database will be returned as Basic Profiles. The database, which is referred to herein as the Access Manager database program, contains the following: o All Client Data submitted by client. o All WealthEngine Data associated with level of output detail specified in the Order. For an additional fee, options may include FindWealth Insight and Beyond (Full Detail) profiles (see details below explaining each of these profiles). o The capabilities to update, delete, report, sort, filter, and export Results. Basic Profiles: WealthEngine will assign Basic Profiles to the records. The Basic Profile contains the client’s Original Record ID, Constituent Name and Address Supplied by the client, Giving Capacity Amount, Giving Capacity Rating, Giving Capacity Range, Planned Giving Scores, Recency/Frequency/Monetary (RFM) Scores, Influence Rating, Inclination Rating, Short Term Recommendations, Long Term Recommendations, Inner Circle Flag, and the WealthEngine Propensity to Give (P2G™) Score. Please note, additionally if a client purchases WebExpress File Review – (Daily / Weekly / Monthly / Quarterly) they will also have to purchase FindWealth Review for the allotment of records as stated on the Order. The Results will be delivered either online in the FindWealth Online history section, in a flat file or otherwise specified within the Order.

FindWealth Review Options The above FindWealth Review service includes several optional capabilities that can be ordered for an additional fee for any screening service, including the following:

Insight Profile (Summary) WealthEngine will deliver the number of Insight Profiles identified on the Order. Insight Profiles will be delivered in the same Access Manager database as the FindWealth Review. The Insight Profile contains all information from the Basic Profile plus: • Identification of all match sources, • Quality of Match scores for all match sources, • Totals for income, real estate, stocks, pensions, and prior giving, • Total number of properties, • Business valuation, • Total FEC contributions, and • Total charitable giving Beyond Profiles (Full Detail) WealthEngine will deliver the number of Beyond or Full Detail Profiles identified on the Order. Beyond Profiles will be delivered in the same Microsoft Access Manager database as the FindWealth Review. Beyond Profiles contain all information from the Basic and Insight Profiles plus complete detailed information from each the matched WealthEngine Data.

FindWealth Review Level I & II WealthEngine FindWealth Level I & II Services provide for the automatic assignment of Basic, Insight, and Beyond profiles based on the number of records defined in an Order. WealthEngine will then assign the Basic, Insight, and Beyond Profiles according to the following table: Level I

Insight Profiles – 10% of total records submitted Beyond Profiles – 1% of total records submitted Basic Profiles – all remaining records

Level II

Insight Profiles – 10% of total records submitted Beyond Profiles – 5% of total records submitted Basic Profiles – all remaining records

FindWealth Review - Results Posted Online The Results posted online option allows the FindWealth Review output Results to be posted to the Client’s FindWealth Online History section for viewing.

FindWealth Integration FindWealth Integration provides the ability to integrate the Results of a FindWealth Review with a client’s Donor Management System (DMS). The FindWealth Integration requires a FindWealth Review service and includes the following: • The Results of the FindWealth Review will be returned in a flat file format suitable for integration with available DMS systems (see below). • Requires a Constituent ID from the DMS to be provided in the screening. • The following DMS systems are supported: o Avectra netForum™ o Datatel® Colleague® Advancement

DMS Integration – Datatel This includes FindWealth Screening output provided in a flat file (.csv) format. The file will contain Insight level record data for integration into Datatel's Colleague Advancement DMS.

DMS Integration – netFORUM This includes FindWealth Screening output provided in a flat file (.csv) format. The file will contain Insight level record data for integration into Avectra's netFORUM DMS.

WebExpress File Review – (Daily/Weekly/Monthly/Quarterly) WebExpress provides the ability to do quick automated wealth screenings on a frequent basis. On a periodic basis, as defined in an Order, Clients may submit a file to WealthEngine via any of the following: their FindWealth Online account, WealthEngine batch upload URL or secure FTP. WealthEngine will process the file using its FindWealth Review Online Service known as WebExpress. Results from the service will be posted to Client’s FindWealth Online History section. • •

Up to 4,000 records per day may be submitted for screening via WebExpress. Results will be posted to the Client’s FindWealth Online History section the same day, usually within 2 to 4 hours. Files containing between 4,000 and 6,000 records may also be submitted but the processing is held until after 6pm (EST) to eliminate delays for frequent screening clients with smaller files. Results will be posted to the client’s FindWealth Online History section within 24 hours of submission. Files containing more than 6,000 records but less than 15,000 records may be submitted but the processing will occur after hours to eliminate delays for frequent screening clients with smaller files. Results will be posted to the client’s FindWealth Online History section within 48 hours of submission. Screening Results will contain Beyond Profiles for each record matched. Pricing is based on an annual subscription price and a per record charge that varies based upon the frequency of the online screenings. For an additional fee, monthly downloads of the WebExpress screening Results can be provided in a Microsoft Access database format. The monthly Access Manager will contain Insight detail records for all the WebExpress screenings done during the previous month.

FindWealth Review - WebExpress OnDemand FindWealth Review - WebExpress OnDemand is designed for clients who desire quick online wealth screening without a predicted or planned frequency for their screenings. The features and capabilities of FindWealth Review - WebExpress OnDemand are the same as the WebExpress File Review. The cost for WebExpress OnDemand is based on a per record rate.

FindWealth Patient Review FindWealth Patient Review is tailored to healthcare industry clients and provides wealth screening review of patient records using WealthEngine’s FindWealth Online Service and WebExpress File Review. The FindWealth Patient Review includes the following capabilities: • Results are returned to the FindWealth Online history section the same day, usually within 2 to 4 hours. • Results include Beyond Profiles (Full Detail) for each matched record returned online unless delivered in a Microsoft Access Manager database.

File Data Cleansing & Formatting Services File Data Cleansing & Formatting Services allows the capability for WealthEngine to provide the client with custom programming services to cleanse the Client Data prior to a screening or use of a custom output template or append additional data elements to an output record. Examples include record de-duplication or appending business name to an output record.

Professional Technical Services Professional Technical Services provides custom programming services to support the processing of Client data. Examples include custom integration, data manipulation or data aggregation.

Data Append Services Data Append Services provide the ability to optionally purchase specific data elements that are appended to a client’s record(s). These include: • • • • • • •

Acxiom PersonicX Data Age Overlay Deceased Flag Email Overlay and Verification National Change of Address Data Nielsen Claritas Prizm Codes Telephone Overlay

Except for Acquisition Lists, Data Append Services are generally ordered with a Data Screening Service and the appended data is added to each individual record where a match is found. The Results are returned in a Microsoft Access Manager database format or a flat file format.

Marketing List Services Marketing List Services provides for the creation of new potential prospects and information based on WealthEngine data sources. Marketing List Services include:

Prospect Generator™ Prospect Generator is an add-on to FindWealth Online (U.S. version only) and provides access to WealthEngine’s webbased research that includes the following: • Capability to create a list of prospects based on a variety of search filters including geographic area, net worth, real estate value and number of properties owned, income, stock holdings, political contributions, affinity, business salary, and business sales volumes. • Searching is performed against a proprietary database of individual net worth records, as determined by WealthEngine’s calculations. • Results are stored in the Prospect Generator history section and may be exported in Microsoft Excel or CSV formats.

Direct Marketing List A Direct Marketing List provides a list of potential new prospects generated using a client’s selection criteria and certain WealthEngine data sources. The generated prospect list can include information about the prospect such as name, methods to contact them such as address or email ID, and WealthEngine calculated scores and ratings. The Direct Marketing List can be provided in formats such as Microsoft Excel, comma separated value (CSV) flat files or Microsoft Access Manager.

FindWealth Review - Circle of Friends Analytics FindWealth Review - Circle of Friends Analytics provides the ability to identify prospects associated with friends and individuals you already know or have relationships with including customers, business constituents, major donors, board members and trustees. Circle of Friends Analytics allows you to find new prospects by mining these relationships. It includes: • A screening of your prospect/client base to identify Circle of Friends for each customer supplied contact and address. • The newly identified prospects/clients are screened using the FindWealth Review screening to apply wealth ratings and scores. • The Results show who and how the new prospects/clients are connected and a wealth summary report of assets and ratings. • The Results will be returned in fifteen (15) days from the date of acceptance of the customers input file for files up to 10,000 records. Files over 10,000 records will be handled on a custom basis. Expedited service is available at an additional charge. • WealthEngine will deliver qualified prospects linked to each record via Excel. Additional charges may apply for Custom Services performed by WealthEngine technicians as a part of the screening.

Acquisition Lists Acquisition Lists are Services where WealthEngine acquires targeted lists of individuals based on specific characteristics, hobbies or interests. These lists can be combined with WealthEngine data to perform a wealth screening and calculate WealthEngine scores and ratings.

Wealth Analytic Services WealthEngine’s Wealth Analytic Solutions provide powerful insights into spending patterns or constituent philanthropicgiving potential. For nonprofit clients, predictive modeling and statistical analysis increases the sophistication of fundraising programs and directs efforts to the greatest opportunities for success. For financial services, luxury market, and other commercial clients, the development of statistical models are used to segment and rank order their customers. Modeling techniques may include logistic regression, cluster analysis, decision trees, or other advanced statistical methods. The modeling Results will be presented as part of the overall Services ordered by client, generally including Data Screening Services such as FindWealth Review. The modeling Results are provided for client’s use but do not include WealthEngine’s proprietary modeling algorithms. Custom deliverables will include raw scores and file segmentation, depending on the nature of each client solution. Scope of Services Includes: • Development of statistical models to segment and rank order customer/constituent base. • Identify new prospects that mirror desired donors/customers. • Identify new prospects with connections to donor/customer base. • Strategic consulting across the fundraising lifecycle (Nonprofit). • Consulting and custom training associated with analytics/products purchased (For-Profit). A single modeling solution can generally be completed within four to six weeks of the project start date. Two or more modeling solutions can generally be completed within six to eight weeks of the project start date. The project start date is the date on which WealthEngine receives all necessary Client Data to begin the project. Orders that include Wealth Analytic Services may include an addendum to the applicable Order setting forth the specific data requirements and deliverables depending on the scope and complexity of each such engagement.

Consulting Services Platinum Success Package WealthEngine’s Consulting Team is comprised of skilled, knowledgeable professionals that work with clients to ensure they get the most out of their screening and analytics investment. The assigned Consulting Team member works closely with clients on high level strategy relating to all stages of the prospect identification lifecycle: Identification, Qualification, Cultivation, Solicitation, and Stewardship. Each client will receive custom, personalized training on all products and indepth analysis of screening file based on client specifications. Scope of Services for Year 1 • Needs Assessment • Provide report templates, training documents, integration instructions, validation tips, etc. • Custom Analysis of Constituents • Onsite Strategy Session • Strategy Report • Fundraising Tools & Resources • Ongoing Strategic Support Year 1 Platinum Success Package is also available without the Onsite Strategy Session.

Platinum Service Package WealthEngine’s Consulting Team will continue to work closely with existing clients in year two and beyond on high level strategy to ensure the highest ROI on screening and analytics. Scope of Services Year 2 and Beyond • Progress Assessment • Custom Analysis of New Constituents • Virtual Strategy Session • Strategy Report • Fundraising Tools & Resources • Provide report templates, training documents, integration instructions, validation tips, etc.

Prospect Research Consulting Services Fee based consulting Services for one-time consultations can be provided based on client specific needs.

Training and Customer Support Services Custom Training WealthEngine provides both online and on-site training options customized to meet specific client needs. The training is customized to review the features and functions of the WealthEngine products and Services based on the needs and experience of the client’s users. Custom training is provided either via an online webinar, the client’s location, or at a mutually agreeable location. Custom training prices will be based on the length of the training, preparation time, number of attendees and travel expenses. Online group training is offered weekly and is available to all clients and their staff and is delivered via an online meeting service provided by Citrix GoToMeeting™ or Cisco WebEx™ conference center.

Customer Support All WealthEngine Services ordered include Customer Support at no additional charge for the period covered by an Order. Customer Support is available from 9:00am (EST) to 6:00pm (EST) Monday through Friday and can be accessed via telephone 301-215-5980 ext. 3, email ([email protected]) or on-line at http://www.wealthengine.com/customer-support. Complimentary access to support and training information is also available through the HELP section of the Client’s FindWealth Online account; including a searchable Knowledgebase, help documents, training manuals, topical videos, and monthly webinars.
