I am pleased to present to you this special issue of the V & M Report for OCTG. We intend to publish this report two or three times a year for our customers. In this first edition you will find a comprehensive description of all the V & M subsidiaries comprising the OCTG Division. It is my privilege to lead this Division, replacing Pierre Verluca who now sits on the Board of Directors of the Vallourec Group. Since May 2000, V & M do Brasil (VMB) has been incorporated within V & M Tubes. This fully integrated company – from forests and mines to finished seamless pipes – is a major player in Latin America, particularly in Brazil with Petrobras. We thought it would be of interest to you to hear about how we work with this Brazilian oil & gas company and to relate our strengths within VMB. The OCTG business is a case for High Schools, very cyclical with huge amplitudes between the ups and the downs. Less than twelve months ago, we were desperately searching for business in order to load our threading plants in Europe. Today, we are working three shifts everywhere. Indeed we are looking to start a fourth shift where we can and are optimising the loads between the different subsidiaries to maximise our available equipment and still offer the shortest delivery times possible. You, our customers, require this flexibility, a quick adaptation to actual needs. Using the Jean-Pierre Michel advantages of our wide base of production in the different key areas of the world, we study with you, in the framework of long term contracts, the best way to satisfy your requirements. Integrated services, short lead times, inventories and the uniquely famous reputation of the VAM® product line are just a part of our offering. The next issue will focus on who is doing what and where within the different companies of the Division. Prinver, former subsidiary of OTIS Engineering (see VAM PTS) was created in 1981 to serve the Mexican market. It became part of the Vallourec group in 1993. Today, with a market share of over 50%, Prinver leads the Mexican market in the field of premium joints. Since 1995, it has developed major business activities in the on-site service sector. More recently, in 1997, the company started to produce threading protectors meant to cover its own needs plus 50% of the needs of the units within the OCTG Division, which have notably increased since the arrival of V & M do BRASIL. With this new investment, Prinver is sure to rapidly become the most competitive manufacturer of threading protectors.

Mannesmann SA, created in 1964, joined VALLOUREC & MANNESMANN TUBES in May 2000 to become V & M do BRASIL SA. V & M do BRASIL’s main industrial complex is the Barreiro plant situated in Belo Horizonte, the capital city of the federal state of Minas Gerais. This integrated unit groups together all production facilities from the fusion and steel treating units to the finishing lines for tubes and pipes, in addition to, of course, the various hot-rolling mills. Aside from the Barreiro plant, V & M do BRASIL operates two subsidiaries: V & M FLORESTAL Ltda and V & M MINERAÇAO Ltda.

In order to guarantee the development of the VAM product line, it was necessary to have a production unit in the United States. In 1977, a license agreement was signed with OTIS Engineering, which resulted in the creation of OTIS PTS. A few years later, OTIS decided to withdraw from its activities in this sector and so a joint venture between Vallourec (51%) and Sumitomo (49%) was established in 1984 to purchase the entity, which was renamed VAM PTS. The company is active in the threading of superior quality joints on tubes supplied by distributor-stockists. VAM PTS became the leader in the US market for “super premium” joints destined for difficult applications in very deep wells with their threaded and coupled tubing and casing (VAM ACE RS Type 1 series) in carbon steel and stainless steel. Since 1997, VAM PTS has also been developing its activities in the field of integral joints without couplings, known as “flush” or “semi flush”, for which it set up a new threading line in 1999. Its objective is to be among the leaders in this fast-growing market with the VAM FJL and the VAM SLIJ-II. VAM PTS has a test center to carry out on-site product qualification tests; it also has an efficient on-site service team as well as sales and technical-sales teams that follow up projects in the United States and the rest of the world.

They produce charcoal from eucalyptus forests and iron ore for the Barreiro plant as well as for other steel producers established in Brazil. The company produces seamless tubes for the automotive, petrochemical, energy, mechanical and oil and gas industries. In the future, the production of OCTG is to increase rapidly in quantity and quality. The drilling programs in Brazil are ambitious, not only for Petrobras, the national oil company, but also for international companies that are now active in Brazil. The drilling operations, especially deep-sea ones, will also start to be carried out at much greater depths. In order to be able to satisfy these new needs, V & M do BRASIL will be making the necessary investments in terms of quenching and tempering and threading processes. In Brazil, as elsewhere in the world, new services (on-site services, inventory management) are currently being launched.

VALLOUREC & MANNESMANN TUBES CORPORATION (VMUSA) Before the establishment of VMUSA in October 1997, following the joint venture between Vallourec and MannesmannröhrenWerke, Vallourec ran two offices in the United States, one in Pittsburgh and one in Houston, that both specialized in the sale of hot-rolled tubes for industrial applications. Mannesmann also had two outlets in Houston: Mannesmann Pipe and Steel, which sold tubes for industrial applications, and Mannesmann Oilfield Tubulars (MOT), specialized in the sale of tubes for the oil industry. Since 1997, VMUSA markets all tubes produced by V & M TUBES in the United States. In the field of OCTG, the company has a stock of smooth casings destined for American distributors who perform the threading process themselves according to end-client specifications. VAM PC was created in 1983. It had a sales office in Calgary, where many oil companies are established,and a production unit located on the Algoma Steel site, a Canadian producer of seamless tubes. After the closure of Algoma’s tube activities, the workshop was reopened in November 1999 in the suburbs of Edmonton, where stock piles of petroleum tubes are kept. VAM PC’s mission is to serve the fast-developing markets of Western Canada. Its markets include heavy oil fields that require the combined use of vapor-injection techniques and VAM SW, a special product specifically developed for this application, as well as deep gas wells for which the VAM PRO and VAM FJL are well-suited.

The company adopted the name VMOGF in 1997, following the merger between Vallourec and MannesmannröhrenWerke’s seamless tube activities. Thanks to its 4 threading lines and its production unit for accessories, it manufactures tens of thousands of tons of threaded tubes with diameters ranging from 2 3/8” to 13 3/8” every year. With I.D.P.A., which was taken over by VMOGF in June 2000, the company also operates a drill pipe production unit. All these activities are located in Aulnoye-Aymeries in the North of France. On top of sales coordination for OCTG tubes and drill pipes, VMOGF monitors the development of VAM throughout the world through three departments: - Technical Sales Promotion, which analyses market needs and handles before-sales promotion and after-sales support; - Research and Development, which designs and develops new products and special grades that meet the increasingly specific needs of customers; - VAM Services, which is responsible for maintaining the quality standards of VAM throughout all the Group’s plants, at Sumitomo Metals and within the production units of 90 licensees all over the world that produce accessories and repair threaded tubes equipped with VAM joints. VMOGF has recently developed new skills in the area of ancillary services and Just-In-Time production procedures that are already or will be in operation for clients such as Shell (Netherlands and Nigeria), Maersk (Denmark) and Aramco (Saudi Arabia).

VALLOUREC MANNESMANN OIL & GAS UK LTD (VMOG UK)

VALLOUREC MANNESMANN OIL & GAS GERMANY G MB H (VMOGG) VMOGG was created in October 1997 following the joint venture between Vallourec and Mannesmannröhren- Werke. Located in Düsseldorf-Rath, the company sells petroleum seamless tubes (casing, tubing, risers) with diameters ranging from 2 3/8” to 26”. In addition to API and VAM OCTG, the company also sells drill-pipes. VMOGG has a team of technical-marketing specialists who work alongside clients to provide them with all the necessary ancillary services and whose business sectors span the USA, China, Eastern Europe, Germany, Norway, Austria, Greece and Libya. Plain end tubes are supplied by the Mülheim continuous rolling mill, the Stiefel rolling mill, the Rath pilger mill (V & M DEUTSCHLAND GmbH) and by the V & M FRANCE’s Saint-Saulve, Aulnoye and Deville plants. Threading operations are also carried out at Mülheim and Rath. DATE OF ESTABLISHMENT : 1899 SALES AND TECHNICAL SALES OFFICE: DÜSSELDORFR ATH (G ERMANY )

SOUTH-EAST ASIA South-East Asia is a major oil and gas producing zone. For several years, large corporations such as Total, Shell and BP have been present in this market where they work with VAM joints, which have provided them with total satisfaction. The fact that the countries in the region favor locally-produced OCTG was an important factor in Vallourec’s strategic decision-making process: - In Indonesia, since 1985, Vallourec has sub-contracted the threading of VAM joints to PT Citra Tubindo on the island of Batam. Vallourec, however, is in charge of providing marketing operations. Four years later, the decision to build a tube tempering workshop was made. At this time, Vallourec purchased a 25 % stake in the capital of PT Citra Tubindo, which was floated on the Djakarta Stock Exchange. Since this time, the two partners have enjoyed close working relations. - In Malaysia, in 1990, UCM, a threading workshop (API and Premium) in which PT Citra Tubindo holds a 30 % stake, was established in Labuan. - In Vietnam, in Vung Tau, the Vietubes threading workshop was set up in 1995. V & M TUBES holds 7 % of its capital and PT Citra Tubindo 25 %. - Finally, in Singapore, VAM FAR EAST (V & M TUBES - 51 % - and Sumitomo - 49 %) was made responsible for on-site services and the supply of gages for VAM licensees in South-East Asia and the South Sea Islands. This network of companies helps to ensure that VAM retains its leadership position in the region.

VMOG UK (formerly T.I.S.L.) came about as a result of the acquisition of British Steel’s OCTG seamless tube production plants. The facilities are located in the suburbs of Glasgow (Scotland) and their principle mission is to supply tubes for the British North Sea sector. This sector is characterized by high-pressure, high-temperature oil fields, which constitute major technical challenges and require specialist know-how. The products manufactured by VMOG UK are perfectly adapted to these special conditions. The main references are VAM TOP, VAM TOP HT (“High Torque”) and VAM HW (“Heavy Wall”) as well as highly sophisticated grades of steel such as VM 110SS. In order to meet market expectations in terms of ancillary services, VMOG UK is in full control of its product supply chain from the steel works to the platform. This initiative includes the definition of production programs according to drilling schedules, the control and financing of stock, the management of logistics until offshore dispatch, the implementation of products on the platforms in conjunction with the on-site service provider, VAM Field Service International, etc. VMOG UK offers all these services to its clients, among which are some of the largest petroleum companies in the world. VMOG UK is supplied with ”green” tubes from V & M TUBES French and German plants. It performs quenching and tempering and threading on the tubes and also produces couplings with diameters ranging from 4 1/2” to 14”. well prepared for Conditions in the oil and gas industry in Brazil have changed, and so has Petroleo Brasileiro S.A., Petrobras for short. The period of monopolies has passed, and since the largest country in Latin America has opened up the petroleum market to private ventures, the world’s major oil companies have turned their attention to Brazil.

etrobras was founded in 1953 as a state-owned company, and is the largest Brazilian company today. It operates in an integrated way in all segments of the petroleum business. The company is undergoing an inhouse transformation process with the objective of renewing and adapting the company to meet and overcome the challenges posed by open competition in the energy sector. A newly developed strategic plan for the next ten years has set goals for all sectors of Petrobras. Placing special emphasis on environmental issues, in all

its business segments the company will attain the same levels of excellence it has previously achieved in the fields of prospecting, exploration and production technologies, especially in the context of deep-water challenges. Against this background, Petrobras has the following vision for the year 2010: to consolidate the company’s leading position as an integrated energy company in Brazil, with a strong presence in Latin America, focusing on services, and free to act as an international corporation. Strategic partnerships Petrobras is a 25 billion dollar company in terms of sales, holding total reserves of 17.3 billion barrels of oil equivalent (83% oil; 17% gas) in Brazil, ranking fourth among the major oil companies in the world, even after the megafusions of the last few years, producing 1.1 million barrels of oil and 32.6 million m 3 of natural gas per day, through 8,500 active wells

future challenges (917 offshore), investing 3 billion dollars per year (80% upstream operations), spending 4.2 billion dollars in tax payments, with 35,800 employees and more than 127,000 shareholders, and an annual community expenditure of more than 115 million dollars. In 47 years, Petrobras has invested almost 100 billion dollars in Brazil, to build a huge infrastructure comprising 97 production platforms (74 fixed; 23 floating), 11 refineries processing 1.5 million barrels of crude oil per day, 15,330 km of pipelines, 53 terminals, storage capacity of 67 mil-

lion barrels, 64 vessels and 2 fertilizer plants with a total capacity of 4,282 tonnes of ammonia & urea. And at the end of this product line are customers in many industrial fields and – of course – motorists, who can use more than 7,000 service stations with the green-yellow-white BR logo to buy petrol in Brazil. Today, Petrobras operates abroad in 12 countries, producing 75,000 barrels of oil and gas equivalent (boe) daily, managing more than 140 partnership contracts signed with 83 of the most important international oil companies,

mainly in Latin America, the Gulf of Mexico and the West Coast of Africa. These strategic partnerships mean sharing risks, profits and technology, and this strategy will be continued for the exploration and development of production for the huge reserves in the vast Brazilian continental shelf. For the next five years, around 70 % of the planned total investments are earmarked for upstream activities. Enjoying international recognition with ultra-deep-water technology of its own, Petrobras is producing oil at competitive

prices in offshore fields at ever increasing depths. Integrated energy solutions Throughout the next ten years, Petrobras will grow into an energy company which offers its customers several energy options. Natural gas will assume increasing importance in the company’s portfolio. The discovery of enormous natural gas reserves in Bolivia in 1999 was a major step in this direction. The construction of a new 3,150-kilometre gas pipeline from the San Alberto and San Antonio blocks in Bolivia to the main consumption centres in •••

••• Brazil is one of the challenges of

today. The growing demand for natural gas in Brazil will largely be met by this Bolivia-Brazil Gas Pipeline, which is Petrobras’ largest infrastructural project in Latin America. The development of the natural gas market in Brazil is therefore one objective for the next ten years. This will be pursued mainly through alliances between Petrobras and thermoelectric energy generating companies and by means of incentives for industrial customers. The increase in domestic oil production, the greater participation of natural gas in the energy matrix, the growing domestic demand for petroleum products and increasing environmental requirements

are the main factors in the company’s new strategy for their refinery complex. In addition to the objective of increasing its processing capacity to meet the country’s growing demand for oil products such as diesel oil, gasoline and LPG, there is a technological challenge, too: the refineries have to be adapted in order to increase the conversion rate for different types of crude oil within the existing process structure. This is necessary to reduce dependence on imports. Partnership in tubulars V & M do BRASIL S.A., formerly Mannesmann SA, supplies seamless quality tube and pipe to Petrobras for the exploration, pro-

duction, processing and transportation of petroleum products. This has been the case right from the beginning, when the then newly built works in Belo Horizonte produced their first seamless tubes in 1955, only two years after the foundation of Petrobras. This continuous partnership over four and a half decades is more than the relation-

ship between a customer and a supplier: it is a longstanding trustful co-operation in all fields where seamless steel tubes and pipes are required for numerous applications. And the distance between Belo Horizonte and Rio de Janeiro is short: less than a one-hour flight. V & M do BRASIL also has a sales office in Rio. The co-operation between tech-

The R & D centre also holds countless international patents, some of which are of interest to the international oil industry. The international reputation CENPES is underpinned by the fact that it has been chosen by the United Nations Organisation as one of only a few institutes world-wide to carry out tests on substances used in chemical weapons. Another development with great international prestige is the creation of a high-quality gasoline chosen by the BMW-Williams team for Formula 1 racing.

Most of the technological success attained by Petrobras across a range of activities is explained by the development of the company’s R & D centre CENPES. This integrated technology centre is known as one of the foremost international oil research centres, with a broad spectrum of activities and the very latest equipment. This includes two Virtual Reality Centres (VRC), rooms with features such as three-dimensional and stereoscopic images which are helpful to oil exploration and production operations as well as to projects for oil facilities. Many innovative technological solutions have been developed here, including solutions for deep-water oil exploration and production. And it’s

nical experts of Petrobras with their partners in V & M do BRASIL is often based on new technical challenges to the material properties of the tubes, for which the feasibility has to be tested. At present, the following common projects are in the development phase: • Petrobras is looking for a modified casing grade P110 with mild corrosion resistance to H2S for future deep-drilling projects, in order to avoid the use of the more expensive grade C-110 in some applications. This project is being co-ordinated by Petrobras Well Technology Group working together with Petrobras Research

Centre CENPES and V & M do BRASIL, through its Quality Engineering Department / Hot Rolled Tubes, and also supported by the laboratories of INT (Instituto Nacional de Tecnologia) in Rio de Janeiro. The results are promising, which is encouraging the experts in their work. • For salt water injection into the wells, a modified composition for tubing grade L80 has been tested in CENPES laboratories as an alternative to the grade N80 which has been used up to now. It was found that the addition of 1% Cr in L80 grade reduces the corrosion rate by up to 50%. The test

phase on a laboratorial scale has been finished and the first orders for tubing strings 3 1/2” and 4 1/2” in the modified material have just been placed with V & M do BRASIL, subject to field tests. • A development project has been conducted for rigid riser pipes in API 5L X70 and X80 grades with outside diameters below 8 5/8” (219.1mm) and wall thicknesses of up to 0.562” (14.3 mm). V & M do BRASIL has succeeded in manufacturing hot-rolled test pipes, whose weldability through arc welding is being studied in a project together with ESAB in Brazil and CENPES. Radial Friction Welding tests were also carried out on these pipes as part of the project between Petrobras/CENPES, Stolt Offshore (UK) and GKSS, in Germany, with the co-operation of the UFRGS (Universidade Federal do Rio Grande do Sul). Good corrosion resistance in environments with a higher content of H2S and CO2 was obtained by material grade X65 with increased Cr content, recently produced by V & M do BRASIL. Based on these results, a further development project currently underway will aim to meet the same requirements for the X70 and X80 grades.

New development projects are in discussion between Petrobras Well Technology Group and the Quality Engineering Department / Hot Rolled Tubes of V & M do BRASIL. These include material grade L80 Type 13 Cr for tubing and production casing as well as casing with high-collapse resistance for deep water projects. Petrobras will follow the recommendation to use VAM Premium Connections for future casing and tubing strings where high requirements for the thread connections are defined. This is in line with the VAM threading capacities and license available at the mills in Belo Horizonte. A first order for casing with VAM-TOP connections was recently placed. Additionally, a licensee network has been developed in Brazil by VAM Services, particularly to fulfil Petrobras’ needs in terms of accessories suppliers and repair shops. It is clear that Petrobras regards V & M do BRASIL as a steady and reliable partner. “In our daily business we have no problems with their products and services,” noted a manager responsible for exploration and production. And the V & M managers will do all they can to ensure that Petrobras’ good opinion is maintained.
