USELESS BAY GOLF & COUNTRY CLUB, INC. POLICIES MEMBERSHIP POLICIES Privacy and Confidentiality UBG&CC will do everything possible to maintain the privacy and confidentiality of our member’s personal information. Under no circumstance will such information be shared with, or be used by, other members, staff or outside parties for the purpose of solicitation or advertising. Member’s personal information kept by UBG&CC will be used solely for the purpose of Clubapproved and sponsored activities. The Board of Directors and Management ask all our members to adhere to this policy and to use the information in the Club Directory only for Club functions or activities. Initiation Fee In the event of the disposition of a Proprietary Membership certificate, either by sale or donation, the initiation fee will be paid to the Club. At the time of the sale of member’s membership, the initiation fee owed to the Club is $2,500. Refer to UBG&CC Bylaws Article IV, Section 1 regarding Initiation Fees. Refer to UBG&CC Bylaws Article III regarding Election of Members Refer to UBG&CC Bylaws Article I, Section 5 regarding Disposition of Ownership Certificates and Section 6 regarding Death of the Member. Proprietary Membership Non-Refundable Capital Assessment UBG&CC will collect a $1,550 capital assessment on new Proprietary memberships. This is a non-refundable assessment that shall be used for Capital funding. Refer to UBG&CC Bylaws Article IV, Section 3 regarding Assessments. Proprietary Membership Sales All members interested in selling their membership should contact the General Manager for a copy of “Procedures for Sale of Proprietary Memberships”.  The total minimum sales price is fixed at $2,500. The base certificate price is currently fixed at $950 to the certificate holder and a $1,550 non-refundable capital assessment to the Club. The UBG&CC Board of Directors may raise the base certificate price.  The selling member may elect to change their selling price once each month, but not below the established minimum. Written notice of price change must be received by 5:00 p.m. on the last day of the month to be effective the next month. Refer to UBG&CC Bylaws Article I, Section 5, A regarding sale of a Proprietary membership.

Use of Club by Applying Members Individuals applying of membership who have paid the required fees and are awaiting Board action shall be granted full use of the Club in accordance with the type of membership. Family Membership If you are married and have joined as a family, you shall remain as a family until the marital status changes. Domestic Partner Effective March 27, 2008, the Domestic Partner Membership (DPM) will be available to a member seeking privileges for someone other than a family member or legal spouse. Members seeking DPM must confirm, among other things, that he or she has co-habited with their partner prior to the application, and is not related to the partner by blood to a degree that would prohibit legal marriage in the State of Washington. Contact the Club Office for a “Declaration of Domestic Partnership” form, which must be submitted with the membership application. 

Eligibility - Domestic Partners must jointly be responsible for each other’s common welfare and share financial obligations based on the existence of at least three (3) of the following, or are registered as Domestic Partners with the State of Washington: a. Joint mortgage, lease or other ownership. b. Joint utility bills. c. Designation of a durable beneficiary to each other’s will, life insurance or retirement plan. d. Assignment of a durable property or health care power of attorney. e. Common ownership of a motor vehicle. f. Joint checking account, joint credit account or other financial account.



Rights, Privileges and Restrictions a. The DPM shall be entitled to the same full golf, clubhouse, dining, swimming, tennis and social privileges as the appropriate membership type entitles them. b. All membership dues, assessments and obligations are applicable. c. The member will notify the Club within 30 days of the termination of the domestic partnership relationship. The former domestic partner thereafter has no rights to use the Club facilities. d. The member may not have more than one (1) domestic partner designated in any consecutive 12 months.

Proprietary Membership in a Divorce In case of a divorce where a Proprietary membership exits, the membership will be transferred to either party by mutual consent of the parties without a transfer fee. The other party shall be offered the opportunity to purchase a Proprietary membership without payment of an initiation fee. After a divorce, both parties cannot use the same membership. Proprietary Membership Certificate It is the member’s responsibility to notify the General Manager of any change of name for a membership certificate due to a change in marital status, death, etc. The Club Office will Amended October, 2014

provide a form to the member to complete, sign, date, and return to the Club Office with updated information. A membership certificate may have both spouses name on the certificate. However, there is only one authorized vote per certificate Refer to UBG&CC Bylaws Article I, Section 2 regarding Rights of Membership. Special Memberships General Information The UBG&CC Board of Directors has authorized various Special Memberships. Contact the General Manager for information about the prevailing cost for each type of membership. Refer to UBG&CC Bylaws Article III regarding Special Memberships. Social Membership Rights, Privileges and Restrictions:  Social Members and his/her qualified immediate family have full use of the Club facilities. This includes dining, swimming, tennis, fitness room and all Clubhouse social functions.  The total number of Social Memberships shall be limited to 300.  Social members are entitled to play one (1) 18-hole round of golf or two (2) 9-hole rounds of golf each month at member’s guest green fees. Member may have up to three (3) guests play golf with them. Guests will each pay the current Member’s Guest Greens Fee.  Social members can use the driving range on a fee basis, take lessons, and participate in competitions as a guest of a Proprietary member. Colony Clubhouse Membership This membership category is available to individuals who own property in Useless Bay Colony. The rights, privileges and restrictions include:  Colony Clubhouse Members and his/her qualified immediate family have full use of the facilities of the Club. This includes dining, swimming, tennis, fitness room and all Clubhouse social functions.  Colony Clubhouse Members can use the driving range on a fee basis, take lessons, and participate in competitions as a guest of a Proprietary member. Senior Executive Membership The Senior Executive Member (SEM), his or her spouse or domestic partner, and Single Members shall be entitled to full golf, clubhouse, dining, swimming, tennis and social privileges. The Senior Executive is also subject to the following guidelines: 

Eligibility a. Must be a Proprietary member who has reached the age of 79 years and a minimum of 20 years of Proprietary membership at UBG&CC. b. Total number of Senior Executive Memberships shall be limited to 20. c. The member with the greatest number of years as a member and the oldest birth date receives the highest position on the waiting list. The combination of years of membership and age may be applied to either spouse.

d. A Senior Executive Member’s status passes to the surviving spouse as long as he or she pays dues. Should the surviving spouse remarry, both parties retain the full privileges of Senior Executive Membership providing that one of the parties must qualify by age. 

Rights, Privileges and Restrictions a. The SEM is exempt from all new assessments. b. The SEM is exempt from Food Minimum charges. c. The SEM will return their original membership certificate, but will be allowed to retain their current Club number. d. The SEM will not receive the $1550 assessment refund, if applicable. e. Guests of a SEM will pay the current guest green fee rate. f. The SEM pays all other fees for optional services including, but not limited to, Men’s Club, Women’s Club, GHIN Handicap, club storage, cart storage, locker, and trail or cart fees.

Junior Executive Membership The Junior Executive Membership was approved by the UBG&CC Board of Directors effective 2/21/2008. The Junior Executive Membership (JEM), his or her spouse or his or her unmarried children up until their 24th birthday, and single members shall be entitled to full golf, clubhouse, dinning, swimming, tennis and social privileges. The Junior Executive is also subject to the following guidelines: 

Eligibility a. The age of the member will be from 21 through 39 years of age. The membership will expire on the member’s 40th birthday. b. Total number of Junior Executive Memberships shall be limited to 25. c. The purchase of a Proprietary membership will be optional anytime during the tenure of this membership. Upon reaching his/her 40th birthday, the JEM will have first priority to purchase the next available Proprietary Membership.



Rights, Privileges and Restrictions a. At any time up until his/her 40th birthday the initiation fee may be applied toward the purchase of a Proprietary Membership. b. The JEM will not be subject to any new assessments. c. The JEM is not subject to Food Minimum charges. d. The JEM does not own a certificate and, therefore, has not voting privileges. The JEM cannot hold Board positions. He or she may serve on committees. e. Guests of a JEM will pay the current guest green fee rate. f. With UBG&CC Board approval, the JEM may shift into a different JEM category. However, that category will be fixed for a minimum of one year. Any JEM who resigns cannot return to the JEM membership status for at least one year. g. The JEM and guests must at all times comply with Club Policies. h. The JEM pays all other fees for optional services including, but not limited to, Men’s Club, Women’s Club, GHIN Handicap, club storage, cart storage, locker, and trail or cart fees.

Junior Social Membership The Junior Social Membership (JS), his or her spouse or his or her unmarried children up until their 24th birthday, and single members shall be entitled full social privileges. The Junior Social Membership is also subject to the following guidelines: 

Eligibility a. The age of the member will be from 21 through 39 years of age. The membership will expire on the member’s 40th birthday. Upon reaching his/her 40th birthday, the Junior Social member will have first priority to upgrade to a Social Membership. b. Total number of Junior Social Memberships shall be limited to 25.



Rights, Privileges and Restrictions a. Junior Social Members and his/her qualified immediate family have full use of the Club facilities. This includes dining, swimming, tennis, fitness room and all Clubhouse social functions. b. Corporate Membership Corporate Membership allows any established business owner to purchase a Proprietary Membership. The business owner may then designate up to four (4) full dues-paying employees for full Club and Golfing privileges, but no voting rights; and up to four (4) Social Memberships. A current Proprietary Member can upgrade to a Corporate Membership (contact the General Manager for upgrade fee information). The mandatory term for both Golfing Designee and Social Designee Memberships is a one-year commitment and, if for any reason the designee does not want to continue, the business owner may transfer the Golfing and/or Social Membership to a new employee at no additional cost or resign the designee membership. The designee that drops out of either membership category cannot return to a designee membership status for at least one year. If you are an existing Social Member transferring to a Corporate Social Membership, your original initiation fee is not refundable. The total number of all Corporate Golfing Designees shall be limited to 25. The total number of all Corporate Social Designees shall be limited to 25. Corporate Designee dues and minimum food obligations are the same as their counterpart in each category. Summer Student Membership Program (Junior Membership)  The age of the member shall be from 14 through 17. The member need not be a dependent of UBG&CC members. Any junior residing in southern Whidbey Island may apply. Amended October, 2014

The membership is for 3 months (June, July and August). The fee will not be pro-rated. Parents shall co-sign the application. Rights, Privileges and Restrictions a. A membership number will be issued. b. The member shall be able to play Monday through Sunday after 3:30 p.m., depending on golf course availability. If Club functions or tournaments are scheduled during these times, Summer Student Membership Program hours will be canceled. c. Summer Student Members may not have guests. d. Dress must comply with the Club dress code and conduct must be appropriate. Poor conduct could result in termination of the membership. e. The Golf Professional or his assistants will inform the members on proper golf course etiquette. Penalty for misconduct or improper golf course etiquette could result in termination of the membership.

Membership Resignations and Transfers Members who resign from a golfing membership, or convert to Social members, may return as golfing members. To do so within 12 months of the time they resigned or converted, the member must repay the unpaid Proprietary or Junior Executive membership dues not paid during their absence. Social or Junior Social members who resign may return as members. To do so within 12 months of the time they resigned, the member must repay the unpaid Social or Junior Social membership dues not paid during their absence. After 12 months, members may return and will be subject to all requirements of other currently joining members.

GENERAL POLICIES Property Lost, Stolen, or Damaged  UBG&CC disclaims responsibility for lost, stolen, or damaged property of member’s, guest of member’s, or visitors. Our insurance policy does not provide protection to individually owned automobiles or property. Enter the UBG&CC area at your own risk.  The cost of replacing damaged or broken Club property shall be the responsibility of the member if it involves a member’s guest, or visitor if a reciprocal or non-guest player in a tournament. Trespassing Because of the potential liability involved whenever any person is on Club property, the UBG&CC Board of Directors reaffirms that the entire area, within the boundaries of the golf course, is closed to the general public. Only Proprietary golf members, their guests, and those permitted through payment of greens fees are authorized to enter the golf course itself for the sole purpose of playing golf and provided that they have signed in at the Golf Shop. Entry on to the golf course by unauthorized person or persons will be considered as trespassing. Colony homeowners who walk the golf course when the golf course is closed do so at their own risk.

Dress Code Attire worn in the Clubhouse and on the golf course and tennis courts should be clean and in good repair. Attire should be appropriate and in good taste. It shall be the responsibility of the member to abide by and inform their guests of the dress code. It is the responsibility of UBG&CC Management to enforce the dress code.  Clubhouse – applies to inside the Clubhouse, the deck, and patio. Not appropriate – swimming attire, bare midriffs, cut-offs, and short-shorts.  Golf Course – applies to golf course, putting green, and driving range. a. Men (all ages)  Appropriate – shirts with sleeves and collars, turtle necks, mock turtle necks, golf crews, golf slacks, jeans, golf shorts, tailored warm-ups.  Not appropriate – undershirts/tank tops/T-Shirts, gym shorts, cut-offs, shortshorts. b. Women (all ages)  Appropriate – golf shirts, blouses, turtlenecks, mock turtle necks, tasteful T-shirts, golf slacks, jeans, tailored warm ups, golf skirts, shorts, skorts, (shorts, skorts and skirts may be no shorter than 5" above the center of the back of the knee).  Not appropriate – bare midriffs, cut-offs, mini skirts/skorts, short-shorts, shirts with straps less than 2” in width. c. Golf Shoes (both men & women) – soft spikes must be worn year round. Golf sandals are acceptable.  Tennis Court – applies to courts, patio, deck, bar, and dining room. a. Tennis attire is not appropriate in the dining room after 4 p.m. b. Men (all ages) i. Appropriate – tennis shirt with collar or without, tasteful sleeveless shirts, tennis shorts, tailored warm-ups, non-marking tennis shoes. ii. Not appropriate – swimming attire. c. Women (all ages) i. Appropriate – tennis shirts with collar or without, tasteful tennis halter, sleeveless shirts, tennis dress, skirt, skorts, shorts, tailored warm-ups, and non-marking tennis shoes. ii. Not appropriate – swimming attire.  Swimming Pool – applies to pool and pool deck a. Appropriate swim suit attire must be worn in the pool. b. Not appropriate – cutoffs, jeans or other such attire. c. No street shoes will be allowed on the pool deck area.  Fitness Area – applies to Fitness room and adjoining hallways a. Appropriate fitness attire must be worn b. Shirts and shoes must be worn at all times Minimum Food Charge The minimum monthly food charge is based on the type of membership and is billed every trimester (4 months). Members will be billed at the end of each trimester for any amount remaining for that trimester. Contact the Club Office for the current fee structure.

UBG&CC does allow members to pre-pay the food obligation annually for an additional $200. The annual pre-pay option is billed each year in the January Club statement. The additional $200 is not pro-rated if a change is made after January. Members are to contact the Club Office to change to this method. The Off Season Golf Card Member has a monthly food charge that is billed monthly since the membership period is limited. Golf Card Members will be billed at the end of each month for any amount remaining for that period. Only food purchases made during breakfast, lunch and dinner will apply. Alcoholic beverages are excluded. Exceptions are organizational food charges (tournaments, fraternal organizations, service clubs, Men’s Club, Women’s Club, and 9-hole Ladies Club sponsored events, etc.). All Charge System UBG&CC has an “all charge” policy. All purchases must be charged to a member account. Likewise, purchases by guests dining on a reciprocal arrangement must be charged to their home Club. Credit cards are not preferred for dining. Members and guests using credit cards will be charged a credit card surcharge. The only exceptions that allow members or guests to pay by cash or credit card are: 1. Any purchases or services rendered from the Pro Shop, including guest greens fees, competitions, golf cart rentals, merchandise, instruction, etc. 2. Non-member banquet events. 3. Guests of dining members who are paying separately. (No food orders are to be taken without a Golf, Social or Colony Clubhouse member present.) This includes the pool and all to-go orders. 4. Guests playing in major golf tournaments or outside groups approved by the Golf Committee and/or the Pro Shop. 5. Members of the men’s or women’s daily golf competition groups (including Skins games and horseraces). Options for payment of monthly statements are either by check via the U.S. mail, the drop box in person at the Reception office or the Club business office, or by ACH through your bank or our website. Account Delinquency All accounts are payable in full by the end of the month billed. Account not paid in full are considered delinquent and 1 ½% interest/month (APR = 18%) shall be charged on delinquent balances.  Account with a 30 day balance on the bill - The member shall be contacted by telephone and placed on the Delinquency Role Report that is given monthly to the UBG&CC Board of Directors.  Account with 60 day balance on the bill: 1. Club charging and golf privileges shall be suspended. 2. The member is subject to disciplinary action.

Refer to the UBG&CC Bylaws Article IV, Section 2 regarding Dues. Refer to the UBG&CC Bylaws Article IV, Section 4 regarding Delinquency. Refer to the UBG&CC Bylaws Article I, Section 8 and Article II, Section 4 regarding Disciplinary Action Sexual Harassment It is both illegal and against UBG&CC policy for any member, guest of a member, visitor or employee, male or female, to harass another member, guest of a member, visitor or employee by:  Making unwelcome sexual advances, request for sexual favors and other verbal or physical conduct of a sexual nature; or  Making submission to or rejection of such conduct the basis for employment decisions affecting an employee; or  Creating an intimidating, hostile, or offensive work environment by such conduct. Examples of the types of conduct prohibited by this policy include, but are not limited to:  Any type of physical touching, including rubbing someone’s neck or shoulders or brushing against someone’s body.  Whistling, leering, stalking, staring or violating someone’s personal space.  Sitting or gesturing in an offensive or sexually suggestive manner.  Using foul or obscene language or making lewd, off-color, or sexually oriented comments or jokes.  Displaying offensive or sexually explicit posters, calendars, photographs, cartoons or computer images.  Sending unwanted or sexually suggestive letters, voice mails or e-mails.  Gossiping about sexual activities, commenting on someone’s physical attributes, or asking questions about someone’s sex life. Any individual who feels that this policy may have been violated needs to promptly report the incident to a member of management. All complaints will be investigated immediately. The complaint and investigation will be kept confidential to the maximum extent possible. The question whether a particular incident is prohibited behavior or not depends upon the nature and extent of the conduct and the particular circumstances. Anyone who is found to have violated this policy will be subject to discipline ranging from a written warning to expulsion from membership or termination of employment. It is illegal and against Club policy to take any form of retaliation against any employee for making a good faith complaint or assisting in an investigation under this policy. Anyone who is found to have filed a false or bad faith complaint, provided false information in a complaint investigation, or retaliated against someone for using this complain process will be subject to discipline, up to and including expulsion from membership or termination of employment. Check Cashing No two (2) party checks shall be cashed. All checks must be made to “Useless Bay Golf & Country Club” and are limited to a maximum of $100.

Newsletter The Club newsletter shall avoid controversial materials, free advertising, etc. The General Manager and/or President will determine what items are acceptable and reject writings and materials not consistent with the policy. Children  Parents shall be responsible for the conduct of their children at all times.  Children less than 12 years of age are not to be left unattended in the Clubhouse or areas around the Clubhouse. Sympathy Card The Club Secretary will ensure that each family receives a quality sympathy card expressing the collective sympathy of all members on the loss of their loved one. There will also be formal notification published in the Club newsletter and a notice placed in the Club entry. Abusive Language/Disorderly Conduct Use of abusive language and/or disorderly conduct will not be permitted on the Club premises. The General Manager or his representative shall have the authority to eject any member, guest of a member, or visitor from the premises for any such conduct which, in his judgment, is contrary to the welfare of the Club. Such action shall be reported to the UBG&CC Board of Directors. Emergency Medical Plan 1. Assess victim’s condition and dial 911 using a land line telephone. Use a cell phone only to call the Clubhouse (360-321-5962 or 360-321-5960) or the Golf Shop (360-3215958) so they can call 911. Remember to give the exact location of the victim. 2. Start CPR if the victim is not breathing. 3. Have someone get the cardiac defibrillator and return to the victim. Defibrillators are located in: a. Club Secretary’s office - black case with yellow handle b. Mounted on the outside wall of the Maintenance Building by the Greens Crew lunch room – box with a red cross 4. If appropriate, follow defibrillator instructions to revive the victim. 5. If 911 were dialed directly, notify the Club of the situation and give the exact location of the victim to the General Manager, Bartender, Golf Professional, or Club Secretary. a. 360-321-5962 b. 360-321-5960 c. 360-321-5958 6. The General Manager, Bartender, Club Secretary or Golf Professional will wait in the Club parking lot to direct the emergency crew to the victim. 7. The General Manager, Bartender, Club Secretary or Golf Professional will notify the Greens Maintenance Department to meet Rescue Crew with the club-designated, allterrain vehicle at the parking lot. Memorials The Club Memorial policy has four (4) features: Amended October, 2014

1. Any proposed memorial donation, other than cash should be reviewed, in advance, for acceptability to the Club. Acceptance should be by formal action of the UBG&CC Board of Directors upon recommendation by the House or Greens Committee. 2. The Club itself should not be involved in the solicitation of funds for a memorial. Also, the Club will not accept money until the full cost of the memorial has been collected. 3. The Club should not be exposed to any incidental expenses in the placement of a memorial (i.e., planting a tree, hanging a picture, etc.). 4. Memorials or donations will be noted on a wall plaque in the Clubhouse.

VISITOR AND GUEST POLICIES Definition of a Visitor A visitor is:  A member in good standing of a private golf club, country club, or racquet club who is using the Club’s facilities as a reciprocal. The visitor is extended full Club privileges. Visitors are required to register in the guestbook provided in the Club entry.  An individual who is participating in an event sponsored at UBG&CC who is not the guest of member.  Responsible for any indebtedness incurred at UBG&CC. Definition of a Guest A guest is the guest of a UBG&CC member in good standing. The member is responsible for:  Registering the guest in the guestbook provided for that purpose.  Their guest’s conduct and indebtedness. Guest privileges can be issued to non-Whidbey Island resident guests for a maximum of two (2) consecutive weeks with a yearly limit of three (3) instances per individual. Refer to the UBG&CC Bylaws Article V regarding Guest Eligibility Golfing Privileges  Reciprocal o Subject to tee time availability. o Payment of reciprocal green fees. o Allowed to play one (1) round of golf per month on a reciprocal basis.  Guest o Play only in the company of the inviting member. o Payment of guest green fees. o A guest who does not own property, rent, or reside on Whidbey Island may play as many times as he or she is sponsored by a member, except June 1st through August 31st, during which time he or she may play only two (2) rounds per month. o Guests who own property, rent, or reside on Whidbey Island are allowed one (1) 18hole round or two (2) 9-hole rounds per calendar month, with the following exceptions: Amended October, 2014

Lineal descendants and their spouses or parents of any Proprietary Member with a limit of four (4) times per month. o Rounds played in an outside event that is hosted at, but not sponsored by UBG&CC do not count toward the monthly allotted round(s). Tennis Privileges  Visitor: a. Subject to availability of court times. b. Payment of court fees. 

Guest: a. Play only in the company of the inviting member. b. Payment of court fees.

CLUBHOUSE POLICIES Compliance with Washington State Laws  Liquor a. Members, guests of members, and visitors must at all times comply with rules of Washington State Liquor Control Board. b. No person under 21 years of age shall be permitted at the bar or in the cocktail lounge. c. No employee, member, guest of a member or visitor shall be furnished, sell, serve and/or otherwise supply liquor to any person who appears to be intoxicated. d. “Traveler” cups/glasses shall not be permitted out the door to members, guests of members, or visitors who are driving motorized vehicles other than a golf cart.  Smoking – Smoking is prohibited within 25 feet of entrances and exits to all buildings.  Marijuana - Possession and use of marijuana is prohibited on UBG&CC property.  Gambling – Gambling is prohibited on Club property. Clubhouse Hours The House Committee shall set the posted seasonal hours. At the discretion of the General Manager, the Clubhouse can be closed before the posted hours or remain open longer. Friday Happy Hour UBG&CC will host a complimentary one (1) hour Happy Hour on Friday for UBG&CC members and Colony Clubhouse members. A nominal fee will be charged to the Member’s account for each guest. Use of the dining room is restricted to members who will be dining after Happy Hour. Event Guest Charge Guests who participate in recurring non-sanctioned events will be charged a guest fee. Animals in Clubhouse Only service animals shall be allowed in the Clubhouse at any time. Golf Equipment  Golf clubs in bags are not allowed in nor are permitted to be carried through the Clubhouse.  Storage of golf clubs is not permitted in the Club locker room area. Use of Phone No long-distance toll charges are permitted on Club telephones by members, guests of members, or visitors. Cell phone speaker or hands free mode is not permitted in the Clubhouse. Cell phone conversations should be taken outside. Texting is allowed throughout the Clubhouse. Card/Board Game Playing Card/board game playing is allowed in those areas approved by the manager on duty. Complaints  Employees – Members, guests of members, and visitors must not reprimand employees. Immediately report to the General Manager, Food & Beverage Manager, or House Committee Chair any discourtesy, inattention to duty by an employee or any violation of employee rules. Major infractions should be reported to the General Manager and House Committee Chair.  Food/Beverage – Complaints can be made directly to the General Manager or a written communication to the House Committee Chair. The General Manager will investigate the complaint and inform the House Committee about the issue, results of the investigation, and appropriate recommendations. Removal of Club Property No Club property may be removed from the premises without written approval from the General Manager. Food and Beverage Consumption Food and beverage items consumed in the Clubhouse or on the Golf Course must be purchased from UBG&CC. However, for special events permission may be granted by the General Manager to permit special food items, including celebratory cakes that are not normally prepared and sold by the Club. Club Locker Room and Lockers  No children under the age of 14 will be allowed in the locker rooms unless accompanied by an adult.  Storage of golf clubs, liquor, food or beverages are not permitted in lockers or the locker room in general. Posting of Notices  Subscriptions and solicitations shall not be permitted within the Clubhouse except in connection with enterprises conducted for the benefit of the Club or approved by the General Manager. advertising. Education or golf-related posters may be displayed with the General Manager’s approval. Posting of notices is permitted only in designated areas of the Clubhouse. a. Only emergency notices can be posted on windows. b. Other notices need to be posted on bulletin boards or areas designated by the General Manager.

Hole-in-One Insurance Members can purchase Hole-in-One Insurance to help pay for celebration of the occasion. The cost of insurance is billed yearly and again when ever a player has a hole-in-one. At the conclusion of 18 holes of play by the “Acer”, each member with Hole-in-One Insurance who is at the Clubhouse is entitled to one well drink: 1. Within two hours of the round concluding each member with Hole-in-One insurance is entitled to one well drink, or 2. Until the “Acer” leaves the bar, whichever occurs first. If the “Acer” does not have insurance, it will be his/her decision to choose or not choose to celebrate the occasion. If he/she chooses to celebrate, he/she shall select the method of celebration. Usually in October, a party is given to recognize all who had a hole-in-one during the season. Room Rental Rooms can be rented for exclusive use of a portion of the Clubhouse when food and beverage services are being used. Scheduling of events will be on a first-come, first-served basis. The General Manager is directly responsible for all scheduling. All conflicts will be resolved by the General Manager and reviewed by the House Committee Chair. All room charges, corkage and appurtenance fees are at the General Manager’s discretion. Preference is given to UBG&CC members over non-member groups. Non-member groups are defined as service clubs, guilds, commercial associations or other organizations using the facilities for meetings or social events. Service Charge Effective June 26, 1997, a 15% permanent service charge was implemented to be distributed to servers, bartenders and bussers at Club sponsored events (i.e., Easter Brunch, Mother’s Day Brunch, Santa Brunch). Non-member banquets, including member-sponsored weddings, auctions, etc. have a 20% mandatory service charge.

FITNESS CENTER Fitness Center Rules  Only Members, their spouse or domestic partner and their unmarried children, between the ages of 18 to 24 may use the Fitness Center. Everyone using the Fitness Center must have a signed Waiver on file with the Member Services Manager. 

No children under the age of 15 are allowed inside the Fitness Room. Members must be at least 18 years of age to use the fitness center alone. Members, ages 15 to 18 years old may use the fitness center if directly supervised by their parent or legal guardian and have a Waiver signed by the parent on file with the Member Services Manager.



Athletic shoes are required in exercise areas. No ragged clothing, cut-off or cut-down shorts or pants, jeans, half-shirts, curlers, swimsuits, golf shoes or sandals are allowed in the exercise area.



Members must use the equipment only in the manner intended by the manufacturer and authorized by the Fitness Center. Please follow all instructions and posted signs carefully. All users must re-rack their weights in the appropriate location. All bars should be stripped after use and dumbbells returned to the rack in the proper order. Weights are to be moved from the racks to the bar only. They are never to be set on the floor or leaned against walls, mirrors or equipment. All machines and equipment must be wiped down after use with the cleaner and provided towels. All equipment must remain in the fitness/weight room. All members must share equipment and floor space. The stretching areas must be kept organized - please re-rack medicine balls, foam rollers, bands and place stability balls on racks. Please use a "spotter" when working with heavy free weights.



If you believe any piece of equipment is malfunctioning, please notify Club management immediately.



Members agree to conduct themselves in a quiet and well-mannered fashion when in or about the Fitness Center and not cause any disturbances or interfere with the safe use or enjoyment of the Fitness Center by other members. Any complaints (other than those of an emergency nature or requiring immediate attention by the club's personnel) shall be made directly to the General Manager, in private.



In the interest of providing a healthy and safe environment for our members, please adhere to a NO SMOKING/NO GUM CHEWING policy. The use of any type of tobacco products, including smokeless tobacco, within the Fitness Center is prohibited.



Food is not permitted inside the locker room or in the exercise area. Members may carry beverages in covered plastic containers only during your workout; no glass containers are permitted in the Fitness Center. Please properly dispose of all drinking containers and refuse in the trash receptacles.

Members should consult with their physician before using the facilities. Members understand and acknowledge that the Club has no expertise in diagnosing, examining or treating any medical condition. Members agree not to use the facilities with any medical condition, including open cuts, abrasions, sores, infections, maladies or inability to maintain personal hygiene, if such a condition poses a direct threat to the health or safety of others and agree to use the facilities in accordance with all applicable public health requirements. It is the Members’ responsibility to consult with a physician to determine if any of these medical conditions exists and, if so, whether such condition poses a direct threat to the health or safety of themselves or others.

GOLF POLICIES Golf and Course Rules  The Head Golf Professional or designee shall control daily activities on the golf course.  Each member should do their part to help keep the golf course in excellent condition – replace your divots, repair ball marks on the greens, and rake bunkers. Repair ball marks and divots to the fullest extent possible. Proper ball mark repair begins by pulling damaged grass in from the sides, not pulling the soil up from the center. Replace all divots with sand and seed mixture, and toss divots into the rough. Also, keep golf course and club grounds clean by placing trash in trash receptacles located around the Clubhouse and on the tee boxes.  Starting times are required year round. If you live on the golf course, and you wish to start from your home, you must call the Golf Shop prior to starting.  All players must check in at the Golf Shop before teeing off at either hole #1 or #10.  Members must register guests in the Golf Shop before teeing off.  Help prevent slow play by completing 18 holes in 4 hours or less. If your group is unable to keep up with the group in front of you and is holding up group(s), please allow the group behind you to play through. This not only speeds up play, but makes your round of golf more enjoyable.  Flagstick Removal – Remove the flagstick gently from the cup so you do not damage the edges of the rim. Set the flagstick gently on the green. Dropping the flagstick causes a “line” on the putting surface. When finished, place the flagstick carefully, but firmly, back in the cup. Golf Course Dress Code Golf Course – applies to golf course, putting green, and driving range. d. Men (all ages)  Appropriate – shirts with sleeves and collars, turtle necks, mock turtle necks, golf crews, golf slacks, jeans, golf shorts, tailored warm-ups.  Not appropriate – undershirts/tank tops/T-Shirts, gym shorts, cut-offs, shortshorts. e. Women (all ages)  Appropriate – golf shirts, blouses, turtlenecks, mock turtle necks, tasteful T-shirts, golf slacks, jeans, tailored warm ups, golf skirts, shorts, skorts, (shorts, skorts and skirts may be no shorter than 5" above the center of the back of the knee). Not appropriate – bare midriffs, cut-offs, mini skirts/skorts, short-shorts, shirts with straps less than 2” in width. f. Golf Shoes (both men & women) – soft spikes must be worn year round. Golf sandals are acceptable. Driving Range and Putting Green The driving range and putting green use:  Proprietary members and their guests – Complimentary privilege.  Social and Colony Clubhouse members - May use the driving range after paying the established use fee.  Non-members may use the range and putting green only as part of any lessons they are receiving from the Golf Professionals.  Please restrict practice to the practice range, practice greens and practice bunker.  Practice range balls are not allowed on the Practice Green.  Please hit practice balls between markers off the Astroturf.  Practice balls may be obtained from the ball box at the range. Rules Governing Power & Pull Cart Operation  Golf carts shall be used in accordance with regulations posted by the Golf Shop.  Power carts must, at all times, be kept at least 25 yards from all greens and tees. If “Keep Carts on Paths” signs are up, please obey the signs. The signs are put in place to protect certain areas of the golf course so the course remains in the best possible condition.  On all Par 3 holes (currently 3, 7, 14), keep power carts on the cart paths at all times.  Pull carts should be kept off tees and also be kept at least 24 feet from greens.  Riding golf carts used on the golf course must pay a use fee, according to one of the following methods: o Yearly cart license which will be displayed on the cart. o Daily use fee.  Carts used by members only to travel to and from their residences and the Clubhouse do not pay a fee. Golf Cart As of July 30, 2009, any golf cart purchased for use at UBG&CC must be an electric cart. Gas carts currently in use will be grandfathered-in. The grandfather clause may not be transferred to another member. Tournament rental carts will be excluded from this policy. Golf Cart Barn The Golf Cart Barn is operated by the UBG&CC and administered by the Golf Shop. Greens Fees Weekday and Weekend greens fees are stated in whole dollars inclusive of the current state sales rate. Weekend days include Friday, Saturday, and Sunday. Rates are also broken down into member’s guest, reciprocal, and junior. The greens fees shall be recommended by the Golf Committee and approved by the UBG&CC Board of Directors. Guest green fees will be charged for all UBG&CC sponsored golf events with the exception of the first Par Tee Sunday event, or the first 9-hole T-League event that a guest plays during the calendar year. Non-UBG&CC golfing members who participate in UBG&CC sponsored golf events that offer a practice round will be charged the guest green fee for UBG&CC sponsored golf events. Participation in UBG&CC sponsored golf events by UBG&CC Social members will count as their one (1) round of golf for that month. Outside golf events (not sponsored by UBG&CC) will not count against their one round of golf for that month. Golf Course Guest Policies  Reciprocal o Subject to tee time availability. o Payment of reciprocal green fees. o Allowed to play one (1) round of golf per month on a reciprocal basis.  Guest o Play only in the company of the inviting member. o Payment of guest green fees. o A guest who does not own property, rent, or reside on Whidbey Island may play as many times as he or she is sponsored by a member, except June 1st through August 31st, during which time he or she may play only two (2) rounds per month. o Guests who own property, rent, or reside on Whidbey Island are allowed one (1) 18hole round or two (2) 9-hole rounds per calendar month, with the following exceptions:  Lineal descendants and their spouses or parents of any Proprietary Member with a limit of four (4) times per month. o Rounds played in an outside event that is hosted at, but not sponsored by UBG&CC do not count toward the monthly allotted round(s). 5-Somes Policy Groups of five or more are not allowed on the golf course at any time without the permission of the Golf Shop. From the Memorial Day weekend through the Labor Day weekend, fivesomes or larger groups are not allowed before 1 pm. After 1 pm, larger groups must have the permission of the Golf Shop. Monday Tee Time Policy Tee times start at 11:00 a.m. year round off the first tee only, except for major holidays, when the course is open at normal times. Golf Shop Credit Policy All credit on the books will be good for 365 days from the date of issue. Golf Shop credit may be used on merchandise only.

Chemical Application on Course All pesticides, fungicides and fertilizer application for the Golf Course will be posted by the #1 and #10 tees. Any member who is sensitive to pesticides or fungicides, please notify the Maintenance Shop at 321-1846. Tournaments Method of conduct and fees to be paid of any proposed tournament must have prior approval of the UBG&CC Board of Directors. Members should be advised at least 30 days in advance of course closure to general play so that they can make playing plans accordingly with exception of adverse weather conditions. Contact the Golf Shop for assistance in making tee times at courses that may reciprocate during these closures. Solicitation for Tournaments Solicitation of merchants for donations to tournaments, except for charitable events, is prohibited. Complimentary Green Fees  Each UBG&CC committee member who is not a Board member receives one (1) “comp” guest green fee certificate per month provided he/she attends a scheduled meeting. The certificate is good for 30 days.  Current UBG&CC Board members receive four (4) “comp” guest green fees per month.  Past Presidents receive two (2) “comp” guest green fees per month for life provided he/she is a UBG&CC member. Use of the “comp” guest green fees is in accordance with their member privilege.  All “comps” must be authorized by the grantor directly to the Golf Shop.  All complimentary guest passes are non-transferable.

SWIMMING POOL POLICIES Hours of Operation The hours of operation are set by the Pool Committee. The hours will be posted at the pool and announced in the newsletter. During inclement weather, the pool may be closed by order of the General Manager or head life guard if the General Manager is not on the premises.  Limited operation will begin Memorial Day Weekend.  Full operation will begin after South Whidbey Schools have dismissed for the summer. Pool Attendant and Lifeguard An attendant and lifeguard are on duty during all regular pool hours. The attendant is:  Responsible for maintaining order and discipline in the facility.  Authorized to enforce all pool rules and to remove and bar from the pool facility any person who, in their considered opinion, is violating pool rules, contributing to the discomfort of the membership at large or is in any other way a barrier to the maintenance of safety and/or sanitation. Lifeguards are not to be used as baby-sitters and are not to be paid to provide special attention to children. Use of Pool Members, their children and guests must register with the attendant each time they use the pool. There is a charge for guests; however, off-island grandchildren of members may swim for free while staying with their grandparents. The pool attendant will have the current fee structure. No children under 8 years of age may use the pool unless under adult supervision, which is defined as any person 18 years or older (in addition to the lifeguard). Special dispensation: A child who is at least 6 years old may, if they pass a swim test administered by the lifeguard staff, be permitted to swim without adult supervision. Such permission is at the discretion of the lifeguard staff. Valuables should be checked with attendant for safekeeping. The Club is not responsible for lost or stolen articles. Babysitters may have no more than four (4) children using the pool at any one time. Individuals in swim suits must remain in the pool and pool patio area. Swim suits are not permitted:  On the Clubhouse deck;  In the lounge and dining room areas of the Clubhouse; or  On the Golf Course or driving range. Lifeguards have the authority to expel or suspend any person who does not follow the rules of safety posted in the entrance. Pool Policies  All persons using the pool do so at their own risk.  Appropriate swim attire must be worn in the pool (see General Policies, Dress Code). No disposable diapers will be allowed in the pool.  No bottles or glassware of any kind will be allowed in the pool area.  All swimmers must shower thoroughly before entering the pool.  Unqualified swimmers must be accompanied by an adult.  Running, pushing, playing tag, snapping or throwing towels, or splashing water outside of the pool is not permitted.  The diving area is for diving only not for general swimming. Only one person at a time is allowed on the diving board. Divers must be sure the diving area is clear of swimmers before diving.  Climbing on, sitting on, or diving from the elevated lifeguard chair is not allowed. Pool Rental  Academic, Community Service and Charitable Groups Amended October, 2014

a. Academic, community service and charitable groups may rent the pool for a fee. Contact the General Manager regarding current fee structure. b. Groups must be approved by the General Manager, at least two (2) weeks in advance of the scheduled date. c. The group must provide one (1) adult non-swimming supervisor for each ten (10) children. Times will not interfere with regular Club programs. 

UBG&CC and Colony Members a. UBG&CC and Colony members may schedule pool party rentals with the approval of the General Manager. Contact the General Manager regarding the current rental fee. b. In addition to the rental fee, the renter will be charged for the hourly cost of each lifeguard required with a minimum of two (2) guards for all groups up to 25 guests.

Pool Management Since UBG&CC has responsibility for management of the pool, the staff will report directly to the General Manager.

GOVERNANCE POLICIES Board of Directors The UBG&CC Board of Directors has the ultimate responsibility to see that all the assets of Club are maintained and safeguarded, and to ensure that the operation of the Club conforms to the Bylaws. Specific duties are to develop Club policy and strategy, maintain financial responsibility and stability, approve and monitor the annual budget, keep the membership informed, and approve the chairpersons for all standing committees. Refer to UBG&CC Bylaws Article IX, Section 1 regarding the Board of Directors and Officers. Standing Committees The standing committees shall engage in analysis, planning and review. They shall not engage in the actual operations of the Club other than provide assistance and help with activities such as a social event or tournament. The committees shall forward recommendations on policy issues to the UBG&CC Board of Directors for consideration, and/or suggest ideas for Club improvement.  Committee organization: a. Chairperson - appointed by the President. Only individuals with a Proprietary membership may serve as chair. b. Secretary - selected by the Committee Chair c. Members – selected by the Committee Chair. The President may recommend committee members to the Chair. Any member of Club can be a committee member.  Length of service – The Chair and committee members shall serve a one (1) year term beginning in September and may be reappointed.  Meetings – The Committee shall ordinarily meet once a month, at least one week prior to the Board of Directors Meeting. The Chairperson shall organize and conduct the Amended October, 2014

meetings; the Secretary shall prepare minutes and forward a copy of the minutes to Club Secretary for distribution to the Board of Directors. Minutes – The minutes should include the date of the meeting; those in attendance; the agenda; and recommendations or plans, if any, along with supporting documentation.

Refer to UBG&CC Bylaws Article IX, Section 3 regarding Standing Committee. Employee Benefit Policy Employee compensation adjustments shall be reviewed as part of the annual budget process. The Finance Committee shall review and recommend non-management compensation guidelines to the UBG&CC Board of Directors. The UBG&CC Board of Directors shall review and establish compensation adjustments of Club management.

EMPLOYEE POLICIES Employee Manual Refer to the Employee Manual regarding issues that specifically pertain to employees. Employee References It is the Club policy that when any outside organization requests personnel information regarding employment of a current or past employee, the response is limited to only:  Date employment began.  Date of termination.  Whether or not the employee is eligible for rehire. Christmas Fund  Categories of employees a. Full-time employee – those working over 1560 hours a year. b. Part-time employee – those working less than 1560 hours a year but more than 1040 a year c. Temporary employee – those working less than 520 hours a year  Eligibility for Christmas Fund bonus a. Full-time employees with the exception of the General Manager, Greens Superintendent, and Golf Professional b. Part-time employees including those who remain on the call list. c. Temporary employees are not automatically eligible; however, a Department Manager may designate some for special awards for those remaining on the call list.  Award a. The pool to be distributed shall equal the total less a discretionary sum to be distributed by the Department Managers to temporary employees who qualify. The total amount for discretionary allocation shall not exceed $500. b. Eligible full-time and part-time employees of record shall receive a share based on the amount of their total hours worked through Dec. 15th. c. COLONY RELATED POLICIES The policies in this section are derived from the agreement and agreement amendments between Useless Bay Colony, Inc. (Colony) and Useless Bay Golf & Country Club, Inc. (UBG&CC). The policies define processes UBG&CC needs to complete to be in accord with the agreements; to define agreed upon Colony member benefits; and state benefits granted by UBG&CC in addition to the agreement. Colony Membership Colony membership shall be available to owners of a lot or a condominium unit in one of the properties described with the Useless Bay Colony plat. Colony membership benefits include use of the swimming pool and tennis courts. Fees established by UBG&CC, in accord with the agreement, shall be collected annually by the Colony and paid to UBG&CC. The fees shall be subject to change on the same percentage as dues increases for UBG&CC Social members. In addition to the agreed upon Colony membership benefits, UBG&CC is granting the following rights, privileges and restrictions.  Use of the fitness area as long as the Colony contributes to the purchase and maintenance of the equipment. Colony Clubhouse Membership Colony Clubhouse membership is a special type of Colony membership that allows the member dining privileges at UBG&CC, in addition to the Colony membership benefits, upon payment of an additional annual fee. The fee shall be subject to change on the same percentage as dues increases for UBG&CC Social members. The additional fee shall be used solely to fund capital improvements to the UBG&CC Clubhouse. Transfer of Colony Benefits Colony benefits at UBG&CC cannot be transferred to someone renting property in the Colony. The benefit is solely given to the property owner. Tennis Court Agreement The Colony shall reimburse UBG&CC fifty percent (50%) of the reasonable costs incurred by UBG&CC to maintain and improve the tennis courts. By January 15 of each year, UBG&CC shall provide the Colony with a written estimate of expected maintenance expenses for that calendar year. Before commencing any improvements, UBG&CC shall provide the Colony with a written estimate of the improvement costs. Total annual expenditures shall not exceed $4,000 without prior approval by both Boards of Directors. If UBG&CC has a committee to review the repair and maintenance of the tennis courts, the Colony shall be represented.
