AUCTION TERMS & CONDITIONS 1. AUCTION SALE: United Country-Musick & Sons Auction & Real Estate Services is representing the Sellers and conducting the Auction Sale of the property commonly known as 10600 W. Tahiti St, Boise, Idaho 83713. 2. AUCTION DATE AND LOCATION: This property will be sold via an online only public auction. Bidding will be open for a period of 2 weeks and is scheduled to close on Thursday, March 4th, 2010 at 1PM MST. 3. MINIMUM BIDS: The seller has established a published minimum selling price of $20,000 (twenty thousand dollars). Bids below the minimum published bid will not be acknowledged on auction day. 4. BIDDER REGISTRATION: All prospective buyers must register to bid at www.musickauction.com. After you have registered you will be contacted by the auction staff to complete the Bidder Certification page and the Agency Disclosure Form. Email these completed forms to [email protected] or fax them to (208) 939-6879. Once these forms have been received your registration will be approved and activated. 5. ON-SITE INSPECTION AND SALE DOCUMENTS: All bidders are encouraged to personally inspect the property and documentation relating thereto. The property will be open for inspection from 4:00PM-6:00PM on Wednesday, March 3rd, 2010 or by appointment. All sales documents will be available for viewing at www.musickauction.com. 6. BID DEPOSIT: At the conclusion of bidding on the property, the successful bidder will be required to confirm its bid amount with a non-refundable earnest money deposit in the form of a cashier’s or certified check, wire transfer, cash, personal check, or other legal tender that has been pre-approved by the auction company in the amount of $1,000 (one thousand dollars) within 24hours of the offer acceptance. The offer will not be considered authenticated until the earnest money is received and the high bidder has signed an Auction Sale Earnest Money Contract (“Purchase Contract”). 7. BUYER’S PREMIUM: A 10% (ten percent) Buyer’s Premium shall be charged and added to the successful bidder’s high bid in order to determine the total contract price. 8. FINANCING: Any buyer who chooses to apply for financing must notify the auctioneer of his or her lender and a contact person for the lender within 48 hours of the auction and must obtain a written lending commitment from the lender within 5 days after the date of the auction. The sale will not be contingent upon obtaining financing and will not be extended for that purpose. Purchasers who fail to qualify for that reason or any other reason will be required to release their entire deposit to Seller as liquidated damages. 9. TITLE INSURANCE: Title Insurance will be supplied by the Seller, at Seller’s expense, giving Buyer clear and marketable title subject to restrictions of record at close of escrow. 10. CLOSING DATE: Closing will take place no later than Friday, April 19th, 2010. Unless extended by the Seller, at its option, in writing. Requests for extensions must be made at least five days prior to the scheduled closing date. All extension requests are evaluated by the Seller on a case-by-case basis and are solely at Seller’s discretion. Purchasers who fail to close in a timely manner shall forfeit their deposit as liquidated damages. Seller retains the unilateral right to cancel escrow and retain the deposit in the event buyer fails to close as per the contract. 11. WARRANTIES: The sale is not contingent upon inspection and will not be extended for that purpose. The properties are being sold in their present condition. Neither Seller, Broker nor Auctioneer makes any warranties or representations, either expressed or implied, concerning the property. INSPECTIONS

If a potential buyer intends to do any inspections of the property they must be conducted prior to the auction at the buyer’s expense. The inspection (“Due Diligence”) period will be by appointment prior to the auction. How does the 10-day inspection period apply to real estate sold at auctions? Real estate auctions take place at a set time and set place. Typically, there is a period of “due diligence” prior to the auction when all potential buyers are permitted to view the property, ask any questions and conduct any testing such as a termite inspection or a test of structural soundless. Would it be permissible for the seller to give potential buyers any information of lead-based paint and allow leadbased paint inspections during this period as well?
