The largest developer and operator of shopping centers SES Spar European Shopping Centers is Austria’s largest developer, constructor and operator of shopping centers. The company currently manages 28 shopping centers in five countries and is one of the top developers in Europe. SES is the market leader in the shopping center industry in Austria and Slovenia.

SES controls approx. 750,000 square meters of leasable space and employs approx. 360 employees. In 2013 the retail partners at SES shopping malls achieved yearly sales over 2.5 billion Euro. The main office of the company is located in Salzburg, Austria.

SES Spar European Shopping Centers was established as an independent subsidiary of the SPAR Austria Group in June 2007. This concentrated all of the shopping center related activities of SPAR Austria into one company with the objective of bundling and promoting its successful real estate strategy for shopping centers throughout Central and Eastern Europe.

Prior to the founding of SES, the main emphasis of SPAR was the continued development of activities relating to the food trade in Austria and its neighbouring countries, as well as in the specialist sports trade. SPAR has successfully invested in shopping centers and real estate development for decades.

The objective of SES is the sustainable development and efficient operation of shopping centers. The decades of experience and the unique combination of SPAR as a retailer, developer, constructor, investor and operator of shopping centers set the foundation for SES and its holistic business philosophy. Openings in 2014 Austria / Krems a. d. Donau / Shopping Center MARIANDL For over 30 years, SES has successfully expanded its hypermarket location in Krems to become a true shopping destination with brand-name shops, service providers and gastronomies. Together with project partner LEINER - the furniture retailer of this traditional location - a modern shopping center was built by the autumn of 2014. SES is building upon its tried-and-true success strategy of developing traditional and prosperous INTERSPAR locations into flourishing shopping centers. The shopping center MARIANDL opened with 23 shops and a new INTERSPAR market with 12,000 square meters of leasable space on April 14, 2014. Starting in the fall of 2014, the furniture retailer LEINER also revealed its new and improved shopping experience. In all, the location provides more than 300 jobs, 150 of which are new, in an area of over 26,000 square meters. The location is connected to the neighboring BÜHL Shopping Center by the MARIANDL Bridge.

Current projects: Austria / Interspar Locations SES is responsible for the construction management, leasing and facility management of all Interspar locations in Austria.

Current Shopping Center Projects under construction: Austria / Wiener Neustadt / Shopping Center Extension FISCHAPARK: SES embarked upon another grand project in 2011, when it submitted plans for the generous renovation of FISCHAPARK in Wiener Neustadt. The project is to create more than 500 new jobs. The leasable space of the shopping mall was expanded from ca. 21,200 square meters to ca. 42,800 square meters and offers space for more than 100 shops, gastronomies and service providers. SES has invested more than 100 million Euros in the project. The implementation of the traffic improvement measures began in August 2012 and construction on the center began in September 2012. The renovation is taking place during standard operations of the existing shopping center and is being undertaken in phases so as not to unduly disrupt business operations. The opening of the first phase took place on 29 April 2014 and revealed 60 shops in 30,000 square meters of leasable space. The Grand Opening will take place in 2015.

Austria / Ried im Innkreis / New Urban Shopping Center

SES is erecting a downtown shopping center in the Upper Austrian district capital of Ried. The center is planned to open in mid-2015. SES is investing over 70 million Euros in the construction of the Ried shopping center. The project foresees 50 shops covering two levels and a total of 22,000 square meters of leasable space. The architecture of the downtown shopping quarter is harmoniously and innovatively integrated into the local cityscape. The center provides a seamless connection to the retail area of the Old Town. Anchor retailers include Kastner & Öhler, MediaMarkt, H&M, EUROSPAR, Hervis and Müller. The Varner group is opening its first two stores in Upper Austria with the brands Dressmann and Bik Bok. Customers will have access to 800 extra-wide parking spaces in two underground car parks. A smooth entrance to and departure from the center is provided by a roundabout.

Austria / Vienna / Relaunch Shopping Center HUMA

The HUMA Shopping Mall Simmering in the eastern part of Vienna, near the border to Lower Austria, is to be renovated into the most modern shopping center in the nation's capital with 50,000 square meters of leasable space. Construction will take place during normal operations in two phases through the year 2016 and will include a complete demolition and new construction. The number of businesses will increase from the current 40 to 90. The owner, Jost Hurler Group from Munich, is investing in a modern city district center that will include 2,000 free parking spaces for customers. SES will continue to manage the new HUMA shopping center following the renovation. In September 2013, shopping center operations were relocated to an interim location and the demolition of the old building began at the beginning of 2014. The starting signal for building work was given in December 2014.

Austria / Vienna / Local Supply Concept for Aspern - Vienna's Lakeside City

The aspern Seestadt Wien Shopping Center GmbH (a joint venture of Wien 3420 Development AG and SES Spar European Shopping Centers) is responsible for the conceptualization, realization and the running operations of a "managed shopping boulevard" in the local supplier's zone of the new Seestadt Wien. The foreseen ground floor business locations of the main shopping street are to be leased by the participating property developers and subleased to future retail partners based on a detailed commercial use concept. SES is providing the know-how for the creation of the concept, the marketing of the locations and the management of the shopping street. The opening of the first shops is planned for 2015.

Current Shopping Center Projects Under Development SES is currently developing additional projects both in Austria and abroad for example Austria / Bregenz / Urban Multifunctional Town Center Quarter “Seestadt Bregenz”

The Seestadt Bregenz project is to be developed in an urban district of Bregenz, providing the city with a powerful motor for future urban development. In an inner-city expansion with an emphasis on retail, work and living space, the combination of shopping, residential, business and leisure center is of primary importance. In a strategic cooperative endeavor between the urban developer PRISMA and SES Spar European Shopping Centers GmbH, the development, shop leasing and future management of the project are to be bundled and enacted by a cooperatively founded corporate entity PRISES Quartierentwicklung GmbH. SES is providing the know-how for the creation of the branch and shop mix and will be a 50% partner of PRISES responsible for the marketing of the business locations to retail partners as well as manage the retail locations. The entire project encompasses 21,000 square meters, of which 14,000 square meters are dedicated to retail, service providers and gastronomies, 1,500 square meters of office space and the remaining space dedicated to ca. 62 residential units. It is anticipated construction will begin in 2015. The opening is planned for 2017. Emphasizing Sustainability – International Acclaim

For these accomplishments, SES was named the Best European Company in the industry in 2008 and awarded the "ReSource Award" that same year. The company’s projects, particularly EUROPARK Salzburg, Q19 Wien-Döbling and ATRIO Villach have made SES known around the world. SES stands for innovation, quality and sustainability and 5

BREEAM AT In-Use certified In 2013, SES Spar European Shopping Centers certified one of its shopping centers with the BREEAM In-Use sustainability standard. The VARENA shopping center, constructed in Vöcklabruck, Austria three years ago, achieved the highest rating of the entire German speaking realm in the retail building sector. The holistically planned shopping center, designed by ATP Architekten und Ingenieure, surpassed all competitors from the office, industry and retail sector of Germany, Austria and Switzerland combined in the category of Operational Management and achieved a rating of "excellent". Its rating of "very good" in the category of Building Performance was certified with the BREEAM sustainability standard’s highest possible rating.

The Most Important Awards for Architecture and Sustainability MURPARK Graz – Recognized as the best “Established Center” 2013 The SES shopping center MURPARK Graz was recognized in the category ‘Established Centers” and achieved a commendation at the 2013 ICSC European Conference in Stockholm. These awards are recognized as the most prestigious in the field of European retail property and the competition is considered the European championship for shopping centers. The jury made up of experts from around the world was impressed by the outstanding transport concept in cooperation with the City of Graz (private public partnership), the architecture and quality of stay. The extensive investment in long-term safeguards for successful operations was emphasized in the evaluation, as was the strategic customer-oriented management of the center. ATRIO receives the LOB Award 2011 The SES shopping center ATRIO in Villach was recognized with the LOB Award for its exemplary efforts at barrier-free access for the handicapped by the Equal Opportunity Advisory Board of Carinthia. LOB is short for "Lebensraum ohne Barrieren" (“Living space without Barriers”). SES actively seeks to promote barrier-free access to all of its shopping centers.

Global RLI Developer of the Year Award 2011 During an awards ceremony in London, SES overcame a field of strong international competitors to win the title "Developer of the Year" at the Global RLI Awards in 2011. ICSC Best-of-the-Best Award 2009 for Sustainable Design For its exceptionally sustainable architecture and its perfect implementation of the “senza confini” concept, ATRIO Villach received the “Best-of-the-Best Sustainable Design Award 2009” for being the most sustainable shopping center in the world. ATRIO is the first themed shopping center in Austria. It quickly became the ideal model for sustainability and environmental responsibility. The shopping center’s concept was realized in its name, architecture and its border-transcending attractiveness. TRIGOS 2009 The TRIGOS “Society” prize 2009 was awarded to ATRIO Villach on October 5th, 2009 for its project "ATRIO - senza confini future fund". ICSC International Design and Development Award 2008 (Category: New Projects 15,00045,000 square meters) was awarded to ATRIO Villach on December 3rd in Phoenix, Arizona. During the awards ceremony, the Q19 also received a Merit Award in the category of "Smaller Projects: Up to 15,000 square meters". ReSource Award 2008 goes to SES for sustainable project development The project developer SES, the Q19 shopping district in Wien-Döbling and the ATRIO Villach Shopping Center were granted the ReSource Award 2008 for sustainable retailing in the categories of environmental sustainability, social engagement and profitability. TRIGOS 2008 The TRIGOS prize was awarded to ATRIO Villach in 2008 for its exceptional environmental sustainability and the shopping center's unique energy technology concept. In conjunction with its consequent recycling system, TRIGOS recognized the shopping center as a role model for environmental sustainability. ICSC European Shopping Center Award 2007 EUROPARK Salzburg was the first Austrian shopping center to be recognized with the "ICSC European Shopping Center Award". The decisive factor was the exceptional architecture of Massimiliano Fuksas, the innovative cultural center "OVAL - The Stage in EUROPARK" and the extensive social engagement of the shopping center. Energy Globe 2007 ATRIO Villach Shopping Center won 2nd Place in this prestigious competition. ICSC International Design and Development Award 2007 With the awarding of the coveted "ICSC International Design and Development Award 2007", EUROPARK Salzburg received the highest worldwide recognition in the industry and was dubbed "The Best Shopping Center in the World". Concurrently, EUROPARK Salzburg won the 7

ICSC Sustainable Design Award 2007 for its exceptionally sustainable construction. During the award ceremony, the sustainable commercial success, the social and cultural engagement as well as the sophisticated resource utilization of the center were highlighted. For the first time in the history of the ICSC Awards, both prizes were awarded to a single shopping center. ICSC International Design and Development Award 2006 During the 30th International Design and Development Award Ceremony, the uniquely innovative architecture of the max.center Wels was recognized with the ICSC "Certificate of Merit". MAPIC Retail Future Project Award 2005 As a result of a global competition held by the industry magazine "Plaza", MURPARK Graz was recognized with the "MAPIC Retail Future Project Award 2005" in Cannes. MURPARK also took home a respectable 2nd Place prize in the category "Best Shopping Center on a Traffic Hub". DIVA Award 2005 Just a few days after opening, the Q19 Shopping District in Wien-Döbling was awarded the "DIVA Award 2005" for innovative real estate projects. The jury provided special recognition to the successful symbiosis of historical buildings and innovative modern architecture. International Awards for Location Marketing

MAECENAS Award 2014 The EUROPARK Salzburg and the Schauspielhaus Salzburg were awarded the Austrian artsponsorship prize MAECENAS in November 2014 for the art project “Poetry Peep”. Since 1989 the independent Austrian Business Committee for the Arts honours entrepreneurs and companies with the MAECENAS award in cooperation with the ORF (the Austrian Broadcasting Company) in order to underline their engagement in the promotion of cultural projects, which could not have been realised without their support. ICSC Solal Marketing Awards 2014 The shopping center EUROPARK Salzburg was awarded the ICSC Solal Marketing Award for “Poetry Peep”, which is one of EUROPARK’s initiatives to incorporate art into the center. For a €1 fee, visitors selected a category and were able to hear an actor exclusively recite a poem to them live. The center collaborated with the “Schauspielhaus Salzburg”. ICSC Solal Marketing Awards 2013 Two Austrian SES shopping centers - CITYPARK Graz (Styria) and the VARENA Vöcklabruck (Upper Austria) - are winners in the international ICSC Solal Marketing Awards. The CITPYARK received the coveted award in gold in the category „Cause Related Marketing” for the "MyBaum" campaign. The shopping center VARENA Vöcklabruck received a silver award in the category „Public Relations“ for creating the world’s largest candy mosaic in the heart of the center.

ICSC Solal Marketing Award 2012 The ALLEE-Center in Budapest, managed by SES, was among the winners of the international Solal Marketing Awards 2012 held by the International Council of Shopping Centers (ICSC). The shopping center competed with 172 competitors from 21 countries in eight categories, and triumphed in the category of "Public Relations" with its fantastic fashion show "Big City Life" to take home one of the desired trophies. ICSC Solal Marketing Awards 2011 The SES shopping centers CITYPARK Graz and ZIMBAPARK Bürs were recognized at the 2011 ICSC Solal Marketing-Awards. CITYPARK Graz won in the category “Alternative Revenue” and ZIMBAPARK won in the category “Sales Promotion & Event”. The year 2011’s competition included 177 projects from 22 countries and two continents. ICSC Solal Marketing Award 2010 The Innsbruck shopping center SILLPARK was awarded the ICSC Solal Marketing Award. With this prestigious European award, the International Council of Shopping Centers (ICSC) recognized the unique family initiative of SILLPARK's campaign "Child & Co". This initiative achieves superb customer service, employee relations and community involvement by providing a municipal service center, a day care center for customers' children as well as year-round day care for the children of employees. ICSC Solal Marketing Awards 2009 The Gold ICSC Solal Marketing Award 2009 was awarded to FISCHAPARK Wiener Neustadt in June 2009 in the category B2B-Communication for its project entitled “Employee Program and Best Employee Award”. The Silver ICSC Solal Marketing Award 2009 was awarded to ATRIO Villach for its project “Euro MINI08” in the Sales Promotion & Events category. ICSC Solal Marketing Award 2008 For its innovative and successful marketing campaign “Day of the Piano”, EUROPARK Salzburg was awarded the “Solal Marketing Award” by the ICSC.
