Structure, Governance and Management The Bernard Sunley Charitable Foundation was founded on 28 July 1960 by the late Bernard Sunley (1910-1964) as a general grant making charity. Over the last 55 years the Foundation has awarded £104m in grants. In the Trust Deed, the Trustees are given the authority to grant aid at their discretion to those charitable institutions that they may select. The Foundation became incorporated as a limited company on 1 April 2005 with company number 5407187, resulting in a change in Charity Commission registered number to 1109099 from an original registered number of 213362. During this year the Board of Trustees consisted of Bernard Sunley’s two daughters, Mrs Joan Tice and Mrs Bella Sunley, and three of his grandchildren Mrs Anabel Knight (Chairman), Mr William Tice and Mr Inigo Paternina, together with Sir Donald Gosling and Dr Brian Martin. The Board were delighted when Mrs Joan Tice featured in the 2015 New Year’s Honours List for OBE, in recognition of her active charity service as a Trustee since 1967. Trustees are appointed by the Board of Trustees and serve for three years, after which they may seek re-election. Candidates are drawn from family and those suitably qualified, who would bring appropriate experience to the Board. The current Trustees have been associated with the charity for many years, are advised about sector regulation changes, and training is organised to suit Trustees’ needs. The Trustees meet regularly throughout the year. The day-to-day running of the Foundation is delegated to the Director and his staff, with the Director reporting to the Trustees on a regular basis. A number of the founder’s grandchildren and great grandchildren attend meetings, contribute to the discussion and carry out research on behalf of the Foundation. A Finance Committee, which comprises the Chairman, Dr Martin, Mr Richard Tice and the Director, advises the Board on financial and investment policy. The Committee tracks and monitors the performance of the portfolio in conjunction with the Trustees’ investment advisers, making changes as they deem appropriate. The Trustees conduct a risk assessment each year and maintain a risk register, which is updated as required and reviewed annually. They remain vigilant and consider that they have taken appropriate steps to ensure that risks are assessed regularly and that the Foundation is not exposed in any unnecessary way. Trustees also monitor internal financial controls.

The Trustees are alert to the requirements of the Charity Commission with regard to ‘public benefit’, strive to meet them and proffer this report as showing intent. Grants are made to charities registered with the Charity Commission for England and Wales, which are themselves required to satisfy this ‘public benefit’ test. Furthermore, the Trustees often meet applicants and undertake visits to satisfy for themselves the validity of various projects. Objectives and Activities The aim of the Bernard Sunley Charitable Foundation (BSCF) is to grant aid to charities seeking to raise the quality of life, particularly for those who are young, disadvantaged, deprived, disabled or elderly. Grants are usually confined to England and Wales. The Trustees have a preference for capital projects, not running costs. Once completed projects are expected to be selffinancing. There are three types of grant: ‘Large’ grants of £25,000 and above, ‘Medium’ grants between £5,000 and £25,000 and ‘Small’ grants of £5,000 and below. Considered under nine categories, the majority of grants are for less than £5,000. Grants are usually paid as single payments in a one year period but, if considered particularly beneficial to the project, they may extend over three years. (From 1 April 2015, the number of categories has been reduced to four). In most cases, where Trustees award Large grants, either the Foundation has been involved with a particular charity over a long period of time or Trustees have personal knowledge of the project under consideration. The Foundation maintains a rolling programme and accepts applications for grant aid at any time. Guidelines for making an application for funding are available on the Foundation’s website, www.bernardsunley.org, and from May 2014 online applications were introduced. The Foundation’s staff are also available to give advice to prospective applicants. (Guidelines were updated on 1 April 2015). The Trustees have a number of objectives in order to achieve the best outcome for beneficiaries: a. To maintain the real value of the Foundation’s assets whilst earning the budgeted income. b. To pay grants in line with the budget. c. To select for grant aid those charities that the Trustees deem meet their aspirations. d. To monitor the effectiveness of grants made.

Achievements and Performance The Trustees approved 455 grants this year, totalling in value £3,078,200, which compares with 480 grants at a total value of £2,915,949 in the previous year. Grant payments of £2,650,900 were made, and are listed on pages 37 to 40. During the year, twenty ‘Large’ awards of £25,000 or more were made, and some are highlighted below. The spread of projects is broad, but there is a strong theme throughout of young people, community and education. The Foundation has been a supporter of the National Gallery since 1982, when the Bernard and Mary Sunley Room was established alongside the Gallery’s Central Hall. The Foundation has granted a further three years funding of £240,000 to continue its input towards the staging of three exhibitions each year in the Sunley Room, helping access for the general public to be free, and continuing as the National Gallery’s longest serving current benefactor with over 35 years involvement. The welfare of young people has always been central to the ethos of BSCF and another beneficiary of long standing is the Northamptonshire Association of Youth Clubs, or NAYC, which is now an umbrella organisation for 400 youth clubs serving over 12,000 young people every week. BSCF has contributed over £1m in the last 30 years through 16 grants towards its facilities, and this year a further grant of £100,000 was awarded as they convert underused spaces into conference and teaching facilities. Ocean Youth Trust South is also the recipient of a £100,000 grant towards a replacement yacht to facilitate their sail training programmes of life-changing experiences for young people, especially those from disadvantaged backgrounds. An award of £50,000 was made to the National Star College in Cheltenham towards new specialised residential accommodation for their disabled young people. A grant of £50,000 was awarded to the Exeter Royal Academy for Deaf Education towards a new purpose-built academy being constructed adjacent to a secondary school on a new site in Exeter. The Treloar Trust at Alton is a special school and college for disabled students and BSCF has given £50,000 towards the refurbishment of Evans House for independent living accommodation. The Royal National Theatre has been under-going major development and BSCF has granted £50,000 towards their Education Centre. Rock UK provides Adventure Centres for young people and has received £50,000 from BSCF towards establishing a new centre in South Wales. The Enham Trust supports learning disabled adults and has been given £40,000 towards building new bungalow accommodation. £40,000 has also been granted towards refurbishment at the British Racing School, where BSCF was an original benefactor. 6

The Prince’s Trust has received £30,000 as three year funding towards continuing BSCF support for young entrepreneurs. The Onside Foundation has been awarded £30,000 towards the Wolverhampton Youth Zone, providing multiple facilities for young people. Eight further ‘Large’ grants each for £25,000 were approved, and these can be found listed on pages 23 to 28. ‘Medium’ grants were awarded to a wide range of causes in many areas from hospices, community centres and village halls, particularly in deprived rural areas, to premises for youth activities, the homeless, and also for those with learning difficulties. The emphasis is on helping the whole community. Grants between £5,000 and £25,000 were approved for 101 charities during the year, and these are listed within various categories on pages 23 to 28. ‘Small’ grants of £5,000 and below were awarded to 334 charities received awards and are listed from page 29. Distribution of grants is shown below by category and highlights the Trustees continued desire to support community, and young people in particular, who also feature strongly in Education, Arts, Health and Social Welfare categories.

Effectiveness of grants is monitored by contact with project managers through visits, letters, e-mails, websites, telephone calls and photographs.

Investment and Financial Review The Foundation’s investment policy is to maximise the total return from its assets, within the constraints of investing only in assets offering limited risk. Trustees have delegated investment decisions to the Finance Committee who advise about the appointment of investment managers and also monitor investment performance against agreed benchmarks. Trustees have maintained their diversified portfolio throughout the year monitoring markets closely, riding the volatility and drawing income from the portfolio to achieve the Foundation’s aims. Minor adjustments to holdings were made during the year. Corporate bonds held in Royal Bank of Scotland and in Aviva were sold in March 2014 in preparation for an investment of £1.5m in the Barwood Property Fund 2015, planned for just after the year end. Two quarters of fees due to Aberdeen Asset Management were waived as a gesture of goodwill, when BSCF missed an opportunity to purchase Co-op Bank Rights Issue shares in May 2014. The balance sheet at year end shows the portfolio value as £102m, the highest it has ever been. Frequent discussions and face to face briefings took place throughout the year with the staff of Aberdeen Asset Management, BlackRock, Charles Stanley Pan Asset, Mayfair Capital, and FF & P Private Equity. With interest rates remaining at their all-time low, cash holdings have been maintained at minimal levels commensurate with the payment of grants and the smooth day to day running of the Foundation. The cost of generating funds was lower than in the prior year due to the waiver of fees. Charitable activities and governance costs of the Foundation were similar at £216,000. After gains on investment assets the net movement of funds during the year was £4.489m compared with £2.579m last year. Plans for the Future Trustees wish to maintain the momentum of the Foundation that has been built up over 55 years. The strategic review in November 2012 conducted by the Trustees set the priorities for a five year period. Income generation from investments is vital to the grant aid function and therefore is monitored closely. The Trustees will continue their grant-making activities to charities, minimising administrative costs within the constraint of current regulations and maintaining sound business practices. In February 2012 a website, www.bernardsunley.org, was established, the principle function being the availability of ‘Guidelines’ to assist applicants. Updated in January 2013, it was reviewed again in early 2015, with new 8

guidelines introduced on 1 April 2015. Online applications had been introduced in May 2014. It will continue to be monitored and adjusted as the need develops. Reserves In recent reviews, Trustees have emphasised their determination that the Foundation should be managed in perpetuity for future generations. Assets of the Foundation are held to generate sustainable income in order to meet the Foundation’s aims and activities. The Foundation’s reserves were £103.13m at 31 March 2015, their highest level ever, and income from this capital allows the current level of grant making of about £3m to be maintained. During the recent financial downturn the Trustees had made a conscious decision to maintain a steady level of grant aid, content to spend some of the reserves should that have become necessary. In fact, the budgeted levels for grants were achieved as well as increasing the unrestricted reserves. Responsibility of Trustees for Financial Statements The law applicable to charities in England and Wales requires the Trustees to prepare financial statements for each financial year, which give a true and fair view of the financial activities of the Foundation during the year and of its financial position at the end of the year. In preparing these financial statements giving a true and fair view, the Trustees are required to: 

select suitable accounting policies and then apply them consistently;



make judgements and estimates that are reasonable and prudent;



observe the methods and principles of the Charities SORP;



state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements;



prepare the financial statements on the going concern basis unless it is inappropriate to presume that the activities of the Foundation will continue in operation.

The Trustees are responsible for keeping proper accounting records, which disclose, with reasonable accuracy, the financial position of the Foundation, and which enable them to ascertain the financial position of the Foundation and which enable them to ensure that the financial statements comply with the Companies Act 2006 and the Memorandum of Association dated 30 March 2005. They are also responsible for safeguarding the assets of the Foundation, 9

INDEPENDENT AUDITOR’S REPORT TO THE MEMBERS AND TRUSTEES OF THE BERNARD SUNLEY CHARITABLE FOUNDATION

We have audited the financial statements of the Bernard Sunley Charitable Foundation for the year ended 31 March 2015 which comprise the Statement of Financial Activities, the Balance Sheet, the Cash Flow Statement and the related notes. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). This report is made solely to the charitable company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the charitable company’s members those matters we are required to state to them in an auditor’s report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the charitable company and the charitable company’s members as a body, for our audit work, for this report, or for the opinions we have formed. Respective responsibilities of trustees and auditor As explained more fully in the Trustees’ Responsibilities Statement set out on page 9, the trustees (who are also the directors of the charitable company for the purposes of company law) are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view. We have been appointed auditor under the Companies Act 2006. Our responsibility is to audit and express an opinion on the financial statements in accordance with applicable law and International Standards on Auditing (UK and Ireland). Those standards require us to comply with the Auditing Practices Board’s Ethical Standards for Auditors. Scope of the audit of the financial statements A description of the scope of an audit of financial statements is provided on the Financial Reporting Council's website at www.frc.org.uk/auditscopeukprivate. Opinion on financial statements In our opinion the financial statements:  give a true and fair view of the state of the charitable company’s affairs as at 31 March 2015 and of the charitable company’s incoming resources and application of resources, including the income and expenditure, for the year then ended;  have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and  have been prepared in accordance with the requirements of the Companies Act 2006.

Accounting basis The financial statements are prepared under the historical cost convention, modified to include investments at market value and in accordance with the Statement of Recommended Practice (Accounting and Reporting by Charities) 2005, and with applicable accounting standards.

Incoming resources Income from investments comprises dividends and interest on shares and stocks, income from property fund units, plus interest on all bank balances and deposits and ground rents from the freehold properties. In all cases the income is credited to the Statement of Financial Activities in the period that it is received.

Resources expended Cost of generating funds Fees charged by the Foundation’s investment managers, and by their investment custodians are included in the period in which they occur. All costs associated with the cost of managing the Foundation’s property portfolio are also included. Charitable activities The Trustees consider that grant-making is the Foundation’s sole charitable activity. Grants are included in the financial statements when approved by the Trustees and notified to recipients. The value of committed grants unpaid at the year end is accrued. The support costs are the costs relating to grant administration, grant evaluation, accounting and the day to day costs in support of the charitable purposes of the Foundation. Governance costs Governance costs comprise all costs involving the public accountability of the charity and its compliance with regulation and good practice. These costs include costs related to statutory audit and legal fees.

Investments Fixed assets investments are stated at market valuation. Any unrealised or realised gains arising from investments are accounted for in the Statement of Financial Activities.

Freehold investment properties Freehold investment properties are stated in the balance sheet at open market valuation in accordance with SSAP 19 and no depreciation has been provided thereon.

Furniture and Fittings Furniture, fittings and equipment with a value greater than £1,000 are reported in the balance sheet at original cost. Depreciation is charged over the estimated useful life of the assets using the straight-line method. Rates of depreciation of 20%, 25% and 33% per annum are used as appropriate.

Fund accounting Unrestricted funds comprise accumulated surpluses and deficits on general funds. They are available for use at the discretion of the Trustees in furtherance of the charity’s general charitable objectives. Designated funds comprise monies set aside out of general funds and which are earmarked by the Trustees for specific purposes.
