Terms & Conditions – SpongeBob WherePants Competition (the “Competition”) These are the rules (“Rules”) that apply to the Competition. The Competition will be run by us, the promoter, Nickelodeon UK Limited whose registered number is 02797365 of 17-29 Hawley Crescent, Camden, London, NW1 8TT (“Nick UK”). These Rules include details about how to enter the Competition, opening and closing dates, prize details, and anything else Nick UK thinks you may need to know about entering the Competition. By entering the Competition, you promise to follow and be bound by these Rules (which may be amended or varied at any time by Nick UK with or without notice) and by Nick UK’s decision, which is final in all matters relating to these Rules, the Competition, the winner selection and/or the results and no correspondence or discussion shall be entered into.

WHO CAN ENTER? 1. You must be aged seventeen (17) or under at date of entry, obtain parental consent and live in the UK or Eire to enter the Competition. Prizes can only be sent to a UK or Eire address so if you have moved somewhere outside the UK or Eire after entering the Competition, your Entry will not be valid. 2. You are not allowed to enter the Competition if you or any of your family members are employees of Nick UK, any other company associated with the Competition or their respective associated companies or agents. In these Rules, “family members” includes mother, father, brothers, sisters, sons, daughters, partner or spouse. PROMOTION PERIOD 3. The Competition is open for entries from 9:00am on Monday 25 July 2016 (the “Opening Date”) to 5:00pm on Friday 2 September 2016 (the “Closing Date”). The period between the Opening Date and the Closing Date is referred to in these Rules as the “Promotion Period”. 4. HOW TO ENTER 5. If you want to enter a Weekly Prize Competition you need to do the following during the Promotion Period: (a) Watch SpongeBob SquarePants on Nicktoons between 9.00am and 12.00pm to see SpongeBob’s pants (every day there will be a new pair of pants) (b) Visit www.nicktoons.co.uk/pants; (c) Select the pants you have seen on Nicktoons; (d) Fill in and submit your details on the entry form, including, without limitation inserting your name, address, your parent/guardian’s email address and phone number and your date of birth; and (e) Obtain parental consent and accept the Terms and Conditions, (together an “Entry”). 6. Nick UK in its sole discretion shall determine whether an Entry is valid. 7. To give everyone a fair chance of winning a prize, there is only one (1) Entry to each Weekly Prize Competition allowed per person. In addition to this, only one prize per household is permitted for any Nickelodeon competition or prize draw within a 4-week period. So if, for example you or your brother/sister have already won a Nickelodeon competition or prize draw in the last 4 weeks then you won’t be able to enter this Competition this time. Sorry. 8. Entries received after the end of the Promotion Period will not be valid. Nick UK is not responsible if your Entry gets lost, delayed, misdirected, undelivered, damaged or if you have technical problems trying to enter the Competition. 9. Please take care when entering the Competition to ensure that we have your correct details. Any Entries which are incomplete and/or can’t be read clearly will not be valid and won’t be entered for the Competition. PRIZES 10. 12. Each SpongeBob goody bag will include: (a) 1 x limited edition smiling Squidward plush; (b) 1 x SpongeBob 2GO Floor Puzzle; and (c) 1 x SpongeBob LED Watch, (together a “SpongeBob Goody Bag”). 13. The Prizes are as stated and cannot be exchanged or transferred. No cash alternatives will be offered. 14. If Nick UK is unable to provide a Prize or any part thereof Nick UK has the right to award substitute prizes of equal or greater value. The Prizes are subject to additional terms and conditions of the manufacturer or supplier. COMPETITION 15. The Winner of each Weekly Prize Competition will be the first Entry randomly selected by Nick UK from all correct and valid entries received during the relevant Opening and Closing Dates set out above. 16. Nick UK will notify the winner of each Weekly Prize Competition as soon as possible after each draw (generally within seven (7) days of each Weekly Prize Draw). Nick UK will send out the prizes as early as possible, usually within four (4) weeks of each Weekly Prize Draw. 17. Nick UK will notify the Winner by email. The Winner may need to accept their Prize by returning a confirmation e-mail within a specified period of time following notification. 18. Nick UK has the right to choose an alternate Winner if: (a) a Winner does not comply with these Rules or Nick UK has reasonable grounds for believing that a Winner has broken a Rule; (b) Nick UK cannot contact a Winner within five (5) working days following the initial attempt to notify a Winner; (c) a Winner does not (i) agree to these Rules; (ii) want to receive the Prize; or (iii) give their consent as may be requested by Nick UK within a reasonable time; or

(d) a Winner does not accept the Prize or full details of a Winner is not provided to Nick UK within the specified time period. 19. Nick UK reserves the right to cancel this Competition at any stage prior to the Promotion Period or to shorten or extend the time for entering the Competition during the Promotion Period, if Nick UK thinks it is necessary in its reasonable opinion, or if circumstances arise which are out of Nick UK’s control. If the time for entering the Competition is cut short during the Promotion Period, the Winner shall be selected in accordance with these Rules from all eligible entries received prior to such termination date. GENERAL 20. Any changes to these Rules will be posted in revised terms and conditions on www.nicktoons.co.uk/pants_terms. 21. Entries will not be returned. 22. Nick UK will not be liable to you for any delays or failure (whether in whole or in part) in carrying out its obligations in respect of the Competition due to circumstances beyond Nick UK’s reasonable control. 23. Nick UK will not be liable to you for any loss or damage however it was caused (including without limitation in contract, tort or statutory duty) in connection with the Competition and/or Prize, other than death or personal injury caused by Nick UK (and/or its employees’) negligence. 24. By entering this Competition you agree that Nick UK may use, in any and all media throughout the world forever as Nick UK in its sole opinion sees fit, your name, biographical information, any statement made by you, and your Entry to the Competition without payment or further consent if you are declared a Winner. Nick UK may also require you to take part in such publicity (which may include taking your photograph, filming you or recording your voice) without payment or further consent and such publicity will be owned by Nick UK forever for use throughout the world as Nick UK sees fit. 25. Any personal information collected by Nickelodeon for the Competition will be used in accordance with Nickelodeon’s Privacy Policy set out athttp://www.nicktoons.co.uk/info/privacy-policy. A copy can be obtained by writing to Nick UK by email at [email protected] or by post to Nick UK’s address above, marked for the attention of The Data Protection Officer. In summary, personal information collected from entrants will be used by Nick UK solely in connection with the Competition and will not be disclosed to any third party except for the purpose of operating the Competition and fulfilling the Prize where applicable. 26. If you would like to know who the Winners are for this Competition, please send a stamped addressed envelope to Nickelodeon at the above address marked SpongeBob WherePants Competition within 60 days of the Closing Date of the Competition and we will send you the Winner’s name and their home county. 27. The rules in respect of the Competition are governed by and construed in accordance

with the laws of England and if there are any disputes the courts of England shall have exclusive jurisdiction.
