Preamble: Govt. of A.P. appointed APS. Agro. Ind. Dev. Corp. Ltd. (AP Agros), a State Govt. undertaking as a Nodal Agency for procurement of Seed Processing Equipment required for AP State Seeds Dev. Corp. Ltd, under RKVY Programme. The job is as per general specifications given in schedule. The tendering process will be through separate Technical & Financial bids and the tenderer(s) are to qualify in both the bids for award of the contract. The details and terms and conditions of the tender are as below: A. General Specifications: A. Turn key Job for 4 TPH capacities (on Wheat Basis) Seed Processing line with Gravity separator, Destoner, Seed Treator and Air pollution control systems as detailed below. Design, fabrication, Supply, installation, Testing and commissioning of machines with accessories and civil works (including material and labor). The process line consisting of Pre-cleaner -1no, Fine Cleaner-1no, 3. Gravity separator -1no, 4. De - stoner -1no, 5 Seed treater cum seed coating machine -1no, 6. Surge Bins- 4 nos., 7. VB Elevators- 5nos, 8. One set of Air Pollution control equipment, 9. Electrical panel board- 1no. and important spare parts for each machine. 10.All motors/ prime movers more than 5 HP should be provided with variable frequency drive (VFD). 11.Installation Layout: Horizontal flow on raised platform. The platform 1 meter height from floor level made of steel strong and stout to bear the 3

machine load and live load vibration and factors of safety will be provided by APSSDCL. B. Turn key Job for 4 TPH capacity Seed Processing line (on wheat basis) only with Destoner and Air pollution control systems as detailed below. Design, fabrication, Supply, installation, Testing and commissioning of machines with accessories and related civil works (including material and labor). The process line consisting of 1. Pre-cleaner – 1 no. 2. Fine Cleaner-1no, 3. De - stoner -1no, 4. Surge Bins- 3 nos., 5. Elevators-3 nos. , 6. One set of Air Pollution control equipment, 7. Electrical panel board- 1 no. and important spare parts for each machine. 8.All motors/ prime movers for more than 5 HP should be provided with variable frequency drive (VFD). 9. Installation Layout: Horizontal flow on raised platform. The platform 1 meter height from floor level made of steel strong and stout to bear the machine load and live load vibration and factors of safety will be provided by APSSDCL B.FIRMS ELIGIBLE TO PARTICIPATE IN TENDER: Only manufacturers/authorized dealer or agency in case of importers are allowed to participate in the tender. Firms who are having Valid license to manufacture/ Import the Seed Processing Equipments. The tenderer(s) shall have annual turnover of not less than Rs.20 Crores for 2008-09 financial year as indicated in audit balance sheet. C.Evaluation Criteria of Tender: 1.Tenderer(s), whose technical bid will secure 75% and above marks as per the evaluation criteria in Annexure- II, will be treated as technically qualified bidder and only their Price bid will be opened. The Price Bids of only those tenderers whose Technical Bids are accepted, will be opened in their presence which date will be intimated later. The evaluation criteria are detailed in Sl.No.9 of data sheet. 2.The lowest financial bid (Fm) will be given a financial score (Sf) of 100 points. The financial scores (Sf) of the other Financial bids will be computed as indicated in the Data Sheet. Bids will be ranked according to their combined technical (St) and financial (Sf) scores using the weights (T=the weight given to the Technical bids; P=the weight given to the Financial bid; T + P =1) indicated in the Data Sheet: S=St x T% + Sf x P%.

3.Price negotiations based on the combined technical and financial scores will be held as per the decision of the Technical Committee. The aim is to reach agreement on all the points and sign a contract. D. General Conditions for submission of Tender: 1. The tender shall be submitted in two parts namely; a) Technical Bid: The technical bid shall be submitted as per Annexure -II b) Price Bid: The price bid shall be submitted as per Annexure –III. The rate quoted should be inclusive of all taxes, duties, Cess, Octroi etc F.O.R delivery at site. The price bid shall be valid for a period of 3 months. 2.

The authorized person representing the firm who is signing on the Tender documents and also participating in the Tender shall invariably attach a copy of authorization from the appropriate authority of the firm as per the By-laws of the firm / Company.

The tenderer shall submit Technical and Price bids in a separate sealed cover duly super-scribing “Technical /Price Bid” on the covers along with name and address of the tenderer. Both these covers are to be placed in third sealed cover along with covering letter & EMD Demand Draft duly super-scribing on the cover as “Tender for supply of Seed Processing Equipment – Schedule A” addressed to The Vice Chairperson & Managing Director, APSAIDC Ltd., Hyderabad. The sealed cover shall be deposited before the due time, in the tender box kept at the Regd. Office of the Corporation at Hyderabad.

4.

Earnest Money Deposit (EMD) for an amount of Rs.15.00 Lakhs shall be paid by the tenderer in the form of Demand Draft of scheduled commercial bank drawn in favour of A.P.S.A.I.D.C.Ltd., payable at Hyderabad along with a covering letter.

The EMD of 2nd and 3rd lowest tenderers will also be retained till the award of work to the successful bidder. EMD of other unsuccessful tenderer(s) will be returned on finalization of tenders.

6.

The EMD of successful tenderer shall be retained by the Corporation and refunded only after satisfactory completion of the contract. The EMD can be adjusted against performance Guarantee Deposit for successful tenderers. The EMD and performance guarantee deposit will not carry any interest.

7.

Performance guarantee deposit: 10 % of the value of the total work/order, shall be paid by the successful tenderer at the time of agreement duly deducting the EMD amount, in the form of Demand draft/Bank guarantee of scheduled commercial bank in the name of Managing Director, AP State Seeds Development Corporation Limited valid for a period of 2 years. 5

8.

The successful bidder will enter into Agreement with APSAIDC Ltd. on non-judicial stamp paper of appropriate value, at his cost and submit along with the acceptance letter within 7 days from the date of communication of acceptance of his bid and perform the obligations as stipulated therein.

9.

Validity of tender shall be 90 days from the date of submission. The agreement period will be upto 1 year from the date of agreement and this may be extended with mutual consent. No Escalation charges will be paid for supply of Seed Processing Equipments/Installation and commissioning etc. during the agreement period.

10.

Performance guarantee produced by the successful tenderer shall be forfeited, if he does not fulfill the obligation of supply of equipment/machinery as per orders / specification / quality.

11.

The supplies made, shall be invoiced on VAT / CST with Serial No. of invoice printed on it. No invoice other than tax invoice will be accepted. VAT / CST if applicable, shall be clearly mentioned in the tax invoice. Cform will be issued to charge CST. Rates quoted should be inclusive of all taxes, duties, Cess, octroi etc and FOR delivery at site.

AP State Agro Industries Development Corporation Limited reserves the right to award the tender either in part or full. AP Agros at its sole discretion and without assigning any reason thereof, reserves the right to accept / reject any or all bids at any stage of the tender process.

13.

Information relating to evaluation of proposals and recommendations of Tender Committee concerning awards shall not be disclosed to the tenderers who submitted the tenders or to other persons not officially concerned with the process, until the successful bidder has been notified that it has been awarded the contract.

14.

Tender can be rejected if at any stage of the procurement process, it comes to knowledge that any tenderer(s) is involved in any fraudulent practice or misrepresentation of the facts or tried to influence the selection process or indulged in any corrupt activity in competing with others.

15.

In case of any dispute or difference arising out of the agreement between the two parties relating to any aspect of the agreement, the parties should attempt to settle the dispute through mutual and amicable discussions. If the dispute is not settled through such discussions, the VC & MD, AP Agros is the sole arbitrator.

16.

It is further to be agreed by both the parties that all differences and disputes if not resolved as above, shall be got resolved through the Court of Law of Hyderabad jurisdiction only.

17.

The firm (manufacturer/ authorized importer) shall be liable for blacklisting and further prosecution if they fail to adhere to the above conditions. 6

18.

The last date for submission of sealed tenders is up to 3.00 P.M. on 20.04.2010. The opening of technical bid will be done at 3-30 P.M. on the same day at the Regd. Office of the Corporation in the presence of Tenderers.

E. Special conditions: 1. The tenderer(s) has to submit layout design, the specifications of each of the equipment and list of equipments in the process line. Without furnishing this information the tender will be rejected. 2. The tenderer(s) must submit pollution control certificate from a Govt. notified agency / self attestation certificate as per norms of A.P. Govt. Pollution Control Board. 3. The generalized specifications of all the equipment are given in Annexure I for information and guidance only. 4. The tenderer has to supply the machinery within four months and it has to be installed and commissioned within two months or as per the time limit mentioned in the order. 5. Penalty for delay in work will be levied @ 0.5% of the total value of work per week up to a maximum of 5% in case of default in work completion within the stipulated time. 6. All the technically and commercially eligible tenderer(s) will have to arrange for demonstration of the models offered in the tender within seven days from the date of intimation by APSAIDC Ltd Hyderabad, failing which their bid will be considered as technically ineligible. 7. A design plan diagram may be kept at each plant before commencement of work along with the specifications. 8. The technical committee of APSSDC and AP Agros reserves the right of pre delivery inspection at the factory/workshop of the manufacturer/tenderer. In the event of any components failing to conform to the standards on quality, the client has the right to reject the material out right before installation and commissioning and supplier shall replace the rejected material with fresh stock at his own cost. 9. The technical team of APSSDC and AP Agros, shall have the right to inspect the machinery supplied and erected at processing plants. 10. If at any time during the term of this contract, the plans of the Corporation change for any reasons, the purchaser shall have the right to terminate or alter this contract by sending 15 days notice to the supplier by regd. Letter. In respect of such of the material that is complete and ready for dispatch within 30 days of such notice, the Corporation agrees to accept delivery thereof at the contract price and terms. 7

11. The plant is to be designed and offered on through put (input) capacity only. 12. Any modification in the machinery or in the installation layout will be carried out by the suppliers upon the written instructions from APSSDCL and the cost if any will be borne at the mutually agreed rate by APSSDCL. 13. In case of inordinate delay in execution of order the time limit with penalty will be mutually decided by the suppliers, APSAIDCL and APSSDCL to execute the work or to terminate the contract F. Consequences of non-supply and damages: 1. All risks of loss, damage or depreciation to goods shall be upon the supplier until the material is delivered at the addresses specified and in accordance with the provisions of the contract. 2. Assuming that the supplier fails to deliver any or all the material covered by the contract the purchaser reserves the right, in addition to other legal remedies, to cancel the contract or any portion thereof, and hold the supplier liable for all damage sustained by virtue of said cancellation and failing to perform the contract. G. Other contractual obligations: 1. The contract shall not be capable of being varied except by written consent by both the purchaser and the supplier and the APS Agro. Ind. Dev. Corp. Ltd. shall not in the absence of specific written acceptance be bound by any provisions of the suppliers quotations / offers etc., which purport to impose conditions at variance with this tender. 2. The supplier shall not sublet or delegate this contract or part thereof without the written consent of the Corporation, but he may, without consent of APS Agro. Ind. Dev. Corp. Ltd., purchases such material of standard / suitable quality as he does not normally manufacture. 3. The supplier shall keep confidential all matters concerning this contract and comply with all reasonable security requirements. All drawings, blocks, specifications, manuscripts etc., supplied by this Corporation and all copies thereof shall be returned to the Corporation when their use is terminated. In no event the supplier shall permits publicity concerning this contract without the prior consent of the Corporation. 4. No undertaking or commitment given by or made by any officer of the Corporation, verbally or in writing shall have effect of affecting this contract in any manner unless it is signed by the officer who has signed the contract. H. Accident relief and Workmen Compensation: 1. The tenderer shall at all times indemnify the Govt. of A P / APS Agro Ind. Dev. Corp. Ltd / APSSDC Ltd against all claims which may be made under 8

the workmen’s compensation act or any statutory modifications there after or rules there under or otherwise consequent of any damage of compensation payable consequent of any accident or any injures sustained or death of any workmen engaged in the performance of the work relating to the tenderer. 2. In all cases of personal injury to the workmen employed by a tenderer for this work for which tenderer is liable to pay compensation under Workmen’s Compensation Act he shall pay the prescribed medical aid and the fee to the medical officer for issued of C & D forms as prescribed failing which the said fee will be paid to the Medical Officer by the Agros and recovery effected from the tenderer bill. I. Installation and Commissioning: 1. All tools, equipment and machinery required for the Installation and Commissioning work has to be arranged by the successful bidder only. 2. Civil foundation of machinery include excavation, PCC 1:2:4 concrete, plastering, curing, nuts and bolts and any other material required shall be borne by the successful bidder. 3. Unloading, Installation and erection of machines with mechanical crane or manually will be carried out by the successful bidder. Only local support will be provided by APSSDCL. 4. Water and electricity for the purpose of installation and commissioning of machinery will be provided by APSSDC Ltd. as and when required by the successful bidder. J. Security Measures: 1. APSSDCL will allow the keeping of security guards for the protection of the machinery supplied at APSSDCL plants in the premises of APSSDCL. The tenderer(s) shall be responsible for the security of work for the duration of the contract and shall provide and maintain continuously adequate security personnel to fulfill these obligations in coordination with requirement of concerned DM of APSSDC. The requirements of security measures shall include but not limited to maintenance of order on the site, provision of all lighting, guard and all other measures necessary for tight protection of the works within the site and elsewhere on the site, all materials delivered to the site, all persons employed in connection with the works continuously through out working and non-working period including nights, Sundays & holidays for duration of contract. 2. Separate payment for provision of security services will not be made and its cost shall be deemed to have been included in the offer of the tenderer. K. Warranty/ Guarantee:

The machines and equipment supplied shall be of ‘On-Site warranty’ and ‘On-Site guarantee’.

L. Certification Process for Payment: a)

Equipment/Material receipt certificate: Issue of Material receipt note/ Goods Receipt notes at site, jointly by respective District Manager (Seeds) and Regional Manager of APS Agro Ind. Dev. Corp. Ltd. verifying the material received as per specification of proper quality & quantity.

b)

Trial Run Certificate: i) Minimum 3 trial runs, each for a period of 2 hours will be taken for determining the input capacity of each equipment and for seed processing equipments/line at 10-12 % moisture and 12-15 % impurities of raw seed. ii) Conducting sound pollution check through Govt approved agency. iii) For quality test check of seed cleaning, the cleaned seed sample will be sent to notified/approved seed laboratory, All above checks from i) to iii) will be made by respective District Manager (Seeds), Manager (Engg) and Manager (Finance) of APSSDC, under joint certification.

c)

Commissioning Certificate : i) Checking of correct positioning of each equipment with secured fasteners’, permanent and secured electrical connections under joint certification by respective District Manager (Seeds), and Manager (Engg) of APSSDC. ii) Checking of safety and fire hazard aspects under joint certification by respective District Manager (Seeds), and Manager (Engg) of APSSDC. iii) After satisfactory input rated capacity certificate from trial run inspection team. iv) After satisfactory lab test report.

M. Terms of Payment for turn key: •

70% payment of cost of machines will be made by ‘AP Agros’ immediately after receipt of equipment/material receipt certificate.



20% payment of cost of machines and 80% payment of installation cost will be made by APS Agro. Ind. Dev. Corp. Ltd. after receipt of completion of installation & trial run certificate of the equipments. 10



The remaining 10% of machines cost and 20% installation cost will be made by ‘AP Agros’ immediately after receipt of commissioning certificate.

N. Special Instructions to the Tenderer: 1. The tenderer(s) should submit technical brochures / information, users list etc. along with offers. 2. The supplier should conduct working demonstration of the machinery and train the working personnel of the APSSDC Ltd for further operation & maintenance of the machinery. 3. Tenderer(s) should quote for machine having two screens and three screens separately so as to make available choice. 4. List of fast moving spares and its selling price should also be enclosed. List of accessories which are recommended to be purchased separately for each item should be clearly mentioned in the offer. 5. The capacity of blower, RPM requirement, screening area, cleaning device, fan speed and power consumption should also be clearly mentioned. 6. Seed Processing Machines should be capable of cleaning and grading of various crop seeds, i.e. cereals, pulses, oil, Fiber & Fodders and vegetable seeds, etc. It should be able to remove the impurities like chaff, husk, glooms, dirt and also undersize and oversize impurities. The wheat factor for Processing of different crop seed is given as under: i) Wheat, Maize, Gram – 1 ii) Paddy, Pulses, Fodders and Bhendy – 2 iii) Fiber - 3, iv) Oil and Bold vegetable - 4 v) Light vegetable seeds – 5 7.

Seed Grader / Pre Cleaner should be properly balanced to avoid vibration. It should be provided with belt pulleys safety guard, bag holding clamps, inter-changeable screens, and brush drive system/rubber ball system for cleaning screens. Optional: Seed grader should be provided with variable speed controller for motor above 5 HP
