background

All Mines Mining (Pty) Ltd (hereafter “All Mines Mining” or the “Company”) was formed in 2014 by a team of proudly South Africans with a strong expertise and knowledge in the mining industry in response to the prevailing conditions which require the mining industry to develop and transfer skills to all South Africans especially the youth. All Mines Mining is in fact, a youth empowered mining services company. All Mines has 100% shares of a company called Taricap Mining (Pty) Ltd. All Mines Mining recognizes that the mining sector in South Africa is still faced with a variety of challenges over and above the 2009 global recession which had impacted severely on the country's total economic growth as well as its failure to benefit from the booming commodity prices. Among the challenges faced, are the macro, micro and socioeconomic factors, which include:• • • • • •

Health, Safety and Environmental Management; Increased production costs; Direct Foreign investment; Broad-Based Black Economic Empowerment (BBBEE) (Transformation, Skills Development and Talent Retention); Land Reform and -Use, Spatial & Rural Development and Poverty Alleviation.

An optimum balance must be struck between these challenges versus the return on investments to protect the growth of the mining industry. On the positive side, the country is rich with mineral resources. All Mines Mining believes that value-adding transformation of the mining industry should be based on key competencies and reasonable experience at equity holding as well as operational levels. Failure to do so can result in compliance to legislation albeit the detriment of valueadd to shareholders.

ENTERPRISE DEVELOPMENT All Mines Mining aspires to be an example of how an empowered mining enterprise can be grown in partnership with large mining companies whilst both entities interests remain respected and protected. JOINT VENTURES All Mines Mining will endeavour to enter into business agreements with credible mining companies who would not only benefit towards BBBEE compliance but most importantly benefit from the potential value adding inputs derived from the members’ individual experiences. MINING SERVICES Mining is a highly capital intensive business and often financial capital strategies do not always favour equipment replacement strategies. It is in this context that All Mines Mining believes that companies capital constraints can be minimized if contract mining is employed sensibly. Depending on the nature of opportunities, All Mines Mining has already developed the capacity to provide mining services in both surface and underground mining operations.

Governance

Health & Safety

All Mines Mining strives to be a model junior mining services companies by formulating and enforcing policies that subscribe to the King Code on Corporate Governance even though these predominantly apply to JSE listed companies. Best practice and benchmarking with leading entities will be applied. In so doing, All Mines Mining believes that encompassing these principles at this early stage will enhance management development leading towards sound corporate citizenship as well as brand development and positioning. Neither contract nor is acquisition worth considering without taking keen cognisance of the value of a healthy and injury free work environment. No amount of money or size of a contract is worth a man's life or limb. Furthermore, the protection of the environment (Soil, air and water) is as important to the company's bottom-line as is its profit. Through a comprehensive Health-, Safety- & Environmental Management programmes, all aspects relating to Health and Safety and the Environment are continuously monitored and controlled to ensure compliance. All Mines Mining will ensure that requirements of ISO 14001 on Environmental Management are adhered to at all times, thereby ensuring that the environment is protected.

Environmental Management

Executive Directors

All Mines Mining business model does not envisage it becoming a fierce competitor with established mining services companies especially with regard to human capital. As a young company, All Mines Mining also appreciates that its growth and that of the mining sector is dependent on the successful collaboration with the communities within which it operates.

It is for this reason that compliance with Social Development Plan (SDP) as well as the Integrated Development Plan (IDP) is paramount.
