SPECIAL CONDITIONS OF CONTRACT FOR SUPPLY INSTALLATION AND COMMISSIONING OF TEMPORARY AND PERMANENT CATHODIC PROTECTION SYSTEM

1.0

PREAMBLE

1.1

Natural Gas produced in Oil India Ltd’s (OIL) oilfields in upper Assam is proposed to be transported to Numaligarh refinery through a proposed Coal-tar coated DNPL pipeline 194 Km x 406.4 (16”). This proposed pipeline will be laid in OIL’s existing Duliajan – Barauni ROW which already contains other oil and gas pipelines. The existing pipelines on this ROW are Coal-tar coated and protected by impressed current Cathodic Protection System. Specifications for work which now follows is for the installation of additional facilities to cathodically protect the proposed pipeline, including augmentation of existing Cathodic Protection System so as to have an integrated system covering all the lines in the ROW. Effort shall be made to ensure protection of all the pipelines (incl.existing ones)

2.0

BIDDER'S SCOPE OF WORK

2.1

TEMPORARY CATHODIC PROTECTION WORK - Supply and installation of complete Test lead Posts (TLPs). - Supply and installation of complete Kirk cells and Surge diverters. - Supply and installation of Prepacked Galvanic anode in suitable backfill. - Pipeline cathode connections. - Supply and installation of all cables for completing the TCP connections. - Total System commissioning.

2.2

PERMANENT CATHODIC PROTECTION WORK - Carry out Soil resistivity test at anode locations. - Drilling and casing of deep well anode bed. - Supply and installation of MMO coated titanium anode string in calcined coke backfill. - Supply and installation of Anode Junction box (AJB). - Supply and installation of Cathodic Protection Transformer Rectifier Unit (CPTR) along with permanent copper-copper sulphate reference cells. - Supply and installation of Anode header cable. - Supply and installation of Cathode header cables. - Total System commissioning.

2.3

LOGGING OF NATURAL POTENTIAL AND GPS SYNCHRONISED ON/OFF POTENTIAL - Logging of natural (corrosion) potential at all pipeline access points and structures connected to the pipelines. - Switching ON of TR units and polarizing the pipelines. - Installation of GPS Synchronized current interrupters at PCP stations. - Logging of ON and instant OFF PSP at all TLPs, Valves, Cased crossings etc.

2.4

CURRENT ATTENUATION SURVEY (CAT) - Current Attenuation test of the pipeline.

2.5

OTHERS - Supply and transportation of all materials, manpower and equipment to site. - Approval of technical specifications for all major materials by OIL prior to procurement. - Insurance of all materials, manpower and equipment. - System handover including detailed documentation/drawings/service manuals etc.

DESCRIPTION OF WORK 3.1

The specification is intended to give the bidder, the functional and operating conditions which the system must fulfil. Alternative features with better system design, increase in efficiency, adequate optimization etc. may be accepted but has to be indicated separately describing all the advantageous features.

3.2

No deviation or exception from this specification shall be permitted without the written approval of OIL. Intended deviations shall be listed by the bidder and sent along with the bid, supported by reasons for the same. Also, the bidder shall categorically confirm that their bid completely complies with the specification except for the deviation listed in the deviation schedule.

3.3

The Bidder shall inspect the work site thoroughly and shall satisfy himself, before submitting his tender as to the nature and extent of the work involved, and in general shall himself obtain all necessary information as to the risks, contingencies and other circumstances which may influence or affect his tender. The bidder must have proper communication and coordination with Installation Manager for smooth functioning.

3.4

Soil resistivity test shall be carried out at the proposed site using 4-pin Wenner's technique and readings recorded. Resistivity measurement shall be carried out for different depths. The depth of insertion of each pin while measuring resistivity shall not be more than 1/20 th of the pin spacing. Soil resistivity shall be computed by the following formula and is to be expressed in ohm-cm. p = 2 x Pie x a x R p = Soil Resistivity in ohm-cm R = Resistance Observed in Megger in ohm a = Spacing between two Consecutive Pins in cm Readings of soil resistivity shall be plotted as ordinate (using a logarithmic scale) with depth as abscissas on semi logarithm graph paper. At the time of drilling the anode bed bore hole, the bidder shall make necessary arrangements so that the deep soil resistivity of the bore hole can be calculated at regular intervals (not exceeding 10 m) as drilling proceeds downhole.

3.5

Installation of TLPs /Anode Junction Boxes (AJB) / Cathode Junction Boxes (CJB) shall be as per industry standard and complete with all materials as mentioned in the applicable drawings. All electrical conductors/terminals insulators shall be sized as per design requirement. All metal parts, both internal as well as external shall be coated with two coats of anti rust primer followed by two coats of Post office red paint. Nomenclature/Chainage should be printed in black at two locations with clear visibility from a distance. All cables shall have ferrule markings with diagram of applicable connection scheme fixed on the internal surface of the junction box for easy identification.

3.6

Installation of pre-packed galvanic anodes shall be as per industry standard and complete with all materials as mentioned in the applicable drawings. Care shall be taken to ensure that cable jointing area on the head of the anode is properly sealed and not damaged in transit or during installation. Adjustment shall be carried out to ensure that current output from galvanic anode does not exceed the design level.

3.7

Installation Guidelines for Deep Anode Bed  The anode string is to be removed from the shipping crate and laid alongside with the vent pipe. The lower capped end of the vent pipe should be 0.5 m beyond the terminal anode on the string.  The 7-kg bottom weight should be tied to the terminal anode by means of a small plastic line or steel wire. The bottom of the weight should be approximately 3 m below the end of the terminal anode.  The vent pipe, the anode string and the weight are now to be lowered into the borehole. Care must be taken so that the person lowering the anode does not put the load on the cable. For this purpose, the nylon rope supplied along with the anode string must be tied to the end weight and string lowered using this rope.  The protective foam covers are to be removed from the anodes before this.  The anode string and vent pipe bundle is now to be lowered into the borehole. Care must be taken to see that neither the anodes nor the cable rubs against the earth surface or casing head, as this could damage the anode string. Once the anode string and vent pipe are lowered, the electrical cable and nylon rope should be securely tied at the top of the hole.  The carbonaceous backfill is now to be slurried and pumped through the fill pipe into the borehole. Once pumping has commenced it must not be interrupted until all the backfill is in place. By pumping the backfill

from the bottom up in a deep anode system, the problem of voids, contamination, poor compaction and poor settling are avoided. The backfill bed should be allowed to settle for 24 hours before the anodes are energized. Additional carbonaceous backfill should be added to maintain the designed active length. The column above the top of the carbonaceous backfill should be filled with non-conductive, non-abrasive permeable backfill material such as sand or fine gravel. The casing above grade must be provided with a cap to protect the installation and provide security from entry. The casing beneath the cap must be ventilated with 6.35-mm diameter drilled holes to prevent accumulation of gases. The vent pipe is also to be terminated below the casing cap. A one-inch diameter bushing with nylon screen should be filled to the top of the vent pipe to prevent insect entry.

3.8

Cathode cable connection with pipeline shall be using Pin brazing method. After connections to the pipes, necessary coating repairs shall be carried out using epoxy-hardner compound. Cable specification and size shall be as mentioned in the drawing with stranded copper conductor and armoured.

3.9

All cables shall be laid under ground at a minimum depth of 75 cm and protected by 15cm-sand cushion and width wise laying of bricks at top. Suitable size G.I. pipe shall be provided at all road and drain crossings. Road and drain crossings may be undertaken either by open cut or by boring. Necessary surface restoration after laying of cable shall be carried out.

3.10 Earthing shall be as per IS 3043, latest amendment. All equipment operating at 230V, 50 Hz shall be provided with 1 No individual earth connection each and equipment operating at medium voltage shall be provided with 2 Nos individual earth connection each. 3.11 Earth pits (if mentioned in SOR) shall be made at the boundary of the CPTR foundation. The electrodes of these earth pits, which shall be 75 mm dia galvanised Iron perforated pipes, shall be interconnected with G.I. strip of dimension 50mm X 4mm. The earth pit shall use a combination of charcoal and bentonite for better electrical conductivity. At the ground level, the earth pit shall be enclosed on all sides with 50 mm x 50 mm x 125 mm brick work and covered with a RCC slab. 3.12 Logging of Natural, ON and Instant OFF Pipe-to-soil potential. The procedure for the survey shall be as follows  Logging of corrosion/natural potential before connecting galvanic anodes or before energising the ICCP system of the pipeline.  Switching ON of the ICCP stations.  Allowing a minimum of 168 Hrs (7 Days) time for polarisation of the pipelines.  Installation of GPS synchronised current interrupters.  Synchronisation of all CP stations affecting section of pipeline under test. The setting of the interrupters shall be - OFF cycle = 600 mS and ON cycle = 8000 mS.  Setting the drainage point PSP to (-) 1100 mV instant OFF, w.r.t copper-copper sulphate half cell.  Logging of ON and Instant OFF PSP at all TLPs, Valves, Cased crossings etc. Procedure for measurement of ON and Instant OFF potential : 3 Nos. GPS synchronized current interrupter, asymmetrically switching at 8000 mS ON and 600 mS OFF shall be connected in 3 consecutive CP stations. 1 No. The CP station before the 1st interrupter and the CP station after the 3rd interrupter shall be switched OFF to minimize the effect of these CP stations on measurement of the instant OFF readings. The quality of the data generated shall be of highest order and accuracy. OIL shall undertake some random checks in order to ensure the quality of the data generated by the Bidder. Such tests will be undertaken by OIL with equipment and personnel arranged by the Bidder. Such verification will be carried out in the presence of Bidder's representative. In the event of any dispute arising out of quality of data generated through such testing arrangement, OIL reserves the right to reject the entire data generated by the Bidder or accept partially, depending upon the quality of data generated and assessment made by OIL, without any financial responsibility from OIL's side. 3.13 Current Attenuation Test The basic equipment shall consist of a high power low frequency transmitter (4 Hz) and a hand held receiver. The low frequency transmitter signal shall be injected into the pipeline through the Test points. Depending upon the attenuated signal level, if required, temporary connection to the pipeline has to be established for injecting the signal. Accordingly, necessary excavation has to be carried out for exposing the pipeline and coating shall be removed carefully from a small area of 0.15 Sq cm (approx.) of the pipeline surface and required temporary connection suitably made. After completion of the test in that portion, the connection shall be removed and the Page 3 of 12

metallic surface of the pipeline thoroughly cleaned before re-coating with coal tar enamel etc. Back filling shall then be carried out. Before logging the reading, the Test crew shall first locate the exact alignment of the pipeline within the R.O.W (Right of way) to ensure that the receiver is in exact alignment with the pipeline. All readings shall be taken with receiver held at right angles to the pipeline. The current measurement shall be initially done at 20 mtr and then at an interval of 100 mtrs. A current gradient profile and rate of loss of signal profile against distance traversed along the pipeline chainage is to be prepared after completion of each span. Hot spots / poor coating locations are to be adequately illustrated in relation to permanent benchmarks viz. Boundary wall, Test point, OIL marker, Kilometer post etc. so as to facilitate easy identification of the said locations at a subsequent stage during coating repair. Necessary analysis of test data shall be furnished to indicate coating condition for each span.

7.0

IMPORTANT INFORMATION

7.1

Detailed Technical specifications for all major materials (e.g CPTR, Anode strings, TLPs, Kirk cell, Zn anode, Mg Anode etc) shall by submitted to OIL for approval, prior to procurement of the materials.

7.2

TLP locations shown in attached data sheets are indicative and based on existing information. Actual location to be decided based on approachability and in consultation with Site-in-charge.

7.3

Lowering of Anode string shall be undertaken in the PRESENCE OF OIL’S ENGINEER ONLY.

7.4

Documentation and technical data requirement (a) Anode bed bore hole soil resistivity profile (b) Test certificates for Galvanic anodes, Kirk Cells, Permanent reference cells, surge diverters, MMO coated titanium anodes and calcined coke. (c) Operation and Maintenance manual including detailed circuit diagram, parts list and test certificates for Cathodic Protection TR units. (d) All survey reports and system commissioning report (e) As built drawing of CP stations and TLPs The draft report (2 copies) shall be submitted within 15 (Fifteen) days of satisfactory completion of work. Final report (6 copies) in bound form shall be submitted within 15 (Fifteen) days of approval of the draft report by OIL.

7.5

In order to ensure safety and security of the pipeline no area of the pipeline shall be kept exposed after the close of working hours. All excavation, coating removal etc. shall be duly repaired and earth cover restored.

7.6

All electrical works shall be carried out by wiremen and supervisors having valid wiremen/supervisory licence issued by the Electrical licensing board, Assam and in accordance with the latest Indian Electricity Rules.

7.7

The work shall be carried out as per relevant code of practices and in accordance with international standards and specifications. Where the specifications stipulate requirements in addition to those contained in the standard codes and specifications, these additional requirements shall also be satisfied.

7.8

In case of Deep Anode bed only mechanical drilling shall be acceptable. Hand drilling will not be acceptable.

7.9

The bidder shall be responsible for and shall pay for any alterations of the work due to any discrepancies, errors and omissions in the drawings or other particulars supplied by him whether or not such drawings or particulars have been approved by OIL or not. Approval of drawings by OIL will not relieve the bidder from his responsibility of meeting the specification of this enquiry.

8.0

LOCATION OF THE SITE The Duliajan - Numaligarh gas pipeline initiating at Duliajan and terminating at Numaligarh Refinery is a Natural Gas pipeline. Duliajan is a town in the state of Assam with the nearest Airport at Dibrugarh at a distance of around 48 Kms. The nearest Railway station is at Tinsukia at a distance of 25 Km. Numaligarh Refinery is located near the Numaligarh Town at an approximate distance of 190 Km from Duliajan. Detailed ROW drawing, route map etc. shall be provided at the time of signing the contract. All drawings/data/route map/documents supplied by OIL are confidential/classified material and shall not be disclosed to any third party. The above mentioned documentation shall be returned to OIL, after completion of the work, without keeping any copy either by way of Photostat or electronically.

ANNEXURE II GENERAL TERMS & CONDITIONS OF BID

1.0 INTERPRETATION OF BID DOCUMENT 1.1 Should there be any doubt or ambiguity in the interpretations of the bid documents or error, omission or contradiction therein or in any of them, the Bidder shall apply in writing to the Engineer for his decision for resolution of the doubt, ambiguity or contradiction or correction of the error or omission, as the case may be. 1.2 The decision of the Engineer on any application under sub-clause1.1 hereof shall be in writing and shall be final and binding upon the Bidder and shall form part of the Bid document, with the intent that the Bid documents shall be read as though the said decision is and was at all times incorporated therein. 1.3 Any work shown, indicated or included in the job Description, plans, drawings, specifications and / or schedule of rates shall be deemed to form part of the work, notwithstanding failure to show, indicate or include such work in any other or others among the documents aforesaid with the intent that the indication or inclusion of the work within any one of the said documents shall be deemed to be sufficient indication of inclusion of the work within the work covered by the Bid. 1.4 No verbal agreement, assurances or understanding given by any employee or the officer of the Company or so understood by the Bidder , whether given or understood before or after the issue of the bid document, shall in any form bind the Company or alter the Bid document unless specifically given in writing and signed by the Engineer on behalf of the Company and given as an agreed variation to the relative term(s) in the Bid document. 1.5 Special Condition of Contract shall be read in conjunction with the General Condition of Contract, specification of work, drawing(s) and other documents forming part of this contract wherever the context so requires. 1.6 Notwithstanding the sub-division of the documents, into these separate sections and volumes, every part of each shall be deemed to be supplementary to and complementary of every other part and shall be read with and into the contract in so far as it may be practicable to do so. 1.7 Where any portion of the General Condition of contract is repugnant to or at variance with any provision of the Special Conditions of contract, then the provisions of the Special Conditions of contract shall be deemed to override the provisions of the General Conditions of contract and shall be to the extent of such repugnant or variations prevail.

2.0 VALIDITY OF QUOTATION All quotations shall be valid for a period of 180 days from the bid closing date.

3.0 BIDDER'S OBLIGATION Bidder shall in accordance with and subject to the terms and conditions of this Bid document: 3.1 Perform the work and all other obligations which are required by the terms of this Bid document or which reasonably can be implied from such terms as being necessary for the successful and timely completion of the work. 3.2 The Bidder shall supply all materials including consumable, labour, supervisor, tools, tackles, instruments, equipment and other necessary materials to complete the works within the Time Schedule and in accordance with the specifications. 3.3. The Bidder shall provide and will be responsible for wages, salaries, vacation, transportation, bonus, medical charges, insurance, food, accommodation, termination payments, income and other taxes and any other obligations including payments arising out of any legal requirement at no extra charge to the Company for all the personnel deployed by the Bidder. 3.4 Within 7 ( Seven ) days of award of the contract, detailed work program covering commencement and completion schedule of each activity, inspection of works and all other relevant details shall be furnished to the Company for approval. The Bidder must strictly adhere to the work program approved by the Company.

4.0 OIL'S OBLIGATIONS 4.1 The Company shall allow the Bidder access, subject to normal security and safety procedures, to all areas as required for orderly performance of the work. 4.2 OIL shall arrange for clear ROW for carrying out the work without interruption.

5.0 BIDDER'S PERSONNEL 5.1 Bidder shall provide competent , qualified and sufficiently experienced personnel to perform the work correctly and efficiently and shall ensure that such personnel observe applicable Company and statutory safety requirements. Upon Company's written request, Bidder, at his own expense shall remove immediately but not later than 7 (seven) days from the date of issuance of such request, any Bidder's personnel determined by the Company to be unsuitable and shall promptly replace such personnel to the satisfaction of the Company. 5.2 The Bidder shall provide all labours as may be required to perform the work. The recruitment of labours will have to be according to the rates prevailing at the time of employment, which can be obtained from the district authorities of the area. The facilities to be given to the labours should conform with provisions of labour laws as per Contract Labour Act 1970 and such other applicable statutory rules and regulations.

6.0 INSPECTION AND TESTING OF WORKS 6.1 In case of material supply, OIL may at its discretion carry out inspection of the material prior to despatch. Inspection call letter should be sent at least 15 days prior to commencement of final inspection. OIL's representative will carry out inspection of the material in the presence of supplier's representative and a joint inspection report shall be prepared. The supplier shall extend full cooperation and help to OIL's personnel during the inspection. Apart from above, OIL's representative may carry out stage inspection of the material to see the progress, workmanship and conformity of the job with the laid down specifications. All the tests/inspection shall be properly recorded, certified by manufacturer, documented and submitted to OIL. 6.2 The Bidder shall at all times ensure highest standards of workmanship relative to the work and to the satisfaction of the Engineer. The Engineer shall have power to inspect the work at any and all times upto completion of the work. 6.3 The Bidder shall provide all facilities, instruments, material, labour required for testing the quality of the work performed and shall offer to the site Engineer all necessary assistance required to conduct the tests. 6.4 Should the Engineer on inspection or test be not satisfied with the quality of workmanship of the work (the decision of the Engineer being final in this behalf), the Bidder shall re-perform such works at no extra cost to the Company.

7.0 USE OF BID DOCUMENTS AND INFORMATION 7.1 Bidder shall not, without Company’s prior written consent, disclose the Bid, or any provision there of, or any specification, plan, drawing, sample or information furnished by or on behalf of the Company in connection therewith, to any person other than a person employed by the Bidder in the performance of the work. Disclosure to any such employed person shall be made in confidence and shall extend only so far as may be necessary for the purpose of such work performance. 7.2 Bidder shall not, without Company’s prior written consent, make use of any document or information except for the purpose of performing the work.

7.3 Any drawings, plans and maps given to the Bidders shall remain the property of Company and shall be returned (in all copies) to the Company on completion of the work.

8.0 WARRANTY AND REMEDY OF DEFECTS 8.1 The bidder warrants that he shall perform the work in a first class, workmanlike, and professional manner and that all work shall be performed in accordance with highest quality, efficiency, and with all specifications, standard, and drawings set forth or referred to in the Specifications, and with instructions and guidance which Company may, from time to time, furnish to the Bidder. In case of default on part of the Bidder to comply with the foregoing or to conform to the provisions of this specification, the Company shall invoke the performance guarantee and the security deposit will be forfeited. 8.2 The warranty period / defect liability period of one year shall commence from the date of issuance of the completion certificate. Should Company discover at any time during the term of the contract or within one year after issuance of completion certificate that the work does not conform to the warranty, Bidder shall after receipt of notice from Company, promptly perform any and all corrective work required to make the work conform to the warranty . Such corrective work shall be performed entirely at Bidder’s expense. Company, at its option, may have such remedial work performed by others and charge the actual cost thereof to the Bidder, which the Bidder must pay promptly. 8.3 The rights and remedies of company provided by clause 8.0 (of Annexure II) are in addition to any other rights and remedies provided by law or in equity or otherwise.

9.0 LIABILITY AND INDEMNITY 9.1 Except as otherwise expressly provided, neither the Company nor its servants, agents, nominees, contractors or sub-contractors shall have any liability or responsibility whatsoever to whomsoever for loss of or damage to the equipment and/or loss of or damage to the property of the Bidder and/or its servants, employees, irrespective of how such loss or damage is caused and even if caused by the negligence of Company and/or its servants, agents nominees, assignees, contractors and sub-contractors. The Bidder shall protect, defend, indemnify and hold harmless the Company from and against such loss or damage and any suit, claim or expense resulting therefrom. 9.2 Neither the Company nor its servants, agents, nominees, assignees, contractors, sub-contractors shall have any liability or responsibility whatsoever to whomsoever for injury to, illness or death of any employee and/or servant of the Bidder, irrespective of how such injury, illness or death is caused and even if caused by the negligence of Company and/or its servants, agents, nominees, assignees, contractors and sub-contractors. The Bidder shall protect, defend, indemnify and hold harmless the Company from and against such abilities damage and any suit, claim or expense resulting therefrom. 9.3 Except as otherwise expressly provided, neither the Bidder nor its servants, employees shall have any liability or responsibility whatsoever to whomsoever for loss of or damage to the equipment and/or loss or damage to the property of Company and/or its contractors or sub-contractors irrespective of how such loss or damage is caused and even if caused by the negligence of the Bidder and/or its servants, employees. The Company shall protect, defend, indemnify and hold harmless the Bidder from and against such loss or damage and any suit, claim or expense resulting therefrom. 9.4 Neither the Bidder nor its servants, employees shall have any liability or responsibility whatsoever to whomsoever for injury to, illness, or death of any employee of the Company and/or of its Contractors or subcontractors irrespective of how such injury, illness or death is caused and even if caused by the negligence of the Bidder and/or its servants, employees. The Company shall protect, defend indemnify and hold harmless the Bidder from and against such liabilities and any suit, claim or expense resulting therefrom.

10.0 PERFORMANCE GUARANTEE 10.1 The company will deduct 10 % from the Bidder's running bill, as performance guarantee. The performance guarantee shall be payable to the company as compensation for any loss resulting from Bidders’s failure to complete its obligations under the contract. Page 9 of 12

10.2 The Company will discharge the performance guarantee not later than three months following the date of successful completion of Bidder's performance obligations, including warranty obligations as specified in Clause 8.0 (of Annexure II).

11.0 INSURANCE 11.1 The Bidder shall at all times indemnify and keep indemnified the Company and its officers, servants and agents from and against all third party claims whatsoever (including but not limited to property loss and damage, personal accident, injury or death of /to property or person of any servants and/or employee of the Bidder ) and the Bidder shall at his own cost and initiative at all times upto the successful completion of the work take out and maintain insurance policies in respect of all insurable liabilities under this clause including but not limited to third party insurance and liabilities under the Motor Vehicles Act, Workmen's Compensation Act, Fatal Accidents Act, Public Liability Act 1991, Personal Injuries Insurance Act, Emergency Risk Insurance Act, and or other industrial legislation in force in India with Insurance Company(ies) approved by the Company, and such policy(ies) shall be of not lesser limit than the limits hereunder specified with reference to matters hereunder specified namely : a) Workmen's compensation Insurance - the limit to which compensation may be payable under the laws of the republic of India. b) General public liability insurance covering liabilities including contractual liability for bodily injury, including death of persons, and liabilities for damage to property as provided for in Public Liability Act 1991 as per applicable Act. Provided that the limits specified above shall operate only as a specification of minimum limits for insurance purposes, but shall not any way limit the Bidder's liability in terms of this clause to the limit (s) specified. 11.2 Should the Bidder fail to take out and/or keep afoot insurance as provided for in the foregoing sub clause, the Company shall be entitled ( but without obligation to do so ) take out and/or keep afoot such insurance at the cost and expense of the Bidder and without prejudice to any other rights or remedies of the Company in this behalf to deduct the sum (s) incurred thereof from the dues of the Bidder. 11.3 All insurances taken out by the Bidder shall be endorsed to provide that the under writers waive their rights of recourse on Company.

12.0 QUOTED PRICE AND PAYMENT 12.1 Quoted Price a) The price quoted by the Bidder in his quotation shall be treated as the total price for the entire works covered and in accordance with all terms, conditions, stipulations, specifications, requirements and other contents of the Bid document. Wherever it is mentioned in the specifications that the Bidder shall perform certain works or provide certain facilities, it is understood that the Bidder shall do so at his cost and that the quoted price shall be deemed to have included cost of such performances and provisions, so mentioned. b) The quoted price shall be deemed to include all taxes, duties, tools, tackles, consumable, mobilisation, labour, equipment, accessories, materials carriage, cartage, hoisting, setting, fitting and fixing in position of all materials and equipment, disposal of wastage (including de-watering, de-sludging and allied operations at any stage of work) and all other labours and operations necessary whether specifically stated/implied or not, for the full and entire execution and completion of the relative works in all respects according to the contract, of all equipment with related accessories. 12.2 Terms of Payment a)

The Running A/c Bill will be paid as per the existing Rules of the Company, after receiving the duly certified measurement sheet, reports , bills etc. from the Bidder and our site Engineer.

b)

90 % payment shall be released after successful completion of all work related to this contract and after receiving the duly certified measurement sheet, from our site Engineer, and 3 (Three) copies of the bill.

c)

10 % balance payment shall be converted to performance guarantee and shall be released after successful completion of all contractual obligations.

d)

All payments due by Company shall be made at Company's designated bank. will be to Bidders account.

e)

All taxes, duties as levied by the State / Central Government shall be to the Bidder's account.

f)

Payment(s) in connection with the contract shall be made by our Accounts department at Oil India Limited, P.O. Udyan Vihar, Guwahati 781171.

g)

The Company shall make endeavour to make payment within 30 days from the date of receipt of bill by Company .

Bank charges, if any,

13.0 ARBITRATION All disputes or differences whatsoever arising between the parties out of or relating to the construction, meaning and operation or effect of this Bid document or the breach thereof shall be settled by arbitration in accordance with the Rules of Arbitration of the Indian Council of Arbitration and the award made in pursuance thereof shall be binding on the parties. . The Parties shall use their best efforts to settle all disputes, differences or claims arising out of or in connection with this agreement, amicably. If the matter still cannot be resolved, the same will be settled through conciliation as covered herein under. (f) The venue of arbitration shall be Guwahati, Assam (g) Any dispute, difference or controversy of whatever nature between the Parties, howsoever arising under, out of or in relation to this Agreement shall in the first instance be attempted to be resolved through conciliation in accordance with the procedure set forth under the Indian Arbitration and Conciliation Act. 1996. (h) Any Dispute which is not resolved through conciliation shall be finally settled by arbitration as per the provisions of the Indian Arbitration and Conciliation Act, 1996 and under the aegis of International Centre of Alternate Dispute Resolution (ICADR), New Delhi. (i) Pending the submission of and/or decision on a dispute and until the arbitral award is published the Parties shall continue to perform their respective obligations under this Agreement without prejudice to a final adjustment in accordance with such award. (j) The Parties shall keep confidential all arbitration proceedings conducted pursuant to this Clause and all arbitration awards and decisions issued in connection therewith.

14.0 ASSIGNMENT Bidder shall not sub-contract or assign, in whole or in part, its obligations to perform under this Bid.

15.0 TIME SCHEDULE The entire work including submission of draft and final report shall have to be completed within such time as specified in the tender document.

16.0 MOBILISATION TIME The Bidder shall arrange to mobilize his personnel / equipment/ tools etc. to the work site within 7 days from the date of signing of the contract. Transportation, accommodation etc. have to be arranged by the Bidder.

17.0 APPLICABLE LAW / SAFETY The Bidder shall comply with and ensure strict compliance by his employees, servants of all applicable central, State, Municipal and local laws and regulations of any Central, State or Local bodies and authorities and undertakes to indemnify the Company from and against all levies, damages, penalties, any payments whatsoever as may be imposed by reason of any breach or violation of any law, rule or regulations whatsoever and all actions, claims and demands arising therefrom and/ or relative thereto. The Bidder shall take and follow all safety precautions necessary and abide by the relevant rules of safety including explosive rules and regulations . The Bidder shall also take such other additional safety / security measures as may be directed from time to time by the Engineer-in-charge / Site Engineer. The Bidder shall also provide all necessary Safety gadgets for working personnel.

18.0 LIQUIDATED DAMAGE In the event of Bidder's default in timely completion of the work under the provisions of this Bid, the Bidder shall be liable to pay liquidated damages at the rate of 1/2% (half percent) of the total contract price for each week (seven days) of delay till the works are completed, subject to a maximum of 7.5% ( Seven and half percent ) of the total contract price. The Company may without prejudice to any other method of recovery, deduct the amount of such liquidated damages from any amount due to the Bidder.
