Key Information Action Description

Affiliates are to market and promote Sky’s products and services on its Digital Media, so as to generate transactions for the sale of those products . Commission is paid on activated transactions, providing that the sale has tracked through the Affilinet system and validated by Sky. Accordingly, commission is awarded on a last-click basis. This means that a commission will be attributed to the individual affiliate account ID which was the last click in the customer’s transaction journey. Commission is payable providing the sale generated has met the approval criteria.

Validation Criteria

Validation Period

The following criteria defines a validated sale: -

The sale of a product for which commission is applicable (please see the below link for full details https://banners.contentfeed.net/14087/Commission_Sky_products.pdf.)

The product has been activated by and payment received from the customer and validated by Sky.

The sale has been attributed back to the individual affiliate ID on a last-clickwins basis (see further details for channels which sales are de-duped against.)

The affiliate has adhered to all of Affilinet and Sky‘s programme terms and conditions.

Commission is only paid once a product has been validated by Sky. Digital TV orders or TV upgrade products that are not activated within 80 days of purchase will be declined. Digital TV orders that are activated after 80 days since the date of purchase will be declined also. Standalone Broadband, Fibre and Talk orders or upgrades that are not activated within 120 days of purchase will be declined. Standalone Broadband orders activated after 120 days since the date of purchase will be declined also. Commission will only be paid out for Sky Sports or Sky Cinema products for both new and existing (upgrading) customers, providing the customer remains on their contract for 6 months. We will issue the commission owed to the customer 6 months after the transaction date. Sky Trading Ireland: validation based on Sales approved by Sky Ireland. Validations take place every month. Sky validations take place on a monthly basis and validation periods may be altered from time to time. Sales Deletion and Tracking Issues Sales may be declined because of the following reasons (not limited to): • Payment details not authorised • Broadband/telephone issue (i.e. broadband not available) • Active account already at address • Previous account issues

• Payment failure • Incorrect address/details provided • Installation Issues (i.e. date not available) • Unauthorised use of discount codes All sales which are cancelled will use the cancellation reason ‚Pur Affiliates must raise any queries over missing tenancy payments or transactions with Affilinet and Sky within 90 days of the transaction date or start of the tenancy period. Any queries raised more than 90 days after these periods will not be accepted. Any regular tracked cancelled orders cannot be looked into further, as the status will not change. Cookie Period Commission Structure

30 days Standard Affiliate Commission Rates Sky Trading UK Please refer to the commission table in the interface which is regualrly updated. For the avoidance of doubt, Sky does not operate a Bonus Programme for Affiliates.

DeDuplication Policy

Sky de-dupes on a last-click basis across all of the online channels including but not limited to display, email and paid search through DoubleClick. Sky does not, however, de-dupe against their live person tool which appears when a potential customer lands on a Sky page.

PPC (Search Engine Pay Per Click) Affiliates Use of PPC Affiliates

Are affiliates permitted to bid in search engines on brand terms? No, they are not permitted. Only a closed group of invite-only affiliates are permitted. If you feel that you could bring something to this space, please submit your proposal to: [email protected] Are affiliates permitted to bid on hybrid brand + generic terms? Affiliates must not bid on any brand terms in any search engines; this includes any brand and generic terms, misspellings and derivatives of the brand term. Are affiliates permitted to bid on misspellings and variations of the brand term? No. If the merchant has restrictions, please list the exact terms that affiliates are not permitted to bid on. Only generic keywords are permitted to be targeted by affiliates outside of the brand PPC affiliate group. -

All affiliates using PPC search engines must negative match against all Sky brand terms. You must not bid on any terms relating to any competitor of Sky. Brand PPC affiliates must have all ad copy and site links approved by Sky’s team. Brand PPC affiliates must maintain their respective position and negative brand keyword reserved to other closed group. Retention and win back activities are not authorised on Sky brand terms. Brand bidding activity must be separated from Generic & SEO with different affiliate IDs for each. GDN activity is not authorised on Sky brand terms. Exclusive offers cannot be mentioned in Adcopy or your site(s) unless authorised by the Sky Team. If an affiliate is not able to display the offer correctly on the brand bidding landing pages, Sky reserve the right to ask them to reduce their position to benefit stronger partners. The brand bidding landing page should not display competitors and must be submitted to Sky for a preview. Third party call centre usage must be authorised by Sky (see Call Centres/Brokers/Door to Door Salesman section.) If authorised, on the brand bidding landing page, phone numbers are restricted to the header and/or comparison table. No more than 1

phone number is allowed in the header and product package in comparison tables. Font should not be bigger than Arial-14 on header and Arial-9 in a table. Usage must be signed off by the Sky Team first. An offer which is not available at a call centre must be clearly signed posted or the number must be removed altogether. Affiliates must provide regular monthly and quarterly updates on PPC cost reduction and keyword expansion. The affiliate in position 2 is responsible for ensuring that all other affiliates are respecting the rules above. All email lead generated via email capture extension, or from broadband bidding landing must be approved by Sky. All leads must be shared with Sky. Any affiliate not able to respect the rules above will be asked to stop brand bidding and/or to remove phone numbers from their pages. All Brand PPC affiliates will need to adhere to a separate set of commercials and terms, which will be shared on successfully bidding in the quarterly brnad PPC auction .

Is this open to all affiliates or will a closed group be in operation? Brand PPC affiliate closed group only. See above. Are there any variations to the above for Mobile Search? No. URL and ad copy restrictions

Can affiliates use the brand name in their url? Affiliates must not use the Sky brand or any derivatives within the URL unless this has been agreed with Sky first. Can affiliates use the brand name in the sub domain or directory url of their own website? Affiliates are allowed to use the Sky brand in a sub-directory URL, for example: www.affiliatesite.co.uk/Sky

Direct linking restrictions

Are affiliates allowed to send traffic directly to the merchant site from the PPC space in the search engines, using the merchant url as their display url? No. Which search engines does this apply to? All search engines. Is this open to all affiliates or a closed group? No affiliates are permitted to do this.

Branding Branding Guidelines

Do affiliates have to adhere to any branding guidelines, eg referring to the client in certain terms, using particular fonts, including any necessary

information? Affiliates must follow Sky’s brand guidelines at all times. Please refer to Sky Connect: https://sky.affili.net Creative Restrictions

Do affiliates have to display the most up to date logo at all times from the affilinet admin system? Yes. This is available through Sky Connect: https://sky.affili.net All creative must be approved by Sky prior to using. Please leave at least 48 hours for approval. Any affiliates found using out of date or incorrect creative will be suspended from the program. Do affiliates have to pick up creative from the network interface rather than hardcoding it? Affiliates must use creative supplied directly through either the network or Sky. Any banners being used must be served from the network and not hardcoded into the site. PI tracking is used by Sky to identify the PI value of an affiliate and review the effectiveness of partnerships.

Lead Generation and Data Collection

Lead Generation and Data Collection Affiliates are not allowed to use the Sky Brand to collect lead or information on customers unless they obtain prior written approval from Sky. If Affiliates are expressly authorised to process personal data on behalf of Sky, they must comply with Sky’s Personal Data requirements as follows: “personal data”, “controller”, “data subject”, “processing” and “sensitive personal data” have the meanings given to them in Directive 95/46/EC (the “Directive”) and associated local Law. Affiliates must only process personal data in accordance with Sky’s instructions. If your services change such that you process data of a different class (as classified in the Sky Security Standard), then you must notify us at [email protected]. Affiliates must ensure appropriate technical and organisational measures are in place to safeguard against any unauthorised access, loss, destruction, theft, use or disclosure of personal data, including those measures set out in the Sky Security Standard, as amended from time to time. When processing data using tracking technology, you must not reverse engineer, disassemble, decompile, or translate any tracking information such as pixel tags and cookies, or otherwise attempt to derive the source code of the software or the personal identity of the individual associated with the tracked information. Any information so discovered must be promptly disclosed to Sky and is deemed to be the confidential proprietary information of Sky.

Prior to any processing, and annually thereafter, Sky may conduct, at your cost, an assessment of the adequacy of your security arrangements and will confirm to you in writing whether you may process such data in accordance with its instructions. You must promptly on request, and in any event within 30 days after the end of each year of the term of the Agreement, provide Sky with certification, from an officer of your organisation, of your compliance with this rule. Failure to provide such certification entitles Sky, without prejudice to any other Sky rights/remedies, to immediately suspend and/or terminate the processing of personal data and/or terminate the Agreement for material breach. Before you process any data that is classified as Level 1 data in Appendix 4 of the Sky Security Standard, you must obtain and maintain annually at your own cost, a certificate of compliance with the Sky Security Standard from one of Deloitte, Ernst & Young, PricewaterhouseCoopers, KMPG, or an auditor approved by us. On termination, you must immediately cease to process data and arrange for its safe return or secure destruction, as instructed by us. You grant us the right, following termination of the Agreement, to audit and inspect your and any subcontractors’ compliance with our instructions. You must immediately notify us at [email protected] of any accidental, unauthorised or unlawful access, loss, destruction, theft, use, disclosure or alteration of personal data or any other non-compliance with the Agreement (a “Data Breach”). giving detailed reasons for the Data Breach and, at no additional cost to Sky, take steps to mitigate the risk and provide any assistance that may reasonably be required by us. If you receive any requests or communications from data subjects, data protection regulators or any other law enforcement body, you must immediately pass the requests to us so that we can respond. You must, at no additional cost, promptly provide us with any assistance that we may reasonably require, to enable us to respond. If you wish to appoint a sub-contractor or process or transfer personal data outside the European Economic Area, you may only do so under unamended EC-approved model clauses for cross-border transfers of personal data (as set out in Decision 2010/87/EU) or substantially equivalent terms. You must (a) ensure there is a written contract in place which is on terms that are the same or substantially similar to the terms set out in the Agreement and Sky is a named third party beneficiary to the contract (for the purposes of the Contracts (Rights of Third Parties) Act 1999 (the “Third Party Act”)); and (b) the sub-contractor contract terminates automatically on expiry or termination of the Agreement for whatever reason; and (c) you have received our prior written consent to the appointment. Your employees or approved subcontractors must have undergone (and receive ongoing) training in data protection principles and the handling of personal data. You must not divulge any personal data to any person, firm or company, unless disclosure is required by statute, and then, only after you have notified us of the intended disclosure. Without affecting any other provision of the Agreement, a breach by you of any provision of this rule, constitutes a material breach of the Agreement and

you hereby indemnify the Indemnified Entities against all threatened or actual Loss suffered by or brought against them in connection with a breach by you of this rule.

Copy Compliance

Are there any copy regulations that affiliates have to adhere to? The Affiliate shall comply with all instructions and guidelines Sky or the network may issue in due course, in respect of the presentation and/or display of marketing communications. The Affiliate must correct any errors immediately and at its own expense. The Affiliate must remove any copy or marketing immediately on the request of Sky or the network. Affiliates must only use copy that is provided by Sky through the network. Copy from the Sky website can be used but must be monitored daily to ensure it is up to date. It is the Affiliate’s responsibility to ensure that they accurately promote Sky’s products and services. The Affiliate must act in accordance with all applicable laws, regulations and codes of practice including (but not limited to): • The British Code of Advertising, Sales Promotion and Direct Marketing; • BERR Pricing Practices Guide (Guidance from Traders on good practice in giving information about prices); • The Consumer Protection from Unfair Trading Regulations 2008; • Data Protection Act 1998 (as amended from time to time); • E-commerce regulations; • Distance selling regulations; • Privacy and Electronic Communications Regulations; What is the turnaround time expected on any changes and what notice will be given? Affiliates will be provided with a full manual of content and will be informed when new content is available (usually, but not restricted to, every Wednesday/Thursday). Affiliates have until 10am on Friday each week in order to update copy. Affiliates will be audited on a weekly basis to ensure that materials are updated within the required timeframe. Any affiliate found using incorrect offers or creative will be suspended from the program. Sky requires 5 working days to provide authorisations as a general indication, subject to change and dependant on the scale of each submission.

Deeplinking

Are affiliates permitted to deeplink to specific pages on the merchant site? Yes, but they are only allowed to use the links that have been provided by Sky. If a publisher is interested in pushing an offer that is not provided specifically for affiliates, they will need to request this via the network. Sky and affilinet will then decide if the affiliate is allowed to promote the offer or not.

Affiliates are not permitted to create their own deeplinks. Offers

Are affiliates permitted to advertise any offer from the Sky site? No, affiliates are only permitted to advertise the offers they receive in Wednesday’s newsletter and/or the ones included in the hub: https://sky.affili.net Offers that have been agreed directly with the affiliate from the network or Sky should take precedence over the other offers in the newsletter or Sky Connect.

Does Sky have a mobile optimised website? Yes Are mobile sales tracked/paid out to affiliates? Yes, at the same commission rate as desktop. Does the mobile site run on the same domain as the main Sky site? Yes. How are users redirected? It is responsive based on device. Is affilinet tracking on this site? Yes. Does Sky have a mobile app for purchasing Sky products? No

General Regional restrictions

Are there any regions or territories that affiliates are not permitted to target? Sky TV is only available to UK and ROI customers. Affiliates should not promote these services outside of the applicable regions, and those wishing to sell to the Republic of Ireland should register for the ROI programme

What are the consequences of any affiliate breaking Ts and Cs? Any affiliate found in breach of these rules will be immediately suspended until the breach is investigated. Should activity deilberately be proven to be in violation of these rules, then Sky has the right to immediate termination and the Affiliate will be immediately ejected from the programme, with no payment of commissions for transactions completed during the time of the breach.

Indemnity

The Affiliate must indemnify Sky from and against all costs, claims, damages, losses, liabilities and expenses (including, but not limited to direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis)) and all other reasonable professional costs and expenses that Sky suffers or incurs arising out of or in connection with the Affiliate’s default or breach of any of its obligations under this agreement or by a sub-affiliate. This also applied to the Affiliate’s or sub-affiliate’s negligence or breach of statutory duty. Neither party excludes or restricts liability for death or personal injury

resulting from its own negligence or fraudulent misrepresentation. Off Set

Sky may off-set any amount the Affiliate owes Sky (for example under the reclaim of a cancelled sale) against any commission Sky owes to the Affiliate.

Complaints

The Affiliate must assist Sky and/or the networks to effectively manage any consumer or regulatory complaints to resolution. Affiliates must respond to Sky’s requests within 1 working day.

Use of Ad Networks

Affiliates should not use Ad Networks to send traffic directly to Sky. Any affiliates using Ad Networks to drive traffic to their own Sky landing pages should contact Affilinet or Sky and provide details on which Ad Networks are being used, what policies are in place to monitor and manage where ads appear and finally to discuss which sites should be blocked from serving Ads. Failure to do so may result in commissions being declined or being removed from the affiliate programme. Affiliates are strictly forbidden from using their own Ad networks to drive traffic directly to Sky. Any sites who wish to do this should get in contact with either Sky or Affilinet to gain permission beforehand. Any site which is given permission must list all sites within their Darwin profile and notify Affilinet or Sky when new sites are added or removed. Failure to do so may result in commissions being declined or being removed from the affiliate programme.

Call Centres/Brokers/Doorto-Door Salesmen

Call centres, brokers or door-to-door salesmen are not permitted to promote Sky through the affiliate programme. Any affiliate found to have been engaging in this activity may have their affiliate status terminated within the programme and/or their payments declined or retracted.

Sky employees, Installers and Authorised Independent Businesses

Sky employees, installers and authorised independent businesses must not use Sky affiliates as sub-affiliates to promote Sky services on affiliate partners’ sites, or offer a call centre service to those affiliates. All Sky installers and independent businesses which are found to be using Sky affiliates as sub-affiliates may have their affiliate status terminated within the programme and/or commissions being declined or retracted. Unless authorised by Sky, affiliates are not permitted to provide a call centre service either in-house or using a third party.

Authorised Call Centres and/or Affiliates Working in Partnership with an Authorised Call Centre

Phone numbers displayed on brand bidding landing pages must have a reduced visibility (reduced by size and quantity). All telephone numbers must be signed off by Sky prior to usage. Offers which are unavailable at a call centre must be clearly signed posted or the number must be removed entirely. Font should be no bigger than 52 pixels on a header and 14 pixels in a table. Usage must be signed off by the Sky Team.

Reporting and Quarterly planning

At Sky or the network’s request, the in-house Affiliate must provide quarterly plans and performance report on its promotional activity. Quarterly response to brief including media planning and bottom up

targets required 16 weeks before quarter start. Quarterly performance review to be delivered during face 2 face meetings. Intellectual Property

The Affiliate shall not discredit Sky’s trade names, characters, logos or trade or service marks (the Marks) or any 3rd party Marks. The Affiliate must not use the Marks outside the UK, ROI, Channel Islands and Isle of Man or use the Marks to promote other products and services. The Affiliate shall not bring Sky, its products and services or the Marks into disrepute. You must ensure that you do not infringe the intellectual property rights of any third party.

Digital Media Maintenance

Affiliates are responsible for developing, operating and maintaining the Affiliate Digital Media and for all Advertising Materials that appear on it. In particular, but not limited to the proper functioning and maintenance of all hyperlinks to Sky‘s Digital Media

Representation Restriction

The Affiliate agrees that it shall not make to anyone any representation or commitment about Sky, the Sky Digital Media or any of the products or services available to be bought on from Sky.

Tenancy Monitoring:

All affiliates running display-based tenancies must implement PI tracking into the display creative in order for Sky to effectively monitor the impact of the activity. Failure to do so may affect Sky's ability to pay the tenancy in full.

Tenancy Payments:

Affiliates must raise any queries over missing tenancies, bonuses or transactions with Affilinet and/or Sky within 3 months of the transaction date or start of the tenancy period. Any queries raised more than 3 months after this time will not be paid. The merchant agrees, wherever possible, to provide affiliates with at least 14 days’ notice for changes to the Programme and 30 days’ notice for significant changes. Such changes are to be agreed and implemented within the stated timeframes. Examples of significant changes include, but are not limited to, commission changes of more than 25%, alterations in de-duplication criteria and programme closure
