Her practice focuses on tax law, with particular expertise in affordable housing, partnership law, nonprofit law, and equity financing of partnerships and limited liability companies. She has represented investors, syndicators and developers and provided tax structuring advice in hundreds of tax credit transactions, including mixed-income projects, mixed-use projects, assisted living projects, single room occupancy projects for homeless individuals, mixed-finance public housing and HOPE VI projects, projects which are financed by a combination of Low-Income Housing Tax Credits (Federal and state) and Historic Rehabilitation Tax Credits (Federal and state), and projects financed by the New Markets Tax Credit. Ms. Crosby also provides general partnership and corporate tax advice on a range of issues, including choice of entity, tax-exempt entity formation and maintenance, tax-deferred exchanges of real estate, and state tax. Ms. Crosby is an active member of the ABA Forum for Affordable Housing and Community Development, where she co-chaired the Forum's bi-annual conference held in Newport, RI, in October 2009, co-chaired the low-income housing tax credit committee from 2008 through 2010, is currently serving on the governing committee, and was conference co-chair for the annual conference held in Washington, DC, in May 2011. in housing transactions, including multi-family housing sponsors, developers, and underwriters. He represents governmental issuers (both as bond counsel and issuer counsel), LIHTC syndicators, developers (for-profit and non-profit), underwriters, banks, trustees, lenders and credit providers. Lewis has also worked with White House officials on federal housing regulations. Multiple HUD, tax credit, bond and other program requirements often result in very complicated financial and legal structures; Lewis views these challenges as opportunities to build real partnerships among all the stakeholders in affordable housing transactions. Lewis recently acted as developer’s counsel in an innovative transaction that will rebuild an affordable housing complex destroyed by a tornado in 2013. Working with an array of local, state, and federal officials, including the Kentucky Housing Corporation and the U.S. Department of Housing and Urban Development, the effort won the attention of the Clinton Global Initiative. Prior to 2008, Lewis was chief counsel at the Kentucky Housing Corporation. Lewis is active in the community. He serves vice chair of the board of the Northern Kentucky Area Development District (NKADD) and also serves on the board of the Northern Kentucky Community Action Commission. A native of Cuba and a resident of South Florida through his teenage years, Lewis is fluent in Spanish.

Mark Shelburne joined Novogradac & Company LLP’s consulting practice in January. He is based in Raleigh, N.C., but works nationally. Previously Mark was in-house counsel for the North Carolina Housing Finance Agency, where he coordinated the Qualified Allocation Plan, initiated award-winning programs, testified before Congress, worked with many housing finance agencies, and wrote a book on LIHTCs. His expertise includes supportive housing, allocation policy, IRS compliance, program innovation, and fair housing. He consults with state agencies, local governments, equity providers, lenders, attorneys, and developers on these and other topics. Mark has degrees in law and city & regional planning from UNC-Chapel Hill.
