Editorial Innovating for Sustainability In launching Singapore’s third Green Building

Masterplan on 1 September 2014, the authorities called on industry players to push the envelope in designing and building greener buildings. Green buildings reduce harmful impact to our environment and help save energy, increase comfort for occupants and create healthier environments. To accelerate the adoption of green technologies, the government has set up an integrated research and development hub, the Green Buildings Innovation Cluster, of which Keppel Land is one of the pioneering partners (see story on page 20). Societal demand for sustainable products and services is fast transforming our competitive business landscape. By treating sustainability as a goal for innovation today, early movers will develop competencies and competitive advantages to edge out rivals. A recent Harvard Business School study showed that companies that innovate to achieve improvements in material environmental, social and governance (ESG) issues can simultaneously advance their financial and ESG performances. Keppel is no stranger to sustainability-driven innovation and was recently acknowledged by several international benchmarks for driving sustainability in its businesses (see story on page 8). Across our business units, we have introduced innovations with sustainability at the heart and that make good business sense at the same time. Our offshore rigs are designed to exceed international standards on health and safety as well as environmental protection. The KFELS SSDT™ semi drilling tender and KFELS Super A Class harsh environment jackup rigs incorporate zero discharge systems that treat mud and sludge slops from drilling operations, thus minimising environmental pollution.

Keppel Land recently partnered Royal Philips on an innovative scheme to replace its conventional office lamps with energy-efficient LED lighting. Under the scheme, no upfront capital from Keppel is required, and cost savings in energy consumption will be shared between the parties, and eventually enjoyed also by tenants (see story on page 21). The newly completed Keppel Datahub 2 in Tampines employs green features, such as the Dynamic Rotary Uninterruptible Power Systems (DRUPS) that replace traditional battery-powered systems to reduce chemical waste, as well as the Customised Data Centre Infrastructure Management (DCIM) system that monitors and improves overall energy and water efficiency (see story on page 12). In developing more of such innovations, we will need to peer through our sustainability lens and challenge conventional wisdom on how business is conducted. Behind many innovations are inventors who have gone beyond the status quo to make lasting changes. Bell Labs, the company which invented the first practical silicon solar cell, had questioned whether it could harness the sun’s abundant energy. Coors, the brewery which invented the first recyclable aluminum can, had questioned if it could contribute towards promoting a cleaner, greener landscape. Good business and sustainable practices go hand in hand. By acting entrepreneurially to meet our customers’ immediate needs, and combining the sustainability perspective to innovate for longerterm good, we will shape a more sustainable future for our business and for generations to come.

Deal for Marina Bay Financial Centre Tower 3 Keppel Land, through its wholly-owned subsidiary, Bayfront Development Pte Ltd, has entered into a conditional share purchase agreement with RBC Investor Services Trust Singapore Limited as trustee of Keppel REIT, for the sale of its onethird shareholding interest in Marina Bay Financial Centre Tower 3 (MBFC Tower 3) to Keppel REIT. The agreed value for the property is $1,248 million or $2,790 psf, inclusive of a five-year rental support of up to an aggregate amount of $49.2 million. The agreed value is in line with Keppel Land’s independent

valuation by Colliers of $1,245 million as at 28 August 2014, as well as Keppel REIT’s independent valuations by Cushman and Savills of $1,281 million and $1,276 million respectively as at 18 August 2014. Mr Ang Wee Gee, CEO of Keppel Land, said, “Over the course of the year, we have seized opportunities to unlock value in our portfolio and redeploy our capital to deepen presence in our core markets and opportunistically enter into new ones. The timely divestment of MBFC Tower 3 will further strengthen Keppel Land’s financial

position and also enable us to pursue opportunities in new commercial developments. The purchase consideration, which was negotiated on a willing-buyer and willingseller basis, has been reached at $710.1 million (subject to completion and postcompletion adjustments). Keppel REIT Management, the Manager of Keppel REIT, intends to fund the acquisition o f t h e t w o - y e a r- o l d M B F C To w e r 3 w i t h (i) part payment by way of issuing Keppel REIT Units to Keppel Land, (ii) net proceeds from the

placement of 195,000,000 new Units at the issue price of $1.17, (iii) part of the sales proceeds from the divestment of the 16-year old Prudential Tower, and (iv) additional borrowings. MBFC Tower 3 is a 46-storey Grade A office tower with ancillary retail space. The office tower is part of Marina Bay Financial Centre, a landmark integrated development with a prime w a t e r f ro n t a d d re s s a t Singapore’s new financial district, and comprises three premium Grade A office buildings, luxury apartments and a subterranean retail mall.

greater pricing power as we expect that the occupancy rate at core CBD area to continue to improve on the back of tight supply over the next 12 to 18 months.

Marina Bay Financial Centre Tower 3

Ms Ng Hsueh Ling, CEO of the Manager, said, “Singapore, supported by positive economic fundamentals, continues to be a soughtafter destination for businesses and multinational corporations seeking to deepen and expand their presence in the fast-growing Asian region. “MBFC Tower 3, with its excellent location and premium office building specifications, will be a strategic addition to Keppel REIT’s portfolio. “The acquisition o f M B F C To w e r 3 and the divestment of Prudential Tower will enhance and transform Keppel REIT’s portfolio in terms of age and quality of assets, as well as improve the portfolio property fundamentals to ensure long-term sustainable income to Unitholders.” The transaction will yield for Keppel Land a

net divestment gain of about $95.5 million upon completion, derived after deducting the book value of the investment and excluding gain arising from K e p p e l L a n d ’s 4 4 . 9 3 % effective interest in Keppel REIT. On a pro forma basis, had the divestment been effected on 31 December 2013, Keppel Land’s net tangible assets per share would have increased from $4.52 to $4.58. The company’s gearing ratio would improve from 38.3% as at 31 December 2013 to about 29.1% post divestment. Post-acquisition, Keppel REIT is expected to have an aggregate leverage ratio of approximately 43.8%. Approximately 93% of Keppel REIT’s Singapore portfolio will be located within the prime Raffles Place and Marina Bay financial precincts.

Mr Ang added, “We are also on track to grow our fund management business. The addition of MBFC Tower 3 will increase Keppel REIT’s assets under management to over $8.1 billion, entrenching its position as the leading landlord of premium Grade A buildings in the Raffles Place and Marina Bay precincts.” Following Keppel REIT’s announcement of the proposed acquisition, rating agency Moody’s issued a report that it expects MBFC Tower 3 to “improve the quality of the trust’s property portfolio and enhance income diversification.” Moody’s has also reiterated that the acquisition has no immediate impact on Keppel REIT’s rating of Baa2 with stable outlook. M r A l a n G re e n e , V i c e President and Senior Credit Officer of Moody’s, said, “We expect Keppel REIT will reap the benefit of having

“While we foresee this acquisition as adding slightly to the trust’s leverage, we expect the leverage ratio to remain under 45%. Furthermore, Keppel REIT’s strong interest coverage of over 4 times and its proven proactive debt refinancing minimises refinancing risk for the next 12 to 18 months providing comfort at this rating level.” Moody’s stable outlook on Keppel REIT reflects the trust’s ability to continue to generate stable cash flows from its portfolio, driven by steady occupancy levels and positive rental reversions. The outlook also incorporates the rating agency’s expectation that Keppel REIT will maintain its financial discipline when pursuing growth and keep its credit profile within targeted parameters. The acquisition, consideration Units to be issued to Keppel Land as well as the whitewash resolution are subject to the approval of Unitholders of Keppel REIT at an extraordinary general meeting. keppelite

Keppel to acquire 10% interest in Golar Hilli Keppel Shipyard is also finalising contracts to take on a second Floating Liquefaction Vessel (FLNGV) conversion for Golar. KSI Production Pte Ltd (KSI), an indirect whollyowned subsidiary of Keppel Corporation, entered into a sale and purchase agreement on 4 September 2014 to acquire 10% shareholding interest in the total registered issued share capital of Golar Hilli Corporation (Golar Hilli) from Golar GHK Lessors Limited (Golar GHK) at a cash consideration of US$50. Golar Hilli is the owner of the Moss LNG carrier HILLI, which is scheduled to be converted into a FLNGV by Keppel Shipyard, as announced on 3 July 2014. Both Golar GHK and Golar Hilli are subsidiaries of Golar LNG, with Golar GHK currently being the sole shareholder of Golar Hilli. The acquisition strengthens the alignment of strategic

interests between Keppel Shipyard and Golar LNG, reflecting Keppel’s confidence in the prospects of Golar Hilli, the world’s first FLNGV conversion project. Moreover, Keppel believes that this investment will provide an attractive riskadjusted return. In connection with the acquisition, KSI entered into a shareholders’ agreement with Golar GHK and Golar Hilli on the same day, which will take effect upon the completion of the acquisition. The shareholders’ agreement governs the relationship between Golar GHK, Golar Hilli and KSI with respect to the conduct of the business to be undertaken by Golar Hilli. This includes seeking opportunities and entering into agreements relating

to the deployment and use of the HILLI for natural gas liquefaction projects. Under the terms of the shareholders’ agreement, Golar Hilli may issue cash calls on a pro rata basis to shareholders for future funding requirements for the construction, deployment, and commissioning of HILLI based on the anticipated budget limit of US$1.3 billion including contingency. SECOND FLNGV CONVERSION Keppel Shipyard has announced that it is in the process of finalising contracts with Golar Gimi Limited (Golar Gimi), a subsidiary of Golar LNG, to perform the conversion of a second Moss LNG carrier, the GIMI, into a FLNGV. The FLNGV conversion of HILLI contract awarded to Keppel Shipyard on 3 July 2014 included options for another two similar units. The forthcoming conversion award of the GIMI will mark the exercise of the first of these two options.

Keppelite I September 2014

The work scope for Keppel Shipyard in converting the GIMI is expected to be similar

to that for the HILLI. Keppel Shipyard will be responsible for the provision of the design, detailed engineering and procurement of the marine systems and all of the conversion-related construction services. It is also expected that Keppel Shipyard’s scope will include engaging Black & Veatch to provide design, procurement and commissioning support services for the topsides and liquefaction process. Once again, Black & Veatch’s established PRICO® technology is expected to be selected for the liquefaction process. Mr Michael Chia, MD (Marine & Te c h n o l o g y ) , K e p p e l O&M, said, “We are happy that Golar LNG is looking into their second FLNGV conversion, and is finalising discussions with Keppel Shipyard to perform this second conversion. We look forward to the opportunity to collaborate once again with Black & Veatch, our trusted partner for the first conversion, on this potential second project. We are confident that together with Black & Veatch, we will be able to perform this second conversion to the

high standards expected of us. “This advanced discussion for the conversion of the GIMI, which follows just two months after the first firm contract with Golar Hilli, is testament to the industry’s positive reception to FLNGV conversion solutions and its potential to bring small and mid-scale Liquefied Natural Gas (LNG) to market, ahead of other competing solutions.”

The Hilli, a Moss Liquefied Natural Gas (LNG) carrier, successfully sailed into Keppel Shipyard’s Benoi Yard on 8 September 2014, where it will undergo the world’s first-of-its-type conversion into a floating liquefaction vessel

The execution of a firm contract for the conversion of the GIMI is expected by October 2014. keppelite

A lower energy future Keppel Land has partnered Royal Philips (Philips) to replace its existing conventional office lamps with energy-efficient LED lighting on a zero capital expenditure (capex) scheme to reduce energy consumption in its office premises by up to 60%. This marks the first time Philips has embarked on such an initiative in Singapore for office buildings. The agreement was signed on 9 September 2014 between Mr Tan Swee Yiow, President (Singapore) of Keppel Land, and Ms Harjit Gill, CEO (ASEAN and Pacific) of Philips, in the presence of Mr Ang Wee Gee, CEO of Keppel Land; Ms Ng Hsueh Ling, CEO of Keppel REIT; Mr Frans van Houten, President and CEO of Philips; and Mr Lam Siew Wah, Deputy CEO (Industry Development), BCA. Committed to promoting green practices among tenants, Keppel Land and Keppel REIT have also extended this scheme to their tenants. Formalising interest in this initiative, tenants from Bugis Junction Towers, namely Cathay Pacific, PremierWills and REC, and The Swatch Group from Keppel Bay Tower, signed a memorandum of

understanding with Philips on the same day.

to play a bigger role in the green building movement.”

U n d e r t h e z e ro c a p e x scheme, Philips will offer LED lighting solutions with no upfront capital investment required. The cost savings from the lower energy consumption from the LED lighting will be shared between the parties for an agreed time period, and thereafter enjoyed by Keppel and its tenants.

When all the tenants at Keppel Bay Tower and Bugis Junction Towers come on board, overall energy savings are expected to amount to 1.5 million kWh, which translate to cost savings of $400,000 per annum. This savings quantum is equivalent to the energy required to power about 250 five-room HDB apartments in Singapore for one year.

Mr Lam said, “We are heartened that Keppel Land is working with its tenants to reduce energy usage in its properties. As tenants contribute to nearly half of a building’s total energy consumption, t h i s j o i n t e ff o r t a n d commitment by both landlords and tenants to reduce energy usage and adopt energy efficiency measures can enhance the total building’s energy performance significantly.”

Mr Ang said, “We believe this is the first time that a landlord has worked out a scheme with a lighting vendor to offer a solution to replace existing lightings in office premises without upfront cost to tenants. We encourage all our tenants at Keppel Bay Tower and Bugis Junction Towers to join us in our green journey as we continue to improve our environmental performance. We hope to eventually roll out this scheme to all the buildings under the Keppel Land group. ” Concurring, Ms Gill added, “The launch of this first c ommerc ial z e ro -cap ex lighting model is a significant milestone for both our businesses, and we thank Keppel for supporting our vision as we work towards fulfilling BCA’s third Green Building Master Plan and encourage building tenants

(App)lication to everyday life Keppel Offshore & Marine (Keppel O&M) taps on technology to make everyday life at the workplace safer and more convenient for Keppelites. Until recently, whenever Victor Chan, Planning Engineer at Keppel FELS, left his office to catch the company bus at the end of the work day, he would have to give himself ample time to locate the right bus. The buses which ferry employees home have different routes and destinations, and wait at designated spots around Keppel O&M’s main building depending on their arrival times. To find out where t h e b u s e s a re p a r k e d , passengers like Victor had to refer to a whiteboard in the lobby of the main building. Seeking to streamline this daily routine and eliminate potential safety hazards that Keppelites may face when boarding the buses, a team comprising Keppel FELS Human Resources, Keppel O&M Group Information Systems (GIS) and Keppel O&M security officers came up with a simple yet impactful solution – a phone application, or app, that allows users to check bus routes and s c h e d u l e s , a n d re c e i v e real-time updates of bus

Since the progressive roll-out of the app from June 2014, it has been downloaded by over 700 Keppelites from Keppel FELS. Regardless of where in the yard they may be, Keppelites are now able to access bus information in a safe and timely manner. For Victor, the app has made

He shared, “The user interface is good and I also like how the app updates us on the status of the bus so that we no longer have to wait under the sun or rain if the bus does not arrive at its usual time. A chinese odyssey The Chinese proverb “十 年磨一剑” literally means “it takes ten years to forge a good sword”, and is often cited as an analogy for how persistence is the key to success. In the case of Ms Dawn Tan, GM at Tianjin Serenity Cove, ten years in China with Keppel Land has helped hone her operational expertise and instincts, enabling her to take on the challenges of growing Keppel Land’s Chinese presence. Drawn by China’s vast business opportunities and rapid development, Dawn arrived in Kunming, Yunnan province, in 2004 as Financial Controller of the Spring City Golf & Lake Resort, a joint venture project between a foreign consortium led by Keppel Land and the local county government. Other than overcoming the language barrier – especially difficult when it came to technical terms – Dawn’s toughest challenge was dealing with various stakeholders for consensus to ensure the smooth operations and development of the project. “At the early stage of the Kunming project, the local

government was undergoing leadership changes, which affected the decision-making processes of the joint venture company. Undeterred and recognising the importance of guanxi (networks of influence) in Chinese culture, the team proactively engaged its partners to establish good rapport and trust,” Dawn recounted.

Moving from city to city, Dawn adapted not only to distinct climates, dialects and local customs, but also to different job scopes and responsibilities. “Through my stint in Zhongshan, I gained insights into the marina industry which was a completely new facet of Keppel Land’s operations for me.

After six rigorous years in Kunming, Dawn was transferred to Keppel Land’s integrated marina lifestyle development in Zhongshan, Guangdong province, where she served as Finance Director for two years. She then packed her bags again for Northern China, where she has led the development of Tianjin Serenity Cove since 2012.

“ C u r r e n t l y, a t T i a n j i n Serenity Cove, I’ve been exposed to China’s property development business – a complex and volatile market. The learning curve has been steep with each transition, but by constantly stretching myself, I’ve had opportunities to broaden my skillsets in ways I never thought possible.”

With a decade’s worth of experience across different Chinese regions under her belt, the gregarious Dawn continues to relish living and working in an immense, dynamically modern yet richly historical country, and has made many local friends along the way. Asked for tips on befriending locals, Dawn proffered, “ Ch atti n g i n the loc a l language is the best way to break the ice with locals. And of course, nothing beats sincerity. Even if you mess up the pronunciation, persist with sincerity and people will appreciate the attempt!” keppelite

Embrace, engage, evolve Gathering more than 350 Keppelites in finance functions across the Group, the Global Finance Managers Conference 2014 (GFMC 2014) was a robust two-day exchange for participants to hone their expertise while bonding with colleagues across the Group from 21 to 22 August 2014 at the Mandarin Orchard. Themed “Embrace, Engage and Evolve,” GFMC 2014 encompassed diverse topics such as ethics, the macroeconomic environment and financial reporting, allowing Keppelites to sharpen their skills and expand their capabilities. In his opening remarks, Mr Chan Hon Chew, CFO of Keppel Corporation, rallied his audience to embrace changes, remain engaged with and committed to Keppel’s goals and core values, and stay relevant even as roles evolve.

Urging Keppelites to incorporate the insights gained into their everyday work, Mr Paul Tan, Group Controller of Keppel Corporation, said “Only when knowledge comes with action will it give us power to emerge stronger and push the boundaries of our performance.” Lasting bonds While many formed new friendships, others enjoyed reunions. Lubov Cekova, Chief Accountant, Keppel FELS Baltech, first met Ikumi Niina, GM of Accounting/ Finance Division, Regency Steel Japan, during the 2012 edition of the conference, where they easily struck up a friendship.
