Sample Contracts and General Agency Documents Intellectual Property License This Document contains sample wording for contracts and documents to be used in running an Agency. They are generic documents - that is they are not specific to any sector of the Industry - and may not, therefore be suited to your needs without modification. The wording of the contracts and other documents is offered to you freely, and you may use it for your own purposes only in the context of your own business. You may not sell it, or give it to a third party, or otherwise dispose of it for the use of other people. You may not change it in any way except to add additional clauses in the appropriate spaces. You may copy the contracts and documents for your own use, and may enter them onto a computer word processor for the purposes of reproduction and the addition of Names etc. However if you duplicate them in any way you MUST also reproduce the Copyright notice at the foot of each contract. Sample Sole Agency Contract

Contract for Sole Agency Representation AN AGREEMENT made the [Day Number Here] day of [Month Here] [Year Here] between (hereinafter referred to as "The Artiste") of the first part and of (hereinafter referred to as "The Agent") of the second part. IT IS NOW AGREED AS FOLLOWS: 1) THE ARTISTE hereby appoints The Agent to be the sole and exclusive Agent, negotiating the disposition of the Artiste's services as Recording Artiste, Songwriter, Scriptwriter, and activities for Films, Stage, Radio, Television and the entertainment business generally for a period of ONE YEAR from the date hereof provided that The Agent shall have the option of extending this agreement (save as to this option) by a further period of ONE YEAR upon giving to The Artiste not less than Three Months notice in writing prior to the expiry of the present term. 2) THE AGENT shall use every endeavour to negotiate agreements for The Artiste in those branches of the entertainment field for which The Artiste is suited by reason of his talent and ability. 3)

THE ARTISTE shall:

a) Not employ or use anyone else to act as their Agent, but may appoint or continue to use the services of a Manager or personal representative during the period of this agreement or any extension thereof, providing only that all engagements will be confirmed and contracted by The Agent, and the full commission paid on all engagements.. b) Give The Agent immediate notice of and refer to them all enquiries for his services and inform such enquirers that The Agent is his sole Agent. c) Unless prevented by unavoidable cause fulfil to the best of his ability and skill all engagements negotiated by The Agent on the Artiste's behalf pursuant to this agreement. 4) ALL MONIES due to The Agent shall be paid in full within 7 (seven) days of their falling due. The Agent reserves the right to levy a charge of % per month on all overdue accounts. 5) NOTWITHSTANDING the determination of this agreement The Agent shall be entitled to its remuneration as aforesaid in respect of all engagements, contracts or bookings contracted or negotiated by The Agent prior to such determination on behalf of The Artiste for the services of The Artiste and duly completed by The Artiste. 6) IF DURING the term of this agreement The Artiste shall fail or be unable to carry out his obligations hereunder whether by reason of mental or physical disability or otherwise then the term of this agreement shall be automatically extended by a period equivalent to the period or aggregate of periods of such failure or inability. 7) THE AGENT shall have the right to assign the benefit of this agreement to any third party, firm or corporation, but shall be liable to The Artiste in respect of its obligations hereunder. 8)

IT IS hereby agreed that The Agent shall receive from The Artiste remuneration in the sum of percent of the Total Gross Income of The Artiste from all sources in connection with The Artiste's services in the entertainment industry. Sample Management Contract - Single Artistes

Contract for Artiste Management AN AGREEMENT made the [Day Number Here] day of [Month Here] [Year Here] between (hereinafter referred to as "The Artiste") of the first part and of (hereinafter referred to as "The Manager") of the second part. IT IS NOW AGREED AS FOLLOWS: 1) THE ARTISTE hereby appoints The Manager to be the sole and exclusive manager and personal representative of the Artiste's services as Recording Artiste, Songwriter, Scriptwriter, and activities for Films, Stage, Radio, Television and the entertainment business generally as well as merchandising in connection therewith for a period of TWO YEARS from the date hereof provided that The Manager shall have the option of extending this agreement (save as to this option) by a further period of TWO YEARS upon giving to The Artiste not less than Three Months notice in writing prior to the expiry of the present term. 2)

THE MANAGER shall use every endeavour : a)

To advise The Artiste as to his professional career at his request.

b) To negotiate agreements for The Artiste in those branches of the entertainment field for which The Artiste is suited by reason of his talent and ability. c) To negotiate for the disposition by The Artiste in the entertainment field all such rights which The Artiste may now or hereafter from time to time hold in connection with the above whether rights of copyright or otherwise. d) To arrange such publicity and advertising for The Artiste as shall be expedient in connection with The Artiste's said services. 3)

THE ARTISTE shall:

a) Not employ or use anyone else to act as their Manager or personal representative for the purposes aforesaid during the period of this agreement or any extension thereof. b) Give The Manager immediate notice of and refer to them all enquiries for his services and any products thereof and for any of the said rights which he may now or from time to time hold whether rights of copyright or otherwise and inform such enquirers that The Manager is his sole Manager and personal representative. c) Unless prevented by unavoidable cause fulfil to the best of his ability and skill all engagements negotiated by The Manager on the Artiste's behalf pursuant to this agreement. d) Account to The Manager for all monies as may be paid to The Artiste by third parties in respect of services provided under this agreement. 4) ALL MONIES payable and receivable in respect of The Artiste's services hereunder shall be paid to and received by The Manager who will on receipt of such payments pay to The Artiste or as he may direct such monies after deduction of The Manager's remuneration hereunder and expenses properly incurred on behalf of The Artiste. 5) THE MANAGER shall keep proper accounts of all monies received or receivable as aforesaid and the Artiste or his authorised agent shall be entitled upon giving reasonable notice to inspect such accounts. 6) IT IS hereby agreed that The Manager shall be the sole party to any agreement for the services of The Artiste as aforesaid and shall be authorised to sign on The Artiste's behalf, also that The Manager may nominate another person in writing who may sign on its behalf. 7) THE MANAGER shall be entitled to be reimbursed in respect of all reasonable out-of-pocket expenses incurred on behalf of The Artiste, and The Artiste shall be liable for all expenses in connection with Hotel Accommodation, Travelling, Clothing, Equipment, Publicity, Advertising and the like provided that in the event of The Manager wishing to appoint a publicity representative on behalf of The Artiste it shall obtain The Artiste's prior consent, such consent not to be unreasonably withheld.

Notes: in the case of a Group or Act with more than one Member: Enter ALL NAMES at the beginning of the Contract, and a separate space for EACH SIGNATURE at the foot. All members must sign individually, at the same time, and in the presence of the same witnesses. If there is any concern about changes in the band's membership, it might be wise to add a clause allowing the membership to be changed in certain circumstances.
