POLICY 2170
BOARD MEMBER CONFLICT OF INTEREST The members of the Board of Education shall avoid all conflicts of interest, and their actions shall be governed by the applicable provisions of the General Municipal Law and any other applicable law. As the school district's governing body and "legislative" arm, the Board of Education frequently exercises, and invariably has the ability to exercise, final authority with respect to most school district matters. Although the Board commends its members for being involved with community organizations and other advocacy organizations, it is the Board's determination that individual Board members' involvement at the "leadership" level (i.e., as "officers") with community organizations and other organizations that advocate for and/or against matters that fall with the final decision-making and/or policy-making authority of the Board of Education, is inconsistent with their fiduciary obligation as Board members and public officers to act constructively to achieve the best possible governance of the school district, without favoritism or prejudice to stakeholder organizations. Accordingly, while the Board does not object to Board members' participation in community organizations and other advocacy organizations as rank-and-file members, the Board has resolved to include as a central feature of this Code of Ethics, this provision prohibiting Board members from serving as "officers" of community organizations and/or other organizations that seek to influence the Board's decision-making as the school district's governing body. The purpose of this ethical rule is to prohibit Board members from entangling themselves in situations in which a duality of interests may arise, thereby creating an appearance of impropriety, or worse, resulting in improper advocacy on behalf of outside organizations before the public legislative body that they are duty-bound to serve as members of the Board of Education. Additionally, no purchase of supplies, equipment or services shall be made from those companies wherein the members of the Board work or hold a proprietary interest, except when such a company is a public utility or the like which alone provides service, or is allowed by applicable laws. No member of the immediate family or any member of the Board shall be employed in any continuing capacity by the Board. This shall not be construed to necessitate the resignation of any employee should a member of his immediate family be elected to the Board. No purchase of material or services shall be made from any member of the Board. Note: Prior policy. Bylaws §9371, revised
Approved October 15,1991 162
