SCR Air Services, Inc Carrier-Broker Contract SCR Air Services, Inc (Broker) and the undersigned (Carrier) Agree as Follows: 1. Warranties of Parties Broker warrants that it holds a valid Broker’s License No. MC-476854 (Sub B) from the Motor Carrier Board of the Federal Highway Administration and that Broker will have working control over the transportation of the goods it will tender as contemplated in Dixie Midwest Exp. Inc. Ext. –Gen. Commod., 132 M.C.C. 794 (1982). Carrier warrants that it has authority to conduct the operation and that Broker personally in accordance with its shipping instructions and asserted distinct needs. Carrier agrees that it shall not broker to any other motor carrier and load tendered to it by Broker hereunder, unless Carrier obtains the prior written consent of Broker. 2. Insurance Requirements Carrier shall maintain minimum coverage of $100,000 cargo insurance; $1,000,000 auto liability and property damage per incident of each vehicle and statutorily required workers’ compensation insurance on its employees evidenced by a certificate of insurance requiring that Broker be provided with thirty (30) days’ written notice as to the effective date of any cancellation or material change in said policy (ies). Broker shall be a certificate holder with respect to Carrier’s cargo and public liability/property damage policies, which shall be evidenced by certificate of insurance provided to Broker. 3.Carrier Hold Harmless (Broker and Owner) Carrier agrees to comply with all federal, state, and local laws, rules, regulations and conditions governing its activities hereunder and to indemnify, defend, release, and hold Broker and the Owner of Property transported (owner) harmless from and against all liability, costs, and expense for loss of or damage to properly and/or in jury to or deaths of persons ( including, but not limited to, the property and employees of each party hereto) except if caused by the negligence or willfulness of the Broker or the Owner. Carrier warrants that it shall only use competent, able and properly trained drivers, and that all such drivers shall meet all applicable Department of Transportation qualifications, including medical, drug and alcohol standards. Carrier further warrants that all equipment it utilizes for performance hereunder shall meet all applicable state and federal safety requirements and be in good working order. All trailers shall be free of holes in roof, floor, and siding.

4. Carrier Cargo Liability Carrier shall be liable to the Broker and the Owner for loss or damage to any property transported from the time cargo is loaded upon Carrier’s equipment at point of origin, and continues until said cargo is delivered to the designated consignee at destination or at a stop-off. The liability shall be for the full value of the item, which shall be understood to mean the invoice value of the lost or damaged item(s) . Claims shall be processed promptly and a settlement by Broker or the Owner shall be binding on the other party. 5. Sub Contracting Under no circimstances may Carrier tender request for quotations through second party or sub contract the movement of Broker’s freight without the prior knowledge and written authorization of the Broker. Should said authorization be forthcoming from the Broker, then the Carrier’s agreement, and the Brokers must be notified as to the name, address, phone & fax number, and MC number of the transportation company so sub contracted to move freight. It is agreed that should the Carrier sub contract a load without the prior written consent of the Broker, in Contravention of this clause, then the Broker shall have the right to pay the transportation company who actually hauled the freight instead of the supposed carrier hired. Upon contravention of this clause Carrier waives the right to pursue legal action in the collection of payment from the Broker, shipper or consignee, for such unauthorized movement.**No Double Brokering tolerated** 6. Rates, Charges, and Payments All shipments will be made on a prepaid bases at a rate negotiated by the Broker and Carrier at the time the load is tendered. All rates will be written, which shall be prepared by Broker and acknowledged by Carrier. SCR Air Services, Inc. “Broker” is the agent for collection of freight charges. SCR Air Services, Inc. “Broker” shall pay all lawful freight charges within thirty (30) days after Broker’s receipt of any original Bill of Lading along with Freight bill, Signed Rate Confirmation, and sufficient proof of delivery. Carrier agrees to release and waive any claim against the Owner for freight charges, and agrees to seek payment for freight charges from Broker only. SCR will pay accessorial charges and surcharges only if agreed to in writing by SCR Air agent. Detention and unloading charges, if applicable , shall be paid ONLY if carrier obtains the SCR Air agents, prior written approval and carrier submits a receipt or proof of detention or labor with the proof of delivery upon invoicing SCR Air. Drivers must bring ALL necessary paperwork with them to their delivery appointment. This paperwork is given to driver at the time of loading. If you don’t get BOL’s or Bioterrorism paperwork at time of pickup call SCR immediately. We will get it for you. Not having proper paperwork including BIOTERRISM FORM will only delay the unloading process. SCR will not pay detention if driver is delayed because they don’t have the Bioterrorism Paperwork.

7. Independent Contractor Relationship The relationship of the Carrier to the Broker shall, at all times be that of an independent contractor.

8. Entire Agreement and Modifications This Agreement, which supersedes and cancels any prior Agreement, constitutes the entire agreement between the parties and may not be modified or amended or a breach waived unless accomplished in writing.

10. Non- compete Carrier shall not solicit business directly from any shipper, consignee, or customer of Broker where the business was first tendered to Carrier by Broker while this agreement is in effect and for one hundred and twenty days (120) thereafter.

11. Environment and Discrimination The provisions herein will not result in an adverse effect on the quality of the human environment and operations will be conducted in compliance with all relevant statutes, regulations, and executive orders dealing with discrimination. 12. Term of Agreement This Agreement will be governed by the laws Washington State. The carrier agrees to SCR Air’s personal jurisdiction of Washington state courts and agrees that the venue for any proceeding relating to this contract or any other contracts between SCR Air Service, Inc. and carrier shall be held in the King County , Washington. The terms will be effective upon signing the contract and will remain in effect until 30 days after cancellation has been requested in writing and acknowledge by SCR Air Services, Inc.

13. Lien Carrier shall have no lien , and hereby expressly waives it’s rights to any lien on any cargo or other property of Broker or its Customers.

Nothing in this agreement shall be construed as requesting or requiring CARRIER to violate the federal safety regulations regarding hours of service set forth at 49 C.F.R § 395 and or applicable State regulations. Where CARRIER makes pickup and delivery commitments to BROKER, BROKER reasonably relies on CARRIER’S knowledge and expertise that such transit time is consistent with safety regulations.

The Parties, by authorized representatives, have signed this Agreement on the date and location indicated ( to which notices will be given) and it shall be effective on the date agreed to by carrier. Broker

Regulatory Requirement State of California Hiring and Contracting TRU- Carrier Transport of Perishable Goods on California Highways and Railways.

If you are contracting or plan on contracting with SCR Air Services for any loads requiring the use of a TRU or TRU generator set (refrigerated trailer or container) that will be traveling within the state of California you will need to sign this document. Upon signing this contract my company: __________________ Acknowledges that we are providing SCR Air Services with only an ARB- Compliant TRU and or TRU generator set on all contractual moves that require the use of any California Highway and railway. We agree to provide the following required information as mandated by the state of California to our drivers prior to pick up of SCR Air’s freight.   
