American Association of Clinical Endocrinologists has over 6,500 members in the United States and 92 foreign countries. All members of AACE are physicians (MD or DO) with special education, training and interest in the practice of clinical endocrinology. These physicians devote a significant part of their career to the evaluation and management of patients with endocrine diseases. A majority of members hold certifications recognized by the American Board of Medical Specialties. Members of AACE are recognized clinicians, educators and scientists; many of whom are affiliated with medical schools and universities. Members of AACE consistently contribute to the scientific literature on endocrine diseases and conduct medical education programs on this subject.

AACE ANNUAL SCIENTIFIC & CLINICAL CONGRESS CORPORATE SUPPORT RESPONSIBILITY AGREEMENT The American Association of Clinical Endocrinologists (AACE) agrees to provide the selected advertising and/or contribution opportunity(ies), as indicated on this AACE Corporate Support Application & Agreement form (Form), per the specifications outlined in the AACE Corporate Support Prospectus, including general participation benefits and any additional benefits due based on participation level as outlined in the prospectus, to the Company and/or its agents as named on the form (Company), pursuant to Company’s compliance with the same specifications, payment of fees, adherence to submission deadlines, and terms of this agreement. AACE neither warrants nor endorses any of the products and/or services advertised. Company shall indemnify and hold AACE harmless for any and all costs, including reasonable attorney fees, associated with the defense of any claim based upon a Company’s product and/or service. The Company, its agents, and AACE agree to abide by all requirements of the Accreditation Council for Continuing Medical Education (ACCME) Standards for Commercial Support of Continuing Medical Education; the U.S. Food and Drug Administration (FDA) laws, regulations, and guidelines, including those regarding industry-supported scientific and educational activities; the American Medical Association (AMA) Ethical Opinion on Gifts to Physicians; the PhRMA Code on Interactions with Healthcare Professionals; and the Office of Inspector General Compliance Program Guidance for Pharmaceutical Manufacturers. The opportunity(ies) outlined in this agreement do not represent commercial support for accredited continuing medical education activities; any information transferred to participants via said opportunity(ies) is not part of AACE’s program of continuing medical education activities. AACE reserves the right to terminate this agreement whenever it shall determine that the Company and/or any of its agents are in noncompliance with any of the conditions or terms of this Agreement and written notice of the date of such termination is given to the Company. Payment will be made by the Company to AACE for all expenses reasonably incurred pursuant to this agreement prior to the date of the termination, (providing such expenses cannot be cancelled or recovered by AACE from third parties), less any payments made by the Company to AACE pursuant to this agreement. Payment under this clause is contingent upon receipt of proof satisfactory to AACE that such expenses are not cancelable or recoverable and have been paid. Under no circumstances shall the payments to be made under this paragraph exceed the total contract price.
