Description of Services Beginning on Month Day, Year, Consultant will provide the following services (collectively, the “Services”) including but not limited to: Bird Dog;
Locate properties for investment purposes through legal means Call possible seller and get information needed by Client Forward only property information that fits the needs of the Client: Type of Property Maximum Purchase Amount Rehab Costs – (if Client accepts Rehab properties) Formula used to determine good investments Get status reports from Investor Call Seller with offer Inform Investor of Seller’s decline or acceptance of Offer
The Consultant shall provide the services listed above on an “as needed” basis determined by the Client.

Payment Client will pay a finder’s fee of $________or ____% of profit to Consultant for Services. This fee shall be payable immediately after closing of the property. If Client has arrangements to be elsewhere after closing, notification must be given to the consultant. Upon termination of this Agreement, payments under this article shall cease; provided, however, that Consultant shall be entitled to payments for which Consultant has not yet been paid. Outstanding Amounts Owed In the event that the Client has an outstanding amount owed to Consultant, the charges shall accrue as follows: 5 days overdue: 10 days overdue: 45+ days overdue:
5% interest fee added to total amount owed 10% interest fee added to total amount owed Consultant will cease all services and this agreement will be placed *on hold* until Client has paid Consultant total amount owed plus all applicable interest fees
Term/Termination This agreement shall be effective until either party terminates this agreement by providing __ days written notice to the other party. Relationship of Parties It is understood by the parties that the Consultant is an Independent Contractor with respect to the Client, and not an Employee of the Client. Client will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the Consultant. Consultant is also responsible for her own taxes and other withholdings from her checks. Confidentiality Consultant recognizes that Client has and will have the following proprietary information: * products * prices * costs * discounts
* future plans * personal service information * client database * business affairs * personal information
And other information (collectively, “Information”) which is valuable, special and unique assets of the Client. Consultant agrees not to, at any time or in any manner, either directly or indirectly, use any Information for Consultant’s own benefit, or divulges, disclose, or communicate in any manner any Information to any third party without the prior written consent of the Client. Consultant will protect the information and treat it as strictly confidential. A violation of this article shall be a material violation of this Agreement. Confidentiality After Termination The confidentiality provisions of this Agreement shall remain in full force and effect after the termination of this Agreement. Return of Records Upon termination of this Agreement, Consultant shall deliver all records, notes, data, memoranda, models and equipment of any nature that are in Consultant’s possession or under Consultant’s control and that are Client’s property or relate to Client’s business. Entire Agreement This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement, whether oral or written. This Agreement supersedes any prior written or oral agreement between the parties.

Such address may be changed from time to time by either party by providing written notice to the other in the manner set forth above. Severability If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of the Agreement is invalid and unenforceable, but that by limiting such provision, it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. Waiver of Contractual Right The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.
