A. Introduction and Project Description The Hull Redevelopment Authority (hereafter referred to as the HRA)with the assistance of the Hull Department of Community Development and Planning seeks proposals for Real Estate/Marketing services for the disposition of 12.8 acres of HRA land adjacent to Nantasket Beach in Hull. The chosen Real Estate/Marketing firm will conduct the scope of services as shown in Scope of Services Attachment A. Two members of the HRA, the Town Manager and the Director of Community Development and Planning will evaluate proposals, conduct interviews, and make recommendations for selection to the HRA. The Director of Community Development and Planning and the two appointed members of the HRA will provide input and review work products during project implementation as will the HRA Board for each task completed. B. Project Schedule The HRA anticipates contract award on or about May 2, 2016 with start-up immediately following the award. The proposed schedule is presented in Attachment B. The Consultant should demonstrate the ability to complete the Project by November 14, 2016, or explain why a departure from the proposed schedule is recommended. The Consultant shall complete Attachment B, the Project Schedule with dates for completing individual scope components as part of the Technical Proposal submittals. If the Consultant believes that the Project or specific Project Components can be accelerated beyond the schedule above, the accelerated schedule should be outlined in the proposal. C. Qualifications of the Consultant Provide an applicant qualifications statement, including academic, licenses, registrations, and professional work experience attesting to capacity to perform the required work program. Staff must include licensed real estate staff and registered professional engineers in the Commonwealth of Massachusetts. Resumes are required for all project personnel. Relevant Experience and Staffing includes: 1. A minimum of five years of relevant experience with similar scale and type of mixed use development from RFP creation through developer selection. 2. Experience with Redevelopment Authority(s) or other public or quasi public entity’s Disposition Processes with similar metrics of scale, type of property and possible sector focus, i.e. mixed-use, resort, residential, commercial, and education/research. 3. Examples of most recent experience for similar clients with mixed use projects of similar scale and uses. 4. Educational backgrounds, licenses and education including: licensed real estate agent, marketing, land disposition, investment banking, lawyer licensed in Massachusetts specializing in !2

real estate, procurement and permitting, accounting, finance, professional engineer licensed in Massachusetts, and planning. A background in flood plain developments is required. 5. Investment sales professionals with experience in; a. Mixed-use commercial real estate investment sales for relevant types of real estate and real estate-related assets and entities. b. Achieving the maximum price for an asset. c. Broad market coverage to achieve maximum pricing. 6. Marketing sales professional with experience in a. Mixed use projects b. Ocean front/seaside projects c. Projects with close proximity to a major urban area E. Selection Criteria The HRA will award the contract to the Consultant offering the most advantageous proposal, taking into consideration all evaluation criteria as well as price. The selection process will include an evaluation procedure based on the criteria identified below. Finalists will be required to appear for an interview. a. Staffing Plan and Methodology including the professional qualifications of all project personnel with particular attention to training, educational background, licenses, and professional experience. Demonstrated expertise and experience of the Principal-in-Charge, Project Manager, and other key personnel, and any Consultants to be assigned to the Project, including professional registration of the Consultants and their qualifications Highly Advantageous: The plan of services proposes a detailed, logical, and highly efficient scheme for producing a complete project that addresses all of the required issues and meets minimum qualifications detailed in Section C, “Qualifications of the Consultant”. Advantageous: The plan of services proposes a credible scheme for producing a complete project that addresses all of the required issues and meets minimum qualifications detailed in Section C, “Qualifications of the Consultant”. Not Advantageous: The plan of services is not sufficiently detailed to fully evaluate, or the plan does not contain all the components necessary to produce a complete project that addresses all of the required issues and meets minimum qualifications detailed in Section C, “Qualifications of the Consultant”. Unacceptable: Staffing plan does not meet all the minimum qualifications detailed in Section C, “Qualifications of the Consultant”. b. Depth of experience with similar projects, and prior experience with public contracts and relevant codes, laws, and regulations. Highly Advantageous: The Consultant has at least five (5) years of experience consulting with municipalities on projects of similar size and scope to this project. !3

Desirability of approach to the project, as well as a demonstrated understanding of all project components. Highly Advantageous: The proposal contains a clear, creative, and comprehensive plan that addresses all of the project objectives stated in the RFP. Advantageous: The proposal contains a clear plan that addresses most of the project objectives stated in the RFP. Not Advantageous: The proposal does not contain a clear plan that addresses most of the project objectives stated in the RFP. e. Demonstrated ability to meet project budget and project schedule. Highly Advantageous: All of the Consultant's references indicate that the projects were completed within budget and on schedule or with minimal, insignificant delays. The consultant proposes to complete the project prior to November 14, 2016. Advantageous: Only one of the Consultant's references indicates that the project was not completed within budget attributable to the Consultant or with substantial delays attributable to the Consultant, and no current project or project completed in the last three years experienced substantial delays attributable to the Consultant. Not Advantageous: Two of the Consultant's references indicate that the project was not completed within budget attributable to the Consultant or was completed with substantial delays attributable to the Consultant, and no current project or project completed in the last year experienced substantial delays attributable to the Consultant. Unacceptable: More than two of the Consultant's references indicate that the project was not completed within budget attributable to the Consultant or was completed with substantial delays attributable to the Consultant. !4

F. Project Fee The HRA requests a fee proposal for the Scope of Services presented in Attachment A. Fee proposals shown shall include all costs and expenses (including but not limited to copying, mileage, photographs, etc.) to complete the Scope of Services and fees for each major section of the scope of services. The HRA does not reimburse for meals or other travel related expenses. The consultant’s service charges shall not exceed the Fee Proposal without a contract amendment approved by the HRA. I. Interview It is expected that the Project Committee will interview selected Consultants on April 19, 2016. J. Submissions All responses must be clearly marked with separate price and technical (non-price) proposals, as described in Section L below, and delivered to the following address: Mr. Robert L. Electronic submissions will not be accepted. K. Proposal Corrections, Modifications and Withdrawals Prior to the date of the opening, Consultants may correct, modify, or withdraw their proposals. Any correction or modification must be submitted in writing in a clearly marked, sealed envelope. Requests for withdrawals must also be submitted in writing. All proposals and cost amounts will be considered firm and may not be withdrawn for a period of sixty (60) days from the date of the proposal opening unless stated otherwise. L. Technical Proposal packages must contain all elements and requirements stated below for the Technical Proposal Package. The complete Technical Proposal must be placed in a separate sealed envelope, which clearly indicates the Consultant’s name and address. If the applicant is a partnership or joint venture, the proposal should specify who would act as the Lead Consultant for purposes of assuming contractual responsibility. If the Consultant intends to subcontract any work required in the Scope of Services, all Sub-Consultants must be identified in the proposal. Describe Lead Applicant’s experience in working with named Sub-Consultants. Lead applicant must submit names and qualifications of the Principal-in-Charge, Project Manager, and other key individuals within the firm who will be used on this Project and the estimated time commitment of each of these to the Project. Describe their background and experience in similar projects. 3. An applicant qualifications statement, including academic and professional work experience attesting to capacity to perform the required work program. The Lead Applicant must submit names and qualifications of the Principal-in-Charge, Project Manager, and other key individuals within the firm who will be used on this Project. Describe their background and experience in similar projects. Detail the names, qualifications, and experience of each Sub-Consultant proposed to be used in this Project. Resumes are required for all project personnel. 4. A description of the Consultant's approach to this project. !6

Methodology, demonstrated understanding of the project needs, and the Consultant’s expectations of assistance and services from the HRA and the Town of Hull must be clearly detailed. Include a clearly defined statement of the scope and types of services deemed necessary that will be provided to fulfill this Request for Proposal for Services.

5. An estimated project timeline showing all required meetings and contract deliverable milestones. The selected Consultant will update this timeline periodically. 6. A description of experience on similar projects. Describe similar projects completed. For each project, include name and telephone number of contact person, location, description of project, cost, date of completion, and names of key personnel involved in the project. Consultants’ references may be contacted by the HRA/Town of Hull as deemed appropriate. b. Price Proposal One original and four (4) copies of the Price Proposal must be submitted in a separate sealed envelope that indicates the Consultant’s name and address. The envelope must be marked in the lower left hand corner with the following legend: HRA – Real Estate/Marketing Services For Disposition of Land Consultant Services – Price Proposal All Price Proposals must be submitted as described above with prices for each major section of the Scope of Services and include all printing, copying (includes any plans) and travel expenses. Proposals submitted in any other form will not be accepted as valid. The Consultant’s fee will be negotiated with the selected finalist. If an agreement cannot be reached with the selected finalist, the Project Committee will contact the second highest-ranking firm, as determined by the Project Committee, and commence negotiations with that Consultant. M. Insurance Each Consultant responding to the Request for Proposals shall submit a sample “Certificate of Insurance” for the items listed below. If insurance meeting these requirements is not currently in effect, the applicant must provide clear evidence that such coverage can be obtained. Arrangements shall be made with each insurance company to notify the Project Committee of any termination or material change in the !7

The HRA and the Town of Hull are to be named as additional insured in all liability policies. N. General Provisions The HRA reserves the right to reject any or all proposals, or parts of proposals, to solicit new proposals and to award contracts as it deems to be in its best interest. The selected Consultant must comply with all applicable municipal, state and federal laws and regulations in performance of services. All plans, generated data sets and other documents in electronic, hard copy or any other versions resulting from this Contract shall become the property of the HRA and the Town of Hull. The selection of the successful Consultant shall be made without regard to race, color, sex, sexual orientation, age, veteran status, religion, political affiliation or national origin. The HRA and the Town are Affirmative Action/Equal Opportunity Employers. The HRA encourages proposals from qualified minority and women’s business enterprises. Potential Consultants are hereby notified that issuance of this Request for Proposals and receipt of proposals does not assure that a Consultant will be chosen. ATTACHMENT A SCOPE OF SERVICES Real Estate and Marketing Firms Hull Redevelopment Authority March 2, 2016 Background The Hull Redevelopment Authority (HRA) property at Nantasket Beach is one of the most desirable beachfront properties on the east coast and it has been actively improved by its owner. The HRA worked with the community and MassDevelopment to complete a pre-development Master Plan for the site, which includes ample open space, a boardwalk and direct access to Nantasket Beach Reservation and the scenic Weir River Park. From the site looking west one enjoys beautiful sunsets over the Trustees of Reservations’ Worlds End Sanctuary designed by Fredrick Law Olmsted and looking east Nantasket beach. The parcels are cleared and ready for redevelopment. The environmental designations to protect these incredible resources include; Weir River Area of Critical Environmental Concern, the Flood Zone is AE 3, and the property is a State listed Barrier Beach. The HRA and the Town of Hull have made significant strides to encourage appropriate new development and improve the conditions for redevelopment of this historic beachfront site. In light of this effort, it is clear that the Nantasket Beach Parcels offer a unique opportunity for development. In addition to the amenities abutting the site it is just a half a mile to the privately restored but publicly accessible historic Steamboat Wharf. Transportation connections include the popular MBTA commuter ferry to Logan Airport and downtown Boston just four miles away at Hull’s Pemberton Pier. The MBTA commuter train is just three miles away in Hingham. Finally, a commuter bus serves the parcels and connects to the MBTA bus in Hingham Center. The site is linked to the four lane George Washington Boulevard by Nantasket Avenue which was recently rebuilt with a $2 million grant from MassWorks. The Hull Redevelopment Authority (HRA) and the Town of Hull conducted an extensive and inclusive planning process for the Hull Redevelopment property. This process was based on the 2004 Hull Community Development Plan which stated that this was the, “best place to start revitalization”. In the last four years the planning effort included over thirty (30) public meetings. In carrying out this process the HRA and the Town established partnerships with MassDevelopment, the MassWorks Program, the Department of Conservation and Recreation (DCR) and the Hull Nantasket Chamber of Commerce and the South Shore Chamber of Commerce. This extensive planning process defined the community’s goal for the area as part of a “framework” for revitalization. Highlights of the “framework” include the following; 1. 2011- Goal, The Town’s DCR Re-Use Committee conducts Community Workshops and defines the planning area and revitalization goal, “To maximize the town’s commercial tax base by supporting an environmentally and commercially sustainable development model which serves as a catalyst for a successful economy and recognizes that Hull’s historic character and natural beauty and resources are fundamental (to success).”

2. 2012-2013 – Zoning - After 23 public meetings the Community created the Nantasket Beach Overlay Zoning District which encourages compact mixed-use neighborhoods which support bicycle and pedestrian access while adapting to and being resilient to climate change. 3. 2012 – 2016 – Infrastructure- HRA funded engineering and MassWorks provided $2 million to improve access by rebuilding Nantasket Avenue. 4. 2014-2015- In order to provide guidance for Revitalization- HRA /Town/MassDev hired Utile, & Nelson/Nygaard to work with the community on site master plans. 5. 2014-2015 –Transportation Studies- Several studies have been carried out including; two by CTPS, a Livable Communities Workshop on bicycle and pedestrian access and a corridor study from Nantasket Beach through downtown Hingham and a Study of conversion to a 2 way road system funded by the HRA and DCR was completed. SCOPE OF SERVICES 1. Review and recommend revisions to the Draft RFP developed by the HRA for; a.

g. Identification of Planning Context- The planning context is included in section 2.7 of the RFP. h. Financial Feasibility including municipal fiscal impact- The consultant will recommend the best way for the HRA and the consultant to review the RFP to make sure it requires the applicant to submit all the necessary information to assess the financial feasibility of their proposal and its impacts to the Town’s finances. This may include the land appraisal required under 760 CMR 12.00: Urban Renewal Regulations. 4. Administer Disposition- The consultant will work with the HRA to administer the sale process by responding to applicant questions, creating any addendums, coordinating pre-application meetings, keeping the process on schedule. 5. Review of submitted Proposals- The consultant will work with the HRA and use the RFP evaluation matrix contained in the final RFP. This tool should also have comments section and other parameters that may be recommended by the consultant for the final RFP. The consultant will verify submitted firm and project financial information using predetermined criteria developed by the consultant in consultation with the HRA and approved by the HRA.
