RULES OF MEMBERSHIP AND BYE-LAWS of LUFFNESS NEW GOLF CLUB LIMITED

RULES

Introduction Luffness New Golf Club Limited (hereinafter referred to as "the Company" or "the Club" as appropriate) was incorporated on 20th June 1979 as a Company Limited by Guarantee of an amount not exceeding £1 per Member. The Articles of Association of the Company in so far as they relate to the running of the Club and the Rules are summarized as follows:

Membership Numbers 1.

The Club, for the purposes of registration, is declared not to exceed 750 Members excluding Overseas, Non-Playing, Honorary and Temporary Members.

2.

The Club may, at any General Meeting called for the purpose, vary the Membership of the Club.

Classes of Membership 3.

Membership of the Company, other than Temporary Membership, shall be open solely to gentlemen. There shall be the following classes of Membership: a.

Ordinary Members

b.

Five Day Members Five-Day Members shall not be allowed the privileges of the Clubhouse or Course on Saturdays or Sundays, other than as a guest of an Ordinary Member, subject always to the conditions specified in the Bye-Laws hereinafter contained.

c.

Country Members Country Members must reside out-with a radius of 100 miles from the Clubhouse. They shall have all the rights and privileges of Ordinary Members. The Membership rights of a Country Member will terminate if the Member ceases to reside out-with a radius of 100 miles from the Clubhouse.

d.

Overseas Members (1)

Permanent Overseas Members Permanent Overseas Members shall be bona fide overseas residents who have no intention of living in the UK. The Membership rights of a Permanent Overseas Member will terminate if the Member ceases to be a bona fide overseas resident.

Temporary Overseas Members Any Member going abroad with the intention of staying abroad for the whole of the Club's financial year will, provided he has informed the Secretary in writing of his proposed departure overseas, have his name placed on the Temporary Overseas Members list. On return such Members will revert to their former category of Membership.

e.

Non-Playing Members Any person who has been an Ordinary Member for at least twenty years may, on application to the Directors, be admitted as a Non-Playing Member. This category of membership is primarily for those long-term members who no longer, through illhealth, are able to play golf. A Non-Playing Member will have all the privileges of the Clubhouse of Ordinary Members but shall not be entitled to play on the course except with the prior authority of the Secretary.

f.

Junior/Intermediate Members (1)

Junior Members The Directors shall have the right to admit boys who have attained the age of 14 years but who are under the age of 18 years as Junior Members. Membership rights of Junior Members will terminate in November of the year in which they reach 18 years.

Intermediate Members Junior Members who have at least three years active Membership, have reached the age of 18 and are considered suitable by the Directors, may be admitted as Intermediate Members. Intermediate Members who are considered suitable by the Board to become Ordinary Members may be granted Ordinary Membership in December of the year in which they reach 23 years.

g.

Temporary Members Any guest who is introduced by a Member, as permitted in the Bye-Laws, shall on paying the appropriate guest fee, be admitted as a Temporary Member for the day. Members of Visiting Clubs and individual golfers permitted by Directors, the Secretary or the Assistant Secretary to play the course and/or enjoy the facilities of the Clubhouse, as visitors, shall also, on paying the appropriate visitor fee, be admitted as Temporary Members for the day. Temporary Membership shall be available on Saturdays only to the guest of a member as permitted by the Bye-Laws, or otherwise to guests of members and to members of visiting clubs and individual visitors by special arrangement with the Directors or the Secretary.

Page |5 Honorary Members The Members at a General Meeting of the Club may, on the proposal of the Directors, elect as an Honorary Member of the Club any distinguished and worthy candidate for such Membership. An Honorary Member shall not be required to pay any entry fee or annual subscription. Any Ordinary Member elected as an Honorary Member shall retain all the rights and privileges of an Ordinary Member. Other Honorary Members shall have all the privileges of the Clubhouse and the course of Ordinary Members.

APPLICATION FOR MEMBERSHIP AND ELECTION 4.

The admission of Members shall be vested in the Directors. Every candidate for admission to Membership shall be proposed by one Ordinary Member and seconded by another Ordinary Member, each of whom shall be an Ordinary Member of at least five years standing. In addition, a candidate will require strong endorsing letters from a minimum of three Ordinary Members each of whom must be of at least three years standing. Letters of proposal, seconding and endorsing for a candidate are expected to be comprehensive and should describe the candidate’s character, suitability for Membership and degree of interest in the Club. On approval of these letters by the Board, the Secretary shall invite the proposer to arrange a day when he and his candidate may attend the Club to meet Directors, have lunch and play golf. From time to time, the Secretary will circulate to Members a list of names of candidates together with the names of their proposers, seconders and endorsers, at which time members may, if they wish, make comment to Directors. A final decision on the suitability of a candidate will be made at a Board Meeting at which stage, if successful, his name will be placed on a list of qualified candidates and he will be invited to fill a vacancy in the order of qualification. The name, designation and address of each candidate shall be posted in the Clubhouse at least a fortnight before his admission. No Member shall participate in any of the rights and privileges of the Club until he has paid the appropriate entry fee and the first subscription due by him, and if these are not paid within one calendar month after his admission is intimated to him, his admission shall become null and void.

ENTRY FEE AND SUBSCRIPTIONS 5.

The entry fee payable on admission to Membership of the Club and the annual subscriptions payable for all classes of members shall be fixed by the Directors. Directors may give authority for the payment of membership fees to be made by instalments, in which case, such payments will be made through the Club’s nominated finance company.

6.

Annual subscriptions shall be payable on or before 1st December in each year for the year ending 30th November following. No member in arrears with payment of his annual subscription shall have a voice in the deliberations of the Club nor be entitled to vote at any General or other Meeting of the Club nor be allowed to compete in any competition. If any member fails to pay his annual subscription or any instalment of entry fee within a period of one month after it becomes due, the Secretary shall send a reminder stating that unless the said subscription be paid within fourteen days his name may be removed from the Register of Members without any further intimation being given. Upon such removal he will cease to be a Member of the Club and shall not be entitled to any of the rights and privileges of Membership of the Club. He shall, however, remain liable for the full amount of his subscription for the year in which he ceased to be a member.

7.

All categories of playing Members over the age of seventy years with a minimum of twenty years’ Membership shall be entitled to a reduction of 25% against the annual subscription from the 1st December following his seventieth birthday.

CESSATION OF MEMBERSHIP 8.

Subject to the provisions of the Articles of Association, any Member may resign his Membership provided that such resignation is duly intimated in writing to the Secretary and payment is made of the annual subscription for the year then current and of any other sums which may be due to the Club.

EXPULSION OF MEMBERS 9.

If the conduct of any Member is such as appears to the Directors to endanger the character or good order of the Club, the Directors may invite the offending Member to explain his conduct to a full meeting of the Directors. If the Directors by a majority decision of at least two-thirds of those present and voting at the meeting so determine, the Member may be expelled from the Club.

GENERAL 10.

The business and affairs of the Club shall be under the management of the Board of Directors who shall be elected by the Members in General Meeting.

11.

No Director, nor any person employed by the Club, shall have any personal interest in the sale of alcohol therein, or in the profits arising from such sale. No Director shall receive any remuneration from the Club.

12.

The Directors shall meet at such times and places as they consider necessary and convenient for the transaction of business but in any case, not less frequently than once every three months.

13.

The Club meets, fully, all requirements of the Equality Act 2010. It is also an Equal Opportunity Employer.

BYE LAWS Introduction In terms of the Articles of Association of the Club, the Directors have power to make Bye-Laws in connection with playing the game of golf on the course, the use of the Clubhouse and other property of the Club and generally for the regulation of the affairs of the Club. Such Bye-Laws on being published in the Clubhouse shall, fourteen days after publication, become binding upon the members until varied, altered or set aside by the Directors or by a General Meeting of the Club. The Directors of the Club in accordance with that provision of the Articles of Association have made the following Bye-Laws:1.

Guests

a.

The Ordinary, Country, Permanent Overseas, Honorary, Temporary Overseas and Intermediate Members of the Club shall each be entitled to introduce not more than three guests to play on the course on any day except; (1) Saturdays when only one guest may be introduced, and (2) Days when the Course is reserved, as identified in the Club Fixture Card, when no guests may be introduced. The same provisions shall apply to Five Day Members except that they shall be entitled to introduce guests only on days when they themselves are entitled to play. A Member introducing a guest shall enter the date, his own name and the name and address of his guest in the book kept in the Clubhouse for that purpose and shall be responsible for the conduct of his guests. No guests may be introduced to play on competition days between the first and final starting times of the competition. A Member and a guest or guests introduced by him shall play together. After paying any appropriate fee and, prior to proceeding to the tee, Members with guests are to ask the Secretary, Assistant Secretary or the Club-master from which tee they should start and at what time they may commence play. No guest shall be introduced whether by the same or another member on more than one day in any calendar month, except with the prior approval of the Captain or the Secretary. Guests shall only remain in the Clubhouse or on the course while the Member introducing them is present. A Member may introduce no more than six guests in any one calendar month except with prior approval of the Captain or the Secretary. Children under the age of 10 years shall not be admitted to the Clubhouse or the course without the prior approval of the Captain or the Secretary.

b.

Notwithstanding the restriction on the number of times a guest may be introduced to the Club, a proposer of a potential candidate who is not currently well known by Members may request the Secretary to waive the limit of introduction for a set period subject to the appropriate guest fee being paid.

c.

Other than when an occasional license has effect, no person is to be supplied with alcohol on the Club premises unless that person is: (1) A Member of the Club. (2) A person who is on the premises at the invitation of a Member of the Club and is accompanied by that Member. Where such a person is supplied

Page |8 with alcohol on Club premises when an occasional license is not in effect, there is to be entered in a book kept for the purpose: (a)

The date in question.

(b)

The name and address of the person.

(c)

The name of the Member accompanying the person.

(3) A Member of another Club which falls within the description described in the Licensing (Clubs) (Scotland) Regulations 2007. d.

2.

The wife or partner with whom a Member co-habits, may be introduced as a guest of that Member at no charge. There is no limit to the number of times that such guests may be introduced as a guest of that Member.

Intermediate Members Intermediate Members shall have the same rights and privileges as Ordinary Members.

3.

Junior Members A Junior Member may play the course at any time when accompanied by an adult Member; however, if playing the course alone, with their guests, or in the company of other junior members they should ask the Secretary, Assistant Secretary or the Club-master from which tee they should start and at what time they may commence play. Junior Members may not use the smoke-room unless accompanied by an adult Member.

4.

Children and Young Persons A Member may introduce a child or young person aged between 10 and 17 years and the provisions of the Bye-Laws in so far as applicable to guests shall apply to such children and young persons. These children and young persons may use the appropriate locker rooms and toilet accommodation unaccompanied but they are to be accompanied by an adult when using all other public rooms to which they are entitled to enter. If, on occasion, a member wishes to introduce to the Clubhouse a child aged between 5 and 9 he is to seek the prior approval of the Captain or Secretary. No child or young person may be introduced to the smoke-room unless they are aged l4 and over and then only when accompanied by an adult Member. Members introducing a child or young person will be held responsible for their behavior in the Clubhouse and on the course.

5.

Family Tickets Any Member of the Club may purchase family tickets from the Club-master for use when introducing his children between 10 and 17 years as guests to the Club and the provisions of the Bye-Laws in so far as applicable to children and young persons shall apply. Family ticket matches must give way as necessary to all other matches on the course.

Course The rules of golf as they may from time to time be approved by the Royal and Ancient Golf Club of St Andrews shall so far as applicable, be the Rules of the Club except where otherwise provided for in these Rules and Bye-Laws. Except in Competitions of the Club or as otherwise directed by the Directors or Secretary, players may commence play on the Course from the 5th and 13th tees provided that there are no players playing the immediately preceding holes. Any match, which is delaying the match behind, must stand aside and request the match behind to play through. Practice is allowed only on the Practice Ground and on the 5-Hole Course. Pitching and chipping on to the practice putting green is not permitted. Dogs, other than registered guide dogs, shall not be permitted on the course or in the Clubhouse.

7.

Clubhouse No member shall take or permit to be taken from the Clubhouse any articles, book or other item belonging to the Club without the authority of the Directors. The Club shall not be responsible for clothing, equipment or articles of any kind whatsoever belonging to Members, visitors or guests. Articles of clothing or equipment left in the changing or locker rooms will be collected by the Club-master from time to time and, if not claimed within one month, may be gifted to a charity nominated by the Directors, and Members will have no claim upon the Club or any Members of staff in connection with such articles so gifted. No notice or documents of any kind shall be placed on the walls of the Clubhouse except by authority of the Board of Directors and no authorised notice shall be altered or defaced by any Member. Members shall, before leaving the Clubhouse, settle whatever expenses they may have incurred to the Club. No Member shall offer any gratuity to a member of the staff of the Club. The Directors shall have power to determine what refreshments may be obtained in the Clubhouse and the hours during which such refreshments may be supplied subject always to the provisions relating to the sale of alcohol contained within the Licensing (Scotland) Acts. No alcohol shall be sold or supplied in the Club to any person under 18 years of age. The Smoking, Health and Social Care (Scotland) Act 2005 makes it illegal for any person to smoke or knowingly to permit smoking in the Clubhouse.

Dress Rules Gentlemen are to wear a jacket and tie in the Smoke-room, Dining room and New-room and ladies are expected to dress to an appropriate standard commensurate with the requirements for gentlemen. Generally the Directors require Members, their guests and visitors to maintain a high standard of dress on the course and in the Clubhouse. For example, on the course golf shoes must be worn; trainer type shoes are not permitted and, for gentlemen, if choosing to wear shorts, knee length socks should be worn.

9.

Caddy Carts, Power Trolleys and Motorised Buggies All carts, trolleys and buggies should be kept off tees, away from the centre line on fairways and outside all greenside bunkers. They should never be taken on the approach or surround to the greens. Wide wheeled caddy carts only are permitted. Motorised buggies should never be driven into the rough. Users of motorised buggies must register, sign an indemnity form and read the rules held at the bar before using them on the course. Club buggies are for the use of members only unless authorised by the Secretary.

10.

General Complaints of any nature whether relating to the behavior or misconduct of any employee of the Club or to the service provided by such employee or to any matter relating to the affairs of the Club or any of the Members of the Club must be made in writing to the Secretary for submission thereafter to the Board of Directors. The penalty for breaking any of the Rules and Regulations and Bye-Laws of the Club shall be fixed by the Directors, whose decision shall be final.
