Integralną częścią Aplikacji mobilnej Banku jest Oprogramowanie mWallet SDK umożliwiające dokonywanie transakcji za pomocą Karty mobilnej Banku. Właścicielem praw do tego oprogramowania jest spółka Bell Identification B.V. z siedzibą w Rotterdamie, Holandia. Użytkownik uzyskuje prawo do korzystania z powyższego oprogramowania w zakresie aktywacji Karty mobilnej i dokonywania za jej pomocą transakcji na podstawie niewyłącznej, bezpłatnej Licencji udzielonej bezpośrednio przez właściciela praw, czyli spółkę Bell Identification B.V. Warunki Licencji, którą otrzymuje Klient w chwili aktywacji Karty mobilnej, zostały określone poniżej i są również dostępne na stronie internetowej www.eurobank.pl skąd mogą być w każdym czasie pobrane i przechowywane na dowolnym nośniku.

LICENCJA 1.

Definicje Aplikacja mobilna - aplikacja udostępniana przez Bank, instalowana na Urządzeniu mobilnym Użytkownika, umożliwiająca świadczenie usług bankowych za pośrednictwem Internetu; Bank – Euro Bank S.A. z siedzibą we Wrocławiu, adres poczty elektronicznej: [email protected], adres strony internetowej: www.eurobank.pl; Bankowość elektroniczna - świadczenie przez Bank usług bankowości internetowej i telefonicznej, w tym dokonywanie transakcji w ramach wybranych produktów Banku za pośrednictwem serwisu eurobank online, Aplikacji mobilnej, automatycznego serwisu telefonicznego lub konsultanta telefonicznego serwisu telefonicznego; Karta mobilna – karta płatnicza wydawana w postaci elektronicznej instalowanej zdalnie w Aplikacji mobilnej na Urządzeniu mobilnym, umożliwiająca dokonywanie transakcji zbliżeniowych z wykorzystaniem technologii NFC (z ang. Near Field Communication; komunikacja krótkiego zasięgu) za pomocą Urządzenia mobilnego; Licencja – niniejsza umowa licencyjna uprawniająca do korzystania przez Użytkownika z Oprogramowania w celu aktywowania Karty mobilnej i dokonywania nią transakcji; Licencjobiorca – Użytkownik Aplikacji mobilnej Banku; Licencjodawca – BELL IDENTIFICATION B.V., z siedzibą w Rotterdamie, Stationsplein 45, Entrance A, 6th Floor, 3013 AK Rotterdam, PO BOX 29141, 3001 GC Rotterdam, Holandia; Oprogramowanie – należąca do Licencjodawcy wtyczka mWallet SDK do obsługi transakcji mobilnych stanowiąca integralną część Aplikacji mobilnej Banku; Urządzenie mobilne – telefon komórkowy, tablet bądź inne urządzenie z bezprzewodowym dostępem do Internetu przystosowane do obsługi transakcji w Technologii NFC; Użytkownik Aplikacji mobilnej Banku – osoba, która zawarła z Bankiem umowę o usługi Bankowości elektronicznej i aktywowała Aplikację mobilną i Kartę mobilną.

Zakres praw przyznanych na mocy Licencji 1

Licencjodawca niniejszym przyznaje Licencjobiorcy bezpłatną, niewyłączną i nieprzenoszalną licencję na: a) korzystanie z Oprogramowania w formie kodu wynikowego na dowolnym Urządzeniu mobilnym, wyłącznie w celu łączenia się z Aplikacją mobilną, aby umożliwić Licencjobiorcy aktywację Karty mobilnej i dokonywanie za jej pośrednictwem wyłącznie transakcji zbliżeniowych oraz b) pobranie Oprogramowania do pamięci tymczasowej lub pamięci trwałej Urządzenia mobilnego wraz z Aplikacją mobilną Banku. Niniejsza Licencja udzielana jest na terytorium Rzeczypospolitej Polskiej, jednakże uprawnia ona do korzystania z Urządzeń mobilnych posiadających Aplikację mobilną wraz z Oprogramowaniem na całym świecie, bez ograniczeń terytorialnych. Tytuł oraz wszelkie prawa własności, w tym prawa autorskie oraz inne prawa własności intelektualnej oraz przemysłowej dotyczące Oprogramowania przysługują Licencjodawcy, albo jego zewnętrznym dostawcom, a niniejsza Licencja nie jest podstawą przeniesienia na Licencjobiorcę tych praw do Oprogramowania. 3.

Wyłączenia Licencjobiorca nie może, ani nie umożliwi osobie trzeciej, demontować, dekompilować, odtwarzać kodu źródłowego ani tworzyć utworów pochodnych na podstawie całości lub części Oprogramowania, za wyjątkiem sytuacji, dozwolonych przepisami prawa, w których takie działania nie mogą zostać zabronione, ponieważ są one niezbędne w celu osiągnięcia współdziałania Oprogramowania z innym oprogramowaniem oraz pod warunkiem, że informacje uzyskane przez Licencjobiorcę podczas takich działań: a) są wykorzystywane wyłącznie dla celów osiągnięcia współdziałania Oprogramowania z innym oprogramowaniem; oraz b) nie są niepotrzebnie ujawniane ani przekazywane bez uprzedniej pisemnej zgody Licencjodawcy jakiejkolwiek osobie trzeciej; oraz c) nie są wykorzystywane do tworzenia jakiegokolwiek oprogramowania istotnie podobnego do Oprogramowania. Niniejsza Licencja nie stanowi upoważnienia do korzystania z nazw handlowych, znaków towarowych, znaków usługowych ani nazwy Licencjodawcy.

4.

Przekazanie Oprogramowania Licencjodawca przekazuje Licencjobiorcy Oprogramowanie drogą komunikacji elektronicznej poprzez umożliwienie jego pobrania wraz z Aplikacją mobilną Banku. Pobranie Oprogramowania jest bezpłatne.

5.

Wyłączenie gwarancji Licencjodawca przekazuje Oprogramowanie w postaci, w jakiej jest udostępniane i bez gwarancji, wyraźnych ani domniemanych, w najszerszym zakresie dopuszczalnym przepisami prawa, w tym między innymi bez gwarancji przydatności handlowej, gwarancji przydatności do określonego celu, gwarancji braku wad lub błędów. Niniejsze wyłączenie gwarancji stanowi istotny element Licencji oraz warunek przyznania praw do Oprogramowania.

6.

Wyłączenie odpowiedzialności Z zastrzeżeniem przypadków umyślnych działań na szkodę lub szkód wyrządzonych bezpośrednio osobom fizycznym, Licencjodawca, w zakresie dozwolonym przez prawo, nie ponosi odpowiedzialności za bezpośrednie lub pośrednie, majątkowe lub osobiste szkody dowolnego rodzaju wynikające z Licencji lub eksploatacji Oprogramowania, w tym między innymi nie ponosi odpowiedzialności za szkody związane z utratą wartości firmy, przerwami w produkcji, awarią bądź zakłóceniami pracy komputera lub innego urządzenia, utratą danych ani za wszelkie inne szkody. Zapisów, o których mowa powyżej nie stosuje się do konsumentów, w rozumieniu art. 22 Ustawy kodeks cywilny.

7.

Wygaśnięcie licencji Licencja i prawa przyznane na jej mocy zostały przyznane na czas nieokreślony i wygasają z chwilą utraty prawa do używania Karty mobilnej lub z chwilą naruszenia przez Licencjobiorcę warunków niniejszej Licencji, o których mowa w pkt 2 i 3 powyżej.

8.

Postanowienia końcowe Licencja stanowi całość porozumienia między Oprogramowania licencjonowanego na jej mocy.

Jeżeli jakiekolwiek postanowienie Licencji okaże się nieważne lub niewykonalne na gruncie obowiązującego prawa, pozostanie to bez wpływu na ważność lub wykonalność Licencji jako całości, chyba że z okoliczności jej zawarcia będzie wynikać, że bez postanowienia dotkniętego nieważnością niniejsza umowa Licencji nie zostałaby zawarta. Takie nieważne lub niewykonalne postanowienie będzie interpretowane lub zmienione w taki sposób, by zapewnić jego ważność i wykonalność. Niniejsza Licencja zostanie udostępniona Licencjobiorcy za pośrednictwem serwisu eurobank online wraz z dokumentacją umowną dotyczącą aktywowanej Karty mobilnej oraz za pośrednictwem strony internetowej www.eurobank.pl. Licencjobiorca jest uprawniony do przechowywania i kopiowania Licencji w dowolnej formie i na dowolnym nośniku. Niniejsza Licencja została sporządzona w języku polskim i angielskim. W przypadku jakichkolwiek rozbieżności rozstrzygająca jest wersja w języku angielskim, jednakże w przypadku Użytkowników będących obywatelami Polski i jednocześnie konsumentami, rozstrzygająca jest wersja w języku polskim. 9.

Jurysdykcja, prawo właściwe Wszelkie spory związane z lub wynikające z interpretacji postanowień niniejszej Licencji podlegają jurysdykcji sądów polskich i będą rozstrzygane przez sąd właściwy dla siedziby Licencjobiorcy. Niniejsza licencja podlega prawu polskiemu.

10. Przyjęcie Licencji Licencjonodawca udziela Licencjonobiorcy niniejszej Licencji w momencie aktywacji przez niego Karty mobilnej. 3

English version mWallet SDK Plug-In is an integral part of the Bank’s Mobile Application, which makes it possible to carry out transactions with the use of the Bank’s Mobile Card. The holder of the rights to this plug-in is Bell Identification B.V. with its seat in Rotterdam, the Netherlands. The user obtains the right to use the abovementioned plug-in in the scope of activation of the Mobile Card and carrying out transactions with the use of the same, on the basis of the nonexclusive, free-of-charge License granted directly by the rightholder, i.e. Bell Identification B.V. The terms and conditions of the License which is granted to the Licensee upon Mobile Card activation have been set below and are also available at www.eurobank.pl, from where they can be downloaded at any time and stored on any carrier.

LICENSE 11. Definitions Mobile Application – an application made available by the Bank, installed on the User’s Mobile Device, enabling provision of online banking services Bank – Euro Bank S.A. with its seat in Wrocław, email address: [email protected], website: www.eurobank.pl Electronic Banking – the Bank’s provision of telephone online banking services, including conducting transactions with the use of selected products of the Bank via the eurobank online service, the Mobile Application, the automated telephone service or with the help of a telephone consultant of the telephone helpline service Mobile Card – a payment card issued in the electronic form installed automatically in the Mobile Application on a Mobile Device, making it possible to carry out contactless transactions with the use of NFC (Near Field Communication) technology with the use of a Mobile Device License – this license agreement authorising the User to use the Plug-In in order to activate the Mobile Card and to carry out transactions therewith Licensee – User of the Bank’s Mobile Application Licensor – BELL IDENTIFICATION B.V., with its seat in Rotterdam, Stationsplein 45, Entrance A, 6th Floor, 3013 AK Rotterdam, PO BOX 29141, 3001 GC Rotterdam, the Netherlands Plug-In – Licensor’s mWallet SDK (plug-in) for the processing of mobile transactions, constituting an integral part of the Bank’s Mobile Application Mobile Device – a mobile phone, a tablet computer or another device with wireless Internet access, supporting NFC Technology transactions User of the Bank’s Mobile Application – a person who has concluded an Electronic Banking service agreement with the Bank and who has activated the Mobile Application and the Mobile Card 12. The Licensor hereby grants to the Licensee a free-of-charge, non-exclusive, nontransferable license: c) to use the Plug-In in binary code form on any Mobile Device solely for the purpose of connecting with the Mobile Application in order to make it possible for the Licensee to activate the Mobile Card and carry out therewith contactless transactions only; and d) to download the Plug-In into temporary memory or permanent storage on a Mobile Device together with the Mobile Application. This License is granted within the territory of Poland, however it gives the Licensee the right to use Mobile Devices with the Mobile Application and the Plug-In worldwide, without any territorial limitations. Title and full ownership rights of all copyright and other intellectual and industrial property rights in the Plug-In remain with the Licensor, or its third party providers and this License does not transfer title to the Licensee of any such rights in the Plug-In. 13. Exclusions The Licensee has no right (and shall not make it possible for any third party) to disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the Plug-In, except for situations permitted under the provisions of law in which such actions cannot be prohibited because they are essential for the purpose of achieving inter-operability of the Plug-In with another software program, and provided that the information obtained by the Licensee during such activities: a)

is used only for the purpose of achieving inter-operability of the Plug-In with another software program; and

b)

is not unnecessarily disclosed or communicated without the Licensor’s prior written consent to any third party; and

c)

is not used to create any software that is substantially similar to the Plug-In.

This License does not authorise the use of trade names, trademarks or service marks or the name of the Licensor. 14. Providing the Plug-In The Licensor shall provide the Plug-In to the Licensee by means of electronic communication by making the Plug-In available for download together with the Bank’s Mobile Application. The Plug-In shall be downloadable free of any charge. 15. Exclusion of warranties The Licensor is providing the Plug-In ‘as is’ and without warranties, conditions or guarantees, express or implied, to the fullest extent permitted by law including i.a. (without limitation) the guarantee of merchantability, guarantee of fitness for a specific purpose, no-defects or no-errors guarantee. This exclusion of guarantee constitutes a material element of the License and a condition for granting the rights to the Plug-In. 5

16. Exclusion of liability With the exception of wilful actions to the detriment and damages caused directly to natural persons and within the limits permissible by law, the Licensor in no case shall bear liability for direct or indirect, financial or personal damages of any kind, resulting from the License or exploitation of the Plug-In, including i.a. (without limitation) shall not bear any liability for damages connected with the loss of goodwill, interruptions of the production process, malfunction or interruption in work of a computer or another device, loss of data or for any other damages. The abovementioned provisions shall not apply to consumers within the meaning of Article 221 of the Civil Code Act. 17. License expiration The License and the rights granted hereunder are granted for indefinite period and shall expire upon the Licensee’s loss of the right to use the Mobile Card as a result of the Licensee’s breach of the terms and conditions of this License, as described in point 2 and 3 above. 18. Miscellaneous The License constitutes the entire agreement between the parties with respect to the Plug-In licensed hereunder. If any provision of the License proves invalid or unenforceable under the law in force, this shall not affect the validity or enforceability of the License as a whole, unless from the circumstances of conclusion hereof it follows that without the invalid provision this License agreement would have not been concluded. Such invalid or unenforceable provision shall be interpreted or amended in such manner as to assure its validity and enforceability. This License can be made available to the Licensee via the eurobank online service together with the contractual documentation pertaining to the activated Mobile Card and at website www.eurobank.pl. The Licensee shall have the right to store and make copies of the License in any form and on any carrier. This License is drafted in the Polish and English language. In case of any discrepancies, the English language version shall prevail, however in case of Users who at the same time are Polish citizens and consumers, the Polish version shall prevail. 19. Jurisdiction and governing law Any and all disputes connected with or resulting from the interpretation of the provisions of this License shall be resolved by the Polish court with venue over the seat of the Licensee. This License shall be governed by Polish law. 20. Accepting the License The Licensor grants this License to the Licensee upon the Licensee’s activation of the Mobile Card.
