The County Council of St. Louis County, Missouri, met on Tuesday, June 18, 2013, at 6:00 P.M., in the St. Louis County Council Chamber, pursuant to adjournment with Chairman Burkett presiding. PUBLIC FORUM Chairman Burkett called upon those persons who had signed cards to speak at the Public Forum. The following individuals addressed the County Council and stated concerns with regard to purported groundwater contamination and air quality issues related to the Ameren/Meramec Power Plant and urged the Council Members to require the Missouri Department of Natural Resources to provide testing in this regard: Ms. Sara Edgar, 3158 Alfred Ave., St. Louis, MO, 63116, representing the Sierra Club, read a statement from Mr. Karl Frank, Jr., Oakville, MO, wherein Mr. Frank expressed his concerns and urged the Council “to simply make the Missouri Department of Natural Resources to do its job and test the water.” Councilman Stenger asked to meet with Ms. Edgar after tonight’s County Council Meeting to discuss this matter with regard to helping prepare a letter to DNR. Ms. Edgar responded in the affirmative. Mr. Dave Factor, 4953 Kerth Rd., stated he lives in the Mehlville School District and he requested that the Council ask the Department of Natural Resources (DNR) to require ground water monitoring at the “Meramec Power Plant’s coal ash disposal sites” and also to ask DNR to require AmerenUE to decrease the SO2 emissions to safe levels in accordance with the “Clean Air Act”. Mr. Factor stated this request is in response to serious health concerns associated with coal combustion. He stated this matter should be of great concern to everyone in St. Louis County since Ameren has plans to put a new coal ash landfill in “our neighborhood” which is in a flood plain and a seismic zone which could lead to widespread contamination during flooding or an earthquake. Mr. Factor stated he thinks it is reasonable and rational for St. Louis County to ask for ground water monitoring for its citizens. Ms. Alexandra (Alex) Rather, 6419 Clayton Road, St. Louis, MO, 63117, shared the physical difficulties she encounters when she has asthma attacks and the precautions she must take each day to ensure her health and well-being. Ms. Rather stated her first asthma attack occurred when she was a college student at the University of Missouri in Columbia, MO, and she must now rely on two different inhalers to get her through the day. She noted that due to her health issues air pollution has become a very personal issue for her and she is now interning with the Sierra Club and working in Oakville. She stated that since she came to St. Louis her bouts of wheezing are more frequent and more severe. Ms. Rather related that she has spoken with Oakville residents who share her concerns “about the Meramec Plant’s antiquated pollution controls and lack of accountability in terms of protecting the public’s health”. She asked, on behalf of the Oakville residents, that the County Council do all it can “to help us address the pollution from the Meramec Plant”. Mr. Tom Diehl, 5826 White Pine, addressed the County Council and submitted packets to County Executive Dooley and to Councilman Stenger which included letters from church leaders, school administrators and other community leaders in South County wherein they stated their concerns with respect to the proposed “coal ash landfill in Oakville”. Mr. Diehl stated his concerns regarding the potential health hazards individuals might experience when exposed to hazardous metals that are present in coal

Public Forum - Continued ash. He further stated, as a former member of the Mehlville Board of Education, they received reports from the nurses documenting high incidents of asthma in our children. Mr. Diehl questioned how far the contaminants from the coal ash ponds at the Meramec Plant may have spread and where the contaminants have settled. Mr. Diehl asked that the Council demand the DNR do their job and provide groundwater testing in this area of St. Louis County. The following individuals addressed the County Council and stated their concerns and opposition to Bill Nos. 103 and/or Bill No. 113, 2013, pending on tonight’s Final Passage Order of Business (Bill No 103, 2013, relates to a proposed Intergovernmental Cooperation Agreement with the Economic Council of St. Louis County, the City of St. Louis, Missouri and St. Louis Development Corporation) (Bill No. 113, 2013, relates to a proposed Loan Agreement with the Bi-State Development Agency of the Missouri-Illinois Metropolitan District and the Bank of New York Mellon Trust Company, N.A.): Mr. Alan Leaderbrand, 3918 Jacinto Dr., Lemay, 63125, stated his concern regarding Bill No. 113, “County loaning $400 million to Bi-State”. Mr. Leaderbrand stated his concern is “where are we getting the $400 million to loan to Bi-State” when he is hearing from the County that “we’re broke”. He further stated his concern and displeasure with Bill 103. Mr. Leaderbrand referenced the “study” mentioned in regard to Bill 103 and asked, “What have you done for two years?” pointing out that this “study” was done in February 2011. He asked, “If we’ve got problems, have you addressed those problems?” Ms. Rebecca Pickens, 848 Payson Drive, addressed the County Council and stated her concerns regarding Bill No. 103, 2013, relative to “the St. Louis County Council representing St. Louis County and merging with the City, two very divergent groups with very different needs”. She stated she is not sure “how you can marry those needs to make sure that those in public office are in tune to the issues that are important to constituents”. Ms. Pickens further stated that she believes government needs to be “as local as it possibly can”. She noted that to merge these two entities would not serve the unique needs of the City or serve the unique needs of St. Louis County and she encouraged the Council Members not to go forward with this legislation. Ms. Jennifer Bird, 9204 Medallion Ct., addressed the County Council and stated her opposition to Bill No. 103, 2013 and asked the County Council Members to vote “No” with regard to the proposed legislation to merge the County Economic Council with the City’s Economic Council. Ms. Bird further stated her opinion that this will be another step in “City-County merger” and she expressed her strong opposition in this regard. She questioned the information available concerning this legislation and stated she believes there will be “County flight” of businesses if this merger were to occur. She questioned why more “talk” has not taken place as to what the intentions are, what the plans are and what the effects are going to be with passage of this legislation. Ms. Bird also referenced the “study” previously mentioned this evening by Mr. Leaderbrand and raised questions in this regard.

Public Forum - Continued Councilman O’Mara asked to be recognized and addressed Ms. Bird. Councilman O’Mara stated Bill No. 103 has nothing to do with a merger. He referenced Other Communications Item No. 5 on tonight’s County Council Order of Business that is a communication regarding this proposal. Councilman O’Mara pointed out that this legislation has nothing to do with a City-County merger and further stated, that in this communication from Denny Coleman the Council is given some oversight and communication with the Economic Council regarding this proposal. Ms. Bird stated her disagreement with this understanding legislation and Councilman O’Mara responded to Ms. Bird’s comments.

Mr. Tony Pousosa addressed the County Council Members and stated his opposition to Bill No. 103, 2013, and further stated he thinks the problem is a “lack of communication with your constituency”. He pointed out that he didn’t see any information regarding town hall meetings or public hearings to explain this proposal to the public so they could be educated on what our public officials are trying to do. Mr. Pousosa noted this would provide officials with the opportunity to explain the pros and cons of this legislation. He questioned the reference to “quiet talks” and suggested public meetings would eliminate any distrust the public may have concerning this legislation. Mr. Pousosa stated, “This bill does, I think, eventually have things to do with a merger”. He encouraged the Council Members to vote “No” on Bill 103. Ms. Teresa Stone, 260 Brightmoor Dr., Florissant, 63033, addressed the County Council Members and stated her opposition to Bill No. 103, 2013. Ms. Stone noted that she is a long-time resident of St. Louis County and she asked the Council Members to vote “No” on this legislation. She acknowledged that it is being said that this is not about a merger but she stated her opinion that “when economies come together, mergers tend to follow”. Ms. Stone stated her concerns with regard to the possible flight of “County people” from St. Louis County if a merger were to occur. Ms. Teresa Douglas, 8208 Weiman Dr., 63123, addressed the County Council and stated her opinion regarding Bill No. 103. She further stated her agreement with Mr. Pousosa’s opinion that the population needs additional information concerning this proposal. Ms. Douglas related that she is opposed to Bill No. 103 and pointed out that when she reads Bill No. 103 she sees that we are taking the City and the County and “we’re putting an additional board over them”. She questioned if she is reading the proposed legislation correctly. Ms. Douglas stated she believes if she is reading the legislation correctly, then this proposal will be creating an additional layer of government that will add additional expense and it will remove decisions on what happens in our communities one step from the local environment where those decisions need to be made. Ms. Douglas also stated her concerns with regard to St. Louis City’s purported approach to increasing immigration and how that approach may impact St. Louis County’s citizens with approval of Bill No. 103 and she asked the Council Members to vote “No” on Bill No. 103.

Public Forum - Continued Mr. Tom Sullivan, 751 Syracuse, addressed the County Council and stated it is unfortunate the Council is going to approve over $400 million in loans to Metro when there are many things about the loan that are questionable and no one can explain exactly how it will work (Relates to Bill No. 113, 2013 pending on tonight’s Final Passage Order of Business). Mr. Sullivan compared this proposal to the previous approval of the lease for the downtown dome and noted that years later there were questions about provisions of the lease. He also pointed out there were cost issues with the Cross County MetroLink Extension, the loss of people and jobs in St. Louis County, the closing of major shopping centers in St. Louis County and the loss of affluent residents and younger families who are choosing to live elsewhere. Mr. Sullivan further stated, “Approving hundreds of millions of dollars more for Metro will be another bad decision by this Council and it will not help St. Louis County or its residents”. The following individuals also addressed the County Council: Mr. Walter Henze, 514 W. Essex Ave., Kirkwood, MO, 63122, addressed the County Council and stated that he is 85-years-old and that he and his wife are on several waiting lists for subsidized senior housing. Mr. Henze stated his support for the proposed senior housing development to be located at 6050 Telegraph Road (Relates to P.C. 06 & 07-12 National Church Residences of St. Louis I, MO, Inc.). He stated his opinion that there is a definite need for subsidized senior housing and he pointed out that National Church Residences found a high need for this type of housing in the area. Mr. Henze encouraged the Council to allow construction of this facility to continue and pointed out this project will create hundreds of jobs and stimulate the economy and add to local and state taxes as well as provide needed housing for St. Louis County’s senior residents. Mr. Henze stated there would be large legal fees involved if attempts are made to stop this project. Mr. David A. Wright, Attorney At Law, LLC, 2124 N. Geyer Rd., St. Louis, MO, 63131, representing Stripe Enterprises, Inc. (Relates to Other Communications Item No. 11 on tonight’s County Council Order of Business) addressed the County Council and stated that he had a great experience working with staff in the Department of Revenue regarding this matter, Mr. Joe Bolte in the Assessor’s Office and Ms. Carol Zeilman in the Recorder of Deed’s Office. Mr. Wright stated that he wanted to share that Mr. Bolte and Ms. Zeilman are a great asset to St. Louis County. At the time of the Roll Call vote Councilman Wasinger noted that the way she reads this loan proposal “it will allow all of Prop A to be used for the operational expenses of Metro instead of dividing that tax between operating expenses and capital improvements as was the original intent of that tax so I’m going to vote “No””. Councilman Quinn stated he thinks, “Metro and St. Louis County should do what they promised voters they would do. Voters were told that this money would be used for future expansions. This proposal will use the money to pay for bonds that were used to finance past expansions.” Councilman Quinn stated his opinion that “Metro is very adept at engineering fiscal crisis”. He further stated that if this money is spent now, we will not have funds available for future expansions so there will be another “so called fiscal crisis” and we will be told that they need another tax increase for capital expansion. Councilman Quinn stated he thinks we should all be aware that when Metro asks for their next tax increase it will be just as it was with the last tax increase, “voters will not likely receive what they were promised, so I vote “No””.

At the time of the Roll Call vote Councilman Wasinger stated this proposal was sent down by the St. Louis County Economic Council who “work hard to attract, recruit and procure businesses for the benefit of St. Louis County and I thank them for their work in that regard”. She further stated the current proposal and the agreement terms that are written therein call for a ten-year term with automatic renewals with very little legislative oversight “and it fails to address the inherent conflict of interest between these two political subdivisions and consequently I’m not able to support it so I vote “No””. Councilman O’Mara read the communication addressed to Councilman O’Mara from Denny Coleman, President and CEO of the St. Louis County Economic Council which addresses a lot of the concerns expressed. (Relates to Other Communications Item No. 5 on tonight’s County Council Order of Business). Councilman O’Mara pointed out that the Council does approve the budget each year for the St. Louis County Economic Council, which is “roughly $3 million, maybe a little bit under that so the Council does have some authority and oversight over this proposal”. Councilman O’Mara stated he accepted the language provided by Mr. Coleman in this communication and pointed out that this proposal is about regional businesses and attracting business to the St. Louis region and with that he stated, my vote is “Aye”.

Councilman Quinn stated that he had to respectfully disagree with a number of his colleagues. He stated, “I believe that this ordinance is a solution in search of a problem”. Councilman Quinn stated, “It’s being suggested that there is a perception that we’re competing with St. Louis City but we’ve been provided no examples of that competition”. He further stated, “If there are no actual problems that this measure solves, then what is the reason for the measure?” Councilman Quinn noted that there are supporters of the merger of the City and County that advocate achieving that objective with small initial steps. He further stated that “…until we are provided with solid reasons for this particular measure, I think it’s very reasonable for people to assume that this is one those initial steps to accomplish that merger”. Councilman Quinn noted that there are other indicators that this measure is intended for something beyond what it states it is intended for. He stated, “It’s a ten-year agreement and we have no metrics to determine how well it’s going to work or how well it is working. There’s no information on goals and objectives other than just platitudes, cooperation, that kind of thing”. Councilman Quinn noted it’s a ten-year agreement and for something as experimental as this proposal, he questioned if the objective “that it’s being touted as achieving is really what this is intended for”. He further stated that he respectfully disagrees with Councilman O’Mara who he has a lot of respect for, and stated, “We just have different views about whether or not it’s likely that the Council would actually have oversight over this”. Councilman Quinn pointed out that the problem with having oversight over one small portion of the budget, “is that it’s unlikely that the Council is going to hold up the whole budget just because we’re concerned about this one particular aspect of it. So, for all of those reasons I vote “No””. Councilman O’Mara stated he respects Councilman Quinn’s opinion and he then read the paragraph that will be inserted into the Intergovernmental Agreement as follows: ‘“Communication with St. Louis County Government. In recognition of the financial support provided to the corporation by St. Louis County on an annual basis out of its General Revenue fund, the corporation shall, through its Chief Executive Officer and/or other senior staff members, meet with, communicate with and provide reports and updates of its activities to, members of the St. Louis County Council at any time upon request, and without request, on a regular basis (defined as not less than quarterly), regarding all material activities, programs and initiatives of the corporation.”’ County Executive Dooley responded to comments regarding a purported “merger” of St. Louis County and the City of St. Louis. County Executive Dooley stated the only way there can ever be a merger of St. Louis City with St. Louis County is by a vote of the people. He stated that is the only way it can happen, by a vote of the people of both jurisdictions, St. Louis City and St. Louis County. County Executive Dooley further stated that with this legislation, “the board that’s presently in place is just being expanded”. County Executive Dooley stated Councilman O’Mara is correct, there will be oversight and the Council will have access to quarterly reports, Committee of the Whole meetings or whatever it so desires in this regard. He concluded that he wants everyone to “rest assured that there can never be any coming together of the City and the County without a vote of the people”.
