Welcome The Financial Services team operates from London and forms part of our Banking and Finance practice, which is ranked as a band one national leader in the Chambers and Partners Guide to the legal professions. Our experience General financial services

Insurance

We’re focused on helping you to remain compliant with FCA and PRA rules. We also have the skills and experience to advise you on, and to prepare, applications to the regulators for authorisations, changes in control and variations and cancellations of permissions.

We have particular expertise in advising insurers on distribution arrangements, including appointed representative/introducer appointed representative agreements.We advise on perimeter issues under the Financial Services and Markets Act 2000, such as exemptions for general insurance. Our expertise extends to international issues, such as passporting under the Insurance Mediation Directive.

By working with such a variety of financial services firms, we have developed extensive expertise in ‘whitelabelling’ and the retail distribution (including distribution agreements, introducer agreements, appointed representative agreements) of financial services products such as savings and current accounts, ISAs, insurance, mortgages and consumer credit products. We can help you ensure that your product terms and conditions are compliant with financial services regulations and we work closely with our other regulatory experts to ensure compliance with provisions of the consumer protection regime, including those of the Consumer Rights Act 2015. Your marketing strategy is important to you and your business and that’s why it is important to us. We frequently review financial promotions to ensure they are compliant and we do it without compromising on your commercial goals.

Mortgages Secured lending forms a large and important part of what our clients do. We understand the risks they are facing and that’s why we are working with them to prepare compliant mortgage documentation, including KFIs and offer documents. We’re looking to the future and advising on the wide-ranging implications and requirements of the Mortgage Credit Directive. We can advise you on the enforceability of regulated mortgages, conduct due diligence reviews and provide reporting in relation to securitisations and other structured finance transactions.

Consumer credit We continue to advise a number of clients on the transition from the previous OFT regime to the new FCA regime. Authorisation can be an intimidating and stressful process, but you can rely on our experience whilst we guide you in the preparation of your application. We also advise on the associated documentation and procedure requirements and the new rules in the Consumer Credit sourcebook. We take pride in knowing you and your products and that’s why we’ve worked directly with in-house marketing teams from conception to publication of their consumer credit financial promotions.

Payment services and e-money Whether you’re a bank, payment intermediary, retailer, or developing new methods of providing payment solutions, we tailor every piece of advice so that it can shape or be adapted to your technological solution. Our expertise spans both the payment service and electronic money regulations and we can advise you on possible exemptions under these regulations and your scope of obligations.

Anti-money laundering, financial sanctions and the Bribery Act Allegations of corruption can stop your business in its tracks. Without appropriate anti-bribery and anti-corruption procedures you open yourself up to risk of personal and corporate liability as well as reputational damage. It matters to us that, even at your busiest periods, you are protected from the time and cost, as well as reputational risk that formal investigations into bribery and corrupt practices inevitably involve.
