ABOUT CRISSCROSS INTERNATIONAL CrissCross International (CrissX) is a boutique airport/aviation consultancy established in 2003. We are amongst the vanguards in tailoring knowledge in airport master planning and airport operations towards advancing privatised investments (and PPP’s) in airport infrastructure development.1 The development of next generation airport infrastructure is complex, and is technology and capital intensive. They often bring with them unprecedented policy, technical, financial and institutional challenges to airport stakeholders and decision makers. With increasing joint publicprivate sector participation, the funding criteria for initiating airport infrastructure development gets evermore complex. Through the years the particular skill-sets evolved at CrissX have gained traction in developing high performance next generation airports that meet the interests of private investors and lenders. As a by-product of an airport’s physical development, parallel strategies are formulated to tune-up its operational performance. It creates operational and management capital as an allied asset. Possession of this capability helps demonstrate the airport’s sustainability as a viable going concern.

BRAZIL 2012 Project Title Acquisition/Due Diligence Support in PPP Transaction for 3 Brazilian Airports Role of CrissCross International Provision of due diligence (OPEX Forecast) and transaction advise to Egis Avia and Triunfo for the acquisition of Brasilia, Guarulhos and Viracopos Airports, Brazil. The exercise concluded in a successful R$3.8bn acquisition of Viracopos Airport by the Group. Project Synopsis Determination of 25-year OPEX forecast and relevant analytics; Deliberations on assumptions underpinning forecasts and future outlook.

GERMANY Fraport AG, Frankfurt am Main International Airport 1999 - 2002 Activity Synopsis Responsible for management oversight covering acquisition and project activities in the Middle East and Asia-Pacific. Allied activities include liaison with donor agencies , and supporting various worldwide PPP interests.2 Key engagements include: • Due diligence support in various international privatisation initiatives, notably Darwin, Perth & Sydney Airports, Australia and Kuala Lumpur International Airport, Malaysia; • Project acquisitions for Operational Readiness & Airport Transfer (ORAT)3 programmes at IncheonSeoul, Manila International and other airports in the Middle-East and Africa; • Member of negotiating team on merger initiatives between Schiphol Consulting & Deutsche AeroConsult; • PPP due diligence and development prospectus

for Algiers Airport to align with World Bank funding programmes; • Commercial optimisation for Guangzhou Baiyun International Airport, China commercial optimisation perspective; • Due diligence for the commercial restructuring of Civil Aviation Authority of Yemen (CAMA) in advance of PPP initiatives; • Transition Management for Lima International Airport, Peru – formulation of operations handover guidelines to facilitate the management/operational takeover by the Fraport-Bechtel Consortium.

CrissCross International (CrissX)4 was responsible for overall project definition, commercial due diligence, cost analysis and leadership in a multi-disciplinary and multi-national team to complete a Techno-Economic Feasibility Study (TEFS) for the future commercial development of Bhubaneshwar, Coimbatore, Mumbai-Juhu, Patna, Port Blair and Varanasi Airports. The exercise was in advance of privatisation initiatives by the Airports Authority of India. The task included multi-lateral collaboration with various legislative, regulatory and financial stakeholders5. The Scope of Work required a full technical and economic due diligence involving:

• Operations & commercial optimisation strategies; • Environmental impact assessment & mitigation;

• Techno-economic review of entire civil aviation establishment in Liberia;

Liberia needed a National Transport Master Plan to enable a systemic “reset” following post-conflict and socio-economic dysfunction. In this context CrissX provided strategic and directional input to develop the entire civil aviation sector; from planning physical infrastructure requirements to the development of institutional capacities.

• Design and specification compliance monitoring;

Capital value of Project c.US$5 billion. Project Synopsis6 Client’s Representative in executing the delivery of the Passenger Terminal Complex.

• Contract and claims management within a fast-track “design & build” framework involving 3 simultaneous PTC packages; • Monitoring the Operational Readiness (OR) and Operations & Maintenance (O&M) programme in advance of the airport opening.

Phase I: Airport Master Plan and Concept Design for the PTC7: • Preparation of Consortium Agreement & contract negotiations; • Establishment of Airport Design Criteria and Performance Specifications to enable fast-track “design & build” construction implementation; • Evaluation PTC tender packages with aggregated values of c.US$600mil.

Activities stated have been with the engagement of Azlan Morad in his capacity as Deputy Project Manager of the Anglo- Japanese-Malaysian Airport Consortia (and under the auspecies ofKuala Lumpur International Airport Berhad) at the material time. 7. Members of the Anglo-Japanese-Malaysian consortia varied through the various stages of the project. Azlan Morad was engaged throughout from project initiation until the final stages of project completion. Role of CrissCross International

• Site assessment of Al Buqaiaa, near Jericho;

The assignment is part of a European Union initiative for implementing the Regional Transport Action Plan (RTAP) in the Mediterranean, under the European Neighbourhood Policy (ENP) in the South Region countries. In this context CrissX provided the vanguard strategic and technical input for the proposed new greenfield Palestinian International Airport located near the city of Jericho. Deliberations included formulating a viable aviation sector and institutional capacities in post-conflict Palestine consistent with future PPP perspectives.

SLOVENIA Jože Pučnik International Airport, Ljubljana 2013 - 2014 Project Title

Technical Advisory in Equity Sale, Jože Pučnik International Airport, Ljubljana

The transaction successfully completed with a EUR177.1 mil. purchase of a 75.5% stake in the airport by Fraport AG.

Role of CrissCross International Provision of [vendor’s side] technical advisory services to the Government of Slovenia (Slovenska Odškodninska Družba, d.d.) to facilitate the equity sale of Ljubljana Airport8. The tasks represented a substantive high-level technical validation of the earlier airport master plan exercise undertaken by CrissCross International with Aerodrom Ljubljana d.d. in 2009-10 (below). Technical assistance included assembling the Schedule of Information for the Data Room in preparation for the sale.

SOUTH KOREA 1999 - 2001 Project Title Operational Readiness and Airport Transfer (ORAT) for [the Greenfield] Incheon-Seoul International Airport Project Synopsis Provision of management support to Incheon International Airport Corporation (IIAC) and project team to fulfil the implementation of the Operational Readiness & Airport Transfer (ORAT) programme at the new Incheon-Seoul International Airport10. Tasks included support towards: • Establishment of the project’s bidding, concept and programme development; • ORAT backstopping provisions; • Contract management.

TAJIKISTAN Khujand International Airport 2014 - 2015 Project Title Master Plan for Khujand International Airport, Tajikistan Estimated Aggregated CAPEX = c.EUR52 mil. Role of CrissCross International CrissCross International11 lead the due diligence exercise (Airport Master Plan & Business Plan) contingent to loan financing by the European Bank for Reconstruction and Development (EBRD) for the upgrade of Khujand International Airport. Project Scope Tasks included providing expert appraisal over technical, traffic, macro-economic analysis and documentation on the entire airport infrastructure. They included: • Multi-lateral interfacing with airport stakeholders;

• Land-use plan; • Environmental impact assessment & mitigation; • 30-year phased master plan outlook through to 2040; • Configuration for new passenger terminal and technical support facilities; • SWOT analysis and conflict resolution; • CAPEX and OPEX calculation and Business Plan; • Rationalisation of regulatory issues. Results • Provided airport stakeholders with primary guidelines for future management/operational strategies; • Findings and documentation were used by the EBRD as a basis for the release and staging of loan financing packages; • Provided a basis for re-structuring operational proceedings consistent with up-to-date international best practice and in alignment with commercial prerogatives; • Provided recommendations for improvements in sector regulatory framework in accordance with international best practice

TURKEY 2013 Project Title Expert Technical Advisor to an Institutional Advisor Task We provided expert technical oversight in due diligence and asset valuation proceedings pursuant to the investor acquiring a substantial stake in a major Turkish international airport. Tasks included: • Interfacing with transaction stakeholders • Interfacing with specialist consultants • Reviewing third party technical input/finding • Technical oversight and inferences on transaction proceeding Results The transaction objective was successfully concluded at the target airport.
