Harley Marine is the parent company of nine businesses specializing in marine services and a bulk liquids terminal business. Harley Marine provides accounting, administrative, human resources, quality, safety and environmental services as well as operational oversight to the subsidiary companies.

Company History In early 1987, Harley Marine's Founder and current Chairman, Harley Franco, recognized the need for a customer-oriented marine transportation company in Puget Sound. Mr. Franco started his business with one leased tug and barge under the name Olympic Tug & Barge, Inc. and slowly built the company by instituting and, in some cases, pioneering quality operating and safety procedures and environmental protection standards. Portland operations started in 1993 as a marine transportation bunker supplier on the Willamette and Columbia River. In mid-1998, Harley Marine Services was formed as a holding company for acquisitions in the marine services field that the company desired to add to its ever-growing lists of services. In early 1998, the Company acquired Pacific Coast Maritime, a marine services company founded in 1982 that provided tug and barge services in Alaska, Washington and California. Also in mid-1998, Harley Marine Services purchased the assets of Links Marine, the marine transportation division of Chemoil Corporation. This company was renamed Westoil Marine Services, Inc. and primarily provides the transportation of marine fuels in Los Angeles and Long Beach Harbors. In May 2000, Harley Marine began providing ship assist, tanker escort, and towing services in Los Angeles and Long Beach Harbors with four state-of-the-art tractor tugs under the name Millennium Maritime, Inc. In July 2000, Harley Marine purchased Public Service Marine, Inc. founded in 1978 to build and operate the barge Jovalan, which transported petroleum products for public utilities in Southern California. At the time, the Jovalan was known for its cutting edge, patent protected technology of the world‟s first self contained, vessel-mounted vapor recovery unit. Since then, Harley Marine Services has redesigned the cryogenic vapor recovery processing unit to meet today‟s standards and air quality requirements. In addition, the Jovalan has been replaced with the Olympic Spirit, which is equipped with the latest Harley Marine vapor processing unit. In the fall of 1999 Pacific Northern Oil (PNO) sold its assets to Chevron's Fuel and Marine Marketing (FAMM). At that time, Pacific Terminal Services, Inc. was formed to operate the PNO terminals for FAMM. In June 2004 FAMM ceased operations in Washington State and Pacific Terminal Services consolidated operations to the Portland, Oregon terminal. Harley Marine entered the San Francisco Bay Area market in April of 2003 under the name Starlight Marine Services, providing petroleum transportation, ship assist, tanker escort and general towing services. In late 2006, Harley Marine established its first east coast company, Harley Marine NY, Inc. Harley Marine NY uses some of the latest model vessels, including three double hull barges and two tugs to transport petroleum products in the harbor. The most recent addition to the Harley Marine family of companies is Harley Marine Gulf. In February 2011, Harley Marine Services acquired the former MGI of Houston, Texas. This acquisition has expanded Harley Marine‟s services to the US Gulf Coast and now the company is a leading provider of petroleum transportation services nationally.

These services consist of moving product from one terminal (including refineries, offshore platforms and storage facilities) to another, providing marine fuel to ships in port, and temporarily removing marine cargoes from ships just outside of port (lightering). T ank St or ag e Harley Marine Services stores petroleum products at a marine terminal for a major oil company. The terminal operation receives, stores, blends and ships marine fuels.

Their tugs primarily provide safe assistance to large tankers, container, and bulk ships as they enter and depart from the harbors. Re s cue & G en e ra l T o w ing Harley Marine Services utilizes its deck barges and tugs to provide coastwise and harbor tows for general cargo, containers, equipment, gravel, sand, and cement. Local tugs are also capable of performing emergency and rescue tows to vessels.

MARIN E VAP OR REC OVE RY SYS TE M Harley Marine Services has developed state-of-the-art, self contained vapor recovery systems in order to process the hydrocarbon vapors given off by products as they are loaded onto barges. This reduces the carbon footprint for not only Harley Marine but for its valued customers. Currently two types of vapor recovery systems are in use onboard vessels, the first is a pressure/condensate and the other is a carbon canister. Both systems exceed air quality standards currently in place in all Air Quality Districts in California. This technology allows customers more flexibility to trade in areas otherwise off limits.

Fleet Capabilities Harley Marine has a diverse fleet positioned strategically within the United States to meet and exceed customer expectations. The fleet consists of over 75 vessels including 43(+) oil barges, of which 31 are double hull, and 32(+) tugs. The fleet is one of the most modern and best equipped in the industry. Harley Marine Services is on track to meet the double hulled tank barge requirement of OPA „90 by 2012, prior to the industry wide deadline of 2015.

FLEET MAINTENANCE In order to keep all company vessels running smoothly and safely, Harley Marine employs a dedicated and skilled engineering team. Harley Marine is committed to using the best available technologies to prevent unscheduled downtime. However, with experienced shore-side support in all ports of operation, the qualified crews know they have dependable hands to turn to, should the need arise.

COMPREHENSIVE CMMS Harley Marine Services utilizes eMaint, a web-based computerized maintenance management system (CMMS) to schedule and keep track of preventative and corrective maintenance as well as regulatory compliance across the entire fleet. eMaint is used company wide to ensure compliance with safety and environmental regulations. In addition, Harley Marine utilizes the system in several aspects of the business. The major contributions of the system are identified below.  Tracks various metrics like machinery hours and fuel burn.  Provides the boat crews a means of submitting work requests and receiving preventative and corrective maintenance work orders.  A powerful reporting tool allowing management to track performance in various key performance indicators.  Key component in tracking regulatory compliance.  Maintains a detailed work history of the various assets.  Makes information and asset management across multiple ports more efficient.  Helps management make informed decisions based on machinery usage and maintenance patterns.

Environmental Stewardship Harley Marine Services, Inc. continues to lead in safe, responsible, reliable, and efficient operations by formalizing their corporate commitment to environmental protection in attaining International Organization for Standardization (ISO) 14001 Certification for all subsidiary companies. Harley Marine has taken the lead in environmental stewardship and is actively upgrading its fleet and facilities to reduce vessel exhaust emissions and use less fuel in order to enhance our environment. Some of the more substantial initiatives that have been executed include:  Powering all vessels with ultra low sulfur fuel which reduces Particulate Matter (PM) discharged into the environment.  Implementing an aggressive overhaul and replacement program to upgrade the tugboat engines (main and auxiliary) from existing Tier I standards to Tier II and Tier III standards. Each upgraded Tier II engine will result in a Nitrogen Oxide (NOx) emission reduction of 20%. The Tier III engines will reduce NOx by up to 80% from Tier I standards.  Constructing a new generation of barge mounted Vapor Recovery Unit‟s (VRU). The state-of-the-art VRU exceeds all air quality requirements and includes more automation, monitoring and record keeping capabilities. The Harley Marine VRU system has United States Coast Guard, American Bureau of Shipping and California Air Resources Board approvals.  Constructing two state-of-the-art environmentally friendly office buildings which incorporate water conservation, storm water management, efficient material use, a construction and demolition recycling program, use of recyclable materials, low emitting materials in the building interior, innovative wastewater technologies and shore power.

INSURANCE COVERAGE Harley Marine Services has full and valid Protection and Indemnity Insurance (“P&I Insurance”) for all vessels through the UK P&I Club, with coverage of up to one billion dollars per incident. Harley Marine is currently the only tug and barge provider covered under the UK P&I Club.

Harley Marine has customized and built programs tailored to meet the specific requests of major customers. Harley Marine Training Program Harley Marine Services has a robust continuing education and training program available for all personnel. The program was developed to enhance the safety and education of all company operators and employees. The company‟s training programs are designed to meet IMO requirements for Standards of Training, Certification and Watchkeeping (STCW). Harley Marine teaches employees aspects of Basic Safety Training, which includes first aid/CPR/AED, personal survival techniques, safety and social responsibility and basic marine firefighting. All Harley Marine mariners participate in this annual training program as well as a HAZWOPER refresher. Senior officer positions including Captains and Mates receive simulator training in navigational skills, instruction on mentorship and computer-based training for conducting crew assessments. The crew assessment training meets the Coast Guard requirements to become a Designated Examiner. A new vessel management assessment program is also being developed to assess a Master‟s ability to manage crew and vessel operations. Other training programs conducted throughout the company include:  Confined Space Entrant and Attendant Safety  Shipyard Competent Person  Forklift Operator  Emergency Oil Spill Response, including Incident Command System, HAZWOPER Technician, containment boom deployment and boom boat handling Along with the formalized training, crews participate in ongoing skill development in the form of regular emergency drills and weekly safety meetings. Each new crewmember hired at Harley Marine receives an orientation in company policies and procedures along with a briefing on the OSHA standards for hazard communication and bloodbourne pathogens. Harley Marine management are regularly trained on a variety of management topics. Training is focused on leadership, communications and compliance with laws and regulations. Managers are held to a high level of accountability as they are required to complete the trainings and assessments as part of their annual review. Additionally, an educational reimbursement program has been established to fund employee‟s for necessary educational related expenses. The educational reimbursement program adds flexibility to the HMS training programs, thereby meeting the diverse needs of the employees. In accordance with ISO 9001 certification, Harley Marine strives for continual improvement in the training programs and skill assessments developed. Harley Marine‟s multifaceted approach to training is a demonstration of its commitment to safety and the health and well-being of crews.

Community Involvement CRUISIN’ FOR A CURE Since inception, Harley Marine Services has been committed to several charity and community programs. Although there are many organizations supported, one of the most significant in time and resources is the Cystic Fibrosis Foundation. Cystic Fibrosis is an inherited chronic disease that affects the lungs and digestive system of about 30,000 children and adults in the United States. The ultimate goal of the Foundation is to better the lives of children living with cystic fibrosis and to one day find a cure for the disease. Several pieces of equipment in the Harley Marine fleet are named after supporters and children with cystic fibrosis. Harley Marine Services is proud and honored to name vessels after children battling this devastating disease; each vessel being a symbol of our continued fight against cystic fibrosis in hopes of finding a cure. One of the newest barges was named “65 Roses”. Many children call their disease 65 Roses instead of cystic fibrosis since it is much easier for them to pronounce. Mary G. Weiss became a volunteer for Cystic Fibrosis in 1965 after learning that her three little boys had the disease. Her duty as a volunteer was to call local organizations seeking financial support for CF research. Mary‟s son Richard listened closely to his mother as she made each call. After several calls, Richard spoke up and said that he knew who his mother was working for, “65 Roses”. Since then, the term “65 Roses” has been used by children of all ages to describe their disease. But, making it easier to say, does not make CF any easier to live with. The Harley Marine fleet will continue “Cruisin‟ For a Cure” until we can proudly name a barge

Integrated Technology Harley Marine has made a commitment to utilize technology to enhance day-to-day operations onboard vessels and in all offices. Business functions have been streamlined by incorporating technology and computer-based systems to the organization. The Vessel Management System (VMS) is a complete ship-to-shore software solution to replace traditional hand written paper logs, forms, timesheets, bills of lading, job nominations, safety and regulatory forms, and other written materials. VMS was specifically designed around the needs of a marine services company and more specifically, the needs of Harley Marine and its customers.

HARLEY MARINE CUSTOMER ACCESS CENTER Harley Marine‟s Customer Access Center (CAC) launching in Q3 of 2011 will be an information warehouse for all customer-related data and reporting needs. Focused on delivering customers near real-time information related to scheduling, billing, and operations the CAC will be a “made to order” platform designed around the individual data and reporting needs of individual Harley Marine customers.
