SPECIAL CONDITIONS OF CONTRACT Special conditions of contract shall be read in conjunction with the General Conditions of Contract, specification of work, drawings and any other documents forming part of this CONTRACT wherever the context so requires. The same is enclosed along with the Tender Documents. Notwithstanding the sub-division of the documents into these separate sections and volumes every part of each shall be deemed to be supplementary to and complementary of every other part and shall be read with and into the CONTRACT so far as it may be practicable to do so. Conditions of Contract unless a different intention appears the provisions of the Special Conditions of Contract shall be deemed to over-ride the provisions of the General Condition of Contract and shall to the extent of such repugnancy, or variations, prevail. 1. SCOPE OF WORK : The scope of work shall include but not limited to items mentioned in bill of quantities and instruction and direction of EIC. However detail scope of work is being enclosed separately. “Name of work: Annual Rate Contract for Civil Maintenance related jobs for Station - Hazira, GAIL Essential Colony- Bhatpore & New Colony Magdalla, Surat.

2. LOCATION OF SITE: A. Compressor Station, Hazira, Surat . B. Essential Colony, Bhatpore, Surat. C. New Colony, Magdalla, Surat. 3. LOCAL CONDITIONS: The bidder shall visit the site and ascertain the local conditions, entry, traffic restrictions, obstructions, if any and also site conditions. Whether the bidder visit the site or not, he is deemed to have visited the site and ascertained the entire site conditions. The bidder shall consider in his tender for all extras likely to be incurred due to such condition. No claim will be allowed on this account under any circumstances from contractor. 4. CONTRACT PERIOD Initially the contract shall be valid for a period of 2 Years. However, the period can further be extended for maximum 6 months prior to the expiry of the contract, at the same rates, terms and conditions, at the sole discretion of GAIL. Page | 2

GAIL (India) Limited Hazira GAIL reserves the right to terminate the contract by issuing 30 days notice to the contractor, without assigning any reason whatsoever.

5.

BID EVALUATION Evaluation of bids shall be on the basis of total quoted value inclusive of service tax component. However, bidder has to mention percentage of service Tax to be claimed as per the format of SOR/BOQ. In case the bidder has not mentioned any service Tax separately then it will be presumed that the quoted rates are inclusive of service tax. It may be noted that Service Tax is not applicable on Part –B (Supply of material). The evaluation of Part A and Part B shall be done together and overall total price (A+B) including applicable service taxes shall be considered for evaluation.

SUPPLY OF WATER & POWER The water & Power shall be supplied by the GAIL free of cost subject to availability. The supply will be provided from one point as shown to the contractor but necessary arrangement for pipes/ cables, manpower etc. required for extending the facility up to working place shall be arranged by contractor at his own cost. Safety rules to be ensured by contractor. 7. INSPECTION Prior to using the materials contractor shall get the approval from the EIC or his authorized representative. 8. PAYMENT TERMS AND CONDITONS a. All measurements shall be recorded in the standard measurement sheet and submitted to EIC for verifying the same. The jointly signed copy of measurement to be produced during raising the Bill for processing the payment. It is clarified that no bill will be accepted without measurement sheet duly signed by EIC. b. The computerized bill on prescribed format will be submitted by contractor along with supporting documents. Initially One set of bill in hard copy along with soft copy will be submitted to EIC for necessary check. For additional sets, the contractor is responsible for arranging photocopy of certified bill from EIC and other supporting documents. c. Payment shall be made for the completed portion of the work in the running Bill within the 15 Days after the certification of the EIC and 30 days in case of Final bill. d. The payment shall be released by HOD (Finance & Accounts), GAIL (India) Limited, Hazira after due certification of EIC.

All payment will be released through Electronic mode (E-banking) from ICICI Bank/SBI and accordingly contractor shall provide details of their bank account number to which payment shall be released electronically. f. GAIL shall be entitled to deduct Income Tax/Work contract Tax or any other applicable Tax at source from the payment made to the contractor against the running bills in accordance with the relevant Indian Income Tax Laws or any other law as applicable from time to time. Necessary certificates of deduction of Income Tax/Works contract tax shall be furnished by GAIL to the contractor as per provisions of the said Act.

g. It may be noted that each Monthly Bill/ Running Bill will be treated as an advance and any recovery found against any damage to GAIL Property etc. the same will be deducted from final bill. 9. SERVICE TAX: The bid price should be inclusive of all taxes, duties as well as Service Tax and Education Cess thereon. The bidder is required to mention the applicable rate of Service Tax and cess there on as on the final due date of bid submission. Service Tax and Cess thereon shall be paid as per the rate mentioned by the bidder in their offer on submission of documentary evidence/invoice(s). In the event of statutory variation on account of Service Tax and cess thereon within the contract period (except variation on account of turnover), the same shall be to GAIL’s account against documentary evidence. The bidder shall indicate in its bid the Service Tax Registration No. and in case the Service Tax registration no. is not available, the bidder will give confirmation for obtaining registration with a copy of application for registration. The contractors liable to pay Service Tax for the work/services rendered to GAIL, shall specifically mention the Service Tax registration No. in their Invoice(s). Further, the amount and rate of Service Tax shall be separately and distinctly specified in the Invoice(s). For payment of Service Tax, serially numbered invoice/bill shall be issued by the service provider and should also specify following: 1. The name, address and registration number of the service provider 2. The name and address of the recipient of the taxable service. 3. Description, classification and value of taxable service provided and 4. The service tax payable on such services. The above details are required to enable GAIL to avail Cenvat Credit for the Service Tax payments.

EARNEST MONEY DEPOSIT All bidders shall have to deposit EMD amount as mentioned in Covering letter for RFQ (Request for Quotation) in the form of demand draft/Bankers cheque in favour of GAIL (India) Ltd. Payable at Surat. EMD of unsuccessful bidders shall be returned to the party after the award of work to the successful bidder. The EMD of successful bidder shall be adjusted against the Security Deposit. 11. SECURITY DEPOSIT/ CONTRACT PERFORMANCE GUARANTEE The successful bidder / contractor shall submit a Bank Guarantee/DD from a nationalized bank for a sum equal to 7.5% ( Seven and half percent) of one years contract value as “ Security deposit “ at the time of signing the contract agreement . The B.G. will be valid beyond 3 (Three) Months of DLP. The Security Deposit shall carry no interest. The Security Deposit shall be released only after successful completion of defect liability period. 12. DEFECT LIABILITY PERIOD The Defect Liability Period shall be 3 Months from the date of completion of the work. As detailed in clause no. 80 of GCC enclosed.

13. General Conditions of Contract: The GCC for procurement of works Rev 0, May 2004 shall be applicable and being enclosed along with tender document. . However, in case of contradiction of any terms or condition then the SCC (Special Conditions of Contract) supersedes the GCC. 14. TESTS: All tests as directed by EIC shall be carried out by the Contractor in the reputed laboratory and testing charges shall be born by the contractor. 15. QUANTITIES: The quantities of items mentioned any where in bid are only Indicative and may be vary in any extent during CONTRACT PERIOD as per actual site condition. Therefore, no claim from successful bidder against variation (Plus or Minus) of quantity of any item during execution and its impact on total executed value after completion of job will not be entertained. GAIL reserves the right to revise/amend/add any conditions clause and other terms for speedy and timely execution of job by issuing the orders.

PRICE REDUCTION SCHEDULE: Time is the essence of the contract, in case the contractor fails to complete the work within the stipulated period, then, unless such failure is due to owner’s default, the contractor shall pay to the owner, by way of compensation for delay and not as penalty, a sum at the rate of 1/2% (half percent) percent of total contract price per complete week of delay or part thereof subject to a maximum of 5% of the value of the contract ( Excluding Service Tax), by way of reduction in prize for delay. The said amount will be recovered from amount due to the contractor/contractor’s contract performance security payable on demand. Being a rate contract the decision of the Engineer In charge in regard to applicability of compensation for delay shall be final and binding on the contractor. 17. SITE CLEANING The contractor shall take care for cleaning the working site from time to time for easy access to work site and also from safety point of view. Working site should be always kept clean upped the entire satisfaction of EIC. Before handing over any work to owner the contractor in addition to other formalities to be observed as detailed in document shall clear the site to the entire satisfaction of EIC. In case the contractor fails to clean the site, GAIL shall have the right to clear the same at the cost of the contractor including 20% supervision charges of GAIL. 18. MATERIAL TO BE SUPPLIED BY THE CONTRACTOR:Supply of all required materials, manpower, equipments and consumable shall be in the scope of contractor and the quoted rates shall be inclusive of all necessary input to complete the job. 19. SUPERVISION OF WORK: - Authorized representative of contractor shall supervise the work, during the progress of the work and will be fully responsible for proper execution and safety of the workers and the work. The contractor has to deploy minimum full time One No. qualified & experienced Supervisor ( Simply Graduate or diploma in civil engineering with one year experience) having working knowledge of computer at his own cost. Contractor’s supervisor will be responsible for receiving civil maintenance related complaints and taking action for attending the same at the earliest. He will be in direct touch to EIC and also responsible for collecting data, preparation of reports, keeping records available as & when required and taking measurement of work done as mentioned in BOQ. If contractor fails to deploy supervisor then Rs. 8000/- per month will be deducted from the bill for the period of non providing of Supervisor . Any alternative arrangement will be done by contractor if supervisor absent continuously more than 5 days. EIC has full liberty to remove the supervisor deployed by contractor side if services of supervisor are not found satisfactory Page | 6

GAIL (India) Limited Hazira and calling new supervisor at the risk & cost of the contractor. It may be noted that additional technical assistant having diploma in Civil engineering will be arranged by contractor for assisting EIC for which payment will be done in separate item who will work under the overall control of EIC only. 20. ADHERENCE TO SAFETY REGULATIONS:The contractor shall ensure that all safety instructions/regulations required to be observed at all times during the execution of the job are followed by his supervisors and workers. The contractor has to arrange safety shoes for all workers and cotton apron for ladies worker. It will be the duty of contractor or his supervisor to ensure that all workers deployed by them are following safety rules. 21. NUISANCE:The contractor or his representative shall not at any time cause any nuisance on the site or do anything which shall cause unnecessary disturbance to the owners or tenants or occupants of their properties near the site and to the public generally. 22. ADHERENCE TO TECHNICAL SPECIFICATIONS:a) The work shall be carried out as per standard specifications and as directed by Engineer In Charge. b) It will be assumed that specifications/ nomenclature of item have been fully read and understood by the tenderer irrespective of the fact whether they have so or not and no claim on this shall be entertained at a later date. 23. CARE OF WORK: From the commencement to completion of the work, the contractor shall take full responsibility for the care for all works including all temporary works and in case of damages, loss or injury, the total responsibility will lie upon the contractor. 24. DEFENCE OF SUITS:If any action in court is brought against the owner or an officer or agent of the owner, for the failure, omission or neglect on the part of the contractor to perform any acts, matters, convenient or things under the contract or damage or injury caused by the alleged omission or negligence on the part of the contractor, his agents, representative or his subordinate or in contractor’s workmen suppliers or employees, the contractor, shall in such cases indemnify from all losses, damages, expenses or decrees arising out of such action. The job of emergency nature shall be carried out immediately after getting the instructions from the engineer-in-charge. In case of failure it is lawful for the GAIL to get the job executed through some agency at the risk and cost of the contractor. Page | 7

GAIL (India) Limited Hazira Contractor or his authorized agent have to be present at site for supervision of work and will arrange to execute the job as per requirement. Contractor will be responsible for the quality and quantity as well as for following: He will take the instruction in the prescribed Performa and will be available at site all the time for inspection. The contractor shall take measurement of the work done and shall get the same verified/checked by the Engineer-in-Charge or his Authorized representative. If the contractor fails to take final measurements and get the same verified/checked by the Engineer-in-Charge or his authorized representative then the measurements taken by the Engineer-in-Charge or his authorized representative shall be taken to be the correct measurements of the work and shall be final and binding on the contractor. No claim whatsoever shall thereafter be entertained regarding the accuracy and classification of the measurements. . 25. COMPLIANCE OF INSTRUCTIONS: Whenever the contractor fails to comply with the instructions of the Engineer-in-charge it shall be lawful for Engineer-in-charge to have work done through other contractor or departmentally by giving 7 days notice to the contractor. In case contractor fails to execute specified job in the time limit specified, GAIL reserves the right to execute such job through other agency at the risk and cost of the contractor and excess amount incurred by GAIL will be recovered from the payment of the contractor for such failure including 20% supervision charges of GAIL. 26. STATUTORY COMPLIANCE WITH LABOUR/INDUSTRIAL LAW Attached in detail separately 27. TIME EXTENSION FOR COMPLETION DUE TO ADDITION, ALTERATION AND SUBSTITUTED WORK – a) The Annual rate contract shall be awarded to successful bidder for 2 years period and any time extension for further up to 6 months period will be decided by GAIL only.

28. EXTRA ITEMS /SUBSTITUTED ITEMS

If any job is required to be carried out for completing the whole work but the item is not available in SOR then that will be treated as Extra Item. Extra items of work shall not vitiate the contract. The contractor shall be bound to execute extra items of work as directed by the Engineer-in-Charge. Page | 8

GAIL (India) Limited Hazira The rate for extra item/substituted item of work, ordered to be operated/ executed shall be derived as under : a)

If the item of work is similar to the item for which, the bidder has quoted rates in SOR, the quoted rate shall be applicable.

b)

If the rate of item does not appear in the SOR, the rate shall be derived from similar item of work indicated in SOR.

c)

if the rates for the ,extra or substituted work can not be determined in the manner specified in sub-clause a) and b) above, then the contractor shall inform the EIC of the rates which it his intention to charge of such class of work supported by analysis of rate or rate claimed within 7 days of the date of receipt of order to carry out the work . The Engineer –in-charge shall determine the rate on the basis of the prevailing market rate of material , labour cost + 10% to cover contractor’s supervision, overhead and profit and pay the contractor accordingly. The opinion of EIC as to the current market rates for material and the quantum of labor and material involved per unit shall be final and binding to the contractor.

d)

Where the item of work will be executed through nominated specialist agency as approved by the EIC, then the actual amount paid to such nominated agency supported by documentary evidence and as certified by EIC shall be considered plus 10% to cover all contingencies, overhead, profit to arrive the rates.

The contractor shall submit voucher/ quotations in proof of rates paid/ likely to be paid for material and labor. It is the duty of contractor to inform EIC in advance before executing the extra item and contractor will not stop the work on plea of finalization of rate against extra item. 29.

AHR ITEMSThe items having rates more than 50% high from the estimate will be treated as AHR items. The rate of such items will be restricted only for the BOQ quantity. If the quantity of such items exceed above the BOQ quantity, the rate for the exceeded quantity will be least of the followinga) Rate given in the BOQ. b) Rate derived from a similar item of BOQ, provided this item is not an AHR item itself. c) Rate derived on the basis of market rate analysis. (The cost of material and manpower deployed + 10% C.P.) Page | 9

ENVIRONMENTAL AWARENESS The contractor & his representative shall ensure safety on the environmental aspects, impacts, legislative requirement & about emergency response & preparedness before executing the job. 31. AGREEMENT If the work is awarded the contractor shall enter into an agreement with GAIL in the prescribed Performa. The cost of stamp paper shall be born by the contractor. 32. RISK & COST If contractor fails to perform the job as per satisfaction to EIC , than the job can be executed through engaging third party on the risk & cost to the contractor + 20 % Overheads. 33. The contractor may be instructed to work during holiday/ late hours or in any emergency also but no Extra payment will be paid for such extended stay or working in holiday as being a ARC contract , emergency complaints also to be attended at the same rate and terms of condition of contract.

GAIL (India) Limited Hazira STATUTORY COMPLIANCE WITH LABOUR/INDUSTRIAL LAW:

(a)

The contractor shall obtain necessary insurance policy covering all risks such as accidents, injuries, death likely to be caused to workers or to third person including loss to the properties of Owner/GAIL or to some other agency and submit to Engineer-InCharge the insurance copy as and when asked by Engineer-In-Charge.

(b)

The contractor shall not employ or permit to be employed any person suffering from any contagious, loathsome or infectious disease. The contractor shall get examine his employees/Workers through a govt. doctor before deployment and thereafter arrange periodic medical check up of his employees deployed under this contract. He should submit a copy of doctor’s fitness certificate to the company for record purpose in respect of his employees.

(c)

No worker of contractor (including contractor) be allowed to consume alcoholic drinks or any narcotics within the plant premises. If found under the influence of above, the contractor shall have to change/replace him failing which GAIL may terminate the contract.

(d)

The contractor shall indemnify GAIL against all claims, demands, actions, cost and charges etc brought by any Court, Competent Authority/ Statutory Authorities against any act or acts of the contactor or his workers.

(e)

The contractor shall deploy the workers after verification of their character and antecedents. In case any worker(s) is found having criminal record, he shall have to be immediately replaced without assigning any reasons under intimation to Engineer-InCharge.

(f)

The Contractor shall be required to maintain all the relevant registers/documents and also be responsible for required contributions in respect of his employees/firm, as is applicable under different labour Acts/legislations.

(g)

The contractor shall be responsible for providing leave with wages/compensatory holidays as per the applicable relevant Acts.

(h)

The contractor shall ensure payment of bonus to its employees under the Payment of Bonus Act, 1965, which shall in no case, will be less than the minimum Bonus prescribed under the Act from time to time.

(i)

Sub letting of work without prior written permission of GAIL:

GAIL (India) Limited Hazira No contractor shall sub let or assign any work in part or whole to any firm, individual, partnership firm, Pvt. Ltd. Company, Proprietorship firm etc without the prior written permission of Engineer-In-Charge nominated by GAIL. In case the contractor sublets or assigns the contract in part or whole without the prior written permission of GAIL and any claim preferred by any firm/ individual to GAIL that the main contactor has not paid his or their dues/payments, in that circumstances, GAIL shall without assigning any reasons, withhold from the payments of contractor, the amount equivalent to the claim amount of sub contractor/individual/ vendor (s) etc. The same shall be released to the contractor after contractor and Labour/supplies/sub contractor jointly submits a joint written settlement to GAIL. (j)

The contractor shall require to obtain Labour License from Assistant Labour Commissioner (Central), Vadodra to start with the work, if applicable.

(k)

The contractor shall pay the wages at the rates to his workers as per the Minimum Wages Act as notified by the Regional Labour Commissioner (Central), Ahmedabad from time to time. The Engineer in charge shall ensure that the contractor is making payments of wages to its labours not less the wages notified by the appropriate authorities from time to time.

(l)

The contractor shall have a Provident Fund Code allotted to him by the Regional Provident Fund Commissioner and submit a monthly challan copy of PF deposited amount along with a list of his labours/workers to Engineer in charge.

(m)

The contractor shall require to deposit with PF authorities the PF deductions of its workers well in time & submit a copy of challans to Owner/Engineer-In-Charge on monthly/Quarterly basis failing which owner will deduct from his bills the amount equivalent to PF deductions with penalty under the Act.

(n)

The contractor shall obtain registration under Inter State Migration Labour Act if he deploys and engages labours from outside Gujarat.

(o)

The contractor shall strictly comply with the various provision of Payment of Wages Act, 1936, Workmen Compensation Act, 1923, Minimum Wages Act 1948, Contract Labour (Regulation & Abolition) Act, 1970, Employees Provident Fund and Miscellaneous Provisions Act, 1952, Employees State Insurance (ESI) Act, 1948, The Inter State Migrant Workmen (Regulation of Employment & conditions of Service) Act, 1979, Building & other Construction Workers (Regulation of Employment and Conditions of Service) Act, 1996 etc. and various other Labour legislatures as in existence (at present in India) and as amended & enforced from time to time.

(p)

The contractor shall comprehensively insure his employees working under him under Workmen Compensation Act, 1923 during the period of contract and submit a copy of it to EIC/GAIL. Page | 12

The contractor shall ensure that he does not deploy any of his person below 18 years of age for carrying out the contractual obligations. ARBITRATION:

(a)

All disputes or differences, whatsoever, arising between the parties hereto pertaining to any part of the contract including its execution or concerning the works or maintenance thereof of this Contract or to the rights or to liabilities of the parities or arising out or in relation thereto whether during or after completion of the Contract or whether before or after determination, foreclosure or breach of the Contract (other than those in respect of which the decision of any person is by the Contract expressed to be final and binding) shall after written notices by either party to the Contract be referred for adjudication to a sole arbitrator to be appointed by GAIL as herein after provided.

(b)

For the purpose of appointing the sole arbitrator referred to above the Appointing Authority will send within thirty days of receipt of the notices, to the Contractor a panel of three names, which are not connected with the work in question. The contractor shall on receipt of the names as aforesaid, select any one of the persons named to be appointed as a sole arbitrator and communicate his name to the Appointing Authority within thirty days of receipt of names. The Appointing Authority shall thereupon without any delay appoint the said person as the sole arbitrator. If the contractor fails to communicate his choice for appointment of an Arbitrator, the Appointing Authority shall do it on expiry of 30 days. The venue of arbitration shall be New Delhi. The award of the Arbitrator shall be final and binding on both the parities. Subject to aforesaid the previsions of the Indian Arbitration & Conciliation, Act, 1996 or any statutory modification or re-enactment thereof and the rules made there under, and for the time being in force, shall apply to the arbitration proceeding under this clause. Submission of Indemnity bond: The contractor will be required to submit an indemnity bond on a non-judicial stamp paper duly notarized, indemnifying GAIL against all consequences which may arise out of any case filed by any workers/Labourers/vendors/sub-contractor/partner etc. who may have been engaged by the Contractor directly or indirectly with or without consent of GAIL for above works, which may be pending before any Court of law including Quasi Judicial Authority, Competent Authority, Labour Court, Arbitrator, Tribunal etc. at the time of completion of the said contract, on a Performa given by GAIL. GAIL (India) Limited Hazira JURISDICTION: The contract shall be governed by and constructed according to the laws in force in India. The contractor hereby submits to the jurisdiction of the Courts situated at Surat (Gujarat) for the purpose of disputes, actions and proceedings arising out of the Contract.

INDEMNITY BOND

WHEREAS GAIL (India) LIMITED (hereinafter referred to as GAIL) which expression shall, unless repugnant to the context include their legal representatives, successors and assigns, having their Registered Office at 16, Bhikaiji, Cama Place,R.K.Puram, New Delhi and its Compressor plant under the name of GAIL (India) LIMITED, Hazira, District Surat (Guj.) has entered into a Contract with M/S…………………………………………………………………. (Hereinafter referred to as the (“Contractor”) which expression shall unless repugnant to the context include their legal representatives, successors and assigns, having their Registered Office at……………………………….and local office at ………………………for Rs.…………………for ………………………… in GAIL, Hazira and on the terms and conditions as set out, inter-alia in the Work Order NO………………………………….Dated………………………… and various documents forming part thereof hereinafter collectively referred to as the “Contract” which expression shall include all amendments, modifications and /or variations thereto. GAIL has also advised the Contractor to execute an Indemnity Bond in favour of GAIL indemnifying it from all consequences which may arise out of any case filed by any workers/Labours/vendors/sub-contractors/partner etc. who may have been engaged by the Contractor directly or indirectly with or without consent of GAIL for above works, which may be pending before any court of law including Quasi Judicial Authority, Competent Authority, Labour Court, Arbitrator, Tribunal etc. Now, therefore, in consideration of the promises a foresaid; the Contractor hereby irrevocably and unconditionally undertakes to indemnify and keep indemnified GAIL from any loss, which may arise out of any such contract/case. The Contractor undertake to compensate to GAIL forthwith, on demand, without protest the loss suffered by GAIL together direct/indirect expenses. And the Contractor hereby agrees with GAIL that: (i)

This Indemnity Bond shall remain valid and irrevocable for all claims of GAIL arising from any such contract/case for which GAIL has been made partly until now or here-in-after.

This Indemnity Bond shall not be discharged/ revoked by any change/modification/amendment/deletion in the constitution of the firm/contractor or any conditions thereof including insolvency etc. of the Contractor but shall be in all respects and for all purposes binding and operative until any claims for payment are settled by the Contractor.

DETAIL SCOPE OF WORK

The detail scope of work and penalty for non attending the complaints in time are follows: 1. Contractor has to execute the items mentioned in the SOR during contract period for maintaining the GAIL Owned Buildings in Township and Plant. 2. The jobs to be executed are mainly of civil maintenance related, however , some additional works i.e. making of small foundations for machines, raising height of platform or civil jobs required for compliance of Safety audit/ ISO audit and needs to be taken up on urgent basis are covered in contract. Therefore, the items not covered in SOR shall be treated as extra item and shall be paid as per Clause of contract mentioned in SCC. 3. The contractor has to ensure adequate resources material/ manpower to complete the assigned job within time frame decided by EIC and considering the importance of activity. 4. The blockage of drain line will be removed on same day after receiving complaint and dripping of water from ceiling in kitchen / master bed room to be taken on top priority so that the problem can be solved within 72 hours. Failure by contractor in attending this type of job will be reviewed seriously and penalty will be imposed @ Rs. 500/- per day. The liaison between occupants for attending complaints also in the scope of contractor. 5. The contractor has to deploy minimum One Carpenter, One Plumber and One helper along with necessary tools and tackles on regular basis except National Holiday / Sunday for attending day to day complaint in Both township and Compressor Station. The services will be paid as per contract provision. Services of Carpenter/ Plumber may be taken on Sunday or in odd hours in emergency but nothing extra will be paid for working on Sunday or odd hours. 6. The pump Operator will be deployed in 2(Two) shifts in New Colony , Magdalla and they will be responsible for starting & closing of pump ( Electrical & Diesel ) to ensure adequate water supply in flats/ guest house . Operators have to fill log book for diesel used and running hours. In addition to this they will ensure that there is no overflow from tanks placed at terrace or manholes at ground levels. He should be trend for making necessary adjustment / replacement of float valve. He will keep in watch about vegetarian growth surrounding the buildings and take action for removing the same. Pump operator also maintain the register for day to day job carried out in New Colony and give feedback to EIC through full time supervisor. 7. The contractor has to deploy minimum one full time Supervisor cum Data Entry Operator on his Own cost, nothing will be paid from GAIL in this account. The Supervisor will be responsible for keeping records of complaint , supervising the day to day job Page | 16

GAIL (India) Limited Hazira and their measurement , controlling the manpower engaged by contractor, making reports , keeping records in hard copy and soft copy. He will prepare record of manpower called by EIC on as and where basis for full fill the needs of other department and take signature from concerned department. He will be responsible for checking the records from EIC at weekly basis and submit the reports to EIC on format provided by GAIL. He will be keep in touch with EIC to assist him in data entry on as and where required basis. In absence of contractor’ supervisor the necessary deduction of Rs. 8000/- per month will be made from their bill. If the contractor fails to deploy Supervisor cum data entry operator than EIC has empowered to arrange a data entry operator at the risk & cost of the contractor. If contractor himself present at site and reporting daily in that case, there will be no need of extra supervisor cum data entry operator. 8. The contractor has to provide one technical assistant with minimum qualification of Diploma in civil engineering having one year experience to assist EIC. He will report to EIC and work as per instruction of EIC. The technical assistant will be called on Sunday or holiday also as per job requirement .Nothing extra will be paid for this service rendered on Sunday except compensate with weekly off. He will be responsible for preparing estimates, collecting data, site supervision of day to day job and to assist EIC in taking measurement of work done. If technical assistant absent more than 7 days , than contractor has to arrange his substitute immediately, however , contractor will be penalized for non providing the technical person @ Rs. 1000/- per day for the period decided by EIC. If contractor fails to deploy technical assistant, the same will be arranged by EIC at the total risk and cost of contractor + 20%. Contractor has to ensure that attendance of Technical assistant should be 24 days in a month except in the month of Diwali festival. Otherwise suitable recovery will be done from contractor bill. 9. The contractor is also responsible to execute any specialized job through engaging external expert agency duly approved by EIC. However, the payment will be made as per clause of extra item. To arrange the expert agency and completing formalities of security & safety will be in the scope of contractor. 10. Contractor has to make available 6 Nos. Cube mould 15x15x15 cm, 16 mm dia temping rod, at Compressor Station during contract period and the same will be taken back after completing the contract period. 11. Contractor may also be directed by GAIL for executing the maintenance related jobs in GAIL Terminal located within the premises of ONGCL , Hazira & KRIBHICO , Kawas at the same rate ,terms of existing contract. However, the entry permission and transport facility for contractor manpower & material from ONGC & KRIBHICO will be arranged by GAIL.

The safety of the deployed persons is full responsibility of the contractor/ agency. Page | 17

The contractor will pay not less than the minimum wages as prevailing in Surat and as per govt. Notification.

14. The contractor will start the job after getting clearance from EIC. 15. The contractor will supervise the job by himself or his deployed supervisor to maintain quality. If there is deviation in quality observed by EIC, the same job will be executed again by the agency at their own costs.

SPECIFICATIONS:

The specifications for the entire work shall be in accordance with CPWD specifications and latest IS codes. Whenever these codes are silent, the same shall be governed by sound engineering practice and the decision of the Engineer-In-Charge in matter of interpretation shall be final and binding on the contractor. BENDING OF REINFORCEMENT Bar bending scheduled shall be furnished by the contractor and got approved by the Site Engineer before start of work. Reinforcing steel shall confirm to the dimensions and shapes given in the approved Bar bending Schedule. Bars bent during transportation or handling shall be straightened before being used on work and shall not be heated to facilitate straightening. PLACING OF REINFORCEMENT The reinforcement cage should generally be fabricated in yard at ground level and then shifted and placed in position. Reinforcement bar shall be placed accurately in position and the bars crossing one another shall be tied together at every intersection with binding wire (annealed) to make the skeleton of the reinforcement rigid such that the reinforcement does not get displaced during placing of concrete or any other operation. Bars shall be kept in position usually by the following method: a) in case of beam and slab construction, industrially produced polymer cover blocks of thickness equal to specified cover shall be placed between the bar and form work . Cover blocks made of concrete may be permitted by Site Engineer, provided they have the same strength as those of the members. b) In case of dowels for column and wall, the vertical reinforcement shall be kept in position by means of timber templates with slots cut in them accurately or cover blocks tied to the reinforcement. GAIL (India) Limited Hazira c) Layers of reinforcement shall be separated by spacer bar at approximate one meter interval. The minimum diameter of spacer bar shall be 12 mm. Horizontal reinforcement shall not be allowed to sag between supports. d) Necessary stays, blocks, metal chairs, spacers shall be provided to fix the reinforcement in its correct position. e) Use of pebbles, broken stone, metal pipe, brick, or wooden blocks etc. for positioning reinforcement shall not be permitted. LAPPING All reinforcement shall be furnished in full length. No splicing of bars will be permitted without approval of the Site Engineer. Lapped splices shall be staggered or located at points, along the span where stresses are low. TESTING AND ACCEPTANCE The reinforcement material shall be tested in accordance with relevant IS specification and necessary test certificate shall be furnished. The frequency of testing shall be decided by EIC. MEASUREMENT OF PAYMENT Reinforcement shall be measured in length including hooks, if any, separately for different diameter as actually used in work, excluding overlaps. From the length so measured, the weight of reinforcement shall be calculated in Kg on the basis of standard unit weight decided by EIC. Wastage, overlaps, ,welded joints, spacer bars, chairs, stays, hangers, and annealed steel wire or other method of binding and placing shall not be measured and cost of these items shall be deemed to be included in the rate of reinforcement. RATE The contract unit rate for reinforcement shall cover the cost of material,fabricating,transporting,storing,bending,placing,binding and fixing in position as directed by the Engineer, including all labour, equipment, supplies, incidentals, sampling, testing and supervision. Measurement of work: 1. All measurement shall be in metric system. 2. All work will be jointly measured by the representative of the EIC and the contractor or his authorized representative progressively. Such measurements will be recorded in the measurement sheet by the contractor and signed in token of acceptance by the EIC/SIC. 3. For the purpose of taking measurement, the contractor/representative shall be bound to be present whenever required by the EIC/SIC. If, however, they are Page | 20

GAIL (India) Limited Hazira absent for any reason whatsoever, the measurement will be taken by EIC/SIC and the same would be deemed to be correct and binding on the contractor. 4. The bill and measurement sheet will be prepared on computerized sheet and submit the same to EIC in hard copy in required sets along with soft Copy. A) Steel item reinforcement – Laps, Chairs and spacer bars including wastage shall not be considered for measurement and payment purpose. Contractor shall take in consideration while quoting the rate for reinforcement item. B) Earth work Measurement:- The width and length shall be taken as per length and width of P.C.C. no allowance will be given for extra depth, width, length.
