Vivo Energy is the company behind the Shell brand in Africa and is jointly owned by Vitol, Helios Investment Partners and Shell. We have a strong and growing presence in 16 countries across Africa. We source, distribute, market and supply Shell’s world-class fuels and lubricants to retail and commercial customers across the continent.

According to the African Development Bank, 30% of African countries have GDP growth rates of over 6% in 2013 and the predicted growth for the continent as a whole in 2014 is 5.1%. Helios Investment Partners has a 40% shareholding in Vivo Energy. Helios is an Africa-focused private equity firm managing funds totaling $2 billion. Established in 2004, the firm is led and managed by a predominantly African team, bringing international capital and knowhow to the continent. The firm has a record of successful investments, ranging from start-ups to corporate carve-outs, building African market leaders in core economic sectors.

Vitol has a 40% shareholding in Vivo Energy. Vitol is one of the world’s largest independent energy trading companies with revenues of $307 billion in 2013. They are physical traders who find, extract, refine, trade, store and transport materials and resources from where supply is abundant to where demand is great. With more than 200 ships at sea at any given time and over 5 million barrels of crude oil and products traded every day, Vitol has 360º capability right along the supply chain – from the well-head to the service station. Entrepreneurial, responsive and agile, Vitol has a breadth of resources and a degree of liquidity that enables the business to seize opportunities quickly and make things happen. Vitol’s increasing expansion into wholesale and retail marketing makes it the perfect partner for Vivo Energy. Investing in the future

A long-term investment across Africa Africa is the world’s fastest growing continent, whether measured by population or growth in GDP. 1.2 billion people live in 54 African countries today. This is expected to rise to 4 billion by the end of the century, when around 40% of the world’s population will be African. But it’s not just a question of numbers. There are powerful social and economic changes taking place at an accelerated pace and these are creating new demographics for the continent as a whole. The middle-classes are expanding and fewer people live below the poverty line. As incomes rise and business activity increases, there is a growing need for commercial transport, personal mobility and power to drive industrial growth. Vivo Energy is committed to fuelling this growth. We will bring the Shell brand’s unique combination of quality, technology and efficiency to the broadest base of retail and commercial customers through a programme of investment that will see us commit over $250 million of capital investment in the next three years.

Building on existing strengths We won’t just upgrade existing service stations. We will build and acquire new stations, extending our footprint to get closer to our customers. We will be innovative in enhancing our facilities and adapting our retail offer to reflect the needs of local markets. We are expanding convenience retailing and are currently developing new formats, including the addition of quick service restaurants in partnership with major food brands. We are bringing superior fuels like Shell FuelSave to more sites in more countries and, with Shell Card offers, lube and car-wash bays and the provision of a market-leading retail experience, we are setting new standards for quality, convenience and service wherever we operate.

We want to reach more people, in more places, with a world-class combination of exceptional service, high-quality Shell fuels and lubricants, cost efficiency and continuity of supply. Today, we market Shell fuels and lubricants through more than 1,400 service stations and are growing this network five times faster than in the past. In 2013 we opened over 100 new service stations. People respect and trust the Shell brand. Our programme of investment and expansion is making it easier than ever for customers to access Shell’s quality products and services across Africa. We are also investing significant capital in growing our commercial infrastructure. We will add storage capacity and handling capability in partnership with Vitol and we are benefiting from cost-efficiencies arising from our direct line-of-sight of the entire supply chain. Our commercial customer base is growing as a consequence of our focus on supply reliability, tangible quality improvements and cost benefits at customer level. We are in the business for the long-term so we are investing in joint-infrastructure projects at customer sites and are working closely with customers in all sectors to identify and remedy inefficiencies, advise on plant upgrades and improve existing practices.

New markets, new channels We want to reach more people and more customers and we’re working hard to expand the Vivo Energy footprint. We now have a presence in 16 countries and we are looking to add more as and when the opportunity arises. Our marine operations are benefitting from our speed of response and ability to access and distribute fuels and lubricants through established bunker traders and resellers. The partnership between Vivo Energy and Vitol Aviation is delivering excellent results, with volumes for 2013 well above target. We are adding new airports to our aviation portfolio and are committed to growing the business through the provision of quality product at competitive rates and our proven ability to ensure continuity of supply.

Growing Shell’s footprint in Ivory Coast Looking to expand the service station network during a particularly challenging time in Ivory Coast, the Vivo Energy team rose to the challenge and exceeded all expectations. Our ability to think and act quickly meant that we were able to acquire 32 service station sites, rebrand them as Shell in a few months and upgrade them to the highest standards, with many offering a full range of convenience retailing options.

Our Shell service stations are setting new standards for the sector and fast becoming the outlets of choice for local communities who value quality, convenience, choice and expert, attentive service.

A world-class retail experience Our aim is to provide an exceptional retail experience at each and every one of our sites, reaching more people with better products and services wherever we do business. We are investing substantially in making this ambition a reality. We are: • Refurbishing existing service stations and shops. • Building new service stations and shops. • Improving operational excellence across all service stations. Our strategically placed service stations are meeting the diverse needs of customers who want convenience, quality and choice under one roof and rightly expect the quality of Shell’s products to be mirrored by an equally high-quality retail experience. Along with a major programme to upgrade our convenience retailing outlets, our service stations are increasingly offering a full range of facilities and services, including car wash, quick lube bays, quick service restaurants, Shell Card and other payment options.





For fleet owners and businesses, Vivo Energy issues the Shell Card; a payment tool that is safe, convenient and allows them to closely monitor their fuel spend and driver behaviour. Vivo Energy has over 65,000 cards in 11 markets and the fleet card platform is being constantly enhanced to enable our customers to enjoy updated features and technology in the area of fleet management. For private motorists, Vivo Energy continues to lead the way in the cards and payments area, enabling the widespread use of credit and debit cards issued by local banks as a method of payment both on the forecourt and in our shops. Vivo Energy has the largest number of service stations in Africa accepting bank issued credit and debit cards. Vivo Energy also issues a prepaid rechargeable card which can be used to buy any goods and services at our service stations. When recharging an existing card, customers can earn rebates or other benefits. The prepaid rechargeable card has been launched in Burkina Faso, Ivory Coast, Madagascar, Senegal and Tunisia. More markets will follow in 2014. Customers may conveniently pay using many services on their mobile phones in three markets. Whether customers are stopping for fuel, lubricants, impulse purchases, food or just a break from driving, we’re making the experience as rewarding as it is convenient – with levels of quality and service that are never less than impressive.

We offer a comprehensive range of Shell fuels, lubricants, and LPG products to our commercial customers. Beyond that, we offer a wide range of value-added services – everything from dedicated fuels, lubricants, LPG experts and trouble-shooting expertise to advanced product analysis and the latest product technology applications. Our objective is to reduce the cost of customers’ operations, extend the life cycle of plant and other equipment, reduce maintenance costs and, ultimately, to be the fuels and lubricants partner of choice for customers who know they can trust us and the Shell brand to help them grow their businesses. We have successfully grown our commercial customer base across Africa, largely because we are recognised as a business partner who focuses on innovation and value improvement at customer level and who has both the willingness and ability to adapt to the changing needs of customers in every sector.

With Shell’s world-class portfolio of cleaner and more efficient fuels and lubricants, we can provide products that offer our commercial customers the latest innovations and technological advances, together with the expertise, service and flexibility to make the most of them.

Where appropriate we partner with customers to co-invest in infrastructure. This could be in the form of equipment and expertise onsite, where we take responsibility for the handling and storage of fuels and lubricants. Or we might provide vendor-managed inventories or conduct value improvement audits, with recommendations on how to reduce downtime and costs, increase productivity and adopt best-practice Health, Safety, Security and Environment (HSSE) policies and procedures.

Bringing power to Senegal Mitsubishi Equipment & Services Africa (MESA), an Independent Power Producer, has been supporting Senegal’s national electricity company, Senelec, by supplying competitively priced power. Facing lubricant reliability and maintenance issues at the plant, MESA approached Vivo Energy for a solution. We were able to offer Argina, a lubricant ideally formulated for MESA’s generator sets. We further demonstrated our competitive advantage by providing customer-tailored services such as HSSE training, oil analysis and expert support from our front line technical team. Having initially switched one generator set to Argina, MESA has now switched five, with a total of 67 megawatts of generation capacity installed.

Lower costs for Tunisian buses The Tunis-based bus company, TCV, came to Vivo Energy looking to reduce their expenditure on lubricants. Our technical expertise and analytical skills meant that we were able to recommend an upgrade to Shell’s premium Rimula lubricant, knowing that this change would deliver a significant overall cost reduction. To ensure that our predicted cost reductions could be achieved, we worked closely with TCV to provide a comprehensive programme of support, expertise and value-added services, including: Shell LubeCoach, Shell LubeAdvisor and Shell Lube Analyst. The result was a measurable and sustainable reduction in lubricant costs of 13%.

Mining Our technical knowledge of mining and associated services means that we can actively deliver value not only through Shell’s world-class products, but also through a range of unique value-adding services. We work in close partnership with our customers to provide in-depth technical assistance relating to fuels and lubricants, to the optimal usage of machinery and to deliver long-term reductions in fuel and maintenance costs.

Our dedicated pan-African mining team draws upon over 80 years’ experience in the African mining sector. The combination of their experience and commitment with Shell’s Research & Development-focused products, technical innovation and mining-specific expertise has helped make Vivo Energy the partner of choice for a large and growing number of Africa’s largest mining businesses. Countries in which we operate: Botswana, Burkina Faso, Ghana, Guinea, Ivory Coast, Kenya, Madagascar, Mali, Namibia and Senegal.





Infrastructure investment in gold mining Working in partnership with a major mining customer, Vivo Energy Mali worked on a Build Own Operate business model for the construction of a fuel and lubricants storage facility at the Tabakoto gold mine in Mali. We delivered project design, cost evaluation and project management for the construction of: • Two 1,500m³ diesel fuel storage tanks • One 200m³ diesel day tank • Four 25m³ storage tanks for bulk lubricant • Installation of fuel pipelines • Civil, fire-fighting and electrical and instrumentation works • Fuel Management System Although construction took place during the wet season in a challenging location, we completed on schedule, with no reportable safety or environmental incidents. The quality of our delivery meant that the ‘defect bond’ was returned early. Our proven ability to add value at the customer level ensured that our contract was extended for a further 5 years and, in 2010, we delivered an additional 2,000m³ fuel storage tank to the facility.

LPG Vivo Energy is firmly established as a major player in LPG in the African marketplace and we have ambitious plans for growth across the continent. We meet the needs of both large commercial customers and local communities, where LPG is a safer, cleaner and more efficient alternative to the traditional fuels used for cooking and heating. Our LPG is stored, distributed and delivered under three widely recognised and trusted brands: Shell Gas in Cape Verde, Mauritius and Uganda, Butagaz in Morocco and Tunisia, and Afrigas in Kenya. With multiple filling centres, distributors, storage terminals and truck fleets, we offer customers an efficient and professional network ensuring secure and reliable products and services and a consistently competitive energy solution.

Our leading-edge gas installations, designs and technology provide customers with highly advanced, safe, reliable and fit-for-purpose energy solutions designed to produce product at the lowest energy input cost.

We are growing our business as customers increasingly switch from biomass to LPG as part of a wider movement towards anti-deforestation and cleaner air. We are also actively entering new markets. Countries in which we operate: Cape Verde, Kenya, Mauritius, Morocco, Tunisia and Uganda. Smarter stock management keeps the gas flowing When approached by the Marrakech-based Essaadi Garden and Resort Palace to tackle a long-standing issue of frequent propane stock-outs, the Vivo Energy Morocco business quickly mobilised a support team to provide an innovative and practical solution. It involved the creation of a telemetry system that would bring daily measurement of stock levels to the operation, together with a sharper focus on logistics and efficiency. With the Vivo Energy team delivering positive stock-management results and the added benefit of reduced operational costs, Essaadi Garden and Resort Palace decided to renew its supply contract for 10 years, purchasing around 650 tonnes of propane annually.





Marine

Aviation

Vivo Energy supplies fuels and lubricants to a growing number of private and merchant fleets, as well as naval customers, in the marine sector.

Vitol Aviation currently supplies jet fuel at 45 airport locations in Europe and the United States. With the creation of Vivo Energy, we now sell Vitol Aviation fuel at a further 21 airport locations across Africa, helping to create a global network.

Our Pan-African network, combined with extensive local knowledge, has resulted in a proven record of developing and delivering innovative and practical solutions for these customers. We aim to build partnerships, rather than just business relationships, with our marine customers, and work hard to provide them with personal customer service and optimised value at all times. We supply marine fuels as well as a comprehensive Shell marine lubricants portfolio including high-performance diesel-engine cylinder oils, trunk-piston engine oils, environmentally sensitive lubricants and specialist greases. We also provide a range of technical services to help our customers achieve maximum value from our products. Marine bunkering operations (fuels and Shell marine lubricants): Cape Verde, Ivory Coast, Madagascar, Mauritius, Morocco, Namibia and Senegal. In addition Vivo Energy sells Shell marine lubricants in the following countries: Ghana, Kenya and Mozambique.

Through Vitol Aviation, we are increasing our aviation customers across Africa. We operate to the latest international JIG (Joint Inspection Group) refueling standards across our network of airports and conduct regular inspections of airport facilities to ensure that quality control and safety of onsite refueling operations and processes are adhered to rigorously. Vivo Energy currently has aviation operations in the following countries: Cape Verde, Ghana, Ivory Coast, Kenya, Mauritius, Morocco, Senegal and Uganda.

We don’t set ourselves demanding ethical standards out of a sense of altruism or because we lack ambition. We do the right thing because it’s the best way to succeed and grow the business. The standards we apply and adhere to across Africa are the same high standards that apply in the world’s most tightly regulated downstream markets. We have zero tolerance for corruption, unsafe practices, environmental neglect or unfair competition. We understand that our responsibilities extend beyond day-to-day operations and beyond our sites. Because we are an integral part of the communities we serve, we will always try to act in their best interests. Our ultimate benchmark for success is to be recognised as the most respected energy business in Africa. It’s a recognition that can only be earned by behaving and operating in the right way in everything that we say and do.

We also know that the maintenance and advancement of these standards will play a key role in winning new customers, building loyalty, engaging communities, motivating our employees and growing our business.

HSSE – First and foremost Our commitment to achieving and maintaining the highest international Health, Safety, Security and Environment (HSSE) standards is at the heart of our business and is a key differentiator for Vivo Energy in Africa. Being the best in HSSE is not an objective that sits apart from our overall ambitions. It is an integral and essential part of our business plan.



Our focus is on five critical areas:

Process Safety – wherever we operate – service stations, terminals, LPG filling plants, tanks, shipping, aviation, customer sites – we place the highest emphasis on process safety.

Transport Safety – we invest significantly in training, technology and the adoption of best practice to continually improve in this area.

Contractor Safety Management – we require contractors and partners to manage their HSSE policies and practices in-line with ours. Environmental Impact – we actively monitor our environmental impact, act decisively to minimise the impact of any incidents and are transparent in our public reporting. We are equally diligent in reporting incidents and identifying potential incidents. It’s part of a company-wide culture that extends to employees, contractors and partners alike. Indeed, for our employees, adherence to HSSE policy and practice is a performance target linked directly to their pay.

Wherever we operate in Africa, even in the most challenging environments, our goal is to lead by example and set a new benchmark for world-class HSSE policies and practices. This commitment is fundamental, enduring and non-negotiable. Our performance to date has been very positive, with the key metrics showing that we have met or exceeded our tough goals in many vital areas – for example, Total Recordable Case Frequency (TRCF), where we achieved a rate of 0.35% by the end of 2013 – an industry leading performance. But there is always more to do.

We want to make a real and lasting difference to the communities in which we operate. We have chosen to focus on three key areas of community investment. Our community investment programmes matter to us because we employ local people and serve local businesses and individuals. We want to create lasting social and economic benefits for these communities and engage with them to earn their respect and trust.

Education

The three themes of our community investment programme are road safety, education and the environment.

We are active in the development and delivery of a wide range of educational initiatives across the continent. Many are aimed at children and young people, with the objective of fostering academic achievement, entrepreneurship and learning. Others are focused on skills and knowledge for life, often with an emphasis on safety, environmental issues and health.

Environment

Road safety is a major challenge across Africa and particularly for businesses like Vivo Energy, which rely on trucks and road tankers for supply and distribution. World Bank data indicates that 250,000 Africans are killed on the roads every year. There are too many accidents, fatalities and injuries associated with road transport in Africa and we are determined to make a difference where we can. Our programmes are designed to deliver a cultural shift in attitudes to road safety across the general population, in particular amongst school children.

We express our commitment to protecting the environment through two complementary channels. Clearly, we have a direct responsibility for the impact that Vivo Energy makes as a business and we work hard to develop energy resources, products, services, practices and policies that reduce our impact on the environment.

Already widely recognised as an industry leader in the promotion of road safety initiatives and higher standards, we work closely with local communities to provide training, guidance, technology and, where appropriate, funding to initiate changes to road layout and signage.

We also have a responsibility to educate local communities and help them adopt behaviours that will safeguard the environment and improve energy efficiency and, as a consequence, promote both a better quality of life and a sustainable future for individuals and businesses alike.



Road safety for Tunisian children

Working with a local NGO and Shell Tunisia Offshore, we’ve developed a road safety education programme aimed at school children. After a successful pilot phase, the programme is being rolled out to over 100 Tunisian schools and will reach and educate many thousands of children over the coming years. In partnership with the Education Ministry we have helped produce games, tests, books, posters, safety vests, CDs and films for children aged 6-12. We have also held workshops for teachers, school inspectors and decision makers in the transport industry. Ultimately, we would like our influence to help establish road safety as a core module in the primary school curriculum.

$1.1m Vivo Energy spent $1.1 million on community investment in 2013.



Safer LPG use in Mauritius

Vivo Energy Mauritius has launched ‘Gaz Pa Ene Badinaz’ – an educational project developed in partnership with the Ministry of Industry, Commerce and Consumer Protection, and the Government Fire Services. Our aim is to educate LPG users on safety, health and environmental issues relating to the use of LPG for both domestic and automotive purposes. We started with an integrated media campaign to support talks and workshops held in schools, youth and community centres across the country. We have since developed the programme, with support from Non-Governmental Organisations, to target disadvantaged and impoverished areas. To date, more than 2,000 households have benefited from checks on home LPG installations and advice on its safe use. The programme also included the training of young technicians at College Technique Saint Gabriel to qualify as LPG technicians.

Raising environmental awareness in Ivory Coast Vivo Energy has partnered Terre des Jeunes, an NGO focused on both education and environmental awareness, with the objective of encouraging young Ivoirians to start thinking and caring about the environment. Terre des Jeunes and Vivo Energy aim to foster an enduring appreciation of the environment among school children, so that future generations may look forward to a sustainable future. We are working with the country’s Environment Ministry, Education Ministry and with the national forestry body, SODEFOR. As part of a new programme, teachers will also be involved in the learning process, become ambassadors for environmental care and help accelerate the spread of knowledge and awareness among young people. The initiative includes environmentalthemed drawing competitions, establishing ‘green spaces’ and gardens at schools, and seminars on topics relating to the importance of protecting the environment. The programme started in 2008 and was launched in 2002 at the Vivo Energy Institute, an education centre in Yamoussoukro.
