DEFINITIONS In the Agreement, the following expression shall, unless the context otherwise requires, have the meaning, hereby respectively assigned to him i)

“IGNTU” means Indira Gandhi National tribal University, Amarkantak, M.P.

ii)

“PSU” means Public Sector Undertaking.

iii)

“Employer” means IGNTU, Amarkantak, M.P.

iv)

“EOI” means Expression of Interest.

v)

“EMD” means Earnest Money Deposit.

vi)

“Approval” means approval in writing by the designated officer of the Employer.

vii)

“PSU or Executing Agency” means the Executing Agency selected for executing the work as Project Management & Supervision Services.

viii)

“PMC” means Project Management Consultant.

ix)

“Contractor” means the contractor or contractors or suppliers or agencies employed by the Executing Agency for the work or any connected work, including the Executing Agency itself in case any work is done directly by the Executing Agency.

x)

“Completion” means when the Building(s) Structures(s) are complete in all respects along with associated services i.e., ready to occupy and are actually handed over to the Employer.

xi)

“UGC” means University Grants Commission of India (UGC India).

xii)

“CPWD” means Central Public Works Department.

xiii)

“DSR” means Delhi Schedule of Rates.

xiv)

“DAR” means Analysis of Rates for Delhi.

xv)

“BIS” means Bureau of Indian Standards.

xvi)

“CTE” means Chief Technical Examiner.

xvii)

“CVC” means Central Vigilance Commission, Government of India.

ELIGIBILITY CRITERIA:

01.1

Bidding Executing Agencies should have experience in providing PMC for construction of Green House Building.

01.2

Completion certificate of rendering services for project management and supervision for the works as mentioned in scope of work in this EOI is to be submitted.

01.3

TDS certificate should be enclosed as a proof of carrying out the work. Works without TDS certificates will not be considered as eligible.

01.4

Preferable should have previous experiences of executing (Green House Buildings) for University / Government of India.

01.5

Agencies having existing Consultants / Architectural services shall be preferred.

01.6

Balance sheet for the last three years ending March 2016 duly certified by the chartered accountant should be enclosed.

01.7

Should not have incurred any loss in more than three years period during the last five years ending 31-3-2016.

02.0

INSTRUCTIONS TO BIDDERS

02.1

All provisions in the documents and future documents to be issued by the University in connection with this consultancy work are supplementary and complementary to each other and are not to be read in isolation.

02.2

Bidders are advised to visit the University website www.igntu.nic.in regularly for latest updates & clarification regarding the EOI and subsequent stages.

02.3

In the interest of the University, the University reserves the right to : Page 2 of 15

i.

accept / reject any or all bids for this EOI without assigning any reason, whatsoever.

ii. amend the selection process at any stage without assigning any reason, whatsoever. iii. amend the provision of this EOI or any other document issued at any stage of selection without assigning any reason , whatsoever. iv. amend the scope of work without assigning any reason, whatsoever. v. debar the bidder, if during the process of selection incorrect/misleading information or material misrepresentation or concealment of information sought by the IGNTU and vi. close the invitation at any stage without assigning any reason, whatsoever. 02.4

In case the last date fixed for the submission of the EOI is declared as the holiday/offday, the next working day shall be deemed to be the last date.

02.5

The University reserves the right to verify the particulars furnished by the bidders independently and to obtain feedback from clients of the Executing Agency for whom, consultancy services had been carried out by them.

02.6

The University may at its discretion, hire the services of an independent agency for quality audit for checking and ensuring the quality of construction to which Executing Agency will render due assistance in discharge of their duties.

02.7

The construction work is opened to technical/quality audit by any authorized Government agency to which the Executing Agency will render assistance in discharge of their duties.

02.8

Executing Agency will ensure adherence to relevant CPWD specifications, relevant GFR, BIS codes, CVC guidelines, environment and other regulatory requirements and will also ensure observance of all formalities/documents/ day to day activities and defined the CPWD Works Manual for execution of „Works Contract‟ and /or as directed by the University from time to time.

02.9

The University reserves the right to reject any or all application/bid without assigning any reason, and restrict the list of Agency to any number deemed suitable in the interest of the University. Page 3 of 15

02.10 Mere fulfilling criteria laid down in this EOI do not entitle/ guarantee the bidder to be shortlisted/selected/awarded the Consultancy Services at IGNTU. 02.11 The bidders are advised not to make any corrections, additions, alterations in the downloaded bid document. In case, any corrections, additions, alteration are made in the downloaded bid documents; such bid shall summarily be rejected. (i)

The EMD (without any interest) and the unopened sealed envelope (Price Bids) for all those bidders who are not eligible as well as technically disqualified, shall be returned back to the bidder through registered post.

(ii)

The EMD without any interest shall be returned to remaining bidders after signing of agreement / MoU with the selected Executing Agency.

(iii)

No exemption from depositing the EMD shall be allowed to any participating bidder.

(iv)

Validity of EMD shall be six (6) months from the last due date of submission of EOI.

(v)

EMD shall forfeited in the following cases : a) If any information or document furnished by the bidder turns out to be misleading or untrue in any material respect; and b) If the successful bidder fails to execute the consultancy agreement within the stipulated time or any extension thereof provided by IGNTU. c) The earnest money deposit (EMD) shall not carry any interest.

02.12 The selected Executing Agency shall have to deposit @5% of the consultancy service fee / charge, as the Performance Security in the form of Bank Guarantee for which the format shall be provided to the selected Executing Agency at the time of executing the MOU / Agreement. This amount shall be refunded to the Executing Agency without any interest on successful completion of project including defect liability period, as will laid down in the agreement / MOU. In case of non-satisfactory performance, the University reserves the right to forfeit the Performance Security. 02.13 Period of Validity of Bids: The bidder shall not be entitled to revoke or cancel its Bid or vary the Bid given or any term thereof. 02.14 The bidder is also required to submit “Unconditional acceptance of tender conditions. The format for which is provided as “Annexure B”. 02.15 The Executing Agency shall ensure the Contractor complies the GRIHA requirements and obtain monthly GRIHA compliance reports & certification and submits the same to the IGNTU after their review Executing Agency shall ensure compliance of environmental safe guard measures implemented by the contractors. 02.16 Executing Agency shall ensure implementation of various Labour Laws, Rules and Regulations including employee provident fund and other welfare measures by the contractor(s) as per the extent provisions and as laid down in the contract (s). 02.17 Executing Agency shall be fully responsible for the soundness and correctness of all works executed by the contractor, the soundness of design and the conformity of the work to the approved Plans, designs and specifications and conditions of contract applicable to the subject work. 02.18 SUBMISSION OF APPLICATIONS Bids must be duly signed by an authorized signatory, who has been authorized by the concerned Executing Agency. For this a Power of Attorney must be submitted along with the technical bid. 02.18.1

Bidder may download the bid documents for expression of interest (EOI) from

the website of IGNTU, Amarkantak (www.igntu.nic.in). Tender cost (Non refundable) of Rs. 10,000/- is to be enclosed in Envelope –I (details to be attached) along with the Bid. The Bid received without the Bid Cost shall not be acceptable. 02.18.2

Bid along with supporting documents to be submitted in the sealed envelope as

mentioned below : 02.19 Mode of Submission of Sealed Bids: The EOI document/ bid shall be submitted in two parts (Part - A & Part -B) as under enclosed & sealed in single envelope. Part – A: Page 5 of 15

Envelope – I: Tender Cost and Earnest Money Deposit details Envelope– II: Technical Part: Complete Signed Tender Documents, Relevant documents pertaining to Technical Part, with necessary Annexure‟s. Part – B: Envelope – III: Financial Bid: Containing the financial bid as per Annexure H. All the three envelopes (I, II & III) shall be sealed separately (and the outer Envelopes should mention the contents inside) and shall bear markings indication the part of the bid. These three envelopes in turn shall be enclosed and sealed in an outer envelope marked “Expression of Interest for Engagement of PSU for Project Management & Supervision Services at IGNTU, Amarkantak, M.P.” along with EOI Notice no: IGNTU/PSU/EOI/2016/082, dated: 02.01.2017. Financial bid of only technically qualified bidders fulfilling the criteria laid down in this EOI shall be opened subsequently. Relevant information in this regard will be displayed on the University website (www.igntu.nic.in).

03.0

DISQUALIFICATION:

The University may disqualify bids on account of the following reasons: a.

If bid is received after the last date and time.

b.

If the bid is submitted other than registered/ Speed post mode.

c.

If the bidder disregards any of the terms & conditions of the bid and/or leaves any ambiguity in calculation of the consultancy fee.

d.

If the bidder attempts to influence any member of the expert panel.

e.

If the bid is conditional.

f.

If the bidder provides any misleading information or conceals any information.

g.

If the Bid is received without the Tender Cost and EMD.

h.

If the bidders make any corrections, additions, alterations in the downloaded bid document.

i.

If the bidder is under a declaration of ineligibility for corrupt and fraudulent practices

issued

by

the

Government

of

India

(GOI),

State/Central

Government, or any other of their agencies. Page 6 of 15

j.

If the Information provided is incomplete.

k.

Non fulfillment of any of the eligibility criteria as per the EOI

Bid submitted without the Power of Attorney as per Appendix – IV The decision of the University in the matter of disqualification shall be final and bidding and no further correspondence shall be entertained from any disqualified bidder thereafter. 04.0

SCOPE OF WORK:

 Construction of one number of Type III Staff Quarters (G + 5) building (48 Quarters) 2 BHK.  Construction of 02 nos. of RCC Check Dams. As per latest CPWD norms / National Building Code and Latest IS (Indian Standard) Codes. a.

The Executing agency will coordinate with the University appointed Architect and get the details such as drawings and necessary design.

b.

The Executing agency shall make sure that the design and drawings are reviewed thoroughly and make sure that they confirm to the latest CPWD / Indian Standards, and as per Green Building / GRIHA concepts.

c.

Executing Agency to get the drawings and design approved from the IGNTU before tendering for selection of the Agency / Contractor.

d.

Executing Agency shall make sure that all Government norms are followed.

e.

Executing agency shall make sure that all statutory govt. / local bodies‟ approvals from state and central are sought before starting of any works.

f.

Executing Agency shall make sure that necessary environmental clearances if required are taken before start of any work.

g.

Executing Agency shall nominate a responsible Engineer for execution of the project under intimation to the Employer.

h.

Executing Agency shall appoint dedicated Quality Manager personnel who would be responsible for the Construction Quality monitoring at the sites.

i.

Executing Agency shall make sure that necessary safety rules are followed on the construction sites.

j.

Executing Agency shall appoint dedicated Safety Manager personnel who would be responsible for the safety monitoring and management at the sites.

k.

Executing agency shall not allow any unauthorized personals on site.

l.

Safety of all the personals on Construction site rests with the Executing Agency, and in case of any accidents / mishaps Executing Agency shall be responsible.

m.

Executing Agency shall make sure that necessary labour laws are adhered for all the Construction related works both by Contractor and Executing Agency.

n.

Executing Agency shall execute the works at sanctioned cost inclusive of agency charges for project management and planning consultancy services. In case at detailed design / execution stage, if there is an increase in this anticipated cost, the Execution Agency shall submit the details of the same with the supporting documents and technical / administrative justification to the Employer.

o.

Executing Agency shall prepare the tender documents comprising the technical specification BOQ (Bill of Quantities), General Terms and Conditions, Special Conditions etc., for inviting tenders as per norms of CPWD.

p.

The Executing Agency shall invite the open tenders. The Executing Agency shall award the work to the technically qualified lowest bidder as per CPWD norms.

q.

Executing Agency shall be wholly responsible for any observations / comments/ defects pointed out by C.T.E / C.V.C / C.A.G or any other Govt. agency in the planning & procedures of execution of this project.

r.

Executing Agency shall be fully responsible for the timely completion, the quality and structural safety of the construction.

s.

Any defects discovered and brought to the notice of the Executing Agency during the period aforesaid shall be rectified by the contractor appointed by the Executing Agency. Executing Agency shall ensure that in the event of the failure on the part Page 8 of 15

of the Contractor, the same may without prejudice to any other rights available to it in law, be rectified by the Executing Agency at the cost and expense of the Contractor. t.

The Executing Agency shall unless otherwise specified be fully responsible for procurement of all materials and services for the Construction activity.

u.

During the various stages of execution, Executing Agency shall submit monthly progress reports with site photographs.

v.

IGNTU would provide space for Construction of temporary office for the Executing Agency.

w.

IGNTU would provide necessary water and electricity on chargeable basis as per IGNTU terms and conditions.

04.1 COMPLETION OF THE PROJECT a. The date of start of the work shall be reckoned from the 15th day after the payment of advance or the date of handing over the site or sanctioned of estimate or approvals of Drawings by the statutory authorities whichever is later. b. The work shall be completed in all respect within a period as mutually agreed, decided upon from the date specified in agreement. c. The Executing Agency shall be fully responsible for observance of all labour and other laws applicable in the matter and shall indemnify and keep indemnified the owner against effect of non-observance of any such laws. d. The Executing Agency shall submit completion report / certificate with Architect or Consultant approved as built drawings and maintenance schedules to the Employer within 15 (fifteen) day of completion of work. e. The defect liability period of this project shall be 12 months after completion of work or taking over of works whichever is earlier. Executing Agency shall be responsible for satisfactory rectification of defects. f.

Ensure proper commissioning and handling over for occupation for the completed project in all respect including external development & approaches. Page 9 of 15

g. Ensure maintenance during the defect liability period after successful handing over the completed project to the IGNTU. h. The Executing Agency will be solely responsible for any financial, technical and legal issues related with the construction project entrusted to the Executing Agency. i.

The Executing Agency will submit all relevant final drawings in 3 sets after completion of the project to the University Engineering section of the IGNTU.

j.

The Executing Agency will also submit the Guaranty/Warranty related documents for the accessories, equipment, appliances, fixtures, fittings etc., installed/fixed in the projects.

k. The Executing Agency will hand over a certified copy of the material testing report, design mix report, any other tests carried out as per the relevant IS code provisions for the completed projects to the IGNTU. 04.2 PAYMENT TERMS Executing Agency shall work on “Deposit work basis” for this project on behalf of Employer and shall be paid the actual cost of work plus the agency charges for Project Management & Supervision services. The service tax as applicable on implementation of works shall be charged to Project cost. The actual cost of works shall include the following: a. All the final payments made to the contractor(s), supplier(s), agency as agreed upon in the tender for the construction of the buildings, services, related facilities etc. b. All costs of materials acquired for the project and used on the work, either directly or through the contractor(s) including storage charges, carriage and any other incidental charges connected with such materials but excluding the material not incorporated or not handed over to the Employer.

c. Actual cost of site survey, soil testing charges, laboratory charges for testing of any material, manufactured or built items including the cost of cartage of samples to and from the laboratory. d. The cost towards vetting of design/drawings from any reputed/IIT Institute and/or their services for consulting any matter concerning the project. e. All liabilities of the Executing Agency payable to the contractors/ SubContractor, suppliers and other agencies to the extent these falls within the scope of work and definition of actual cost as may be left outstanding at the time of payment of final bill provided they have been accepted by the Executing Agency as balance payment against final bill of these agencies. f. Service Tax, if applicable, shall be reimbursed to the Executing Agency. Any other tax levied by Govt. after signing the agreement is to be paid extra. g. All liabilities arising out of any court decree or arbitration award and /or any additional costs transpiring due to the direction of any Court/tribunal /statutory body and/or any other legal costs including but not limited to the cost of hiring advocates, getting legal opinions, filing of pleadings etc., for the purpose of initiating on behalf of, or defending, itself or the Employer in any suit or arbitration, in respect of any dispute arising out of the Project works done or to be done and/or freeing the site of all encumbrances and/or charges. h. The Employer shall not be responsible of any court decree or arbitration award and /or any additional costs transpiring due to the direction of any Court/tribunal /statutory body, due to the lapses solely attributable to executing agency. i. This Sub-Clause only addresses disputes/arbitrations/suits with any or all of the Contractors or any other person(s) body/authority. Nothing Page 11 of 15

in

this

Sub-Clause

shall

be

construed

to

cover

any

disputes/arbitrations/suits between the Employer and the Executing Agency, in which case, each party shall bear its own costs. j. The parties hereto understand and agree that although these costs will come under actual costs and therefore be borne by the Employer, the same shall not be taken into account for the purpose of calculating the Agency charges except for such costs which as a result of an order/judgment/decree have resulted in some form of addition or variation in the Project works 04.2.1

The actual final cost of work shall not include: a) Cost paid by the Employer to local Government or any other statutory body or bodies for getting approvals for the project etc.

04.2.2

The payments by the Employer shall be made by transfer of funds in a

bank

account

of

agency

selected

or

through

Demand

Draft/Cheque. 04.2.3

1st STAGE: The University will deposit up to 10% (The percents only) of total estimated cost of the project as initial deposit with selected Executing Agency.

04.2.4

Whenever about 70% of the initial deposit is spent by selected Executing Agency, the University shall provide additional funds to the tune of as mentioned below:

04.2.5

50% (Fifty percent only) of the estimated cost on written demand with justification by Executing Agency of timely completion of works.

04.2.6

Next 25% (Twenty Five percent only) of the estimated cost on written demand with justification by Executing Agency of timely completion of works.

04.2.7

10% (Ten percent only) of the estimated cost on written demand with justification by Executing Agency of timely completion of works.

04.2.8

FINAL STAGE: Balance 05 % (Five percent only) of estimated cost shall be released to the Executing Agency on satisfactory completion and Handing over of work.

04.2.9

Separate account of the university funds will be maintained by Executing Agency in the nationalized bank.

04.2.10

If any interest accrues in the bank on the deposit /advance given by the University, then the same shall be credited to the project account by Executing Agency.

04.2.11

During

the

execution

of

projects

expenditure

and

utilization

certificate will be forwarded by Executing Agency in an approved CPWD format on monthly basis to the University. 04.2.12

5 % (Five percent only) shall be payable after the successful & satisfactory completion of Defect Liability Period for each package of work after a certificate is submitted to the University by the consultant stating that no defects are pending.

04.2.13

The payment mode of consultancy fees / service charges of the Executing Agency shall be finalized at the time of executing the agreement / MoU between the selected Executing Agency and IGNTU.

04.2.14

Executing Agency shall also ensure that the contractor(s) submit Performance Bank Guarantee(s) from any Nationalized Bank / Scheduled Bank equivalent to 5% (Five percent only) of the respective value of work awarded to the contractor(s) for due and proper execution of the contract in favour of Executing Agency. The Performance Guarantee(s) shall be initially valid upto the stipulated date

of

completion

plus

maintenance

period

of

12

months

thereafter. In case the time for completion of work gets extended, Executing Agency shall get the validity of Performance Guarantee(s) provided by contractor, extended to cover such extended time for Page 13 of 15

completion of work. Security deposit of 5% (Five Percent only) of the contract value of contractor(s) shall also be released by the executing agency after completion of defects liability period of respective work. 05.0 LIQUIDATED DAMAGES a. Executing Agency shall be required to complete the construction of project within the period stipulated in this EOI. In case of delay, which may occur due to the reasons beyond the control of Executing Agency, Executing Agency would approach the Employer with full details for extension in time limit for completion of the works. b. In case, completion of the project is delayed due to reasons solely attributable to the contractors/Agencies/Suppliers engaged for the project by the Executing Agency, the Executing Agency shall impose liquidated damages @ 0.5 % (Zero point five percent) on awarded contract value for each week of delay subject to a maximum of 10% (ten percent) of the awarded contract value and the benefit shall be passed on to the Employer. c. If the delay in completion is solely attributable to the Executing Agency, the Executing Agency shall be liable to pay as damages to „EMPLOYER‟ a sum calculated @ 0.10% (Zero point One zero percent) of the Agency Charges for the balance work for each month of delay, subject to a maximum of 2% (Two percent) of the Agency Charges. d. The Executing Agency shall be fully responsible to defend any suits or arbitration cases arising out of project in connection with the work between the Executing Agency and its Contractor(s). 06.0 FORCE MAJEURE a. The Executing Agency shall not be considered in default if delay in completion of the work occurs due to cause beyond its control such as acts of God, natural calamities, civil wars, fire, strike, frost, floods, riots and acts of unsurpassed power. The Executing Agency shall notify „Employer‟ in writing within ten days from the date of such occurrence. In the event of delay due Page 14 of 15

to such causes, the completion schedule will be extended for a length of time equal to the period of force majeure. Any expenditure incurred by the Executing Agency during the period of force majeure shall be reimbursed by the Employer. In case of closer of work due to the force majeure, any liabilities towards contractor and/or expenditure of the Executing Agency shall be payable by the Employer. b. Executing Agency shall not hold responsible any contractor/ agency for the delay/ stoppage of work due to force majeure conditions like natural calamities, civil disturbance, war, etc. and for losses suffered if any, by the Employer on this account. The Executing Agency shall also not be able in any way to bear such losses and no compensation of any kind whatsoever will be payable by the Executing Agency to the Employer. Suitable force majeure clause shall be incorporated in all the agreement entered into by the Executing Agency with the contractors/ agencies. 07.0 ARBITRATION In the event of any disputes or difference relating to the interpretation and application of the provisions of the contracts, (whether during the progress of the works or after their completion) the same shall be settled amicably through mutual discussions or shall be referred to a sole arbitrator to be appointed jointly by the Vice Chancellor, Indira Gandhi National Tribal University and The Chairman and Managing Director of selected agency, for adjudication through arbitration. The arbitration shall be conducted with the provisions of Arbitration and conciliation act of 1996 or any statutory modifications or re-enactment thereof and the rules made there under and for the time being in force, shall apply to the arbitration proceedings. 08.0 JURISDICTION For any legal issues jurisdiction of the Hon‟ble High Court of Judicature of Jabalpur (MP) shall be applicable.
