CONTRACT RENEWAL *12. WHEREAS, the Roxbury Township Board of Education approved Finance Resolution 8 on June 3, 2013 awarding a contract for Garbage and Refuse Removal to the lowest bidder, Gaeta Recycling Inc., 278 West Railway Avenue, Paterson, NJ, and WHEREAS the terms of the contract awarded to Gaeta Recycling, Inc. allow the contract to be rolled over, NOW THEREFORE BE IT RESOLVED, that the Roxbury Township Board of Education approve the renewal of the contract for Garbage and Refuse Removal to Gaeta Recycling, Inc. for the 2016/2017 school year at a fee of $36,474.97. ALLIANCE FOR COMPETITIVE TELECOMMUNICATIONS (ACT) *13. RESOLVED, that the Roxbury Township Board of Education agrees to participate in the Alliance for Competitive Telecommunications ​with the Educational Services Commission of New Jersey (ESCNJ) Cooperative Pricing System 65MCESCCPS and the New Jersey Association of School Business Officials (NJASBO). The ESCNJ shall be the lead Agency for this program. All current and future members of the ESCNJ Cooperative Pricing system are invited to participate in the ​Alliance for Competitive Telecommunications, which is intended to fulfill school districts’ obligation under 18A:55-3 and offer other co-op members a competitive pricing model. The Co-op Member shall provide the awarded vendor with accurate data, i.e. telephone line numbers, locations and any other appropriate information necessary for the provision of service. The Co-op Member may accept the contract award to the successful vendor(s) for such services as may be needed if it is advantageous to do so. The Co-op Member shall not withdraw from this agreement if they award a contract to the named vendor(s). The Co-op Member understands that the services to be provided under this cooperative purchasing agreement may include dial tone/local calls (where available), regional toll calls, long distance toll calls and voice over internet protocol (VOIP) when such option is chosen by the participating Co-op Member. The ACT program also includes Wide Area Network Connections, Internet Access and Hosted Phone and Fax Services. All fees for the work of the MRESC and the expenses of NJASBO will be incorporated into the price for services as provided by the successful vendor(s). A 3% fee has been established and will be incorporated in the bid specifications.

TRANSFER TO CAPITAL RESERVE ACCOUNT *14. WHEREAS, N.J.S.A. 6A:23A-14.4 permits a Board of Education to establish and/or deposit into certain reserve accounts at year end, and WHEREAS, the aforementioned statutes authorize procedures, under the authority of the Commissioner of Education, which permit a board of education to transfer anticipated excess current revenue or unexpended appropriations into reserve accounts during the month of June by board resolution, and WHEREAS the Roxbury Township Board of Education wishes to deposit anticipated current year surplus into a Capital Reserve account at year end, and WHEREAS, the Roxbury Township Board of Education has determined that up to $2,900,000. is available for such purpose of transfer, NOW THEREFORE BE IT RESOLVED by the Roxbury Township Board of Education that it hereby authorizes the district’s School Business Administrator to make a transfer of $2,900,000. retroactive to June 30, 2016 consistent with applicable laws and regulations thereby amending Finance Resolution #7 dated June 6, 2016. APPROVAL TO AUTHORIZE ARCHITECT SPECIFICATIONS *15. RESOLVED, that the Roxbury Township Board of Education approve the authorization of SSP Architects to develop and provide a detailed set of construction documents and specifications for the following to be funded by the Capital Reserve Account: Roxbury High School Phase II Roof Replacement $135,720 Franklin Elementary School Window Replacement $61,322

RESOLUTION OF THE BOARD OF EDUCATION OF THE TOWNSHIP OF ROXBURY IN THE COUNTY OF MORRIS, NEW JERSEY APPOINTING A LESSOR RELATING TO THE LEASE PURCHASE OF SCHOOL BUSSES IN AN AMOUNT NOT TO EXCEED $676,572, AND DETERMINING RELATED MATTERS IN CONNECTION THEREWITH *16. ​WHEREAS, The Board of Education of the Township of Roxbury in the County of Morris, New Jersey (the "Board") seeks to acquire school busses (the “Project”) at a cost not to exceed $676,572; and

​WHEREAS, the Board intends to finance such Project through a tax-exempt, lease purchase financing in an aggregate amount not exceeding $676,572 (the “Lease Purchase Financing”); and WHEREAS, the Board sought quotes through the Hunterdon County Educational Services Commission for such Lease Purchase Financing; and WHEREAS, ​the Board, on November 9, 2016, received quotes for the Lease Purchase Financing; and WHEREAS, the quote of US Bancorp Government Leasing & Finance, Inc. (“US Banc”) was the most advantageous quote to the Board; and *Mt. Arlington Representative votes

WHEREAS, the Board seeks to execute a lease purchase agreement (the "Lease") for the Lease Purchase Financing with US Banc in its capacity as lessor and in accordance with its quote as set forth below; and

​WHEREAS, the Board desires to set forth the basic financial terms to be incorporated into the Lease and authorize the preparation, the execution and the delivery of the Lease and certain other agreements necessary or incidental to the transactions contemplated thereby; ​NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF EDUCATION OF THE TOWNSHIP OF ROXBURY IN THE COUNTY OF MORRIS, NEW JERSEY, as follows: ​SECTION 1. The Board hereby approves to finance the acquisition and installation of the Project and other related costs and hereby awards the financing to US Banc (as defined above). The interest rate per annum, the principal maturities and the other terms of the financing shall be as described in the Lease and shall be consistent with the quote submitted by US Banc on November 9, 2016 (the “Quote”). In accordance with the Quote the interest rate shall be 1.549% or as indexed in the Quote. SECTION 2. The Board hereby authorizes (i) the execution and the delivery of the Lease and other related documents, including an Escrow Agreement, and (ii) the performance by the Board of its obligations under the Lease and the Escrow Agreement, both to be dated the date of respective closing. The Board further authorizes and directs the Board President (or in every instance where the Board President is authorized to execute a document under this Resolution the same such authority shall also be given to the Vice President), the Business Administrator, the Assistant Business Administrator or the Superintendent to approve any non-material changes, additions or deletions to the Lease and the Escrow Agreement as may be necessary in the judgment of the Board's Bond Counsel. The Lease sets forth, among other things, the lease payments of the Board and their respective amounts. In all respects, the Lease shall be consistent with the terms of this Resolution.

​SECTION 3. In exchange for its authorization and execution of the Lease, the Board will receive an aggregate amount not to exceed $676,572, which will be used to finance the Project and other related costs. Lease payments under the Lease may occur on one or more dates, provided that the final lease payment shall not extend beyond December 1, 2020. ​SECTION 4. The Board President, the Business Administrator, the Assistant Business Administrator and/ or the Superintendent are hereby authorized and directed to execute and to deliver on behalf of the Board each of the agreements referred to in Section 2 of this Resolution and such other agreements and certificates as may be necessary to complete the transaction contemplated by the Lease and the Board President, the Business Administrator, the Assistant Business Administrator and/or the Superintendent are hereby authorized and directed to take, on behalf of the Board, such other actions as shall be necessary and appropriate to accomplish the lease purchase financing of the Project in accordance with the terms of the Lease and this Resolution and pursuant to the terms of the agreements and the instruments authorized to be prepared hereby and to accomplish the performance of the obligations of the Board in respect thereof. ​SECTION 5. The Board hereby covenants that it will comply with any conditions subsequently imposed by the Internal Revenue Code of 1986, as amended (the "Code"), in order to preserve the exemption from taxation of interest on the Lease, including, if necessary, the requirement to rebate all net investment earnings on the gross proceeds above the yield on the Lease. The Lease will be designated as "qualified tax-exempt obligations" for purposes of section 265(b)(3)(B)(ii) of the Code. *Mt. Arlington Representative votes

SECTION 6. ​The Board reasonably expects to reimburse its expenditure of Project costs paid prior to the issuance of the Lease with proceeds of the Lease. This resolution is intended to be and hereby is a declaration of the Board's official intent to reimburse the expenditure of Project costs paid prior to the issuance of the Lease with the proceeds of the Lease, in accordance with Treasury Regulations §150-2. The maximum principal amount of the Lease expected to be issued to finance the Equipment is $676,572. The Project costs to be reimbursed with the proceeds of the Lease will be "capital expenditures" in accordance with the meaning of Section 150 of the Code. No reimbursement allocation will employ an "abusive arbitrage device" under Treasury Regulations §1.148-10 to avoid the arbitrage restrictions or to avoid the restrictions under Sections 142 through 147, inclusive, of the Code. The proceeds of the Lease used to reimburse the Board for Project costs, or funds corresponding to such amounts, will not be used in a manner that results in the creation of "replacement proceeds", including "sinking funds", "pledged funds" or funds subject to a "negative pledge" (as such terms are defined in Treasury Regulations §1.148-1), of the Lease or another issue of debt obligations of the Board, other than amounts deposited into a "bona fide debt service fund" (as defined in Treasury Regulations §1.148-1). All reimbursement allocations will occur not later than 18 months after the later of (i) the date the expenditure from a source other than the Lease is paid, or (ii) the date the Project is "placed in service" (within the meaning of Treasury Regulations §1.150-2) or abandoned, but in no event more than 3 years after the expenditure is paid. SECTION 7. This Resolution shall take effect immediately upon its adoption. QUALITY SINGLE ACCOUNTABILITY CONTINUUM (QSAC) DISTRICT PERFORMANCE REVIEW *17. RESOLVED, that the Roxbury Township Board of Education approves the Quality Single Accountability Continuum (QSAC) District Performance Review for the 2016/2017 school year. APPROVAL OF THE UNIFORM STATE MEMORANDUM OF AGREEMENT BETWEEN EDUCATION AND LAW ENFORCEMENT OFFICIALS *18. RESOLVED, that the Roxbury Township Board of Education approves the Uniform State Memorandum of Agreement Between Education and Law Enforcement Officials Mrs. Loretta Radulic, Superintendent of Schools, and Marc Palanchi, Chief of the Roxbury Township Police Department discussed at the annual meeting. DONATION *19. RESOLVED, that the Roxbury Township Board of Education approve a donation from the Roxbury Football Fan Club, P.O. Box 99, Succasunna, NJ of a ​Game Ready Intro Package for use by Roxbury High School’s athletic trainer with the high school’s sports programs. ​Game Ready is a cold compression unit that can be used for acute musculoskeletal injuries. It helps to reduce secondary tissue damage, stimulate tissue repair, and encourage acceleration of the healing process. This donation is valued at $1,800.
