DESIGN CONSULTANT SERVICES AGREEMENT PROJECT NUMBER: 210014 OWNER: Desert Community College District PROJECT: New West Valley Campus CONSULTANT: Hammel Green and Abrahamson Inc. CONSTRUCTION BUDGET: Phase I: $26,800,000.00 COMPENSATION: Lump Sum Fixed Fee of Three million two hundred seventv three thousand three hundred sixty seven Dollars ($3,273,367.00).

PROJECT DESCRIPTION: New Construction and Master Planning. including Programming, Schematic design. Design development Construction documents. DSA Plan check, Bidding phase, Construction phase, and Warranty observation phase For the overall development of the site. and construction of two initial buildings. This DESIGN CONSULTANT SERVICES AGREEMENT is entered into this 10th day of January, 2011. by and between DESERT COMMUNITY COLLEGE DISTRICT ("District"), organized under the laws of the State of Cali fomi a" located at 43500 Monterey Avenue, Palm Desert, California, 92260 and HAMMEL, GREEN AND ABRAHAMSON, INC. ('"Design Consultant") located at 19 I 8 Main Street, 3,d Floor, Santa Monica, California, 90405, for professional services. The Tenn of this Agreement shall commence upon the District and the Design Consultant each executing a counterpart copy hereof delivery of an executed counterpart copy hereof to the other and ratification of this agreement by the District's Board of Trustees; the Tcnll shall expire on October 31, 20]4. Notwithstanding expiration of Term, if at such time, there are remaining Basic Services or authorized Additional Services to be perfonned by the Design Consultant in connection with the Project, the Design Consultant shall continue to diligently perfornl and complete all such remaining Basic Services or authorized Additional Services for the Project; notwithstanding expiration of the Term of this Agreement, the District will continue to make payment for the Basic Services and authorized Additional Services performed in connection with the Project alter expiration of the Tenll of this Agreement. RECITALS A. The District is a community college district duly organized and validly existing under the laws of the State of California. B. The Design Consultant is a professional services finn duly organized under the laws of the State of California. The Design Consultant represents it has the background, knowledge, licensing, experience and expertise necessary to provide the services set forth in this Agreement. C. The District and Design Consultant dcsire to cnter into an agrcement for the Design Consultant to provide the District with professional services consisting of architectural and engineering services in connection with the design and constlUction of the Project as described above and funded with the proceeds of the Bond Program. D. It is the intention of the parties that the Design Consultant provide the District, pursuant to this Agreement, architectural and engineering services under the management and oversight of the District's Project Manager for the Project, and in cooperation with the District's Program Manager of the Bond Program, that will enable the Project to be designed and constructed without burdening District staff. E. As required by applicable law, personnel of the Design Consultant and its Sub Consultants are duly licensed as architects and/or registered as engineers under the laws of the State of California and are otherwise qualified and capable of providing and performing the Basic Services and its other obligations under this Agreement in accordance with the tenns hereof. NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows:

ARTICLE 1. GENERAL PROVISIONS 1.1.

SCOPE OF SERVICES The District and Design Consultant have endeavored to delineate the scope of the Basic Services to be provided by Design Consultant in Alticle 2, below. Such descriptions are not intended to be comprehensive, it being understood that Design Consultant shall be required, without adjustment or addition to the fixed rates or maximum compensation agreed to herein, to provide any services, whether or not listed in Alticle 2, that are within the scope of its field of professional practice and that are reasonably inferable as being necessary, or that would be customarily furnished by other providers of professional services of the type and nature provided for in this Agreement, to accomplish the Basic Services set forth in Article 2. To the extent there are any ambiguities and/or conflicting terms and provisions as between the Design Consultant's Proposal and this Agreement, this Agreement shall control and govern.

1.2.

PERFORMANCE STANDARDS All services performed under this Agreement shall be performed by the Design Consultant and its SubConsultants: (a) in a manner consistent with the standard of care under California law applicable to those who provide similar services for projects of the type, scope and complexity of the Project subject to this Agreement in the locality of the Project; (b) the Applicable Laws; (c) the tenns of this Agreement; and using their professional skill and judgment (hereinafter "Standard of Care").

1.3.

AUTHORITY OF THE DESIGN CONSULTANT Design Consultant's authority to act on behalf of District is limited to its scope of authority set forth in this Agreement. Notwithstanding anything else stated in this Agreement or any Contract Documents, Design Consultant does not have the express or implied authority to obligate District to any expenditure of money 01' extension of contractual time periods, including, without limitation, any adjustment to the price or time of performance of any contract between District and its Contractors, Separate Contractors, Specialty Consultants, Program Manager, Program Manager 01' other third persons or parties. The Design Consultant shall be liable to the District and third parties for the consequences of the Design Consultant's actions or conduct exceeding the limited scope of the Design Consultant's authority to act on behalf of the District.

1.4.

KEY PERSONNEL 1.4.1.

Of Essence. The services to be provided by Design Consultant under this Agreement shall be performed or directed by the Key Personnel. The furnishing of services by these individuals, and any individuals approved by District to replace them, is of the essence to this Agreement.

1.4.2.

Commitment, Cooperation. Recognizing the necessity of a close working relationship with. the District and the Program Manager, Design Consultant's principals and employees shall furnish the skill, efforts and judgment of its organization in the performance of their duties and responsibilities under this Agreement, subject at all times to District's and College's discretion, and provide their knowledge, ideas, experience and abilities relating to the efficient design and construction of the Project and to cooperate fully with all members of the Project Team.

1.4.3. .1

Additions, Removals, Replacements. Additions. It is contemplated that from time to time individuals will be added to the list of Key Personnel as necessary and appropriate to the stage of planning, programming, designing and constructing of the Project. Design Consultant shall anticipate the need for such additions by submitting to Program Manager and College no later than seven (7) Days prior to the need therefore, a proposed· amendment to the list of Key Personnel setting forth the Design Consultant's proposed additions and the reasons for such additions. The Program Manager and District shall promptly review the proposed additions and either approve or disapprove thereof in writing, along with a statement of the reasons for any disapproval. Design Consultant shall not employ any individual to perform the functions as Key Personnel without the advance approval of the District, which approval may be granted or withheld in their sole discretion. Removals. Design Consultant shall not, for so long as any person serving as Key Personnel is employed by Design Consultant, remove, substitute or reduce the level of effOlt of such person without the Program Manager's and District's prior written approval, which may be granted or withheld in their sole discretion. If District or Program Manager is dissatisfied with the services rendered by any Key Persol1l1el, Design Consultant shall promptly recommend a substitute person. Replacements. If any Key Personnel, ceases employment with Design Consultant or is requested to be removed pursuant to Paragraph 1.4.3.2 above, then Design Consultant shall promptly notifY District and Program Manager of a proposed snbstitute person of at least equal qualifications to perform the same functions to be approved by Program Manager and District, which approval may be granted or withheld in their sole discretion. Design Consultant shall bear, at its own expense and without reimbursement by District, all costs associated with replacing, for any reason, any Key Personnel.

Engagement by District. In the event Design Consultant ceases its business operations altogether or this Agreement is terminated by District for cause, District shall have the right, but not the obligation, without liability or obligation to Design Consultant or any other person or entity, to directly engage the services of any of the Key Personnel in accordance with the provisions of this Paragraph 1.4.4. In the event that Design Consultant learns that any of the Key Persomlel will be leaving the employ of Design

1.4.5.

Project Representative. The Project Representative has the authority to act on behalf of the Design Consultant in respect to all matters that are the subject of this Agreemen1, including, without limitation, the power and authority to enter illto agreements or modifications to agreements that contractually bind Design Consultant. Authority to enter into agreements or modifications to agreements that contractually bind and/or change the

terms and conditions of the contract with the District shall remainlVith the Vice President of Administrative Services or his/her designee.

1.4.6.

Design Consultant's Employees. All persons employed by Design Consultant shall be the employces of Design Consultant and not of District. Design Consultant shall be solely responsible for any workers! compensation obligations, withholding taxes~ unemployment

insurance and any other employer obligations with respect to all employees working for Design Consultant. Under no circumstances shall cmployees of Design Consultant have "bumping" rights or rights of return to any position of employment with the District.

1.5.

SUB CONSULTANTS For Sub consultants other than those designated and included in the Agreement, Design Consultant may, with prior approval by District enter into written contracts with Sub consultants to perform portions of the services provided for in this Agreement. Design Consultant's request for hiring of a Sub consultant shall be submitted in a writing that deseribes the scope of services to be contracted. the name of the proposed Sub consultant and the estimated total cost andlor hourly rates for the Sub consultant's services. Program Manager and District shall have absolute discretion in approving any Sub consultant and such approval must be in writing to be effective. District shall use its best efforts to approve or disapprove of proposed Sub consultants within seven (7) days of Design Consuitant"s request. Design Consultant shall remain responsible to District for the quality and performance of all Sub consultants' services. Design Consultant may, upon advance written notice to Program Manager and District, terminate and replace the services of any Sub consultant. subject in all cases to the prior written approval of District, not to be unreasonably withheld. Every subcontract or agreement of any kind entered into between Design Consultant and Sub consultant (or between any Sub consultant and other independent contractor Sub consultants) shall contain appropriate language whereby Sub consultant. without creating any contractual obligation on the part of the District to the Sub consultant or anyone working under contract to Sub consultant, accepts and agrees to be bound by all of the obligations of this Agreement, including. without limitation, those obligations pertaining to indemnification. insurance, accounting records, audit and ownership of documents, and agrees to include in its contracts with its Sub consultants a contingent assignment of those contracts to District or its designee, effective only upon written acceptance by District or its designee.

1.6.

OWNERSHIP OF DESIGN DOCUMENTS 1.6.1.

Property of District. All Design Documents prepared by the Design Consultant and its Sub consultants, the designs depicted in them, and any presentation materials, shall become, upon their creation, the property of the District whether the Project for which they are made is executed or not. Without limitation to the foregoing, District shall hold,

and Design Consultant shall be deemed to have been ilTe\ocably assigned to District in perpetuity with no reserved or retained rights in any other persons or entities. all

copyrights or other intellectual property rights relating to the Design Documents. The District hereby grants to Design Consultant and its Sub consultants a liccnse. revocable at will of District, to use and copy such documents during the term of this Agrecmcnt for the sole purpose of perfonning the services required under this Agreement. With the exception of standard and generic details in the Drawings, the Design Documents shall not be used as a whole, or in substantial part. by the Design Consultant on other projects.

Use of Design Documents. The District and College may use the Design Documents. without the Design Consultant's consent, in connection with the Project, including, without limitation. future additions, alterations~ connections, repairs, infonnation.

1.6.3.

Bidding. The Design Consultant, upon request. shall provide copies of the Design Documents in the number required by the District. Program Manager for bidding and construction purposes in connection with the Project. The reproduction expense thereof shall be paid by the District as a Reimbursable Expense. The District reserves the right to select the type of document reproduction and to establish where the reproduction will be accomplished.

1.6.4.

Termination. In the event of termination of this Agreement by either party tor any reason. the District reserves the right to receive. and the Design Consultant shall promptly provide to the District upon payment of monies due. all Drawings, Specifications. models. and other Design Documents prepared under this Agreement prior to the date of termination by the Design Consultant and its Sub consultants for this Project. The foregoing shall include without limitation, all drafts and all electronic files of the Design Documents. Unless otherwise agreed to by the District, the Design Consultant shall deliver all such Design Documents to the District within ten (10) days of the date of the exercise of the termination rights under this agreement. Design Consultant shall be permitted, at its sole cost and expense to retain copies, including reproducible copies, of the Design Documents for information and reference purposes only. Any dispute regarding the amount of any payment to be made by District under this Agreement shall be resolved per Article 6.3 of the Agreement.

1.7.

COMPLIANCE WITH APPLICABLE LAWS Design Consultant shall, at all times in its perton11ance of its obligations under this Agreement, be responsible to comply with the Standard of Care in the application of Applicable Laws, including, without limitation, those rules or regulations enacted or issued by the District.

1.8.

TIME OF ESSENCE All time limits set forth in this Agreement pertaining to the performance of any obligation or act are of the essence to this Agreement.

ARTICLE 2. SERVICES 2.1.

MASTER PLANNING AND PROGRAMMING 2.1.1. Review of District Materials. The Design Consultant shall review all of the District Information provided to the Design Consultant by or on behalf of the District. including without lil11itation~ site surveys~ site utility information, as-built site drawings, entitlement report. topographic maps, campus master plan or precinct plan studies and any updates, campus design standards, geotechnical evaluation reports, including soils and seismic analyses and all proposed or adopted development plans in the areas that may be addressed by this Project. The purpose of the foregoing is for the Design Consultant to obtain a complctc understanding of: (i) the District's current and anticipated educational programs. principles and functions: (ii) the existing physical facilities and utility systems infrastructure support to achieve the o~iectives set f(lI1h in the Education Master Plan: and (iii) develop for review and acceptance by the District a Campus Facilities Master Plan and Infrastructure Study deemed appropriate or necessary to provide master planning and infrastructure support systems for the full build out of the 119 acre site for the College of the Desel1 new West Valley Campus located at the nOl1hwest corner of NOl1h Indian Canyon Drive and West Tramview Road, Palm Springs. California. so that the objectives described in the Education Master Plan can be achieved.

2.1.2.

Site Observations.

2.1.3.

Draft Facilities Master Plan and Infrastructure Study.

The Design Consultant shall conduct such Site observations as deemed necessary by the Design Consultant to complete its Campus Facilities Master Planning and Programming services hereunder. The purpose of the Design Consultant's Site Observations is for the Design Consultant to: (i) become generally familiar with the locations and layout of physical facilities and utility systems infrastructure points of connection; (ii) prepare a Campus Facilities Master Plan and updated/revised Infrastructure Study: (iii) assess limitations and other constraints to completing design or construction of the Projects. The Site observations hercundcr arc limited to physical facilities and attributes and utility systems infrastructure points of connection and/or distribution lines which are patently observable and which are not concealed conditions. The Design Consultant shall not, by its Site observation obligations hereunder, be required to engage in any investigations or observations of concealed conditions. The toregoing notwithstanding, if in the Design Consultant's discharge of its Site observation obligations hereunder, it determines that investigations or observations of concealed conditions or conditions not patently observable are necessary or desirable to ensure complete and accurate preparation by the Design Consultant of a Campus Facilities Master Plan and revisions for an updated/revised Infrastructure Study, the Design Consultant shall notify the District Representative of such conclusion. If the District authorizes the Design Consultant to conduct investigations or observations of concealed conditions, such services of the Design Consultant shall be deemed Additional Services hereunder. Based upon the District Information provided or made available to the Design Consultant pursuant to this Agreement and the Design Consultant's Site observations, the Design Consultant shall prepare a draft Campus Facilities Master Plan and updated/revised Infrastructure Study

that support the objectives of the Education Master Plan and conform to the District's list of proposed projects.

2.1.3.1. Constraints/Limitations to Implementation Campus Facilities Master Plan and Infrastructure Study. The Campus Facilities Master Plan and the updated/revised Infrastructure Study shall identifY and describe permits or other approvals which the District must obtain or other actions which the District must complete in order to implement and complete the design, bidding or construction of any Project. The foregoing shall include without limitation, permits/approvals issued by any governmental agency as a requirement for the District's design, bidding or construction of a Project and the District's compliance with other legal or regulatory requirements, including without limitation, the California Environmental Quality Act ("CEQA"). 2.1.3.2. Secondary Effects. Based upon the Projects identified in the revised/updated Campus Facilities Master Plan and/or the revised/updated Infrastructure Study, the Design Consultant shall ascertain the extent to which implementation of any Project or the occurrence of construction-related activities in connection with a Project will or may have a secondary effect on other existing or planned facilities or functions of the District. The revised/updated Facilities Master Plan or the revised/updated Infrastructure Study shall incorporate the recommendations of the Design Consultant to minimize or eliminate identified secondary effects arising from a Project. 2.1.3.3. Description, Scope, Costs of Projects. The Campus Facilities Master Plan and updatedlrevised Infrastructure Study prepared by the Design Consultant hereunder shall identifY the facilities and/or infi'astructure improvements/modifications for which the Design . Consultant recommends for design, bidding and construction as a project. Each Project identified by the Design Consultant in its Campus Facilities Master Plan or updated/revised Infrastructure Study shall include: (i) a general description of Project scope; (ii) anticipated duration to complete the design, bidding and construction phases of each Project; and (iii) anticipated costs to complete design and construction of each Project. 2.1.3.4. Program Manager Coordination of Services. The Program Manager shall coordinate the services of the Design Consultant and others to revise and update the Campus Facilities Master Plan and the updated/revised Infrastructure Study. The Design Consultant shall complete services relating to preparation of the Campus Facilities Master Plan and the updated/revised Infrastructure Study in accordance with the coordination measures reasonably implemented by the Program Manager. 2.1.3.5. Snbmission of Draft Revised/Updated Facilities Master Plan and Infrastructnre Stndy. Upon achieving fifty percent (50%) completion of the draft Campus Facilities Master Plan and the updated/revised Infrastructure Study, the Design Consultant shall submit the same to the District Representative for review, comment and acceptance by the District. The Design Consultant shall modifY the draft Campus Facilities Master Plan and/or the draft updated/revised Infrastructure Study as to incorporate comments or revisions of the District generated upon review of the fifty percent.(50%) completed drafts of the Campus Facilities Master Plan and the Infi'astructure Study. 2.1.3.6. Final RevisedfUpdated Facilities Master Plan, Infrastructure Study and Master Upon completion of the Campus Facilities Master Plan, the Project Schedule. revised/updated Infrastructure Study and the Master Project Schedule, the Design Consultant shall submit the same to the District Representative for review and acceptance on behalf of the District. The Design Consultant shall modify the Campus Facilities Master Plan or Infrastructure Study as necessary to obtain the District's acceptance of the entirety of the final drafts of the same.

2.1.4. MASTER PROGRAM SCHEDULE. 2.1.4.1. Draft Master Program Schednle. Based upon the Projects identified in the Design Consultant's update/revision of the Campus Facilities Master Plan and/or updatedlrevised Infrastructure Study, the Design Consultant shall confer and collaborate with the Program Manager to facilitate the Program Manager's development of a draft Master Project Schedule depicting the progression of design, bidding and construction of each of Project. The Master Project Schedule shall incorporate limitations or other schedule constraints established by the District which mayor will limit the progress of design, bidding or construction of a Project. The Master Project Schedule shall take into account the on-going operations of the District and endeavor to limit interference with, or disruption of, on-going District operations during construction of the Projects. The Design Consultant shall attend and participate in discussions with the District, the District Representative, Program Manager and others relating to review and/or revision of the draft Master Program Schedule or portions thereof.

2.1.4.2.

Final Master Program Schedule. If upon the District's review of the draft Master Program Schedule there are District comments or revisions, the Design Consultant shall assist the Program Manager in incorporating such comments or revisions into the Master Program Schedule.

2.1.5.

PRE DESIGN (PROGRAMMING) PHASE. The Design Consultant shall review the Project Construction Budget and other information provided by the District pursuant to this Agreement to ascertain the requirements and constraints of the Project and provide full programming for Phase I development of the new West Valley Campus, including two buildings, approximately 25,000 square feet each, and totaling approximately 50,000 square feet, associated covered parking with photovoltaic panels, roadways, infrastructure and landscaping, to be designed and constructed with a goal of being self-sustaining and qualifying for LEED Gold rating. The Design Consultant and its Sub Consultants shall visit the Site to become familiar with physical conditions at the Site as they relate to design and construction of the Project. If any portion of the Project involves modification to existing structures or facilities, the Design Consultant shall review all available data provided by or through the· District relating to the existing structures or facilities and carefully note the existing conditions at the Site of such Project.
