Rhyl Golf Club Constitution 1. Constitution and Rules Cancellation of all previous Constitution/rules and adoption of the AGM. 2. NAME OF CLUB. The name of the Club shall be Rhyl Golf Club Ltd 3. OBJECT OF CLUB. The Club is a non‐profit making body. All surplus or profits are re‐invested in the club. 3.1 promote the game of golf in the town of Rhyl and surrounding areas; 3.2 acquire by purchase, lease or otherwise any other lands or property situated contiguous to the premises of the Club or elsewhere and such as may be deemed by the Club likely to advance or benefit, either directly or indirectly, the interest of the Club; 3.3 maintain and conduct a Golf Club for the accommodation of the members of the Club, guests and visitors, and to provide a clubhouse and other conveniences, and generally to afford to members, guests and visitors, all the usual privileges, advantages, conveniences and accommodation of a Club; 3.4 provide and maintain a clubhouse, a green keeper’s house, club makers premises, caddie shelter, garages, stores and other buildings, offices and erections; 3.5 purchase, hire, lease, make or provide and maintain and sell or otherwise dispose of all kinds of equipment and other things required or which may be conveniently used in connection with the course and grounds, clubhouse and other premises of the Club; 3.6 buy, prepare, make, sell, supply and deal in all kinds of golf clubs, balls and equipment used in connection with the game of golf, and provide all kinds of liquors, provisions and refreshments; 3.7 hire and employ all staff deemed necessary for the purposes of the Club and pay to them and to other persons in return for services rendered to the Club salaries, wages, charges and pensions; 3.8 promote, hold and arrange golf and other matches and competitions, and offer and grant or contribute towards the provision of prizes, awards and distinctions; 3.9 borrow or raise money, and secure the repayment thereof in such manner as the Club may think fit, and in particular, by the issue of debentures or debenture stock, bills of exchange, promissory notes or other obligations or securities of the Club or by mortgage or charge upon all or any part of the property of the Club; 3.10 construct, maintain, improve, work, manage, carry out or control any roads, ways and other works and conveniences which may to the Club seem calculated, directly or indirectly, to advance the Club’s interest; 3.11 accumulative reserves or other funds, and to apply any such funds for the benefit of the Club or its members, or distribute the same among the members in such a manner as the Club may from time to time determine; Pay the whole professional and other costs, charges and expenses or remuneration, incurred in connection with the running of the Club; Do all such other lawful things which are incidental or conducive to the attainment of the above objects or any of them.
4. DISSOLUTION OWNERSHIP AND RESPONSIBILITY FOR THE LIABILITIES OF THE CLUB 4.1 Ownership and Responsibility for the Liabilities of the Club: ‐ The properties, effects and monies of the Club shall belong to the playing category Members (excluding Honorary/Life Members) and playing category Members equally and the playing category playing Members (excluding Honorary Members) and playing category Members shall be liable equally for the liabilities of the Club. 4.2 General Provisions: ‐ The right and interest of the members referred to at Rule 4.1 to such properties, effects and monies shall be personal and limited to such members and shall not be assignable or arrestable or payable to heirs or executors. 4.3 Club Profits: ‐ All profits or surpluses generated by the Club’s activities shall be devoted to the maintenance or improvement of the Club’s facilities. 4.4 Winding up or Dissolution: ‐ Upon the winding up or dissolution of the Club there remains after the satisfaction of all the Club’s debts and liabilities any property whatsoever, the same shall be given or transferred to one or more of the following approved sporting or charitable bodies, another club which is registered charitable organisation or the sport’s national governing body for use by them for related community sports.
5. OPERATIONAL PROCEDURES 5.1 The Club: ‐ shall conduct meeting and business in a parliamentary manner with voting members electing a Board of Directors who conduct club business based on input from the club membership. A quorum of 20 voting members minimum must be present (Annual General Meeting) in order to conduct a vote. A simple majority is required to pass or deny a resolution. A two thirds club majority is required to pass or deny a Referendum, amend or to reinstate a suspended member or officer. 5.2 Club Meetings and Elections: ‐ Monthly meetings: Directors shall meet at the club monthly. 5.3 Annual General Meeting :‐ The Annual General Meeting shall be held towards the end of each year of which the Club’s financial year (being between 1 April and the 31st March the previous year in accordance with Rule 5.10), at a date and time to be fixed by the Directors for the following purposes:‐ to submit a report to the members outlining the financial and general affairs of the Club, including an estimate of the receipts and expenditure for the current financial year, and the proposed entrance fees and annual subscriptions, which proposed entrance fees and annual subscriptions will be subject to approval by the Voting Members at Annual General Meeting; To elect Financial Auditor’s for the following year. To decide on any motion or resolution duly submitted in accordance with Rule 5.4. At all General Meetings of the Club, the Chairman shall take the chair. In the absence of the Chairman the Vice Chairman and then in descending order of preference shall take the chair. Every Voting Member shall be entitled to one vote. Each issue will be decided by a majority vote of those voting. The Annual General
Meeting shall consist of the election of Directors, Officers and members, voting for resolutions or changes to club rules. Only members with full voting rights may vote. All members shall be entitled to one vote with the following exceptions social, Junior, winter and introductory members. 5.4 Members eligible to vote: ‐ Members are entitled to hand to the Director/Chairperson at least seven days previous to the AGM, any proposal(s) for resolution(s) for consideration at the meeting, such resolution(s) must be proposed and seconded by full members and will be displayed in the Clubhouse by the officer/Chairperson, immediately upon receipt. The AGM shall be strictly confined to the resolution(s) and / or amendment(s), if any, referred to above. Notice of the AGM shall be posted in the clubhouse 21 days previous to the meeting. Elections must be held for vacancies occurring on the board of directors. Volunteers from the members will form the subcommittee groups. (Elected officers shall take office at the first scheduled meeting after the AGM). 5.5 Directors sub committees: ‐ Meetings shall take place monthly directly after the first full board meeting. Special Elections: Special Elections may be called requiring two thirds quorum at a monthly meeting to replace or add an officer during the year. The Chairman may appoint a temporary Director or co‐option a Director to the board to replace an existing retiring in‐term Director. 5.6 Absentee Voting: ‐ Members who are unable to attend a meeting may submit an absentee vote for matters of interest to them by submitting their opinion/vote to the Chairman in writing 5 days prior to the meeting. This does not replace the member’s duty to attend meetings. 5.7 Referendums and Extraordinary Meeting: ‐ Some Club business may be too important to decide at a monthly meeting and may require a vote of the entire membership at the Annual General Meeting. These Referendums must be voted on by a two thirds quorum and be approved by a two thirds majority. An Extraordinary General Meeting of the Club shall be called when necessary by the Board on their authority or written notice given to the Director/Chairman, signed by twenty full playing members. All Extraordinary General Meetings shall be chaired by the Chairman. Notice of Extraordinary General Meeting will be posted as laid down for convening the AGM. 5.8 Motions and Resolutions: ‐ As in accordance with rule 5.4 Members eligible to vote are entitled to hand to the Director/Chairperson at least seven days previous to the EGM, any proposal(s) for resolution(s) for consideration at the meeting, such resolution(s) must be proposed and seconded by voting members and will be displayed in the Clubhouse by the officer/Chairperson as soon as practicable after receipt thereof, in accordance with Rule 5.4. 5.9 Notices: ‐ At least 21 days before the Annual General Meeting the notice of such meeting and business to be conducted shall be posted in the clubhouse, and a printed, e‐mailed or such equivalent means as the Committee may determine. No business other than that of which notice has been given shall be brought forward at such meeting except in the case of proposed amendments to any motion or resolution of which notice has been given, which amendments will be considered at the meeting provided that written notice thereof signed by a proposer and seconder and handed to the Director/Chairman not less than 7 days before the date of the meeting. Any such notice of proposed amendments will be posted in the clubhouse as soon as practicable after receipt thereof, in accordance with Rule 5.4.
5.10 Financial Year: ‐ The financial year will be from the 1st April until the 31st March of the following year, in accordance with Rule 5.6. 5.11 Alteration of Rules: ‐ No rule of the Club shall be altered, or new rule introduced, but at General Meetings. Such proposals must be submitted in accordance with 5.5 or 5.6 5.12 Quorum: ‐ A quorum at all General Meetings for all club business shall be 20 Voting Members provided always that the number of Voting Members (being members of the Club). 5.13 January General Meeting: ‐ A General Meeting will take place towards the end of January, at a date and time to be fixed by the Directors for the following purposes: ‐ Election of Directors and Officers of the club. At this General Meeting of the Club, the outgoing Club Captain shall take the chair, followed by the incoming Club Captain. No resolutions will take place at this meeting; all resolutions will be in accordance with Rule 5.3, 5.4 and 5.7. With regards to any other business, a financial management report for the first nine months of trading will be given together with an update of club affairs.
6. POLICES RULES AND BYE‐LAWS The board of Directors shall have the power to make and amend bye‐laws which shall apply to all members, guests and visitors. A copy of such bye‐laws as made or amended will be posted on the notice board of the Club and thereafter all such bye‐laws will be binding on all members, guests and visitors until set aside by the Board or by a General Meeting of the Club.
7. CLUB DIRECTORS All official club operations shall be overseen by a Club Director. It shall be the duty of all elected Directors to do their best to serve the club and to fulfil their responsibilities. Directors are required to attend monthly club board meetings. Only members may be elected and hold office. An officer may be removed from office by a two thirds vote by the board of directors. All Directors shall be elected for two year period. The board shall hold their meetings in private. The board may, in its absolute discretion, admit members, advisors or employees of the Club or members of the public to observe and assist in the discussion or specific items of business. All non board members shall leave the meeting when so requested by the board. Only the Club Captain, Club President, Senior Chairman and Lady Captain may attend the board meeting to observe and assist in specific items of business. However, non board members have no voting rights. At any meeting of the board or otherwise in relation to any decision to be taken by the board, each board member will be entitled to one vote on each issue. The Chairperson shall be entitled to a vote and where there is an equality of votes the Chairperson shall have a second and casting vote. Each issue will be decided by a majority vote of those present (whether in person or via telephone, electronic or similar means) and voting. Any Director or Officer may be suspended from taking part in any meetings of the board if the board considers it has reasonable cause to do so. Reasonable cause shall include failing to attend 3 consecutive meetings of the board or bringing the Club into disrepute. The board shall have the power to suspend such board/Officer of the club only after taking into consideration all circumstances applicable to the particular case before them.
No less than a three‐four majority of the board members present will be required to suspend such board/Officer of the club. In any vote the Board/Officer whom it is proposed to suspend may not take part. Under this Rule, Three‐fourths of the Board shall be required to form a quorum.
8. DIRECTORS DEFINITIONS 8.1 Chairperson of the Board: ‐ The Chairperson shall preside over meetings and direct overall Club operations. The Chairperson shall be Sergeant‐at‐Arms and administer all judgments related to club rules. The Chairperson may appoint temporary replacements for officers who cannot complete their terms. The Chairperson is to be a standing Director elected by the Board of Directors. 8.2 Vice‐Chairperson of the Board: ‐ The Vice‐Chairperson shall assist the Chairperson and shall be in charge whenever the Chairperson is not available. The Vice‐Chairperson shall be a standing Director elected by the board of Directors. 8.3 Director of Finance: ‐ The Finance Director shall manage, account, and disperse all common Club funds. This officer shall provide financial status reports at each meeting and at the annual general meeting. The Finance Director is authorised to oversee the correspondence of the Club and shall be responsible for the custody of all documents and papers belonging to the Club. The Finance Director is the authorised person to keep full and correct minutes of all proceedings and meetings. The Finance Director is the authorised person to keep complete and accurate accounts and books showing the financial affairs and the intromissions of the Club. 8.4 Director of Memberships: ‐ The Membership Director shall oversee all aspects of membership including but not limited to: collection of membership fees, maintaining the Club database, members e‐mail addresses, correspondence with members, and regular projects to help grow the Club. 8.5 Director of Marketing: ‐ The Marketing Director shall oversee all aspects of marketing and regular projects to help grow the Club. The Director will also maintain the Club web site. 8.6 Director of Social: ‐ The Social Director shall oversee all social events, the officer shall co‐ordinate schedule all club social and fund raising events. This Director will also have regular projects to help progress the growth of the Club. 8.7 Director of Match & Handicap: ‐ The Match & Handicap Director shall oversee all Club golf events/competitions. The Director shall co‐ordinate competition fixtures (within the club and with other Clubs), organise all Club competitions. These involve all sanctioned and non‐sanctioned competitions, leagues, fund raisers, knockout competitions and all special events. 8.8 Director of Course & Greens: ‐ The Course and Greens Director shall be responsible for course maintenance, course improvements and course development. The Director will also provide an annual budget for maintenance and improvements.
8.9 Director of Maintenance: ‐ The Maintenance Director shall be responsible for maintenance of the Clubs buildings. This officer will also be responsible for Health & Safety for the Club and golf course. The Director will also co‐ordinate monthly clean‐up and maintenance projects. 8.10 Director of Youth: ‐ The Director of Youth shall be responsible for the development and progression of the juniors. The Director will from time to time require special projects to develop the section. 8.11 Director of House & Bars/Human Resources: ‐ The Director of House and Bars and Human Resources shall oversee all aspects of human recourses for the club including co‐ordination of the lease to the Catering/ Bar and its running. This Director will also have regular projects to help progress the growth of the Club.
9. ELECTION OF DIRECTORS AND BOARD MEMBERS 9.1 Election of Directors/Officers: ‐ shall take place as follows: ‐ Any Voting Member may propose 1 or more names of Members who are willing to serve. The names of those candidates who are willing to serve shall be voted on at the Annual General Meeting in accordance with the provisions of Rule 5.4 The names of each candidate so proposed shall be sent in writing to the Directors stating the name of the candidate and details of the proposer and seconder at least 14 days prior to the Annual General Meeting accompanied by written confirmation signed by the candidate, consenting to the proposed election and willingness to serve if so elected. The said Notice shall specify the post for which the Full Member is standing. A list of all candidates shall be posted on the Notice Board of the Club at least 7 days before the Annual General Meeting. 9.2 Voting: ‐ In the event of a vote for a position as a Director/Officer at the Annual General Meeting each Voting Member shall have a single vote. Any candidate achieving more that 50% of the votes cast shall be elected. In the event of a vote involving more than two candidates for a position as a Director and, following a count, no candidate has secured more than 50% of the votes cast, the candidate with the lowest number of votes shall be eliminated and a further vote or votes shall take place until only two candidates remain, at which stage a final vote shall be taken and any candidate who shall secure more than 50% of the votes cast shall be elected. In the event that, at any stage of the voting process, two or more candidates shall jointly have the lowest number of votes the Chairperson shall select by lot the candidate to be eliminated from the subsequent round of the voting. In the event that two candidates for the same position as Director each secure 50% of the votes cast, the Chairperson shall select by lot the successful candidate. In the event that the number of vacancies for a Directorship exceeds the number of candidates, the General Meeting shall have the power to fill the vacancies. A person may be elected to more than one directorship. If one of the directorships goes unfilled, the duties of that position are to be divided among the other standing directors.
No member shall be eligible for election to the Board until he/she has been a playing member for a period of not less than two years unbroken membership. When membership has been severed, a member must have served on a sub‐committee or volunteered services for a minimum of two years prior to election. 9.3 Sub Committees: ‐ All Directors are encouraged to create committees, receive applications and make appointments for sub committees or special assignments for their respective positions. It is not the intent that the Director does all the work but that the work gets done, this also helps develop future club leaders and officers. Appointments shall be reviewed by the Chairperson of the Board as a check and balance. All appointments shall be selected from members who must be members in good standing with the club. 9.4 Board Minutes: ‐ All Board meetings will be minuted by the club officer and retained for legal and record purposes, and will be available to each Director. Members who wish access to Board or sub‐committee minutes may consult specific minutes by application to the Director/Chairperson. 9.5 Amended Rules:‐ Any amended or new rules and other items discussed at Directors meetings and sub‐ committee meetings appertaining to the general running of the Club, which in the opinion of any Director and the Club members, should be made known to members will be posted in the Clubhouse within seven days of the Board Meeting. 9.6 Officers Attending Board Meetings :‐ The Directors, Club Captain and Club President may attend Board/Sub‐committee meetings; however, the Club Captain and Club President may only observe and have no voting rights unless they are also Directors, in accordance with Rule 7. 9.7 Synergy within Sections: ‐ In order to allow synergy throughout the club, Lady Captain and Seniors Chairperson will be required to attend and give a monthly report to the Board of Directors however, both section heads may only observe and have no voting rights unless they are also Directors, in accordance with Rule 7. 9.8 Specialised Skills: ‐ At the request of the board of directors, the board may ask officers/members to attend the board or sub‐committee meetings who have specialised skills to assist in the clubs business?
10. ELECTION OF OFFICERS OF THE CLUB 10.1 The Club President, Club Captain and Club vice Captain will be drawn from either the Ladies, Gentlemen’s or Senior’s sections. 10.2 The Club President will be proposed via the past Club Captains and seconded by a club member, the Club President and will serve for a period of not more than two years. Senior Chairmen and Lady Captains may become Club President without holding the post of Club Captain. 10.3 The Club Captain and Club Vice‐Captain will be proposed via the past Club Captains and seconded by a club member. However, any member wishing to be elected to office may do so by obtaining a proposer and seconder in accordance with rule 5.4 and shall be elected by the Members at the Annual General Meeting and shall hold office for one year. They shall be eligible for re‐election.
10.4 Period of Office: ‐ The Club President shall be proposed seconded and elected in accordance with Rule 10.2 shall hold office for two years, when they shall retire. A vacancy occurring in any of the positions of Office Bearers during the year may be filled by co‐option by the Directors, with the exception of the office of Club Captain. A vacancy in the office of Club Captain will be taken by the Club Vice Captain. The Office Bearers so appointed will be eligible to serve until the next Annual General Meeting when they shall retire but shall be eligible for re‐election.
11. MEMBERSHIP AND DEFINITIONS Membership of the Club is open to all and no application for membership will be refused on grounds other than reasonable grounds. There will be no discrimination on grounds of age, disability, gender reassignment, marriage and civil partnership, pregnancy and maternity, race, religion or belief, sex, sexual orientation, political or other opinion. The club may have different classes of membership and subscription on a non‐discriminatory and fair basis. The club will keep subscriptions at levels that will not pose a significant obstacle to people participating. The Clubs board may refuse membership, or remove it, only for good cause such as conduct or character likely to bring the club or sport into disrepute. Appeals against refusal or removal may be made to a separate appeals panel containing none of the persons involved in the original decision. The categories of membership and definitions of the Club shall be as follows, namely:‐ 11.1 Anytime Member: ‐ A Player having paid full annual subscriptions and may play the course seven days per week and enter all Club Matches and Competitions and has Full voting rights. 11.2 Off Peak Member (5 Day Member) : ‐ A Player having paid a reduced annual subscription may play the Course Mondays to Fridays ( only (including Monday and Friday Bank Holidays), Off peak members are not permitted to enter weekend or knockout competition which include Saturday or Sunday meetings. However, they are eligible to vote at General Meetings. 11.3 Freedom Member (9 Hole Member): ‐ A Player having paid a reduced annual subscription and may play the course seven days per week. However, they are only permitted to play 9 holes of golf per day (reduced green fees for additional holes). He or She may only enter Club Matches and Competitions based on 9 holes. They are eligible to enter open club competitions after paying non members fees and vote at General Meetings. Also see Local Ladies and Seniors Rules. 11.4 Second Club Member: ‐ A playing Member who is a Full Member of another Club which will be their Home Club. Having paid a reduced annual subscription, they may play the course seven days per week and enter Club Competitions except those listed below. They are also ineligible to vote at General Meetings. Men’s Competition restrictions – Club Knockouts, Masters Day, Club Championship, Centenary Trophy, Order of Merit, Club Team Matches organised by GUW and UFGC. Also see Local Ladies and Seniors Rules. Ladies Competition restrictions ‐ Club Knockouts, Masters Day, Club Championship, Centenary Trophy, Order of Merit, Club Team Matches organised by GUW and UFGC, NWLCSA, and the Laird Shield Association.
11.5 Scholar Member: ‐ A Player having paid a reduced annual subscription and is on the 1st April between the age of 18 to 30 years old may play the course seven days per week and enter all Club Matches and Competitions and has Full voting rights. 11.6 Winter Member: ‐ A Winter Member is a temporary member from the 31st October up to the 1st March the following year. May play the course seven days per week but are ineligible to vote at General Meetings. 11.7 Junior Member :‐ A Member between the age of seven and seventeen years, must change to Full Member upon reaching the age of eighteen and pay the appropriate subscription at the next renewal date. They may play the Course as outlined by the Junior Rules. They are also ineligible to vote at General Meetings. 11.8 Life Member: ‐ A Life Member may be elected at the Annual General Meeting in recognition of their services to the Club, irrespective of their age and length of membership. They will be eligible for all Offices of the Club and have all the privileges of a Full Playing Member. No further membership fees will be payable. 11.9 Honorary Member: ‐ An Honorary Member may be elected at the Annual General Meeting in recognition of their services to the Club and / or to the game of Golf, irrespective of age or length of membership. They will not be eligible for any Offices of the Club; however, they have all the privileges of a Full Playing Member. No further membership fees will be payable. 11.10 Social Members: ‐ Social Members are persons aged 18 years and over who have applied for membership of the Club on the basis they are restricted to the privileges of the clubhouse and have no right to the privileges of the golf course or voting rights. The maximum number of Social Members at any time will be 100 (or such other number as may be determined by the Board of Directors from time to time). Applicants will be dealt with in strict chronological order in accordance with the date of receipt of the applications. The granting of Social Membership to any person confers no entitlement on that person to annual renewal of that membership. 11.11 Temporary Member: ‐ Are visitors to the Club who in consideration of the payment of a fee are granted Temporary Member status permitting half day, full day, week and other temporary memberships as shall be granted by the board of Directors, which fee and terms are to be determined at the discretion of the Board. A person who has paid the appropriate green fee has all the privileges of a Full Playing Member for that day. They are also ineligible to vote at General Meetings. 11.12 Courtesy Member: ‐ Courtesy of the course may be extended to PGA Professionals, Club Captains and others at the discretion of the Chairman/Finance Director and Professional. 11.13 Membership not Transferable: ‐ All categories of membership are personal to the member and are not transferable.
12. MEMBERSHIP AND SUBSCRIPTIONS 12.1 The Membership: ‐ The membership year will be from the 1st April to the 31st March of the following year. 12.2 The annual Subscription: ‐ The annual subscription shall be payable on the 1st of April each year. The entrance fee (if any) and annual subscriptions shall be that as authorised by the Board, prior to annual bills being sent out to Members on the 1st of March. Methods of payment shall be reviewed and agreed by the Club Board. 12.3 Members Not Paying: ‐ Members not paying by the 30th April will have all privileges of the Club and Course withdrawn and a list of Members in default will be posted in the Clubhouse. 12.4 Members Absent: ‐Members absent from the United Kingdom during an entire period for which the subscription is payable, i.e. from 1st April to the 31st March, shall not be liable to it, provided they have intimated their absence to the Membership Director, in writing, before the subscription becomes payable, and will not count as broken Membership. 12.5 Renewals of Membership: ‐ All memberships will be sent out by post, e‐mail or handed to members on or around the 1st March each year. 12. 6 New Members: ‐ New members joining throughout the year shall be required to pay the pro rata amount of the annual subscription plus the full entrance fee (if applicable). 12.7 Social Members : ‐ Social members wishing to upgrade to playing Members may do so by paying the proportion of fees (pro‐rata) due plus entrance fee (if applicable)’ The amount due will not be below 50% of the full fee. 12.8 Locker Fees: ‐ Locker fees will be due a month prior to the annual subscriptions which are due on the 1st April. Members not wishing to retain their locker should advise the Membership Director and return the key by 31st March. All lockers not paid for by the 30th April will be opened, the contents removed and held, the locker will then be offered to other members on the waiting list; the cost of removal of the lock will be incurred by the former locker owner. 12.9 Notification of Members Information: ‐ Members shall be required to notify the Membership Director of their postal address and e‐mail address where applicable and of any changes in these contact details. All notices sent to a member at the postal or e‐mail address which the Club have on record shall be considered as duly delivered to that member.
13. PROCEDURES FOR NEW MEMBERS Immediately following the election of an applicant as a member, the Membership Director or other designated person shall notify the applicant and issue a copy of the Club Rules and a request for payment of the annual subscription and entrance fee (where applicable). The applicant shall not be permitted to participate in any of the Club privileges until payment of the aforementioned is received. In the event of the annual subscription and entrance fee (where applicable) not being paid within 1 month of the election, the election of such applicant shall be void, unless a majority of the Committee is satisfied that the reason for non‐payment was out of the control of the applicant. For the avoidance of doubt no deferment of an offer of membership shall be permitted.
14. REFUSED APPLICANTS Any applicant not placed on the waiting list or elected as a member of the Club (Refused Applicant) shall be given written notice of the decision which shall include reasons for the decision (a Refusal Notice) A Refused Applicant may appeal such a decision in writing within 14 days from the date of the Refusal Notice. The board will consider the appeal and give written notice to the Refused Applicant of the board’s final decision within 28 days of the written appeal being lodged. If any member or applicant who shall cease to be a member by virtue of this rule, gives to the board a satisfactory explanation, said former member may, in the absolute discretion of the board and upon payment of all outstanding sums be re‐admitted as a member without penalty.
15 RESIGNATIONS Any member wishing to resign as a member shall notify the Director of Membership in writing prior to 28th February (or such other date as the Committee may determine from time to time) failing which such member shall be liable for the annual subscription for the following year.
16 MEMBERSHIP SUSPENSIONS Any member wishing to suspend membership shall notify the same in writing to the board of directors stating the ground for the proposed suspension. Suspension of membership shall be at the discretion of the board,
and shall be subject to payment of an annual fee as shall be determined by the board, and shall not be granted unless: The reason for the suspension is that the member’s principal place of residence has changed or is to change and shall be not less than one hundred miles from Clubhouse and that for a minimum period of one year; or In the case of illness, disability or incapacity, the member produces a valid medical certificate certifying that the member is unfit to play golf for a minimum period of six months. Resumption of the member’s membership will be permitted subject to availability and upon payment of the appropriate pro‐rata annual subscription.
17 GUESTS OF MEMBERS Golfing Members shall be entitled to introduce guests to the Club’s premises including without prejudice to the foregoing generality the clubhouse and golf course. Such guests shall not be supplied with excisable liquor in the Club’s premises unless on the invitation and in the company of a Member, and the member shall, upon the admission of such guest to the clubhouse, or immediately upon the guest being supplied with such liquor, enter their own name and the name and address of their guest in a book which shall be kept for this purpose, and which shall show the date of each visit. A guest may remain in the clubhouse only so long as accompanied by the member introducing such guest. No guest may be given the privileges of the golf course more than twice in any calendar month without the approval of Match and Handicap or the club professional. Payment of the appropriate fee should be made to the appointed person prior to commencement of play. No member shall introduce as a guest to the Club any person who has been suspended or expelled from membership or whose presence and conduct in the clubhouse or on the course/land, is deemed by the board to be objectionable or prejudicial to the interests of the Club. Such visitors and guests of the Club who themselves are members of another non‐profit making club may so far as permitted by the Licensing laws for the time being be supplied with excisable liquor on the Club’s premises.
18 EXPULSION/SUSPENSION OF MEMBERS 18.1 Expulsion and Suspension : ‐ The Board of Directors may suspend, expel or impose any other penalty, restriction or other punishment upon any member whose conduct, behaviour or other actions or omissions either on or off the Club’s premises shall be in breach of any rule, bye‐law or other regulation or requirement validly made by or on behalf of the Club or shall otherwise be harmful or detrimental to the character, interests or reputation of the Club, its members, guests, visitors, staff or representatives or generally harmful to the harmonious operation of the Club. 18.2 Expelled and Suspended Members: ‐ Any member expelled or suspended under Rule 18.1 shall not be entitled to any refund of entrance fee or annual subscription. Any member whose membership of the Club has been suspended as aforesaid shall not be entitled to play on the course, compete for any Club prize or medal or vote at any meetings. Any Member expelled will not be entitled to play on the course or enter clubhouse or cross its boundaries. No member shall be suspended or expelled in terms of this Rule 18.1 unless agreed by no less than three/fourths of the Board of Directors present at the meeting considering the conduct of such member.
18.3 Right of Appeal: ‐ Any member shall have the right to appeal in writing to the Chairman stating the grounds of appeal within 14 days of receipt by a Director of written intimation of the Board’s decision. Any such appeal will be dealt with by a sub‐committee of 3 persons appointed by the Chairman or, in his absence, the Vice Chairman, providing always that they have not previously been involved in the disciplinary procedure. The Board will be apprised of the decision of the sub‐committee and will thereafter decide whether to uphold or dismiss the appeal or to modify any penalty previously imposed. 18.4 Members Conduct: ‐ No member will at any time conduct himself or herself in a violent, abusive, offensive or dishonest manner towards any office bearer, employee, member, visitor or other person in such a way as it, in the opinion of the Board, is in breach of the Rules of the Club or injurious to the character or interests of the Club. In the event of any member being in breach of Rhyl Golf Clubs Bye‐Laws he or she shall be liable to be disciplined under Rule18.1 of the Constitution.
19. LADIES MEMBERSHIP SECTION The Lady Members of the Club shall appoint their own Council from voting Members with 2 years membership consisting of President, Captain, Vice Captain, Match and Handicap, Secretary and Honorary Treasurer, who will have the authority to appoint their own Sub‐Councils as required.
20. SENIORS MEMBERSHIP SECTION The Senior Members of the Club shall appoint their own Council from voting Members with 2 years membership consisting of Chairman, Secretary, Handicap Secretary and Honorary Treasurer, who will have the authority to appoint their own Sub‐Councils as required.
21. JUNIOR MEMBERSHIP SECTION (see local Rule 12) 21.1 Junior Captain: ‐ A Junior Captain will be appointed in January of each year in consultation with the Junior Organiser responsible for the Junior Section. Their duties will be to assist in the organisation as required. 21.2 Playing The Course: ‐ playing on the course is set out in accordance with the rules set out below. 21.2 Junior Status: ‐ juniors will comply with all the rules of the club as applicable to their status. 21.3 Clubhouse rules: ‐ juniors up to 18 years of age may only use the Clubhouse for a period not exceeding one hour before or after playing the Course, except when accompanied by a parent or appointed guardian. They are not permitted to use gaming machines but have use of the snooker table according to the notices shown. No Junior Member may participate in club Sweeps. See Rules and Bye‐laws no 12.
22. COMPLAINTS All complaints or statements or evidence with regard to any complaint must be made in writing to the Chairman and signed by the member complaining. The Chairman will submit all such complaints to the Board,
who shall take the matter into its immediate consideration and give such deliverance or order thereon as they may deem necessary. In no instance shall any employee of the Club be reprimanded directly by a member.
23. PERSONAL PROPERTY AND GOLF INSURANCE All articles including vehicles left in or on Club property are left at the owner’s risk. Members are advised to take out adequate insurance to cover loss of articles of golf equipment. Playing Members and visitors are covered by the club for personal liability against injury to persons or damage to property. If damage to persons or property occurs, the Member or Visitor has a duty to ascertain the extent of the damage and declare their responsibility. On returning to the Clubhouse, steps must be taken to inform a Director or Sub Committee Member with details of incident details.
24 GENERAL 24.1 Trophies must not be removed from the Clubhouse. 24.2 No member will introduce or permit to be introduced into the Clubhouse or on the Golf Course any animal other than a Guide Dog for the blind. 24.3 No notices of any kind shall be placed in the Clubhouse except by authority of the Directors or officer of the club. Any Member found removing or defacing any such notices will be in breach of club rules.
25. PUBLICATION No Member other that the Directors shall date or address from the Club any communication intended to appear in a newspaper or other publication, excepting the results of Matches and Competitions.
26. CLUBHOUSE 26.1 The Club House: ‐ The Club will be open to members daily between such hours as the Board shall from time to time determine, but the Board may close it between such hours for periods as it may deem necessary for cleaning or other reasons the Board may consider to be appropriate. 26.2 Hours Serving Liquor: ‐ The hours during which excisable liquor may be served in the Clubhouse shall be fixed by law, but shorter hours may be fixed by the Board. No excisable liquor shall be supplied to any person under the age of 18 years. 26.3 Expenses: ‐ All members will defray whatever expenses they or their guests incur before leaving the Club, the Bar Manager and all employees of the Club having strict orders to refuse credit. 26.4 Notices: ‐ No notices of any kind shall be placed in the Clubhouse except by authority of the Directors or officer of the club. Any Member found removing or defacing any such notices will be in breach of club rules.
26.5 Games within the Clubhouse:‐ The Board may make regulations laying down conditions upon any game which may be played in the Clubhouse and may prohibit any games the playing of which are unlawful or would in the opinion of the Board be likely to cause any disturbance or be injurious to the interests of the Club. The playing of games such as cards, dominos, etc should be confined to the games room only. 26.6 Gaming Machines: ‐ Gaming machines are regulated under Part 111 of the Gaming Act. No person under the age of 18 years is allowed to play the gaming machines. 26.7 Opening Times: ‐ The Clubhouse Bar and Catering facilities shall be open to members at times determined by the Club’s Board of Directors in accordance with the provisions of the Licensing Act and notified to the Licensing Justice. 26.8 Caterers and Bar: ‐ Caterers will be appointed by the Board of Directors.
27. DRESS CODE IN THE CLUBHOUSE A smart, clean and tidy standard of dress is required in all areas at all times. On formal occasions a shirt and tie is required and this may only be relaxed at the discretion of the Board of Directors. The Bar staff, the Club Professional and the Officers of the club are instructed to not serve any person who in their opinion is not dressed to the required standard. The following must not be worn in the Clubhouse: wet clothing, hats/caps, t‐shirts, football/rugby tops and any type of golf shoes. Only tailored shorts are acceptable in the Clubhouse as well as denim jeans providing they are free of any fraying, holes, rips or tears. Golf Shoes must be worn on the Golf Course and are not permitted in the Clubhouse except in the catering spike bar. The Dress code may only be relaxed at the discretion of the Board Directors. All members of staff have been instructed by the board to ensure that this code is adhered to at all times. Any member/guest not adhering to the code will be denied access to the course or refused serving at the bar.
28. LOCKER ROOMS Members must ensure that Locker Rooms are kept locked, secured, clean and tidy at all times. Items left lying around will be removed and disposed of.
Members having resigned must remove all personal belongings from their locker by the 31st March, and return their locker key to Membership Director/officer. Keys lost will incur a charge of £5 to replace the lost key/lock. Members requiring the use of a locker should inform the Membership Director who will place their name on the waiting list. All allocations will be made in strict application order and approved by the Chairman. Lockers must be paid for in accordance with the membership rules. In the interests or safety and security, golf equipment will not be left in the entrance hall. When not in use, golf equipment is to be kept in lockers. Items of clothing or golf equipment must not be left in locker room overnight.
RHYL GOLF CLUBS RULES AND BYE‐LAWS 1. General 1.1 The Rules of Golf: ‐ The Rules of Golf as they may from time to time be approved by the Royal & Ancient Golf Club of St Andrews will, except where otherwise specifically provided on terms of these Bye‐Laws, be the Rules of the club. 1.2 Local Rules :‐ Local Rules will be those set forth on the scoring cards for the Clubs Course or as they may be altered by the Match and Handicap/Board from time to time and set forth on the Club notice board. 1.3 Board/Handicap Committee: ‐ The Board/Match and Handicap Committee will have power (i) to regulate or restrict play on the course, and (ii) to decide any question or dispute that may arise in connection with all Club competitions. 1.4 Handicaps of Members: ‐ The handicaps of members shall be fixed by a Match and Handicap committee of the Committee whose decision shall be final. 1.5 Mobile Phones: ‐ Mobile phones are allowed on the course but they are strictly for emergency use only. They must be on silent and at must not at any time interfere with play. In the clubhouse phones must be switched off during formal occasions.
2. Player Identification 2.1 Identity Tags : ‐ A member will display a current identity tag on his or her golf bag at all times whilst on the golf course and will permit inspection of the tag by any other member or employee of the Club.
2.1 Green Fee Ticket: ‐ A guest or visitor must carry the supplied green fee ticket at all times whilst playing on the course. This does not apply to pre‐booked visiting parties who are issued with a single party ticket. 2.3 Valid Bag Tag: ‐ A player not displaying a valid bag tag or a correct green fee ticket may be asked by any Member or employee of the Club to leave the course.
3. Priority on the Course 3.1 Priority on the course: ‐ If a match fails to keep its place on the course and loses more than one hole on the players in front, it must invite the match following to play through. (The correct position for a match is behind the game in front, not just in front of the game behind). 3.2 Player starting: ‐ Players should start at the 1st hole under normal circumstances. Players starting at any other hole and having left the 18th green do not have priority at the first tee over players starting their game at the 1st or waiting to go on to the tee or coming to the tee at their booked time. Player continuing from the 9th to the 10th tee has priority over golfers starting from the 1st or 10th holes. 3.3 Lone Player: ‐ A lone player has standing on the golf course providing they are playing 18 holes. 3.4 Players Cutting In: ‐Players cutting in must ensure that the hole behind is clear. 3.5 Competition Days: ‐ Competitors have priority on their respective individual competition days. 3.6 Matches: ‐ Any Match playing a whole round is entitled to pass a Match playing a shorter round.
4. Etiquette on the Course 4.1 Playing A Stroke: ‐ No one should move, talk or stand close to or directly behind the ball or the hole or cause distraction when a player is addressing the ball or about to play a stroke. 4.2 Players Movement: ‐ In the interests of all, players should play without delay (i.e. move quickly between shots) 4.3 In Play: ‐ No player should play until the players in front are safely out of range. 4.4 Searching for a Ball: ‐Players searching for a ball should signal the players behind them to pass through as soon as it becomes apparent that the ball will not be easily found. They should not recommence play until the players called through have passed and are safely out of range, also see rule 9.2. 4.5 Leaving the Green: ‐ When the play of a hole is completed, players should immediately leave the putting green. 4.6 Before Leaving A Bunker: ‐ Before leaving a bunker, a player will carefully fill up and smooth over all holes and footprints made by him or her. Bunker rakes, where provided, will be used and placed inside the bunker after use.
4.7 Through the Green :‐ Through the green, a player will ensure that any turf cut or displaced by him/her is replaced at once and pressed down firmly and that any damage done to the putting green by the ball is carefully repaired. 4.8 On the Green: ‐ Players should ensure that, when putting down the flagstick, no damage is done to the putting green and that the flagstick is properly replaced in the hole before leaving the green. Players will not damage the hole or the putting green when removing the ball from the hole. 4.9 Practice Swings: ‐ In taking practice swings, players will avoid causing damage to the course, particularly the tees, by removing divots. 4.10 Trolleys, Carts and Bags: ‐ Trolleys, golf carts and bags are not allowed on putting greens. Trolleys are not allowed on tees and must follow the paths and direction signs set out for them. Only trolleys with wide wheels are allowed on the course. 4.11 Duty of Members: ‐ It is the duty of all Members to ensure the etiquette of Golf is maintained on the Golf Course. It is their duty to report any misdemeanours or complaints, in writing, to the Chairperson or Secretary.
5. Dress Code on the Course All adult golfers must abide by the dress code as detailed below: 5.1 Players Suitably Dressed: ‐ All players should be dressed suitably for golf, i.e. casual but smart. No football/rugby tops, track suits, sleeveless shirts (men only), collarless t‐shirts or blue denim jeans. 5.2 Golf Shoes: ‐Golf shoes must be worn. It is considered acceptable for juniors to wear trainers. 5.3 Jeans and Trousers: ‐ No torn or studded jeans or torn trousers are to be allowed on the course. 5.4 Tailored/Dress Shorts: ‐ Tailored/dress shorts only may be worn. Sports shorts are not permitted. All members will be instructed by the Match and Handicap or the Professional to ensure that this code is adhered to at all times. Any member/guest not adhering to the code will be denied access to the course or refused serving at the bar.
6. Starting Times and Playing Entitlement
6.1 Booking Times: ‐ Booking Starting Times: Subject to the availability of the tee as determined by the Match and Handicap Committee and the Professional on the day, members may book starting times up to 21 days ahead or 14 days ahead for matches. 6.2 Cancellation of Times: ‐ Players cancelling booked times on the day of competitions on a regular bases may be suspended. Players must cancel their booking as early as possible. 6.3 Players Guests: ‐ Ordinary members of the Club may introduce up to three guests at one time. The appropriate green fee must be paid prior to commencing play and the guest’s names and home clubs entered in the Visitor’s Book by the introducing member. 6.4 Guests Invites: ‐ Members must accompany their guests on the course and are responsible for their actions. A person may introduce a guest up to three times, or any other member during that same calendar month, except by prior arrangements with Match and Handicap or the Club Professional.
7. Playing the Course 7.1 Notice Board: ‐ Players must read the Course Notice Board before commencement of play and must fully comply with any instructions given. 7.2 Practising: ‐ Practising on any fairway or onto any green or the playing of a ball from Green to the next Tee is strictly prohibited.
8. Competition Days 8.1 Competitors Starting Times: ‐ Competitors shall book starting times and play in strict order of the competition starting sheets 8.2 Competitors Priority: ‐ Competitors shall have priority on their competition days. 8.3 Commencement of Play: ‐ Members shall not commence play at any time which would interfere with competitions in progress.
9. Consideration for Other Players 9.1Players in Play: ‐ No Player should play until the Players in front are out of range. In the interest of all, players should play without delay. 9.2Lost Balls: ‐ Players searching for a ball should signal the Players behind them to pass as soon as it becomes apparent that the ball will not easily be found: they should not search for five minutes before doing so. They should not continue play until the Players following have passed and are out of range. Also see Rule 4.4.
9.3 Leaving the Green: ‐ When the play of a hole has been completed, players should immediately leave the putting green.
10. Care of Course 10.1 Divots: ‐Players must replace divots and press them back into position. 10.2 Pitch Marks: ‐Pitch marks must be repaired on greens. 10.3 Bunkers: ‐Bunkers must be raked smooth following play and left free of hollows and footmarks as per Rule 4.6. 10.4 Rubbish on Course: ‐Do not deposit any rubbish on the Course – use the bins provided or take it home. 10.5 Inclement Weather: ‐During inclement weather the Course may be closed, i.e. when snow or heavy frost is lying on the ground. In order to protect the course from damage Members must not under any circumstances play the Course before it is declared fit to play by the Green keeper or Professional. 10.6 Slow Play: ‐ Avoid Slow Play As a reasonable guide, the playing time on a SSS 69 golf course should be: For a 2‐ball: 3.0 hours For a 3‐ball: 3.5 hours For a 4‐ball: 3.75 hours
11. Local Rules 11.1 Out Of Bounds (Rule 27) A ball is out of bounds when: a) Over any boundary fence b) Beyond the line of white stakes on left of 1st (10th) c) Beyond the line of white stakes on right of 2nd (11th) and 8th (17th) d) Beyond the line of white stakes on left of 5th (14th) fairway e) Beyond the line of white stakes on left of 9th (18th) fairway f) On or over roadway at rear of 9th (18th) green 11.2 Immovable Obstructions (Rule 24‐2)
Should any of the obstructions below interfere with a players stance or swing or if a ball comes to rest in any of the obstructions it may be lifted and dropped within ONE club length of the nearest point of relief and NO NEARER the hole without penalty. a) Stone paths adjacent to the 1st (10th), 2nd (11th), 4th (13th) and 5th (14th), 11th Tee, and 9th (18th) fairway. b) Sprinkler heads, manhole covers and staked trees c) Road at rear of 3rd (12th) green and gravel paths. d) Path across 4th (13th) fairway and 5th (14th) fairway. e) Coloured posts i.e. distance markers (Black 250yds, Blue 200yds, Yellow 150yds and Red 100yds to centre of greens). f) Fencing panels between 5th and 6th holes g) Fence at rear & in surrounds of 4th green 11.3 Stones in Bunkers: ‐ These are movable obstructions 11.4 Golf Etiquette: ‐ All players must replace divots, repair pitch marks on greens and smooth out sand in bunkers as per Rule 4. 11.4 GPS Systems: ‐ Satellite measuring devices may be used on the golf course 11.5 Penalty for Breach of Local Rules: ‐ Match play – Loss of Hole. Stroke play – 2 strokes. 11.6 Perimeter/Boundary Wall: ‐ A ball coming to rest by the boundary wall behind the 9th/18th green must be played as it lies. A player can deem the ball unplayable and incur a one shot penalty and refer to the rules.
12. Junior Members 12.1 Junior Players: ‐ junior play on the course is set out in accordance with the rules set out below. Also Constitution Rule 21 and 11.7. 12.2 Junior Rules: ‐ Will comply with all the rules of the club as applicable to their status. 12.3 Clubhouse: ‐ juniors up to 18 years of age may only use the Clubhouse for a period not exceeding one hour before or after playing the Course, except when accompanied by a parent or appointed guardian. 12.4 Gaming Machines: ‐ Junior’s are not permitted to use gaming machines but have use of the snooker table according to the notices shown. 12.5 Playing Times: ‐ Junior’s will be given priority for organised junior events. The tee off times will be shown on the junior’s notice board. Where possible, matches will be played as advised by the Junior Organiser. 12.6 Tee Times: ‐ Junior’s are not permitted to tee off after 5pm unless accompanied by an adult member or they have a handicap of 36 or below for girls and 24 or below for boys.
12.7 Handicaps: ‐ Junior Members wishing to obtain an official Club Handicap must submit 3 x 18 hole cards (or the equivalent) to the Junior Organiser. Juniors attending coaching sessions may be allocated a provisional handicap by the Professional, which will enable them to enter Junior Competitions. Juniors with a handicap of 12 or less will be allowed to play in club competitions provided they are accompanied by a full member. Juniors with a handicap between 13 and 28 may enter men’s 18 hole competitions. They will not be eligible for a prise. 12.8 Tees: ‐ Junior Members with handicaps of 29 and over will play from the Ladies Tees (Red markers) or Blue tees when designated in Junior Club Competitions. Junior Boys with handicaps of 28 and below will play from the Men’s Tees (Yellow and White boxes as designated in Competition Rules.) Nominated Tees to be used in Club Competitions. 12.9 Sweeps: ‐ No Junior Member may participate in Sweeps as per Constitution Rule 21.3.
13. Knockout Competition Rules 13.1
These rules apply to ALL club knockout competitions and supersede all other rules.

The Rules of Golf and Etiquette apply for all competitions.

All players must hold a competition handicap to enter any knockout competition.

Entry Fees must be paid in full prior to the draw taking place – no entry fee = no entry to the draw.

All players must ensure that they provide a contact number on the draw sheet. Both parties are equally responsible for ensuring that the match is arranged and played at the earliest convenience. The previous rule wherein players turning up at 6pm on the last day of the round no longer applies.

All matches must be played by the due date – No concessions will be given Failure to play any match by the due date will result in disqualification for both parties.
13.10 The order of play from the first tee shall be decided by order of the draw (Rule 10‐1a).
13.11 In the event of a tie after 18 holes – play should continue from the 1st Tee in a sudden death format – the first player to win a hole wins the match. Handicap strokes are awarded on the extra holes as on the first 18 holes. 13.12 Should any match become impossible to play i.e. poor visibility, or course unplayable, a replay date should be arranged. The match must recommence at the hole where played ceased previously. If play on a hole has started, balls must be marked. (See Rule 6‐8c). (Do not risk leaving it until the very last day – remember No concessions will be given) 13.13 All Finals should be played on Finals Day if possible. If not, the final should be played before the Finals Day.
14. The Rule Book It is the responsibility of each Member to ensure he has a copy of the Club Rule Book and is kept up to date with resolutions passed at Annual General Meetings and Extraordinary General Meetings.
15. Compliance with Rules A Member, on paying the entrance fee (if any) and subscription, is considered thereby to have submitted himself or herself to the Rules of the Club, both as to the restrictions enjoined and the penalties imposed, and on those conditions alone is entitled to enjoy the advantage and privileges of the Club.
