CONSTITUTION of THE BALTIMORE CAMERA CLUB, INC. September 1, 1977

ARTICLE 1 Name This organization shall be known as the Baltimore Camera Club, Inc. ARTICLE 2 Headquarters The Club shall retain the Charter, equipment and property of the Photographic Club of Baltimore City and shall meet within metropolitan Baltimore. ARTICLE 3 Objects The object of the Club shall be; the promotion of the art and sciences of Photography in all its branches, through the association of its members for study and education in matters relating to photography; for photographic exhibitions and contests, and for any purpose which will promote greater interest and betterment in the knowledge and practice of photography. ARTICLE 4 Sections The Club may, if conditions warrant, operate in sections; Still Photography, Cinematography, Miniature Photography, etc; each section to be in charge of a Vice-President. ARTICLE 5 Membership Any person of good moral character may apply for membership as provided for in the Bylaws. ARTICLE 6 Officers The Officers of the Club shall be the President, two or more Vice-Presidents, a Secretary and a Treasurer. ARTICLE 7 Directors The Board of Directors will be composed of the officers, the immediate Past-President and three active members of the Club and shall function in accordance with the Bylaws. ARTICLE 8 Election The Officers and Directors shall be elected annually in June, and take office the following month for a period of one year or until their successors qualify. Elections shall be held as specified in the Bylaws.

ARTICLE 9 Vacancies In the event of absence, resignation, in-capacitation, death or removal of the President, the First Vice-President shall move up one office and the Directors shall, by majority vote, fill the vacancy. Officers or Directors elected by the Board shall be for the unexpired term only. ARTICLE 10 Meetings Meetings of the Club shall be held weekly during the program year as provided for in the Bylaws. ARTICLE 11 Committees The Club shall have the following standing committees who shall function in accordance with the Bylaws: Programs, the chairman of which shall be First Vice-President Exhibitions and Contests, the Chairman of which shall be Second Vice-President Membership House and Entertainment The President shall appoint such special committees as may be necessary to conduct the affairs of the Club. ARTICLE 12 Amendments This Constitution and Bylaws may be amended at any regular meeting of the Club provided that the proposed amendment is offered in writing and signed by five members in good standing. The proposed amendment shall be read and shall then be open for discussion. A vote of a majority of the members present and voting will be sufficient to place the proposed amendment on the table for 30 days. A copy of the proposed amendment shall be sent to each member in good standing within ten days and the date must be set forth as to the final vote. A two-thirds vote of the members in good standing and voting shall be necessary to adopt the amendment. ARTICLE 13 Quorum One-third of the membership in good standing shall constitute a quorum for the transaction of business. ARTICLE 14 School This Club will hereafter sponsor and perpetuate a school of photography to be officially known as "THE EDWARD L. BAFFORD SCHOOL OF PHOTOGRAPHY." Mr. Bafford will, at his pleasure, continue to conduct this school for so long as he desires. He may from time to time call for assistance from qualified club members as he sees the need.

At such future time when Mr. Bafford feels he must relinquish this responsibility he will inform the Club President of this fact. He will, however, remain in the capacity of Dean Emeritus in perpetua. When this occasion arises the then Club President will call a special Board of Directors meeting to formulate plans for the perpetuation of this school. This school is to continue as an annual function.

CHAPTER 1 Membership There shall be five classes of membership: Active, Joint, Associate, Honorary and Honorary Life Membership. ACTIVE - Any person eighteen years of age or over, of good moral character and endorsed by one member of the Club may apply in writing for active membership in the Club. All applications shall be referred to the Membership committee for investigation and, if found favorable, the application shall pass to the Board for action. Two negative votes of the members of the Board shall be sufficient to disqualify an applicant from membership. Active membership shall carry with it all the rights and privileges of the Club. JOINT - Any active member of the Club shall be privileged to nominate his or her spouse to Joint-membership and, if accepted, shall have all the privileges of the Club. ASSOCIATE - Any member who finds it necessary to move from the Baltimore area may apply for associate membership. Such members shall have the privileges of the Club but shall not be eligible to hold office or vote. The maximum associate membership shall not exceed twenty-five. HONORARY - Persons who have rendered distinguished service to the Club or to Photography may be presented for Honorary membership. They shall be elected as provided for in Section 2; they shall have the privileges of the Club but shall have no vote, nor shall they hold office.

HONORARY LIFE - Any active member who has rendered outstanding service to the Club may be elected to Honorary Life membership by unanimous vote of the Board. Such Honorary Life membership shall carry with it all the rights and privileges of Active membership without the payment of dues. SUSPENSION - Any member suspended for non-payment of dues may, with the approval of the Board, be re-instated within one year upon the payment of arrearages and the current initiation fee. RESIGNATION - Any member in good standing may present his resignation to the Club for action. CHARGES - Charges against a member shall be made in writing and presented to the President. He shall appoint an investigating committee of three members of the Board who shall investigate the charges and report their findings and recommendations to the Board for action. A two-thirds vote of the Board shall be necessary to expel a member. A member expelled shall not again be eligible for membership. MEMBERSHIP OF MINORS - Any member of the Baltimore Camera Club in good standing may sponsor any child sixteen years to eighteen years into the Club. Dues are $5.00 each. At majority, considered eighteen years of age, the child or children become subject to full membership dues. If the child under eighteen loses his sponsor he must acquire a new sponsor at the discretion of the Board of Directors. If he becomes an adult member at eighteen, the $5.00 initiation fee is waived.

CHAPTER 2 Fees and Dues A deposit of five dollars shall accompany the Application for membership. If elected, this deposit shall be the member's Initiation Fee. If not elected, this deposit shall be returned. Dues for ACTIVE membership shall be twenty dollars a year, payable in advance, or in two installments of ten dollars due September 1 and ten dollars due March 1. Dues for ASSOCIATE membership shall be ten dollars payable in advance. Dues for JOINT MEMBERSHIP shall be twenty-five dollars a year, payable in advance, or in two installments of fifteen dollars due September 1 and ten dollars due March 1. Any member in arrears in his dues shall not be in good standing and any member ninety days in arrears in his dues automatically suspends himself from membership.

The Board of Directors may, at its discretion, extend the time in which payment will be received or waive such dues from members in arrears owing to illness or financial difficulties; this with the proviso that any member more than ninety days in arrears shall, during such period of arrearage, forfeit the right to vote, hold office or compete in Club competitions.

Any individual accepted to active membership between March 1 and August 1 will be charged ten dollars dues, payable in advance, in lieu of twenty dollars. This is in addition to the requirements of Section 1 above.

CHAPTER 3 Nominations and Elections At the first meeting in April the President shall appoint a Nominating Committee, whose duty it shall be to submit to the Club at the first meeting in May the names of the members it feels qualified to hold and fill various offices. Their report, however, shall not be final. Any ACTIVE MEMBER in good standing is eligible for nomination from the floor before the election takes place. The consent of a nominee must be obtained before placing his or her name in nomination. The President shall appoint at the annual meeting four members to act as Judges and Tellers of the election. They shall tabulate the votes cast and report the results to the meeting. Voting shall be by secret ballot. If, however, there are no nominations from the floor, voting may be by voice vote. Names not nominated cannot be voted. No member shall hold more than one elective office. A majority of votes cast shall elect. Elected officers shall assume the duties of their office at the beginning of the fiscal year, which shall be July 1. CHAPTER 4 Duties of the Officers PRESIDENT - It shall be the duty of the President to preside at all meetings of the Club and Board of Directors. He shall be the ex-officio member of all committees and shall administer the affairs of the Club. He shall make all special committee appointments and shall appoint the chairman of all standing committees, subject to the approval of the Board unless otherwise provided for in these BYLAWS. He shall approve all matter to be sent out for publication by the Club and shall endeavor to assume active leadership of the Club at all times. FIRST AND SECOND VICE-PRESIDENTS - It shall be the duty of the First and Second VicePresidents to assist the President in the duties of his office and in order of their rank to assume the duties of that office in the absence of the President. Each Vice-President shall act as Chairman of a standing committee designated by the President as stated in Article 11. SECRETARY - The Secretary shall keep an accurate record and minutes of all meetings of the Club and Board of Directors. He shall maintain an up to date list of all members and present to the Board for action all applications for membership and record the action on same in the minutes. He shall keep a complete and full file of all Club correspondence and shall fulfill all other duties usually incumbent on his office. TREASURER - The Treasurer shall be responsible for all monies of the Club in a bank subject to the signature of the President or Treasurer. He shall send bills for dues on August 1 and February 1 to all members in accordance with Chapter 2, Section 1 of the BYLAWS. He shall

pay all bills and expenditures. He shall keep an accurate record of all receipts and disbursements and report monthly to the Board the financial condition and also at each annual meeting. The books, records and files of the Treasurer shall be at all times at the disposal of the Auditing Committee.

CHAPTER 5 Duties of the Board The Board of Directors shall be the administrative body of the Club and as such its legal representative. They shall be responsible for and administer all properties and monies of the Club. They shall make such rules and regulations as is necessary for the government of all standing committees and special committees. They shall meet monthly, or on call of the President, or three members of the Board for the transaction of regular or special business. The Secretary shall read at the next following business meeting of the Club the minutes of the Board and the President shall call for a vote of the Club members present and voting to concur in or reject in full or in part the actions of the Board meeting. A quorum of the Board shall consist of six members to legally represent the Club.

CHAPTER 6 Standing Committees The Chairman and members of all Standing Committees and Special Committees shall be appointed by the President, subject to the approval of the Board unless otherwise provide for in the BYLAWS. The Chairman of Committees may submit to the President for his consideration the names of members he may wish to serve on his committee. He shall report monthly to the Board and on call at any regular meeting of the Club. The President may remove at any time any member of a committee for lack of interest or attention to his duties. Special Committees shall report the Club or Board as ordered by the President when appointed. MEMBERSHIP - The Membership Committee shall be composed of not less than three members. It shall be their duty to investigate all applications for membership and recommend them to the Secretary for action by the Board. They shall consider ways and means of increasing the Club's membership and, with the approval of the Board, instigate and direct any campaign for the purpose. EXHIBITIONS AND CONTEST - It shall be the duty of this committee to supervise and be responsible for all exhibits at the Club and of the Club. They shall see (as far as possible) that prints are returned to donors in the same condition in which they were received and use the utmost care to protect prints or property loaned to the Club by members or others. They shall, in cooperation with the Program Committee, arrange all contests among the members. They

shall make such rules and regulations, subject to the approval of the Board, as they deem necessary to conduct these contests in a fair and impartial manner. Rules and regulations for contests should be drawn and posted in the Club quarters. PROGRAM - It shall be the duty of this committee to arrange for speakers, demonstrations or exhibitions at each meeting of the Club. They shall cooperate and work with the Exhibition Committee. HOUSE AND ENTERTAINMENT - It shall be the duty of this committee to see that the Club quarters are kept in proper order and that the Club property is not defaced or destroyed; to provide adequate space and equipment for the holding of meetings and demonstrations, and to provide entertainment foreign to photography when necessary, and to furnish refreshments to the members, subject to the approval of the Board. CAMERA RUNS - The President shall appoint a chairman who shall be responsible in planning and of conducting camera runs. CHAPTER 7 Special Committees NOMINATING - At the first meeting in April, the President shall appoint a Nominating Committee of three members, whose duty it shall be to consider and recommend to the Club for nomination at the first meeting in May the names of those members it feels are qualified to hold the various offices and serve on the Board. AUDITING - The President shall appoint an Auditing Committee of three members or a professional auditor, whose duty it shall be to audit the accounts of the Treasurer and report their findings to the Board. The books shall be submitted for audit at the close of the Club year, June 30. PUBLICITY - The President may appoint a committee of one or more members whose duty it shall be, subject to approval of the Board, to devise ways to keep the Club before the public. SALON - The President may appoint a committee whose duty it shall be to organize and conduct a Salon in accordance with approved practices. The President may appoint committees of one or more for any cause or purpose he may deem necessary, or as ordered by the Club or Board. Their duties shall be outlined by the President and they shall cease to function when their work is finished and reports made as ordered. All Special Committees shall report to the Club or to the Board as ordered by the President. CHAPTER 8 Meetings The Club shall meet weekly on Tuesdays for the purpose of Lectures, Demonstrations, Contests, or Business.

The first meeting in June shall be the annual meeting at which time shall be made the annual report of officers, standing committees and Board of Directors; and the election of officers for the coming year shall take place.
